AUTHORIZING SECOND PARTIAL RELEASE OF COLLATERAL FOR 10 ACRE
PLANNED UNIT DEVELOPMENT
FILE NO. PDP-9129
WHEREAS, pursuant to C.R.S. § 30-28-137, the Board of County Commissioners of the County
of Eagle, State of Colorado ("County") entered into a Subdivision Improvements Agreement dated
July 2021 (the "SIA") with 10 Acre Holdings, LLC, a Colorado limited liability company
("Subdivider") for the 10 Acre Planned Unit Development ("10 Acre PUD"); and
WHEREAS, Subdivider provided collateral in the form of cash in the amount of $506,888.75,
which represented 100% of the estimated cost of the Subdivision Improvements ($432,966.00)
and 125% of the estimated cost of the Landscape Improvements associated with the 10 Acre PUD
($73,892.75); and
WHEREAS, pursuant to Eagle County Consent No. 2021-02 the County authorized a first partial
release of collateral in the amount of $154,298.25, thereby reducing the collateral held by the
County to $352,590.50; and
WHEREAS, Subdivider has represented to the County that certain Subdivision Improvements
and Landscape Improvements required under the SIA have been completed and the Subdivider has
applied for a second partial release of collateral; and
WHEREAS, based upon the written recommendations of the County Engineer set forth in
Exhibit A attached hereto and incorporated herein, and the recommendation of the County
Attorney, THE COUNTY FINDS that certain Subdivision Improvements and Landscape
Improvements associated with the 10 Acre PUD appear to be completed as of November 8, 2022
and a second partial reduction in the collateral is warranted; and
WHEREAS, pursuant to Resolution 95-25, the Chair of the Board of County Commissioners, or
in their absence, the Chairman Pro Tern, has the authority to approve partial released once the
release has been recommended for approval by the County Attorney; and
WHEREAS, based upon the recommendation of the County Engineer attached, hereto as
Exhibits A-C, and the recommendation of the County Attorney, THE COUNTY FINDS that a
second partial release is warranted.
NOW, THEREFORE, BE IT AUTHORIZED BY THE COUNTY OF EAGLE, STATE OF
COLORADO:
THAT, based on the recommendation of the County Engineer and the County Attorney, the Chair
of the Board authorizes this second partial release of collateral in the amount of $292,366.65,
thereby reducing the required collateral to $60,223.85, which represents the estimated cost of
remaining Subdivision Improvements and Landscape Improvements for the 10 Acre PUD; and

THAT, this partial release of collateral does not represent the County's acceptance of the work
purportedly completed by the Subdivider; and
THAT, this partial release of collateral does not commence the warranty period under the SIA;
and
THAT, this partial release of collateral shall not in any way abrogate the rights of the County in
enforcing the Subdivider's performance of its outstanding obligations under the SIA; and
THAT, this partial release is contingent upon the Subdivider retaining the remaining cash
collateral, and acceptable form to the County Attorney.
APPROVED by the Chair of the Board of County Commissioners of the County of Eagle, State
of Colorado, pursuant to Eagle County Resolution 95-35, this 29" day of November, 2022.

Authorization of the Second Partial Collateral Release
A written request for reduction of the collateral for the construction of portions of the
improvements under the agreement was received from Brian Rose on October 11, 2022.
The original amount from the signed Subdivision and Off -Site Improvements Agreement was:
Public Improvements = $432,996.00
Landscaping_ = $73,892.75
Total Collateral Amount = $506,888.75
The first partial collateral release was approved on October 7, 2021 in the amount of $154,298.25.
Total Collateral Amount = $506,888.75
First Partial Collateral Release = $154,298.25
Remaining Collateral Amount = $352,590.50
Staff discovered an error in calculations and determined the first collateral release should have
been in the amount of $134,773.65 and collateral was over -released in the amount of $19,524.60.
Therefore, $19,524.60 will be credited against this second collateral release.
The Eagle County Engineering Department performed an inspection confirming the amount of
work completed on October 11, 2022. Construction items were checked for completion as listed
on the Costs for Subdivision and Landscaping Improvements. The items requested for reduction
were found to be constructed and completed in a satisfactory manner. The Eagle County
Engineering Department recommends a reduction of the collateral in the amount of $292,366.65
from the $352,590.50. This will leave a balance of $60,223.85 collateral remaining.
This reduction does not start the warranty period.

Hi Julie,
Thanks for visiting the site today.
I would like to request a draw from my collateral in light of completion of many items that I showed you today. Attached is
a spreadsheet for the calculation of the draw including my understanding of what is considered releasable as of today.
I started with the spreadsheet you gave me at the last draw, but now that we have more tasks completed, it became really
confusing so I took the liberty of streamlining / clarifying.
• I replaced the formulas that had min & maxes with simpler formulas, because the min & maxes kept me from clear
reconciliations (it was giving the wrong amounts)
• I divvied up dollar amounts corresponding to Town of Basalt and MVMD deposits differently than previously - using
the previous method resulted in nonsensical negative numbers. Total deposit amounts remain the same
• I removed some rows so I can simply sum a column at the bottom.
• I entered a lot 90%'s to indicate completed tasks - 90% indicates I am requesting release of moneys up to the 10%
collateral that will be held to the end of the warranty period - I think this greatly clarifies and keeps the calculations
really straightforward.

In accepting this permit the undersigned property owner and/or contractor has applied for an
excavation permit pursuant to Chapter 11.03 of the Town of Basalt Municipal Code and Sec.222.3,
2612.3 and 2626 of the Town of Basalt Public Works Manual. In consideration of the Issuance of
such a permit, each of the undersigned hereby warrant and guarantee all materials, labor and
workmanship utilized in the backfilling, compacting, repairing, and resurfacing of area where cuts
and excavation are made, to be free from any failing for a period of two (2) years from the date of
repair and resurfacing. In the event that failing occurs within the said time period, including
subsidence or damage to the asphalt, the undersigned shall promptly repair or replace defective
work or materials, at the undersigned's sole expense, In a manner satisfactory to the Town. All
work and materials provided under the warranty shall be further warranted for a period of (2) years
from date of acceptance by the Town.
