THIRD AMENDMENT
TO
COLORADO MOUNTAIN COLLEGE AND SHAW BUILDERS, LLC
CM/GC AGREEMENT
THIS THIRD AMENDMENT (the “Third Amendment”) is entered into by and between
COLORADO MOUNTAIN COLLEGE (the “College” or “CMC”) and SHAW BUILDERS LLC
(“CM/GC”).
EFFECTIVE DATE AND NOTICE OF NONLIABILITY. This Third Amendment is intended to
incorporate additional CM/GC services as described herein to add a second building at the
Edwards Campus (“Phase 2”).
FACTUAL RECITALS
A. The parties entered into a CM/GC Agreement dated April 18, 2022, for the construction of
a student housing project at the College’s Breckenridge, Edwards, Spring Valley and Steamboat
Campuses which was subsequently amended by First Amendment dated May 3, 2022 and Second
Amendment dated October 10, 2022 (together the “Agreement”).
B. This Third Amendment is intended to set the amount appropriated for Edwards Phase 2,
set the Fixed Limit of Construction Cost, incorporate the Guaranteed Maximum Price, and other
amendments anticipated by the Agreement. The result is an increase in the Contract Sum.
C. The design and construction of Edwards Phase 2 is on behalf of and for the benefit of the
Eagle County Housing and Development Authority (“ECHDA”) and CMC is acting as the
contracting party and primary contact with the CM/GC.
D. Authority exists and funds have been budgeted, appropriated, and otherwise made available
and a sufficient unencumbered balance thereof remains available for payment
NOW THEREFORE, it is hereby agreed that
AGREEMENT
a. Consideration for this Third Amendment consists of the payments, which shall be made
pursuant to this Third Amendment and the promises, and agreements herein set forth.
2. It is expressly agreed by the parties that this Third Amendment is supplemental to the
Agreement, as amended, which is by this reference incorporated herein, that all terms, conditions,
and provisions thereof, unless specifically modified herein, are to apply to this Third Amendment
as though they were expressly re-written, incorporated, and included herein.
3. It is agreed the Agreement is and shall be modified, altered, and changed in the following
respects only:
a. The CM/GC’s scope of work shall be amended to add in all obligations of CM/GC
services described in the Agreement and as supplemented by the Exhibits attached
hereto and incorporated by reference. The CM/GC’s fee shall be as described on
Exhibit A attached hereto and incorporated by reference.

b. The Parties hereby agree that payment of any fees under this Third Amendment are to
be paid exclusively from ECHDA funds and that ECHDA is a third party beneficiary
to the Agreement and is the obligor to CM/GC with respect to payment of the additional
fees stated herein. CMC shall not be liable to CM/GC for payment of the additional
fees stated in this Third Amendment.
c. The established Fixed Limit of Construction Cost is hereby increased by Nine Million
Seven Hundred Sixty-Three Thousand Eight Hundred Seventy-Nine Dollars
($9,763,879) for a total Fixed Limit of Construction Cost of Forty-Eight Million Five
Hundred Thirty-Nine Thousand Five Hundred Thirty-Nine Dollars ($48,539,539).
d. This Third Amendment approves and incorporates the following Exhibits to the
Agreement:
• Exhibit I.1 Guaranteed Maximum Price Documents, Drawings, and
Specifications including and Modifications (when approved by the College) for Phase
2.
• Exhibit I.2 Addenda and Modifications
• Exhibit I.3 Schedule of Values for Edwards Phase 2.
• Exhibit I.4 Allowance Schedule for Edwards Phase 2.
• Exhibit I.8 Notice to Proceed for Edwards Phase 2.
• Exhibit I.9 Critical Path Method (CPM) Construction Schedule for Phase 2.

4. Except with respect to the “Special Provisions,” in the event of any conflict, inconsistency,
variance, or contradiction between the provisions of this Third Amendment and any of the
provisions of the Agreement, the provisions of this Third Amendment shall in all respects
supersede, govern, and control. The “Special Provisions” shall always be controlling over other
provisions in Agreement or Amendments.

GENERAL INFORMATION
All work shall be complete pursuant to the 100% Construction documents unless clarified or noted below
• Costs associated with any temporary monthly usage bills for electric and gas are included in the
budget for the duration of construction as set forth in the project schedule or until substantial
completion of the project is attained.
o It is assumed that power is available at site for temp power; any use of generators is not
included and if required would result in a change order.
o Shaw has included costs to set up temporary electrical power.
• Any special provisions required by the builder’s risk policy is not included, i.e. Fedora Security
Systems, other than a Tattletale System and temporary site fencing
• Shaw’s has included general liability insurance based on an all ‘for-rent’ product.
• Project is assumed to be tax exempt
• Anticipated costs associated with weather conditions included, but are not limited to, ground thaw
machines and fuel, snow removal, temporary heat, concrete blankets, temporary window
openings for dry in, building tenting/heating, concrete admixes, winter excavation/backfill
requirements, etc.

Section 002000 – Sitework

of Insurance for Edwards Phase 2 have been received. Our issuance of this Notice does not relieve you of responsibility
to assure that the bond and insurance requirements of the Contract Documents are met for the duration of the
Agreement. This Notice to Proceed will be attached to the Amendment # 3 for the Bid Package and scope of work
described therein for Edwards Phase 2.
You are hereby authorized and directed to proceed within ten (10) days from date of this Authorization as required in the
Agreement. Any liquidated damages for failure to achieve Substantial Completion by the date agreed that may be
applicable to this contract will be calculated using the date of this Notice for the date of the commencement of the Work.
