ARTICLE 1 THE CONTRACT DOCUMENTS The Contract Documents consist of this Agreement, Conditions of the Contract (General, Supplementary and other Conditions), Drawings, Specifications, Addenda issued prior to execution of this Agreement, other documents listed in this Agreement and Modifications issued after execution of this Agreement; these form the Contract, and are as fully a part of the Contract as if attached to this Agreement or repeated herein. The Contract represents the entire and integrated agreement between the parties hereto and supersedes prior negotiations, representations or agreements, either written or oral. An enumeration of the Contract Documents, other than Modifications, appears in Article 9. ARTICLE 2 THE WORK OF THIS CONTRACT The Contractor shall execute the entire Work described in the Contract Documents, except to the extent specifically indicated in the Contract Documents to be the responsibility of others, or as follows: The scope of work for this Contract is as defined in Exhibit A, including construction of Airport Terminal Site work and Terminal Expansion. ARTICLE 3 DATE OF COMMENCEMENT AND SUBSTANTIAL COMPLETION 3.1 The date of commencement is the date from which the Contract Time of Paragraph 3.2 is measured, and shall be the date of this Agreement, as first written above, unless a different date is stated below or provision is made for the date to be fixed in a notice to proceed issued by the Owner. (Insert the date of commencement, if it differs from the date of this Agreement or, if applicable, state tbat the date will be fixed in a notice to proceed.) Commencement shall be May 8, 2001, subject to issuance of demolition and building permits. Unless the date of commencement is established by a notice to proceed issued by the Owner, the Contractor shall notify the Owner in writing not less than five days before commencing the Work to permit the timely filing of mortgages, mechanic's liens and other security interests. 3.2 The Contractor shall achieve Substantial Completion of the entire Work not later than (Inert the calendar date or number of calendar daps after lbe date of commencement. Also insert an), requirements for earlier Substantial Completion of cer- lain portions of the Work, if not stated elseu -here in the Contract Documents.) November 20, 2001 for the Terminal, provided that the exclusive use spaces leased by United Airlines shall be completed for United Airline's commencement of its finish work on or before November 16, 2001 and the entire project to be Substantially Complete by December 13, 2001. Contractor will need to return in the second quarter of 2002 to complete punch list. subject to adjustments of this Contract Time as provided in the Contract Documents. Regardless of whether or not Contractor requests a delay extension, the completion date shall be extended because of severe weather, strikes, delayed material deliveries, extended Change Orders, untimely decisions by Owner or Architect, faulty plans or specifications or other conditions that cannot be controlled by Contractor. AIA DOCUMENT A101 • OWNER-CONTRACTOR AGREEMENT • TWELFTH EDITION • AIAM • ©19 &7 THE AMERICAN 1N5TITUTE OF ARCHITECTS, 1735 NEW YORK AVENUE, N.W., WASHINGTON, D.C. 20006 A101 -1987 2 ARTICLE 4 CONTRACT SUM 4.1 The Owner shall pay the Contractor in current funds for the Contractor's performance of the Contract the Contract Sum of SEVEN MILLION SEVEN HUNDRED SIXTY -TWO THOUSAND NINE HUNDRED FIFTY -ONE AND N01100 Dollars (= 7,762,951 ), subject to additions and deductions as provided in the Con- tract Documents. 4.2 The Contract Sum is based upon the following alternates, if any, which are described In the Contract Documents and are hereby accepted by the Owner: (State the numbers or other identification of accepted alternates, if decisions on otber alternates are to be made by the Owner subsequent to the execution of this Agreement, attach a schedule of such other alternates showing the amount for eacb and the date until wbicb that amount is valid.) Changes which increase the Work shall be made at cost plus 15% for jobsite and corporate overhead and jobsite general conditions, plus 5% for profit. Minor changes which decrease the cost of the Work will be made at cost. Major changes which substantially decrease the scope of Work will be made at cost. Stipulated allowances are to be adjusted by Change Order either up or down at cost. Owner- initiated Changes in the Work will be entered in the Change Order log with an estimated cost. A copy of the Log will be available to the Owner or Architect each week. If the Owner wants work on the change started before a final price is available, the Owner will initial a Proceed Order Form prepared by the Contractor. If the entry is not initialed, the Work on the change will not be started before a price for the Change is approved by both parties. The Schedule of Values shall allocate the entire Contract Sum among the various portions of the Work and be prepared in such form and supported by such data to substantiate its accuracy as the Architect may require. This Schedule, unless objected to by the Architect, shall be used as a basis for reviewing the Contractor's Applications for Payment. 5.5 Applications for Payment shall indicate the percentage of completion of each portion of the Work as of the end of the period covered by the Application for Payment. 5.6 Subject to the provisions of the Contract Documents, the amount of each progress payment shall be computed as follows: 5.6.1 Take that portion of the Contract Sum properly allocable to completed Work as determined by multiplying the percentage completion of each portion of the Work by the share of the total Contract Sum allocated to that portion Df the 'Work, in the Schedule of Values, less retainage of ten percent ( 10 ".)• Pending final determination of cost to the Owner of changes in the Work, amounts not in dispute may be included as provided in Subparagraph 7.3.7 of the General Conditions even though the Contract Sum has not yet been adjusted by Change Order; 5.6.2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and suitably stored at the site for subsequent incorporation in the completed construction (or, if approved in advance by the Owner, suitably stored off the site at a location agreed upon in writing), less retainage of ten percent ( 10 '°) 5.6.3 Subtract the aggregate of previous pa }•merits made by the Owner; and 5.6.4 Subtract amounts, if am, for which the Architect has withheld or nullified a Certificate for Payment s provided in Para- graph 9.5 of the General Conditions. 5.7 The progress payment amount determined in accordance with Paragraph 5.6 shall be further modified under the following circumstances: 5.7.1 Add, upon Substantial Completion of the Work, a sum sufficient to increase the total payments to one hundred percent ( 100 of the Contract Sum, less such amounts as the Architect shall determine for incomplete Fork and unsettled claims; and 5.7.2 Add, if final completion of the Work is thereafter materially delayed through no fault of the Contractor, any additional :i nounts payable in accordance With, Subparagraph 9.10.3 of the General Conditions. 5,8 Reduction or limitation of retainage, if am, shall be as follows: (If it is inte)uled, pnnr to .Gtl)strntlial Cntttptetifnt of the entire tr'nrk. to redure or linta fire retan:cr,,e resu ingfrnttt the percenu{¢es tttseried it? D.C. 20006 A101-1987 4 ARTICLE 5 (continued) ARTICLE 5.9 C, `Application and Certificate for Payment" and "Continuation Sheet" (AIA Document G702 and G703), samples of which are attached here to as Exhibit B, shall serve as the job cost breakdown, listed under 5.4, and which shall be documents from which Shaw Construction shall be paid each month. At such time as the Work completed equals fifty (50 %) percent of the original contract sum, no further retainage shall be withheld from the progress payment, provided the Owner is reasonably satisfied with the quality of the progress of the Work. All retainage amounts previously withheld shall be paid to the Contractor within (30) days of substantial completion of the Work, except that portion retained pending the completion of incomplete work and unsettled claims. When all work to be performed by a subcontractor is completed and accepted in writing by the Contractor, Owner and Architect, the retention relating to such subcontractor's work will be released, provided that subcontractor has provided all warranties required of him and he has agreed that the time of commencement of any period of time during which such warranties are in full force and effect shall start at substantial completion of all the Work; and provided further, that such subcontractor executes and delivers a full lien waiver and all other instruments of release which may be required by Contractor, Owner or Architect. (Action taken relative to this paragraph will not require release by Owner of any retainage monies beyond those outlined in the above paragraph.) Contractor's warranty shall begin upon issuance of Substantial Completion. Substantial Completion is the date certified by the Architect that work is sufficiently completed so the entire project can be utilized for which it is intended as defined in Article 8.1.3 of the General Conditions of the Contract for Construction and includes issuance of Certificate of Occupancy provided withholding of a Certificate of Occupancy is not caused by circumstances outside the Contractor's control. ARTICLE 6 FINAL PAYMENT Final payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the Owner to the Contractor when (1) the Contract has been fully performed by the Contractor and a final Application for Payment has been submitted by Contractor and approved by the Architect and Owner as provided for in this agreement. Warranty work items shall not be deemed as incomplete work. ARTICLE 7 MISCELLANEOUS PROVISIONS 7.1 Where reference 1s made in this Agreement to a provision of the General Conditions or another Contract Document, the ref- erence refers to that provision as amended or supplemented by other provisions of the Contract Documents. 7.2 Payments approved under the provisions of the Contract and due and unpaid under the Contract shall bear interest from the date payment is due at the rate stated below, or in the absence thereof, at the legal rate prevailing from time to time at the place where the Project is located (Insert rate of interest agreed upon, if arty) At eighteen percent (18 %) per annum. Legal advice should be obtained uvitb respect to deletion or modifications, and also regarding requirements such as u-rilten disclosures or « - aivers.) 7.3 Other provisions: 7.3.1 Contract Documents include sections 4.07 and 4.08 of the Trust Indenture which is attached as Exhibit C; in the event of any conflict in those terms with other terms in the agreement, the terms of the Trust Indenture shall control. 7.3.2 Contractor hereby consents to Owner assigning its rights under this Agreement to or for the behalf of bondholders or for the purposes of financing the construction. 7.3.3 All references to arbitration in the Contract are deleted. ARTICLE 8 TERMINATION OR SUSPENSION 8.1 The Contract may be terminated by the Owner or the Contractor as provided in Article 14 of the General Conditions. 8.2 The Work may be suspended by the Owner as provided in Article 14 of the General Conditions. Thank you for the opportunity to present you with the scope for the Eagle Air Terminal Expansion. We recognize that this is an important undertaking for Eagle County and look forward to making this a successful project for you. PROCR.4 M The current program and cost included in this workscope includes only the work within the envelope of the building, excluding sitework outside of the building area, except as specifically noted below. SCHEDULE We have developed a preliminary schedule, as follows: which will complete the Terminal in phases 1. Substantial Completion of Airline Operations Core and Shell Area for their subsequent Tenant Fitout — November 16, 2001 2. Substantial Completion of Ticket Lobby and East Holding Room forAmerican Airlines Operations - November 20, 2001. 3. Substantial Completion of Entire Terminal — December 13, 2001. The Schedule assumes an uninterrupted flow of work commencing May 8, 2001. Upgrade or replacement of Emergency Generator Division 18000 ADDITIONAL ALLOWANCES • Total of $25,000 for Signage • Total of $65,000 for complete Security Systems • Total of $250,000 for complete Baggage Conveying system including overhead doors, baggage and ski slides and removing/re- conditioning and re- locating existing baggage conveying systems. • Total of $7,500 for Jobsite safety Incentive Program for workers. • Total of $25,000 Tenant Space Completion/Finishes beyond core and shell white box included above. • Total of $17,500 for Fire /Area separation requirements of the Town of Gypsum at the security area near Grid Line 8. • Total of $200,000 for Contractor Contingency to be used at the discretion of Contractor for unknown factors that may adversely affect costs such as bidding of subcontractors and material supply items, estimating assumptions and ambiguities, construction scheduling problems, (manufacturer delays, strikes, disruptions, work area conflicts) weather, labor and equipment availability and productivity. In general, Contractor Contingency is to be used for cost overruns not generated or initiated by the Owner or it's agents. The Contractor will provide the Owner a periodic accounting of the use and disposition of funds in the Contractor Contingency. Owner shall provide property pins and benchmark • Rough clean, trash haul and finish clean of glass, sweep floors. • As -built plans, Operation Manuals, and O &M Video • Builders Risk Insurance The total cost for the Building is $7,762,951 ADDITIONAL ASSUIKI'TIONS 1. A one year warranty for materials and workmanship will be provided by Contractor from the date of Substantial Completion as certified in the AIAG704. 2. Temporary Utilities for electricity, heating, and water are to be furnished by Owner from existing taps and meters. 3. The Owner will make arrangements with Electric, gas, Phone and CATV companies for service as required. C 4. It is assumed that Holy Cross will install primary service and transformers with conduit and vaults only to be set by Shaw 5. It is assumed that the Phone company will install service to pedastals. Shaw will run conduit from pedastal to each building. Phone company will pull cable from pedastal to each building and install Dmark panel and complete punchdown. 6. Insurance will be provided by Contractor in a format and in amounts satisfactory to Owner, to include Commercial General Liability, Automobile Liability, Workers Compensation. 7. Finishes in Tenant spaces included in the base workscope are minimal and are limited to concrete floors, textured and painted perimeter walls, minimum code required electrical outlets, sprinkler fire protection, HVAC distribution and 2x4 acoustical ceilings. Any additional demising walls or separations and corresponding work including framing, drywall, plumbing, HVAC, electrical, etc are included int eh Allowances of Division 18000. 8. The Punchlist for the project will require re- mobilization in the 2Q — 3Q 2002, in order to complete Punchlist items that are not feasible to complete during the Winter airline operation. During this Punchlist re- mobilization, all bolts for the timber addition will be tightened (due to normal shrinkage) which will require the mobilization of a motorized manlift in the Terminal area. Due to the constraints of the Schedule and Punchlist requirements, the Owner agrees to pay all retainage amounts to Contractor following Substantial Completion, except 150% of the value of any remaining items, which will be paid after Punchlist items are complete. The following items are specifically excluded from the basis of the pricing 1. Permit Plan review and Permit Fees. (Owner will pay for permit, Contractor will secure permit). Tap fees, or project exactions, development fees, fees owed to Holy Cross, Rocky Mountain Natural Gas, CATV or Phone companies and Water and Sanitation Departments. 2. Installation of primary phone, primary electric, CATV, natural gas service, or re- location of Phone service. 3. Overexcavation of unsuitable soils and recompaction 4. Export or import of any material off site 5. Material testing, Inspections, Special reports of any kind. (Contractor will schedule and coordinate all inspections as required in the specifications. Contractor will be responsible for paying for any re- inspections as a result of failed inspections.) 6. Copper, stainless steel or any other special flashing. 7. Interior trim, wood trim, cabinets or casework at any location other than listed above. 8. Furnishings, seating, baggage scales, seating, built -ins, fixtures, shelving or equipment not specifically listed above 9. Telephone systems, Monitors, Data or communication systems 10.
