HomeMy WebLinkAboutC22-305 City of Minature BILL OF SALE, ACKNOWLEDGEMENT AND INDEMNIFICATION AGREEMENT THIS BILL OF SALE, ACKNOWLEDGMENT AND INDEMNIFICATION AGREEMENT (“Agreement”) is made and executed ________________, by the City of Minatare (“Minatare”) and Eagle County Fleet Services (“Eagle County”). WITNESSETH WHEREAS, Eagle County elected to sell to a Municipal Agency, 1 – 2017 Chevy Tahoe ( the “Vehicle”), which is a SUV police surplus vehicle that have outlived their useful life for day-to-day Eagle County Sheriff ’s Operations; and WHEREAS, Minatare has agreed to purchase the vehicle for $20,000; and WHEREAS, Eagle County is willing to deliver title and Minatare is willing to assume the same for the payment, acknowledgements, and indemnification agreement set forth hereunder. BILL OF SALE Eagle County, in consideration of the acknowledgment and indemnification agreement contained herein and payment of $20,000 for the Vehicle (Eagle County Fleet Unit #8840 (VIN: 1GNSKDEC0HR204602); receipt of payment acknowledged, does hereby transfer to Minatare, title to the Vehicle to have and to hold. NOW, THEREFORE, Minatare additionally acknowledges the following: 1. That Vehicle is being delivered in “as is” with all faults condition. Minatare understands that Eagle County makes no warranties, express or implied, as to the fitness of the Vehicle for any particular use; 2. Minatare has received from Eagle County, maintenance records of the Vehicle and understands that Eagle County makes no representation regarding the completeness of said records; and 3. Minatare will, at all times, operate the Vehicle in a lawful manner including maintaining adequate insurance coverage during its operation and use. NOW THEREFORE, in consideration of the sale of the Vehicle and the acknowledgements herein, Minatare agrees to the following: Minatare, its successors or assigns, assume all liability for and shall defend, indemnify, and hold harmless Eagle County, and its officers, agents, representatives, and employees, for all claims, loss, damage, actions, expenses, and liability resulting from, brought for, or on account of, any personal injury, threat of personal injury, or property damage received or sustained by any person or persons growing out of, occurring or attributable directly or indirectly, to the operation of the Vehicle after the transfer of the same to Minatare. ________________________ By: ___________________________________ DATE Chief Jared Shepard, City of Minatare ________________________ By: _______________________________ DATE Jeff Shroll, County Manager DocuSign Envelope ID: 2F8FFCCA-6BD9-438F-820E-7469C168A085 8/24/2022 8/24/2022 8/24/2022
