EAGLE COUNTY, COLORADO
AND
SUN VALLEY RIDES LLC
THIS FIRST AMENDMENT (“First Amendment”) is effective as of _______________ by and
between Sun Valley Rides LLC, an Arizona limited liability company (hereinafter “Consultant”
or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter
“County”).
RECITALS
WHEREAS, County and Contractor entered into an agreement dated March 21, 2022 for certain
Services as defined in the agreement (the “Original Agreement”); and
WHEREAS, section 4 of the Original Agreement allows Contractor and County to extend or
modify the Original Agreement through a written agreement signed by both parties; and
WHEREAS, the term of the Original Agreement initially provided that the Services would be
provided on each day of July 27, 28, 29, and 30, 2022 and would expire on July 31, 2022 and the
parties desire to alter the dates on which the Contractor will provide the Services on the same
terms and conditions as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. Section 1.a of the Original Agreement shall be amended and replaced to provide that:
a. Contractor agrees to furnish the Services on each day of July 25, 26, 27,
28, 29, and 30, 2022 and in accordance with the schedule established in Exhibit A to
the Original Agreement. Contractor agrees to furnish the Services in a timely and
expeditious manner consistent with the applicable standard of care. By signing below,
Contractor represents that it has the expertise and personnel necessary to properly and
timely perform the services.
2. Section 3 of the Original Agreement shall be amended and replaced to provide that:
3. Term of the Agreement. This Agreement shall commence on March 21,
2022, and subject to the provisions of paragraph 11 hereof, shall continue in full force
and effect through January 15, 2023.
3. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,

the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.
4. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.
5. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the Original
Agreement the day and year first above written.
