PARTIES This Amendment (the “Amendment”) to the Original MOU shown on the Signature and Cover Page for this Amendment (the “Contract” or the “MOU”) is entered into by and between the Parties. 2. TERMINOLOGY Except as specifically modified by this Amendment, all terms used in this Amendment that are defined in the MOU shall be construed and interpreted in accordance with the MOU. 3. AMENDMENT EFFECTIVE DATE AND TERM A. Amendment Effective Date This Amendment shall not be valid or enforceable until the Amendment Effective Date shown on the Signature and Cover Page for this Amendment. The State shall not be bound by any provision of this Amendment before that Amendment Effective Date, and shall have no obligation to pay Contractor for any Work performed or expense incurred under this Amendment either before or after of the Amendment term shown in §3.B of this Amendment. B. Amendment Term The Parties’ respective performances under this Amendment and the changes to the MOU contained herein shall commence on the Amendment Effective Date shown on the Signature and Cover Page for this Amendment and shall terminate on the termination of the MOU. 4. PURPOSE The purpose of the original MOU was to provide a framework for the delivery of comprehensive workforce development services to the job seeker and employer communities of the Workforce Area and to describe how the shared costs of operating the one-stop delivery system in the Workforce Area will be funded. By encouraging collaboration between comprehensive workforce centers and a network of one-stop partners, this framework is designed to promote collaborative employment and training strategies that reflect the particular needs of the Workforce Area's and the Sub-Areas' local and regional economies. The purpose of this Amendment is to (1) extend the term of the MOU through June 30, 2023, (2) update contact information for the Workforce Board and CRWC, (3) ame nd necessary information for Workforce Development System Services, and (4) include contact information for One-Stop Partners. 5. MODIFICATIONS The MOU and all prior amendments thereto, if any, are modified as follows: A. The MOU Initial Contract Expiration Date on the MOU’s Signature and Cover Page is hereby deleted and replaced with the Current MOU Expiration Date shown on the Signature and Cover Page for this Amendment. B. Section 3, Effective Date and Term, is hereby deleted and replaced with the following: “The Parties’ performance under this MOU shall commence on the later of (a) July 1, 2017 or (b) the date this MOU becomes fully executed (the “Effective Date”). LIMITS OF EFFECT AND ORDER OF PRECEDENCE This Amendment is incorporated by reference into the MOU, and the MOU and all prior amendments or other modifications to the MOU, if any, remain in full force and effect except as specifically modified in this Amendment. Except for the Special Provisions contained in the MOU, in the event of any conflict, inconsistency, variance, or contradiction between the provisions of this Amendment and any of the provisions of the MOU or any prior modification to the MOU, the provisions of this Amendment shall in all respects supersede, govern, and control. The provisions of this Amendment shall only supersede, govern, and control over the Special Provisions contained in the MOU to the extent that this Amendment specifically modifies those Special Provisions.
