HomeMy WebLinkAboutC22-230 Alliance Police DepartmentBILL OF SALE, ACKNOWLEDGEMENT AND INDEMNIFICATION AGREEMENT THIS BILL OF SALE, ACKNOWLEDGMENT AND INDEMNIFICATION AGREEMENT (“Agreement”) is made and executed __________________, by the Alliance Police Department (“Alliance”) and Eagle County Fleet Services (“Eagle County”). WITNESSETH WHEREAS, Eagle County elected to sell to a Municipal Agency, 1 – 2016 Chevy Tahoe and 3 – 2017 Chevy Tahoes (collectively the “Vehicles”), which are SUV police surplus vehicles that have outlived their useful life for day-to-day Eagle County Sheriff’s Operations; and WHEREAS, Alliance has agreed to purchase the four vehicles for $15,000 for the 2016 Chevy Tahoe and $12,000 per vehicle for the 2017 Tahoes; and WHEREAS, Eagle County is willing to deliver title and Alliance is willing to assume the same for the payment, acknowledgements, and indemnification agreement set forth hereunder. BILL OF SALE Eagle County, in consideration of the acknowledgment and indemnification agreement contained herein and payment of $51,000 for the Vehicles (Eagle County Fleet Unit #8826 (VIN: 1GNSKDEC8GR393675); Eagle County Fleet Unit #8841 (VIN: 1GNSKDEC3HR206182); Eagle County Fleet Unit #8843 (VIN: 1GNSKDEC8HR204489); and Eagle County Fleet Unit #8844 (VIN: 1GNSKDEC9HR205151), receipt of payment acknowledged, does hereby transfer to Alliance, title to the Vehicles to have and to hold. NOW, THEREFORE, Alliance additionally acknowledges the following: 1. That Vehicles are being delivered in “as is” with all faults condition. Alliance understands that Eagle County makes no warranties, express or implied, as to the fitness of the Vehicles for any particular use; 2. Alliance has received from Eagle County, maintenance records of the Vehicles and understands that Eagle County makes no representation regarding the completeness of said records; and 3. Alliance will, at all times, operate the Vehicles in a lawful manner including maintaining adequate insurance coverage during its operation and use. NOW THEREFORE, in consideration of the sale of the Vehicles and the acknowledgements herein, Alliance agrees to the following: Alliance, its successors or assigns, assume all liability for and shall defend, indemnify, and hold harmless Eagle County, and its officers, agents, representatives, and employees, for all claims, loss, damage, actions, expenses, and liability resulting from, brought for, or on account of, any personal injury, threat of personal injury, or property damage received or sustained by any person or persons growing out of, occurring or attributable directly or indirectly, to the operation of the Vehicles after the transfer of the same to Alliance. ________________________ By: ___________________________________ DATE Philip Lukens, Police Chief, Alliance Police Department ________________________ By: _______________________________ DATE Jeff Shroll, County Manager DocuSign Envelope ID: 26F3A642-7573-4EEA-B569-A7967ADF4D5D 6/15/2022 6/15/2022 6/15/2022
