HomeMy WebLinkAboutC22-202 HR Green Fiber and Broadband Version2.0 12172018 FIRST AMENDMENT HR GREEN FIBER AND BROADBAND, LLC PROFESSIONAL SERVICES AGREEMENT THIS AMENDMENT, made this _________________ by and between, Eagle County, Colorado, (hereafter “CLIENT”), and HR GREEN FIBER AND BROADBAND, LLC (hereafter "COMPANY"), for professional services concerning: Dotsero High-Level Design and Next Steps / COMPANY Project Number: 200040 hereby amends the original Professional Services Agreement dated September 30, 2020 (C20-371) as follows: The term of the Original Agreement is hereby extended to the December 31, 2022. The CLIENT and COMPANY agree to amend the Scope of Services of the original Professional Services Agreement for additional compensation as follows: TASK 0 – Kickoff Meeting COMPANY will coordinate with CLIENT to arrange a Kickoff Meeting to define the information to be transferred, milestones and timeline of the project. TASK 1 – Develop a Base Map In the original project (200040), CLIENT provided some GIS information and COMPANY developed a base map germane to that project. The same process will need to be completed for this project. Because of steps in the original project, the base map might be partially complete, but analysis will need to be completed and information gathered for the Dotsero area. DELIVERABLE: GIS Base Map Task 2 – Evaluate Transport Options Any infrastructure to be deployed in Dotsero will require connection to transport technology (fiber or relay signals). COMPANY will evaluate a Project THOR meet me center, CDOT fiber, connection to other fiber and connection through other technologies. DELIVERABLE: Report of findings of transport options and costs Task 3 – Evaluate Technology Options The two most common options for broadband improvement in the Dotsero area are Fiber to the Premise (FTTP) and Point-to-Point. COMPANY will evaluate these options to see how available they are, how effective they would be in the Dotsero circumstances. DELIVERABLE: Report of findings of applicable technology options in the Dotsero area Task 4 – High-Level Design of the Two Dotsero Areas COMPANY will create a high-level design of the two areas of Dotsero (the mobile home park north of the Interstate and the homes south of the Interstate. The high-level design will consist of a desktop drawing of the two areas (not field verified) and a high-level listing of the costs for construction. Utilizing the high-level costs, COMPANY will develop a cost/revenue benefit analysis regarding the two scenarios of building out only the Dotsero mobile home park and building out the two areas in Dotsero. DocuSign Envelope ID: E9EB9539-6872-4743-BAEC-710AEBB0A1BE 5/17/2022 Amendment 1 to Professional Services Agreement Holy Cross Energy Fiber Design 200291 Page 2 of 3 Version1.0 07012017 DELIVERABLES: • Two high-level designs and associated costs of construction • Two high-level cost/benefit analysis of the two options (mobile home park only and entire Dotsero area) Task 5 – Provider Outreach From tasks 0 – 4, CLIENT will have information to either decide to further explore building the needed infrastructure as a County project or to partner with a telecommunications provider to negotiate building the infrastructure in a form of partnership. In this Task, COMPANY will collaborate with CLIENT to arrange a meeting with area providers to ascertain interest from providers in negotiating an arrangement to deploy infrastructure. DELIVERABLES: Two group provider meetings (conducted remotely) or five individual provider meetings (conducted remotely). Also, COMPANY will provide summaries of the provider meetings. The final deliverable will be a final report that includes a summary of findings of Tasks 1 – 4. Also, in the final report will be: 1) the two technical designs in Task 2 with recommendations on viable ways to move forward 2) each recommendation will include a high level suggested approach on how to realistically move forward 3) estimated costs of each 4) and insight into how to fund those costs. In consideration for these services, the CLIENT AGREES to authorize the payment for services performed by COMPANY on the following basis: A lump sum amount for the tasks above of $38,260 Costs are broken out per phase as: Project Management $3,960 Task 0 Kickoff $2,000 Task 1 GIS Base Map $4,450 Task 2 Transport Options $5,750 Task 3 Technology Options $5,250 Task 4 High-level Design $8,785 Task 5 Provider Outreach $8,065 Task 5 is at the option of Client. If Client does not choose to pursue this task, the total will be $30,195. The total authorized compensation after this Amendment, including the original Professional Services Agreement increases the total compensation amount from the original Agreement of Sixteen Thousand Four Hundred Seventy dollars ($16,470) to the new amount (including this First Amendment) not to exceed Fifty four thousand seven hundred thirty dollars ($54,730). THIS AMENDMENT is subject to all provisions of the original Professional Services Agreement. THIS AMENDMENT, together with the original Professional Services Agreement and all previous amendments represents the entire and integrated AGREEMENT between the CLIENT and COMPANY.
