THIS BILL OF SALE, ACKNOWLEDGMENT AND INDEMNIFICATION AGREEMENT (“Agreement”) is
made and executed on __________________, by the Town of Vail Police Department (“Vail”) and Eagle County
Fleet Services (“Eagle County”).
WITNESSETH
WHEREAS, Eagle County elected to sell to a Municipal Agency, 1 – 2018 Chevrolet Tahoe K-9 police
surplus vehicle that has outlived its useful life for day-to-day Eagle County Sheriff ’s Operations; and
WHEREAS, Town of Vail has agreed to purchase the vehicle for $20,000.00; and
WHEREAS, Eagle County is willing to deliver title and Town of Vail is willing to assume the same for the
payment, acknowledgements and indemnification agreement set forth hereunder.
BILL OF SALE
Eagle County, in consideration of the acknowledgment and indemnification agreement contained herein and
payment of $20,000 for the “Vehicle” (Eagle County Fleet Unit #8877 (VIN:1GNSKDEC3JR180348), receipt of
payment acknowledged, does hereby transfer to Town of Vail, title to the vehicle to have and to hold.
NOW, THEREFORE, Town of Vail acknowledges the following:
1. That Vehicle is being delivered in “as is” condition. Town of Vail understands that Eagle County makes no
warranties, express or implied, as to the fitness of the vehicle for any particular use;
2. Town of Vail has received from Eagle County, maintenance records of the vehicle and understands that Eagle
County makes no representation regarding the completeness of said records; and
3. Town of Vail will, at all times, operate the vehicle in a lawful manner including maintaining adequate
insurance coverage during its operation and use.
NOW THEREFORE, in consideration of the sale of the vehicle and the acknowledgements herein, Town of
Vail agrees to the following:
Town of Vail, its successors or assigns, assume all liability for and shall defend, indemnify, and hold
harmless Eagle County, and its officers, agents, representatives and employees, for all claims, loss, damage, actions,
expenses, and liability resulting from, brought for, or on account of, any personal injury, threat of personal injury, or
property damage received or sustained by any person or persons growing out of, occurring or attributable directly or
indirectly, to the operation of the vehicle after the transfer of the same to Town of Vail.
