HomeMy WebLinkAboutC22-160 Mickey Hohl_First AmendmentFIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND Micky Hohl THIS SECOND AMENDMENT (“Second Amendment”) is effective as of _________________ by and between Micky Hohl a (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 29th day of April, 2020, for certain Services (the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain Services with compensation in an amount not to exceed $10,000 per year; and WHEREAS, the parties desire to modify the compensation rate as set forth below; and; WHEREAS, the term of the Original Agreement expires on the 31st day of May, 2022 and the parties desire to extend the term of the Original Agreement for an additional two (2) year term on the same terms and conditions as set forth in the Original Agreement. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to increase the compensation for the Services set forth in Exhibit 1 of the Original Agreement by: increasing performance of services as follows: (1) Face to face contact for individual therapy with clients - from $90 per hour to $100 per hour for In Office Services and from $100 per hour to $110 per hour for In Home/ Off Site/Bilingual Services; (2) Face to face contact for Sex Abuse Specific Therapy with clients from $90 per hour to $100 per hour for In Office Services and from $100 per hour to $110 per hour for In Home/Off Site/Bilingual Services. Total compensation for each year shall not exceed $10,000. Total compensation for Original Agreement and this First Amendment shall not exceed $40,000.00 for the four years. There is no payment for travel. 2. Paragraph 3 of the Original Agreement shall be amended to extend the term to terminate at the end of the day on the 31st day of May, 2024. 3. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 5. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns.
