HomeMy WebLinkAboutC22-028 Hope Flores Childcare_Second AmendmentSECOND AMENDMENT EAGLE COUNTY, COLORADO AND HOPE FLORES CHILDCARE THIS SECOND AMENDMENT (“Second Amendment”) is effective as of the______________, by and between Hope Flores Childcare, a Sole Proprietor (hereinafter “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Contractor entered into an agreement with an effective date of June 1, 2021, for certain Services for compensation not to exceed $7,200 (the “Original Agreement" C21-197); and WHEREAS, County and Contractor entered into a First Amendment agreement with an effective date of December 21, 2021, for certain Services with an incorrect compensation not to exceed $7,200 (the “First Amendment " C21-460); and WHEREAS, County and Contractor desire to continue Services as reflected in Exhibit A-2, with the correct grant compensation rate for 2022, which is a rate not to exceed $4,000 rather than not to exceed $7,200 stated in the First Amendment but maintain the extended the term of the Agreement for this Second Amendment. SECOND AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Second Amendment shall be amended to include Services as described in Exhibit A-2, which is attached hereto and incorporated herein by reference. 2. The term of the Second Amendment is hereby extended to the 31st day of December, 2022. 3. The total compensation for 2022 shall not exceed $4,000. 4. Capitalized terms in this Second Amendment will have the same meaning as in the First Amendment. To the extent that the terms and provisions of the Second Amendment conflict with, modify or supplement portions of the First Amendment, the terms and provisions contained in this Second Amendment shall govern and control the rights and obligations of the parties. 5. Except as expressly altered, modified and changed in this Second Amendment, all terms and provisions of the First Amendment shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This Second Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. SCOPE OF SERVICES The purpose of this funding is to subsidize infant and toddler capacity and support the early childhood workforce and Eagle County’s licensed child care providers. Programs must be a licensed Family Child Care home or Child Care Center, based in Eagle County that serves infants, toddlers, and/or preschoolers and are eligible to go through a Colorado Shines rating. ● Must be licensed and have an active CCCAP agreement to be eligible for funds this fiscal year. ● Level 1 programs must achieve Level 2 within the first 4 months of the grant fiscal year. ● If a program is on probation, the provider will work with DHS on additional requirements it will need to fulfill in order to participate in this program. ● School aged programs and camps are not eligible. Early childhood educators must be registered with the Colorado Shines Professional development Information System. 2. COMPENSATION Contractor (provider), Colorado Shines Level 2, will be reimbursed as set forth in the Agreement in an amount not to exceed $4,000, because it provides care for 2 infants/toddlers and 6 preschoolers. Once DHS approves the provider grant application, 70% of the total funding will be released upon full execution of the County contract and initial data entry completed on the provider sheet. The remaining 30% of funds will be distributed in November 2022 after second reporting is confirmed. Providers will also be required to submit final data entry by January 31, 2023. Payments will be released as reporting requirements are met. Additional direction and support will be provided as reporting deadlines approach. 3. CONTRACTOR SHALL BE REQUIRED TO SUBMIT THE FOLLOWING REPORTS TO COUNTY: The provider must update its provider sheet 3 times during the fiscal year. A tutorial will be provided to help navigate the updated tracking tool. Expenditure reporting will be required by June 1, 2022, November 1, 2022, and January 31, 2023.
