Home My WebLink AboutC21-426 TW VendingDocuSign Envelope ID: 372D377B-5335-45FF-89C7-CEDBC22E2CC7 Eagle County, Colorado JAIL SERVICE AGREEMENT AMENDMENT THIS AMENDMENT ("Amendment") is attached to a made part of that certain Jail Service Agreement, made effective August 1, 2016 ("Agreement"), by and between Eagle County, in the state of Colorado ("Facility"), and T.W. Vending Inc., d/b/a TurnKey Corrections ("Provider"). WHEREAS, the Parties desires to amend the Agreement in order to extend the term and modify the commission percentage. NOW, THEREFORE, for the good and valuable consideration detailed below, the parties agree that the Agreement is modified as follows: 1. Extension of Term. The Parties hereto agree that the term of the Agreement shall be extended for an additional period of four (4) years ("Extended Term"), which Extended Term shall continue through November 30, 2025. Upon the expiration of the Extended Term, the Agreement may be renewed by written amendment terms unless otherwise canceled or terminated pursuant to the terms of the Agreement. (b) During the Extended Term and any renewal thereof, Facility grants Provider the right to be the sole and exclusive provider of all of the services which Provider is selected to provide by Facility. 2. Commission Change. Unless a different rate is expressly stated for specific sales or services, the Facility will earn a commission rate of 35% on all commissary sales and a communication commission rate of 28% of all Email/SMS/Picture Mail sales to inmates (net of sales tax). The commission shall begin to accrue in first month following execution of this Amendment. 3. No Other Changes. Unless specifically modified herein, all of the terms and conditions of the Agreement remain in full force and effect.
