FIRST AMENDMENT TO
SUBDIVISION AND OFF -SITE IMPROVEMENTS AGREEMENT
FOR THE EDWARDS RIVERFRONT ESTATES FINAL PLAT

THIS FIRST AMENDMENT to the Subdivision and Off -Site Improvements Agreement for the
Edwards Riverfront Estates Final Plat (hereinafter "Agreement") is entered into
11/9/2021 by and between the Board of County Commissioners of the County of
Eagle, State of Colorado (hereinafter "County") and Kudel Development LLC, a Colorado
limited liability company, whose mailing address is PO Box 516, Avon, CO 81620 (hereinafter
"Subdivider").
WITNESSETH
WHEREAS, Subdivider and County entered into the Agreement on May 18, 2021; and
WHEREAS, Section 1.7 of the Agreement, entitled "Estimated Costs of Subdivision
Improvements", provides that "The estimated cost of the Subdivision Improvements is the sum
of $90,780.00, as set forth on Exhibit A."; and
WHEREAS, Section 2.1 of the Agreement, entitled "Subdivision Improvements
Collateral", provides that "The security and collateral for the Subdivision Improvements required
in Section 1.7 herein, as security for the performance by Subdivider of its obligations under this
Agreement, shall be in the total amount of $90,780.00; and
WHEREAS, Subdivider has requested and the Eagle County Engineering Department
recommends a revision of the Estimated Costs of Subdivision Improvements and Subdivision
Improvements Collateral as currently set forth in the Agreement; and
WHEREAS, Section 4.5 of the Agreement provides that the Agreement may be amended
or modified from time to time, provided that such amendment or modification be in writing and
signed by all parties hereto; and
WHEREAS, the Subdivider and County desire to amend the Agreement to reflect a
revised Estimated Costs of Subdivision Improvements and Subdivision Improvements Collateral
of $136,793.46.

AGREEMENT
1. Section 1.7 of the Agreement is hereby amended to read as follows:
1.7 Estimated Costs of Subdivision Improvements. The estimated cost of the
Subdivision Improvements is the sum of $136,793.46, as set forth on the revised Exhibit
A dated October 4, 2021.
2. Section 2.1 of the Agreement is hereby amended to read as follows:
2.1 Subdivision Improvements Collateral. The security and collateral for the
Subdivision Improvements required in Section 1.7 herein, as security for the performance
by Subdivider of its obligations under this Agreement, shall be in the total amount of
$136,793.46
3. All other terms and conditions of the Subdivision and Off -Site Improvements
Agreement for the Edwards Riverfront Estates Final Plat shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment the
day and year first written above.
