HomeMy WebLinkAboutC21-301 BHE Eaton Ranch EC EasementDocuSign Envelope ID: B71CA66B-B336-4C45-9DDB-57C95393390F SECOND AMENDMENT TO EASEMENT THIS SECOND AMENDMENT TO EASEMENT (this "Amendment") is made as of April 15, 2021, by and among COUNTY OF EAGLE, STATE OF COLORADO, a governmental entity and political subdivision of the State of Colorado (hereinafter referred to as the "County"), as successor to Bruce C. Eaton and Winifred W. Grimshaw; and ROCKY MOUNTAIN NATURAL GAS LLC, d/b/a BLACK HILLS ENERGY, a Colorado limited liability company, and PUBLIC SERVICE COMPANY OF COLORADO, a Colorado corporation (collectively, "Grantees"). The County and Grantees shall collectively be referred to as (the "Parties"). Recitals This Amendment is made with respect to the following facts: A. On July 4, 1996, the District Court in Eagle County, Colorado entered into a Rule and Order in connection with Case No. 95 CV 159 (the "Rule and Order") pursuant to which the Court awarded Grantees a permanent, non-exclusive easement (the "Easement"), from 25.00 feet to 35.00 feet in width, over and across certain real property owned by Bruce C. Eaton and Winifred W. Grimshaw, predecessors in interest to the County, which real property is more particularly described and depicted on Exhibit "A" to the said Rule and Order. A copy of the said Rule and Order is attached hereto as Exhibit A and incorporated herein by this reference; B. The said Rule and Order was recorded in the Eagle County Clerk and Recorder's office on July 17, 1996, in Book 699 at Page 986; C. As set forth in the said Rule and Order, the purposes of the Easement are to lay, construct, maintain, operate, repair, inspect, alter, replace, remove and/or change the size of one or more pipelines with valves, meters, fittings, supplies and related facilities for the transportation of natural gas over, through, under and across said Easement; D. The County is the successor in interest to Bruce C. Eaton and Winifred W. Grimshaw, and their successors and assigns, by virtue of that certain Special Warranty Deed from Bruce C. Eaton and Grimshaw-Eaton, LLC, a Colorado limited liability company and Michael Eaton and Shelly Dahl to the County dated September 13, 2005 and recorded in the Eagle County Clerk and Recorder's office on September 20, 2005, at Reception Number 929977. E. It has been brought to the attention of the Parties that the location of the gas pipeline constructed by the Grantees which was intended to be located entirely with the Easement is actually located partially outside the Easement; and C21-301 DocuSign Envelope ID: B71CA66B-B336-4C45-9DDB-57C95393390F F. The Parties desire to amend the Easement to, among other things, correct an error in the legal description of the Easement so that the gas pipeline is entirely within the Easement, as amended, on the terms and conditions as set forth herein. Agreement NOW THEREFORE, for good and valuable consideration, the receipt, adequacy and sufficiency of which is hereby acknowledge, the Parties hereto agree as follows: 1. Correction of Easement Description. The Parties agree that a portion of the Easement is hereby amended to include the real property legally described and depicted on Exhibit B, attached hereto and incorporated herein by this reference (the "Additional Property"), to a portion of the property legally described on Exhibit "A" to the said Rule and Order. 2. Exclusion of Property. The Parties agree that a portion of the Easement is hereby amended to exclude the real property legally described and depicted on Exhibit C, attached hereto and incorporated herein by this reference (the "Excluded Property"), from a portion of the property legally described on Exhibit "A" to the said Rule and Order. Full Force and Effect. Except as modified herein, the Easement shall remain in full force and effect. The County and the Grantees hereby reaffirm all of the terms and conditions of the Easement contained in the said Rule and Order. The Petitioners are public utilities incorporated under the laws of the State of Colorado, authorized (among other things) to construct, operate, and maintain pipelines and re- lated facilities for the transmission, distribution, and sale of natural gas to the public. The Peti- tioners are authorized under Sections 38-1-101, et seq., 38-2-101, et seq., and 38-5-101, et seq., C.RS., to acquire by eminent domain easements for pipelines and related facilities. 2. On the 31st day of May, 1995, the Petitioners filed a Petition in Eminent Domain to acquire easements for the purposes stated above. 3. Based upon an on -site examination, the parties subsequently amended the descrip- tion of the proposed easement as hereinafter set forth. 4. Bruce C. Eaton and Winifred W. Grimshaw are the owners of the land across which the proposed easement is to run. 5. The Court has jurisdiction over the subject matter and of the parties. 6. Pursuant to a stipulation dated August 10, 1995, the Court entered an Order For Immediate Possession; and pursuant thereto, the Petitioners deposited the sum of $45,000 into the registry of the court. The sum of $45,000 has been withdrawn by the Respondents. 7. Pursuant to the agreement of the parties reached at the settlement conference held on the I Ith day of October, 1995, the Petitioners deposited the additional sum of $12,000 into the registry of the court, which has been distributed to the Respondents. 1` AF: RUCEAARD 06/05/96 C21-301 DocuSign Envelope ID: B71CA66B-B336-4C45-9DDB-57C95393390F 8. Respondents Eaton and Grimshaw agree that the amounts deposited by Petitioners and withdrawn by them is the full compensation to be paid by the Petitioners to the Respondents for the easement taken in this action, and for any and all damages and costs related to said action. 9. The parties agree that the easement decreed herein, which is described on Exhibit "A" attached hereto and incorporated herein by this reference, shall be subject to the fol- lowing conditions and restrictions: a. The 50-foot wide easement on the easterly one-half of the property shall remain during the construction period, and shall be reduced to a 35-foot width thereafter. b. The Petitioners shall utilize the gas line easement - and the temporary con- struction easement agreed to in the Stipulation filed August 10, 1995 - for the prosecution of all work, storage of all equipment and materials, and parking. C. Upon the completion of the installation of the natural gas line within the easement, the Petitioners shall restore the property to its condition prior to the installation. Restoration shall include revegetation of disturbed areas, and repair of fencing and irriga- tion ditches which may have been damaged by the construction of the line. IT IS THEREFORE ORDERED AND DECREED AS FOLLOWS: 1. That the Petitioners be and are hereby awarded a permanent, non-exclusive ease- ment, from 25.00 feet to 35.00 feet in width, over and across a portion of Parcel 1 of Section 5, Township 5 South, Range 82 West of the Sixth Principal Meridian, County of Eagle, State of Colorado, being more particularly described in the attached Exhibit "A," which is incorporated herein by this reference. The purposes of the easement are to lay, construct, maintain, operate, repair, inspect, alter, replace, remove and/or change the size of one or more pipelines with valves, meters, fittings, supplies and related facilities for the transportation of natural gas over, through, under and across said easement. 2. That the Respondents shall retain all other incidents of ownership and shall con- tinue to retain the right to use and enjoy the land within said easement except as may be inconsis- tent with the rights and privileges necessary to the Petitioners for the purposes set forth above. 3. That the existence of the easement shall not prohibit the construction of roads or access ways for ingress and egress to the Respondents' property or the laying and installation of other utilities which /may be necessary to serve the property.
