AgreementDocuSignEnvelopeID:5EA7D819-DO2C-4CBC-BAB1-5418B75DB08AEagleCounty,CO202112198ReginaO’Brien05/24/2021Pgs:1810:27:32AMREC:$0.00DCC:$0.00SUBDIVISIONANDOFF-SITEIMPROVEMENTSAGREEMENTFORTHEEDWARDSRIVERFRONTESTATESFINALPLATFileNo.PDF-9117THISSUBDIVISIONANDOFF-SITEIMPROVEMENTSAGREEMENT(“Agreement”)madeandenteredintothis5/18/2021,byandbetweenKudelDevelopmentLLC(hereinafter“Subdivider”)andtheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado(hereinafter“County”).WITNESSETHWHEREAS,theSubdivider,asaconditionofapprovaloftheFinalPlatoftheEdwardsRiverfrontEstates,formerlyknownastheKudelPUD(hereinafterreferredtoas“Subdivision”),desiresanAgreementasprovidedforbytheLandUseRegulationsofEagleCounty,Colorado,1999,asamended(“hereinafterreferredtoas“LandUseRegulations”)ChapterII,Section5-280.B.5.e.andC.R.S.§30-28-137;andWHEREAS,pursuanttothesameauthority,theSubdividerisobligatedtoprovidesecurityorcollateralsufficientinthejudgmentoftheCountytomakereasonableprovisionsforcompletionofcertainpublicimprovements,includingbutnotlimitedtooff-siteimprovements,asreferencedintheattachedExhibitA(hereinafterthe“SubdivisionImprovements”);andcertainlandscapeimprovementsasreferencedintheattachedExhibitB(hereinafterthe“LandscapeImprovements”);andWHEREAS,pursuanttoChapterII,Section4-620oftheLandUseRegulations,whenaproposedsubdivisionislocatedinanareaservicedbyanexistingCountyroadandtheCountydeterminesthatthetrafficgeneratedbysuchdevelopmentwillresultinsafetyhazardsforvehicledrivers,pedestriansand/oradjacentresidents,theCountyisempoweredtodeterminetheamountofworknecessarytobringtheaffectedCountyroadtoacceptablestandardstoprovideadequatesafeservicetopresentowners,totheproposedsubdivisionandtootherprobablesubdivisions,andtorequiretheSubdividertoimproveitsequitableportionofsuchroadtoanacceptablysafecondition;andWHEREAS,asafurtherconditionofapprovalofthefinalplatofthisSubdivision,theSubdividerisobligatedtoprovidesecurityandcollateralsufficientinthejudgmentoftheCountytomakereasonableprovisionforcompletionoftheSubdivisionImprovements,includingbutnotlimitedtotheoff-siteimprovements,referredtoherein;andWHEREAS,pursuanttoChapter11,Section4-620.9oftheLandUseRegulationsandC.R.S.43-2-147,theSubdividershallprovideaccessforalllotsandparcelsitcreatestothestatehighwaysysteminconformancewiththeStateHighwayAccessCode.NOW,THEREFORE,inconsiderationofthepremisesandthecovenantsandagreementshereincontainedtobekeptandperformedbythepartieshereto,itisherebyunderstoodandagreedasfollows:C21-153 DocuSignEnvelopeID:5EA7D819-DO2C-4CBC-BAB1-541BB75DBO8A1.SUBDIVISIONIMPROVEMENTS.1.1SubdivisionImprovements.SubdivisionImprovementsaredeemedtoincludeat!publicimprovements,includingbutnotlimitedtooff-siteimprovementsassetforthinalldocuments,constructiondrawingsfortheEdwardsRiverfrontEstatesPUDsignedandstampedonMarch1,2021,designs,maps,specifications,sketches,costestimatesandothermaterialssubmittedbytheSubdividerpriortooratfinalplatapprovalandacceptedbytheCounty.Suchsubdivisionimprovementsshallincluderoads,utilitiesandothersimilarpublicimprovementsassetforthinExhibitA.1.2ScopeofWork.TheSubdividerherebyagrees,atitssolecostandexpense,tofurnishallnecessaryequipmentandmaterials,andtocompleteallSubdivisionImprovementsasreferencedintheattachedExhibitA.andLandscapeImprovementsasreferencedintheattachedExhibitB,andassetforthinalldocuments,constructiondrawings,designs,maps,specifications,sketches,andothermaterialssubmittedbytheSubdividerpriortooratfinalplatapprovalandacceptedbytheCounty,andinaccordancewithalllawsoftheUnitedStatesofAmerica,StateofColorado,CountyofEagle,andtheirrespectiveagenciesandaffectedgovernmentalentities.Suchperformanceshallincludeacquisitionofat!necessaryrights-of-wayandeasements.1.3DutiesofSubdivider.ForthoseSubdivisionImprovementsrequiredherein,includingbutnotlimitedtothereconstructionandphysicalimprovementofthatportionofanyroadsubjecttothisAgreement,theSubdividershallretainanengineerwhosedutiesshallincludeconstructionstaking,observationofconstructionforconformancetotheapprovedplansandspecifications,andmaterialssampling,testingandinspectionusingtheColoradoDepartmentofHighways2020fieldMaterialsManualasaguideforfrequencyofsamplingandtesting.1.3.1ConstructionStaking.Whereapplicableandbywayofexampleonly,thefollowingisahighlightingoftheconstructionstakingthatwillberequiredoftheSubdivider:a.Roadway-horizontalandverticalcontrolevery50feetorevery25feetincriticalareas,specificallyincluding:-stopestaking-pointsofcurvature-pointsoftangency-filletradiuspoints-culverts-transitionpointsforsuper-elevation-finishedsub-grade-finishedgravelb.Water,Sewer,andOtherUtilities-horizontalandverticalcontrolevery100feet,orevery50feetincriticalareas.1.3.2Testing.Whereapplicableandbywayofexampleonly,thefollowingisahighlightingoftheacceptancetestingthatwillberequiredoftheSubdivider:2 DocuSignEnvelopeID:5EA7D819-DO2C-4CBC-BAB1-541BB75DBO8Aa.Utilityanddrainageculverttrenchbackfillunderroadwayprisms-onedensitytestper200C.Y.ofbackfilloraminimumofonetestperroadwaycrossing.Thiswillrequiredailyvisitstothesitebyatestinglaboratorywhenutilitiesordrainageculvertsarebeingbackfilledwithintheroadwayprism.b.Embankmentsforroadways-onedensitytestper2,000C.Y.ofanyadditionalembankment(s);andonedensitytestper500C.Y.whenwithin100feetofbridgeapproaches.”c.Finishedsub-grade-onedensitytestper250linealfeetofroadway.d.Aggregatebasecourse-onein-placedensityper250linealfeetofroadway,andgradationandAtterbergLimitstestper2000tonsofaggregatebasecourse.e.HotBituminousPavement-twoasphaltcontent,gradationandin-placedensitytestsperday’sproduction.fConcrete-CurbandGutter.SidewalksandBikepaths-testsforaircontent,slumpandcompressivestrengthper50C.Y.ofconcreteplacedorminimumofonesetoftestsperday.1.3.3Notification/RoadConstruction.SubdividerorhisEngineershallnotifytheEagleCountyEngineerforthepurposeofarranginganon-siteinspectionnolessthanforty-eight(48)hoursinadvanceofthefollowingstagesofroadconstruction:1)Finishedsubgrade2)FinishedAggregateBaseCourse3)AsphaltPlacement.4)Concrete-CurbandGutter,SidewalksandBikepathsTheCountyEngineershallmakeanon-sitevisitwithintheforty-eight(48)hoursnotificationperiodforthepurposeofobservingproofrollsonitems1)and2)aboveandforgeneralobservationofconstructionmethodsbeingemployedatthesestages.Saidon-siteinspectionbytheEagleCountyEngineershallinnowayabrogatethedutiesoftheSubdivideroutlinedelsewhereinthisAgreement.TheSubdividershallprovidetheproofrollingbyarrangingforaloadedsingleunittruckcarrying18,000poundsperrearaxle.1.3.4WitnessingofWaterandSewerLaterals.ItisessentialthattheendsoftheselateralsbewitnessedbytheSubdivider’sengineertoaminimumofthreedivergentpointsandapermanentrecordmadeofthesame.CopiesoftheserecordsarerequiredtobefurnishedtotheEagleCountyEngineerpriortoacceptanceoftheSubdivisionImprovementsbytheCounty.Inadditiontowitnessingofthehorizontallocationoftheselaterals,averticalwitnessshallberequired.Horizontalwitnessingshallbetopropertycorners,firehydrants,manholes,andother“permanent”features.Verticalwitnessingshallbebasedondepthbelowgroundand3 DocuSignEnvelopeID:5EA7D819-DO2C-4CBC-BAB1-541BB75DBO8Aelevationbasedonadatumusedforthesubdivision.Benchmarksshallbeshownonwitnessrecords.1.3.5TestReports.Alltestreportsshallbeconsecutivelynumbered,withcopiesfurnisheddirectlytotheEagleCountyEngineerfromthelaboratoryastheyarereportedtotheSubdivideroritsengineer.1.3.6As-BuiltRecordDrawingsofSubdivisionImprovements.As-Built,recorddrawings,sealed,signedanddatedbyaRegisteredProfessionalEngineershowingtheas-constructedhorizontalandverticallocationsofSubdivisionImprovementsshallbesubmittedtotheEagleCountyEngineerpriortocompletionofthetwoyearwarrantyperiodandthefinalreleaseofCollateralbytheCounty.Thisshallincludeas-builtdrawingsinanelectronicformacceptabletotheCountyEngineer.1.3.7AffidavitofMonumentation.AnAffidavitofMonumentationsealed,signedanddatedbyaRegisteredProfessionalLandSurveyorstatingthatthesubdivisionhasbeenmonumentedinaccordancewith§38-51-105,C.R.S.,andChapterII,Section5-280.5.a(1)(a)oftheLandUseRegulationsshallbeprovidedtotheEagleCountyEngineerpriortotheacceptanceoftheSubdivisionImprovementsbytheCounty.1.4CompliancewithColoradoDepartmentofHighwaysAccessCode.SubdividershallprovidetheCountywithdesignsincompliancewiththeColoradoDepartmentofHighwaysAccessCodeforallroadimprovements.1.5DateofCompletion.AllSubdivisionImprovementsshallbecompletedpriortoSeptember30,2022.TheconstructionscheduleisattachedheretoasExhibitC.1.6ApprovalandAcceptanceofWork.1.6.1Copiesofalltestresultscorrespondingtoworkwhichisbeinginspectedandanyotherinformationwhichmaybenecessarytoestablishthesatisfactorycompletionoftheworkforwhichinspectionisrequestedmustbesubmittedpriortosaidinspection.AllsuchinformationshallbeaccompaniedbyaletterfromtheSubdivider’sengineerverifyingthesatisfactorycompletionoftheworkperformedtodate.1.6.2NotwithstandingSection1.3.3above,promptlyafterreceivingarequestforinspectionandtherequireddocumentation,theCountyEngineershallreviewtheinformationpresentedand,ifnecessary,makeanon-siteinspectionoftheworkcompleted.1.6.3AllsaidworkshallbedonetothereasonablesatisfactionoftheCountyEngineerand/ortheCountyDepartmentofCommunityDevelopment,andshallnotbedeemedcompleteuntilapprovedandacceptedascompletebytheCounty.t.7EstimatedCostsofSubdivisionImprovements.TheestimatedcostoftheSubdivisionImprovementsisthesumof$90,780.00,assetforthonExhibitA.TosecureandguaranteeperformanceofitsobligationsassetforthinthisSection1,includingthecompletion4 DocuSignEnvelopeID:5EA7DS19-DO2C-4CBC-BAB1-541BB75DBO8AoftherequiredSubdivisionImprovements,theSubdividerherebyagreestoprovidesecurityandcollateralintheformandassetforthinSection2,below.1.8TrafficControlPlan.SubdivideragreestosubmitatrafficcontrolplantobeapprovedbytheEagleCountyEngineeringDepartmentpriortoanyworkcommencing.1.9CommonParkandRecreationAreas.SubdivideragreestosubmitaCommonOpenSpace,ParkandRecreationAreaPlantobeapprovedbytheCountyDepartmentofCommunityDevelopmentpriortoapprovaloffinalplat.1.10LandscapePlan.SubdividerhassubmittedalandscapeplantotheCountyDepartmentofCommunityDevelopmentwhichcomplieswiththeLandUseRegulations,Section4-240,InstallationandMaintenanceRequirements(the‘LandscapePlan”),andtheSubdivideragreestoabidebytheLandscapePlan.Theestimatedcostofthelandscapingandirrigationsystems,ifany(collectivelythe“LandscapeImprovements”)isthesumof$48,349.65,assetforthonExhibitB.TosecureandguaranteeperformanceofitsobligationstoinstalltheLandscapeImprovementsassetforthinthisSection1.10,includingthecompletionoftherequiredLandscapePlan,theSubdividerherebyagreestoprovidesecurityandcollateralintheformandassetforthinSection2,below.1.11MaintenanceofSubdivisionandLandscapeImprovements.TheSubdividerand/orfuturehomeownersassociationshallberesponsibleforthemaintenance,repairandreplacementoftheSubdivisionImprovementsandtheLandscapeImprovements.2.SECURITYandCOLLATERAL.2.1SubdivisionImprovementsCollateral.InordertoensureinstallationofnecessarySubdivisionImprovements,includingallpublicimprovementsplannedtoaccommodatethedevelopment,theSubdividershallprovidenolessthanonehundredpercent(100%)ofthecurrentestimatedcostofsuchSubdivisionImprovements,asestimatedbytheCountyEngineer.ThesecurityandcollateralfortheSubdivisionImprovementsrequiredinSection1.7herein,assecurityfortheperformancebySubdividerofitsobligationsunderthisAgreement,shallbeinthetotalamountof$90,780.00(the“SubdivisionImprovementsCollateral”).UponexecutionofthisAgreement,theSubdividerwillprovidetheCountytheSubdivisionImprovementsCollateralintheformofanirrevocableLetterofCredit,inaformacceptabletotheCountyAttorney.2.2PartialReleaseofSubdivisionImprovementsCollateral.SubdividermayapplytotheCountyforthereleaseofportionsoftheSubdivisionImprovementsCollateralbaseduponworkcompletedinaccordancewiththisAgreement.Tomakesuchreleases,SubdividershallrequesttheCountyEngineertoinspecttheworkinordertoverifysatisfactorycompletioninaccordancewithplansandspecificationsinaccordancewithSection1.6.2.3FinalReleaseofSubdivisionImprovementsCollateral/Warranty.Withinthirty(30)daysafterSubdividerhascompletedaltoftheworkrequiredbythisAgreementandtheworkhasbeenapprovedandacceptedbytheCounty,theentireremainingamountoftheSubdivisionImprovementsCollateral,lessanamountequaltotenpercent(10%)oftheoriginalSubdivisionImprovementsCollateral,shallbereleased.Subdividershallberesponsiblefortheconditionof5 DocuSignEnvelopeID:5EA7D819-DO2C-4CBC-BAB1-541BB75DBO8AtheSubdivisionImprovementsforaperiodoftwoyearsaftercompletion;thisshallbeguaranteedeitherthroughtheretentionof10%ofthetotalSubdivisionImprovementsCollateral,assetforthabove,orSubdividermayprovideasubstituteformofSubdivisionImprovementsCollateralassetforthinSection2.4below.2.4SubstitutionofSubdivisionImprovementsCollateral.TheSubdividermayatanytimesubstitutetheSubdivisionImprovementsCollateraloriginallydepositedwiththeCountyherein,foranotherformofcollateralacceptabletotheCountyAttorney,toguaranteethefaithfulcompletionoftheSubdivisionImprovementsreferredtohereinandtheperformanceofthetermsofthisAgreement.Atthetimeofsubstitutionofcollateral,aninflationaryand/ordeflationaryfactorbasedupontheDenver-Boulder,ColoradoConsumerPriceIndexforAllUrbanConsumers,AllItems(1967=100)publishedbytheU.S.BureauofLaborStatistics,303-837-2467,or,alternatively,anapprovedconstructioncostindex,shallbeusedtodetermineanadjustedestimatedcostforallSubdivisionImprovementsasdescribedherein,andcollateralshallbesubmittedbytheSubdividerinaccordancetherewith.2.5Draws.DrawsagainsttheSubdivisionImprovementsCollateralshallonLybemadeasdirectedbywrittenResolutionoftheCounty,statingthattherehasbeenaneventofdefaultunderthisAgreementandthatasumcertainisrequiredtoremedythedefault.AnyamountdrawnontheSubdivisionImprovementsCollateralmustbeappliedforthepurposeofcompletingtheworkrequiredbythisAgreementandrelatedexpensesandcosts.2.6EventsofDefault.Thefollowingeventsshallbedeemed“EventsofDefault,”entitlingtheCountytodrawontheSubdivisionImprovementsCollateral:2.6.1IfSubdividerhasnotcompletedtheworkrequiredbythisAgreementwithinthirty(30)dayspriortotheDateofCompletionsetforthherein,theCountymay,afterten(10)workingdayswrittennoticetoSubdivider,drawupontheSubdivisionImprovementsCollateralanamountsufficienttocompletesaidworkandcompensatetheCountyforitsreasonablecostsandexpensesrelatedtosaiddraw.2.6.2IftheoriginalSubdivisionImprovementsCollateralpresentedtotheCounty(oranyextensionthereof)isduetoexpireandtheworkisnotyetcompleted,andSubdividerhasnotprovidedsubstitutecollateralorthebank’swrittenextensiontotheoriginalcollateral(asitmayhavebeenpreviouslyextended),theCountyshalldrawontheSubdivisionImprovementsCollateralaccordingtotheprovisionssetforthinthisSection2.ItisSubdivider’sresponsibility,withorwithoutnotice,toensurethattheSubdivisionImprovementsCollateralisextended,orthatsubstitutecollateralisprovidedinaformacceptabletotheCounty,atleasttendayspriortoitsexpiration.IfSubdivisionImprovementsCollateralisneitherextendednorsubstitutecollateralprovided,inaformacceptabletotheCountyAttorney,atleasttendayspriortoitsexpiration,thedevelopershallpaytheCountyanadditional$500(Fivehundreddollars)fortheadditionaladministrativeworkrequiredbecauseofthefailuretoextendorsubstitutetheSubdivisionImprovementsCollateralinatimelymannerasrequiredbythisAgreement.2.6.3IftheSubdivisionImprovementsCollateralissubstituted,asotherwiseprovidedherein,thisAgreementmaybeamendedormodifiedinordertosetforthspecific6 DocuSignEnvelopeID:5EA7D819-DO2C-4CBC-BAB1-541BB75DBO8AEventsofDefaultdeemednecessary,intheCounty’ssolediscretion,commensuratewiththetypeofcollateralsubstituted.2.7CostsandExpenses.Subdivideragreestopayanycostsandexpenses,includingbutnotlimitedtolegalfees,whichtheCountymayincurindeterminingtoacceptcollateral,indrawingupontheSubdivisionImprovementsCollateral,orinaccomplishinganextensionofitsexpiration.2.8LandscapePlanCollateral.2.8.1PriortotheissuanceofanydevelopmentpermitfortheSubdivision,SubdivideragreestoprovidetheCountywithcollateralintheformofanirrevocableletterofcreditacceptabletotheCountyAttorneytoensuretheLandscapeImprovementswillbeinstalledaccordingtotheapprovedLandscapePlan(the“LandscapePlanCollateral”).Subdivideragreestoprovidecollateralfornolessthanonehundredandtwenty-fivepercent(125%)oftheestimatedcostoftheLandscapeImprovementslistedintheapprovedLandscapePlan,basedonthecostestimateprovidedbytheSubdividerandapprovedbytheCounty,assetforthinExhibitBandSection1.10above.TheLandscapePlanCollateralshallbeintheamountof$66,480.00.2.8.2AsportionsoftheLandscapeImprovementsarecompleted,theCommunityDevelopmentDirectorshallinspectthem,anduponapprovalandacceptance,shallauthorizethereleaseoftheLandscapePlanCollateralforthatportionoftheimprovements,exceptthattenpercent(10%)shallbewithhelduntilallproposedLandscapeImprovementsarecompletedandapproved,andanadditionaltwenty-fivepercent(25%)shallberetaineduntiltheLandscapeImprovementshavebeenmaintainedinasatisfactoryconditionfortwo(2)years.2.8.3FollowinginstallationoftherequiredLandscapeImprovements,theSubdividershaltcertifythelandscapinghasbeeninstalledinconformancewiththeapprovedLandscapePlan.Tenpercent(10%)oftheLandscapePlanCollateralshallbereleasedwithinten(10)workingdaysfollowingreceiptofthecertificationandinspectionbytheCounty.Twenty-fivepercent(25%)oftheLandscapePlanCollateralshallbereleasedwithinten(10)workingdaysfollowingreceiptofcertificationandinspectionbytheCountythattheLandscapeImprovementshavebeenmaintainedinasatisfactoryconditionfortwo(2)years.2.8.4IntheeventtheLandscapeImprovementscontainedinthecostestimateapprovedbytheCountyarenotinstalledorareinstalledinamannerthatdoesnotconformwiththeapprovedLandscapePlan,theCountymaydrawontheLandscapePlanCollateralinthesamemannerasprovidedforinSection2.5and2.6abovetobringtheLandscapeImprovementsintoconformancewiththeapprovedLandscapePlan.7 DocuSignEnvelopeID:5EA7D819-DO2C-4CBC-BAB1-541BB75DBO8A3.NSURANCEandll’JDEMNIfICATION.3.1Indemnification.SubdividershallindemnifyandholdtheCountyharmlessfromanyandallclaimsmadeagainsttheCountybyanycontractor,subcontractor,materialmen,employee,independentcontractor,agentorrepresentativeinvolvedintheworknecessarytocomplywiththisAgreement,oronaccountofanyotherclaimsagainsttheCountybecauseoftheactivitiesconductedbyoronbehalfoftheSubdividerinfurtheranceofthetermsofthisAgreement.ThisindemnificationandholdharmlessprovisionshallincludeanylegalexpensesorcostsincurredbytheCounty.3.2CertificatesofInsurance.TheSubdividershallsecurefromanycontractororsubcontractorengagedintheworknecessarytocomplywiththisAgreementaCertificateofInsuranceprovidingforliabilityprotectionintheminimumamountof$350,000perindividualand$999,000peroccurrence,namingtheCountyasanadditionallynamedinsured.TheSubdivider,ifitservesasthecontractorfortheSubdivisionImprovements,shallprovideinsuranceinthesameformandamountsasrequiredofthegeneralcontractor.SaidlimitsshallbeadjustedtocomplywithanychangedlimitsintheColoradoGovernmentalImmunityAct,Title24,Article10,ColoradoRevisedStatutes.3.3CountyIncursNoLiability.TheCountyshallnot,norshallanyofficeroremployeethereofbeliableorresponsibleforanyaccident,lossordamagehappeningoroccurringtotheSubdivisionand/orSubdivisionImprovementsortheLandscapeImprovementsspecifiedinthisAgreementpriortothecompletionandacceptanceofthesame;norshalltheCounty,noranyofficeroremployeethereofbeliableforanypersonsorpropertyinjuredordamagedbyreasonsofthenatureofsaidworkontheSubdivisionImprovementsortheLandscapeImprovements,butallofsaidliabilitiesshallbeandareherebyassumedbytheSubdivider.TheSubdividerherebyagreestoindemnifyandholdharmlesstheCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichtheCountyoranyofitsofficers,agents,oremployeesmaybecomesubjectto,insofarasanysuchlosses,claims,damagesorliabilities(oractionsinrespectthereof)ariseoutoforarebaseduponanyperformancebytheSubdividerhereunder;andtheSubdividershallreimbursetheCountyforanyandalllegalandotherexpensesincurredbytheCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ThisindemnityprovisionshallbeinadditiontoanyotherliabilitywhichtheSubdividermayhave.NothinginthisAgreementshallconstituteawaiverbytheCountyofitsgovernmentalimmunityunderStateorFederalcommonlaworstatute.4.GENERALPROVISIONS.ThefollowingshallapplytoallSubdivisionImprovements,includingoff-siteimprovements,andallLandscapeImprovementssetforthinthisAgreement:4.1CompliancewithLandUseRegulations.TheSubdividershallberequiredtoobtainallnecessarypermitsandcomplywiththeprovisionsoftheLandUseRegulations,aswellastheRegulationsforConstructionwithinthePublicWaysofEagleCounty,asthesameareineffect$ DocuSignEnvelopeID:5EA7D819-DO2C-4CBC-BAB1-541BB75DBO8AatthetimeofcommencementofconstructionoftheSubdivisionImprovementsreferredtoherein.4.2SubdivisionImprovementAgreementControls.IntheeventofanyinconsistencyorincongruitybetweentheprovisionsofthisAgreementandtheLandUseRegulations,theprovisionsofthisAgreementshallinallrespectsgovernandcontrol.4.3WarrantiesandGuarantees.Thereshallbeatwo-yearcorrectionperiod,orsuchlongerperiodasmaybeprescribedbylaw,fromthetimeofcompletionoftheSubdivisionImprovementsduringwhichtimetheSubdividershallpromptlycorrectorremoveandreplace,inaccordancewiththeCounty’swritteninstructions,defectiveworkormaterialsandconsequencesthereof.Repairorreplacementmadeunderthetwo-yearcorrectionperiodshallbearanadditionalone-yearcorrectionperiodfromtheacceptanceoftherepairorthereplacementbytheEagleCountyEngineer.TheworkshallbecollateralizedduringthecorrectionperiodinanamountandtypeofcollateralasshallbereasonablydeterminedbytheCounty.Theworkshallbeinspected,attherequestoftheSubdivider,nolessthansixty(60)dayspriortoexpirationoftheone-yearadditionalcorrectionperiod,andanydeficienciesshallbenotedtotheSubdivider.4.4ApprovalofFinalPlat.TheCountyagreestotheapprovalofthefinalplatofthisSubdivision,subjecttothetermsandconditionsofthisAgreement.4.4.1FinalPlatAmendments.Wherefieldchangesorothercircumstanceshavecausedtheroad,utilities,orothersubdivisionimprovementstobeconstructedinlocationsdifferentfromthoseshownontheapprovedplans,thelocationsofrights-of-way,easements.lotlines,buildingenvelopes,setbacklines,orotherattributesshownonthefinalPlatshallbeamendedasnecessarytocomplywithfinalPlatrequirementsoftheLandUseRegulations4.5AmendmentandModification.ThepartiesheretomutuallyagreethatthisAgreementmaybeamendedormodifiedfromtimetotime,providedthatsuchamendmentormodificationbeinwritingandsignedbyallpartieshereto.4.6Assignability.ThisAgreementshallbeenforceableagainsttheSubdivider,provided,however,thatintheeventtheSubdividersells,transfersorassignsallorpartofthesubjectSubdivision,theobligationsoftheSubdividerunderthisAgreementastothatportionofthesubjectSubdivisionmaybeassumedinwritingbythepurchaseroftheparcel,andtheSubdividershallhavenofurtherobligationshereunder.Itisagreed,however,thatnosuchassumptionoftheseobligationsshallbeeffectiveunlesstheCountygivesitspjçwrittenapprovaltosuchassumptionfollowinganinvestigationofthefinancialconditionofthepurchaser.TheSubdividershallnototherwiseassign,transfer,convey,pledgeorotherwisedisposeofthisAgreementwithoutpriorwrittenconsentoftheCounty,whichconsentshallnotbeunreasonablywithheld.4.7BindinguponSuccessors.ThisAgreementshallinuretothebenefitofandbebindinguponthepartieshereto,theirrespectivesuccessors,andassigns.4.8SoleResponsibilityofSubdividerPriortoCountyAcceptance.Itisfurtheragreedandunderstoodthatatalltimespriortothecompletionandacceptanceoftheoff-site9
