Box850Eagle,Colorado81631Re:EagleCountySpecialCounselEngagementDearMr.Treu:ThankyouforselectingFairfieldandWoods,P.C.toprovidespecialcounsel servicestoEagleCounty(“CouNTY”),specificallyin theareaofassistingtheCountyasitredraftsandreformsitslanduseregulations.Thisletterand theattachedPoliciesandProceduresAddendumareintendedtosetforthouragreement forprovidingsaid legalservicestotheCounty. Wehavenotbeenretainedtotakeanyother actionontheCounty’sbehalf.ItisanticipatedthatIwillbeprimarilyresponsibleforthisaccount. AsacourtesytotheCounty,Iwillperformtheservicesanticipatedbythisengagementletteratadiscountedrateof$310perhour.Fromtimetotime,otherattorneysorparalegalsmayassistwiththisengagement,subjecttopriorapprovalbyyouorsomeoneyoudesignate.Theirbillingratesmaybedifferentfrommyrates.Wereservetherighttoadjustourhourlyratesfrom timetotime(generallyannually),andwillinformyouofanychangesin theratessetforthherein.Wewillnotrequireadepositfrom theCounty.Ourfirmrepresentsmany development,business,andlandownerinterestsinColorado. From timetotime,attorneysfromouroffice (includingme)mayhavelandusematters,including applicationsforpermitsorentitlements,intheCounty.Wehavenocurrentconflicts,butwewanttoadvisetheCountythatfromtimetotimewemayrequestinformedconsenttopotentialconflicts,orotherwisebeunabletoaddressaparticularlegalquestionfortheCountyifitpresentsanactualconflictforwhichinformedconsentiseitherrefusedornot appropriateundertheColorado RulesofProfessionalConduct.Weacknowledge thatinadditiontothetermsandconditionssetoutintheattachmentand theColoradoRulesofProfessionalConduct,ourrepresentationoftheCountyissubjecttothefollowingprovisions:1.Nothinginthisengagement lettershallbedeemedorconstruedasawaiverbytheCountyofanyoftheprivilegesandimmunitiesthat maybeprovidedtotheCountyunderthestatutesandConstitutionoftheStateofColorado,includingtheColoradoGovernmental ImmunityAct,C.R.S.§24-10-101,etseq.,asamended(“CGIA”).Likewise,nothinginthisengagementletter shallbe1801CaliforniaStreet•Suite2600•Denver,Colorado802021(303)830-2400•1(303)830-1033•www.fwlaw.comC21-139 FAIRFIELDAWOODSPC.BryanR.Treu,Esq.May4,2021Page2deemedorconstruedasawaiverbyFairfieldandWoods,P.C.ofanyallegationorargumentthatCGIAdoesnotapplytoclaimsordefensesrelatedtothisengagement.2.Thetermofthisengagementmaylastlongerthanoneyear.However,theobligationsoftheCountyunderthisAgreementshallextendonlytomoniesappropriatedforthepurposeofthisengagementletterbytheBoardofCountyCommissioners,subjecttoitslegallyrequiredbudgeting,authorization,andappropriationprocess.TheCountyandFairfieldandWoods,P.C.acknowledgethattheCountydoesnot,throughthisengagementletter,irrevocablypledgepresentcashreservedforpaymentsinfutureyears,andthatthisengagementletterisnotintendedtocreateamultiplefiscalyeardirectorindirectdebtorobligation.TheCountyandFairfieldandWoods,P.C.furtheracknowledgethattheCounty’sfailuretoappropriatefundsmaybecauseforFairfieldandWoods,P.C.toterminatethisengagement.3.ProvisionsRequiredbyC.R.S.§8-17.5-102.a.FairfieldandWoods,P.C.willnot:(i)knowinglyemployorcontractwithanillegalalientoperformworkunderthepubliccontractforservices;or(ii)enterintoacontractwithasubcontractorthatfailstocertifytoFairfieldandWoodsthatthesubcontractorwillnotknowinglyemployorcontractwithanillegalalientoperformworkunderthisengagementletter.b.FairfieldandWoods,P.C.hasconfirmedtheemploymenteligibilityofallnewlyhiredemployeeswhowillperformworkunderthisengagementletter,throughparticipationineithertheE-VerifyprogramortheStateofColoradoDepartmentofLaborandEmploymentprogram(“DEPARTMENTPROGRAM”),accordingtotherulesandproceduresoftheapplicableprogram.c.FairfieldandWoods,P.C.willnotuseeithertheE-VerifyprogramortheDepartmentProgramprocedurestoundertakepre-employmentscreeningofjobapplicantswhiletheworkunderthisengagementletterisbeingperformed.d.IfFairfieldandWoods,P.C.obtainsactualknowledgethatasubcontractorperformingworkunderthisengagementletterknowinglyemploysorcontractswithanillegalalien,FairfieldandWoods,P.C.will:(i)notifythesubcontractorandtheCountywithinthreedaysthatFairfieldandWoods,P.C.hasactualknowledgethatthesubcontractorisemployingorcontractingwithanillegalalien;and(ii)terminatethesubcontractwiththesubcontractorifwithinthreedaysofreceivingthenotice,thesubcontractordoesnotstopemployingorcontractingwiththeillegalalien;exceptthatFairfieldandWoods,P.C.shallnotterminatethecontractwiththesubcontractorifduringsuchthreedaysthesubcontractorprovidesinformationtoestablishthatthesubcontractorhasnotknowinglyemployedorcontractedwithanillegalalien. FAIRFIELDAWOODS.BryanR.Treu,Esq.May4,2021Page5PoliciesandProceduresAddendumExpensesandDisbursements:Ourfirmbillsforout-of-pocketexpensesseparatefromfeesforlegalservices.TheCountyisresponsibleforout-of-pocketdisbursements,suchasfilingfees,handdeliveriesoutsidedowntownDenver,overnightcourierservice,andtravelexpenses.Wedonotchargeforroutinecopying.However,wemaychargeforlargecopyprojectsperformedin-houseatarateof$0.20perpage.Iftimeallows,andespeciallyifthecopyingprojectislarge,weoftensendcopyingprojectstoaspecialtycompanyinordertoreducethecost.Wedonotcurrentlychargefordowntowndeliveriesmadebyouremployedmessenger,forsendingorreceivingfaxes,orforroutinefirst-classpostage.Wedonotnormallyadvanceout-of-pocketcostsofmorethan$600.00,andifwereceiveabillforsuchserviceswemayaskthattheCountypayitdirectly.AdjustmenttoHourlyRates.Thefinnreservestherighttoadjustourhourlyratesforattorneysandotherprofessionalsfromtimetotime(generallyannually).WewillinformtheCountyofanychangesintheratesapplicabletothisengagement.BillingandPayment:WewillinvoicetheCountymonthlyforourlegalfeesandforexpensesanddisbursements.Ourinvoiceswillitemizealltimeandexpenses.Allinvoicesaredueuponreceipt.TheCounty’sobligationtopayourinvoiceswhendueisnotcontingentontheresultachieved,andwecannotanddonotguaranteeanyparticularresult.Weareconfidentthatourclientsmakeeveryefforttopayuspromptly,andknowtheCountywilldolikewise.Occasionally,however,aclienthasdifficultyinmakingtimelypayment.Toavoidburdeningclientswhopaypromptlywithhigherfeesasaresultofotherclientswhofailtopaypromptly,alatepaymentchargeofonepercentpermonthwillbeassessedonthelastdayofeachmonthagainstallunpaidfeesandcostswhichwerebilledbeforethebeginningofthatmonth.Intheeventwemustcommencelegalactiontocollectanysumsowed,theCountyagreestopayallfeesandexpenses,includingreasonableattorneyfees,whichweincur.Shouldyoueverhavequestionsaboutourbills,justletusknow;wewillgladlyanswerthem.DocumentandFileOwnership:DuringthecourseofourrepresentationoftheCounty,wewillroutinelysendtheCountycopiesofexternalcorrespondence,pleadings,andotherrelevantdocumentsregardingtherepresentation.SincetheCountywillbeprovidedwithsuchdocumentsonanongoingbasis,theCountyagreesthatthefilesanddocumentsmaintainedbyusinourofficebelongtous,exceptfororiginaldocumentsprovidedbytheCountytous.Ofcourse,iftheCountyshouldeverneedcopiesofanydocumentsmaintainedinourfiles,wewillprovidethemtotheCounty,attheCounty’sexpense.FileRetentionandDestruction:TheCountyagreesthatanymaterialsinthefilemaybedestroyed,atthefirm’sdiscretion,following24monthsafterthematterforwhichwehaveprovidedrepresentationisconcludedorthefirm’srepresentationends.Atanytimepriortothe
