Amendment No. 1
To HomeKeeper Participation Agreement No. HK-ValleyHome-A16515
This Amendment No. 1 (the “Amendment”) is entered into by and between Grounded Solutions
Network (the “Company”), a California not-for-profit membership corporation whose mailing
address is P.O. Box 70724 Oakland, CA 94612 and The Valley Home Store, LLC By and through Eagle
County Housing and Development Authority, it's member (“Participating Organization”), having a
mailing address at 25 Mill Loft Suite 200, Edwards, Colorado, 81632. This Amendment is effective as
of March 1, 2021 (the “Effective Date”). The Company and Participating Organization are individually
referred to herein as a “Party” and collectively as the “Parties.”
RECITALS
A. The Company and Participating Organization are parties to that certain HomeKeeper
Participation Agreement No. HK-ValleyHome-A16515 dated as of January 1, 2018 (the “Agreement”);
and
B. Company has changed its corporate name and its name is now Grounded Solutions
Network; and
C. The Parties desire to enter into this Amendment to reflect the name change and to make
other changes to the Agreement as set forth herein.
NOW, THEREFORE, For good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the parties hereto hereby agree as follows:
1.Amendment with Respect to Name Change. All references to “National Community Land Trust
Network” in the Agreement are hereby replaced with “Grounded Solutions Network.”
2.Mailing Address. For purposes of notification, the Company’s mailing address shall be P.O. Box
70724, Oakland, CA 94612.
3.Terms. Section 13 (g), Notices, shall be deleted in its entirety and replaced with the following:
All formal notices, requests, demands, approvals and communications under the Agreement
(collectively, “Notices”) will be in writing and sent by (a) personal delivery, in which case notice
shall be deemed to have been given on the date of delivery; (b) UPS, Federal Express, DHL or
other nationally-recognized overnight delivery service, in which case notice shall be deemed to
have been given the business day after deposit of such notice with such service, or (c) email, in
which case notice shall be deemed to have been given upon the earlier of confirmed receipt
thereof (e.g., the receiving party sending an acknowledgment) or the next business day after a
confirmed email delivery (e.g., email system receipt of delivery), or (d) certified mail, in which
case notice shall be deemed to have been given five (5) business days after mailing. All Notices
will be sent to the other Party at its address as set forth below or at such other address as the
Party may specify during the Term in a Notice given in accordance with this Section.

4. Miscellaneous. The Agreement remains in full force and effect, except as amended hereby. If
there is a conflict between the terms of the Agreement and the terms of this Amendment, the
terms of this Amendment shall govern. This Amendment shall be effective as of the Effective
Date set forth above. This Amendment may be executed in counterparts, each of which shall be
deemed an original, but which, together, shall constitute one and the same instrument. A facsimile
or email transmission by one party to the other of an executed signature page of this Amendment
shall have the same effect as delivery of an original signature page. The transmitting party shall
forward the original signature page upon the request of the receiving party.
