FIRSTAMENDMENTTOAIRPORTFAQLrIYESLEASEBETWEENEAGLECOUNTY,COLORADOANDREDBWDAIRCRAFT,INC./JAMESBENSONTHISFIRSTAMENDMENT(“Amendment”)iseffectiveasofthe1’dayofNovember,2020byandbetween EagleCounty,Colorado,abodycorporateandpolitic,hereinafterreferredtoas“Lessor”andRedBirdAircraft,Inc.,aFloridacorporation,togetherwithJamesBenson,RedBirdandBenson hereinaftercollectivelyreferredtoas“Lessee.”RECITALSWHEREAS,LessorandSBSPartnership,consistingofLesterStreeter,TrevorBradwayandBarryStott,enteredintoanAirportFacilities LeaseonOctober7,1980,forpurposesofSBSconstructingahangarandrampontheDemisedPremises(“OriginalAgreement”);andWHEREAS,onAugust20,1997,LessorconsentedtoanassignmentoftheOriginalAgreementtoTomHarned,KevinClairandCharlesH.Rosenquist,whoassumedjointlyandseverallyallobligationsofSBSPartnershipundertheOriginalAgreement;andWHEREAS,onSeptember29,2004,Tom HarnedsoldhisinterestinthehangarlocatedontheDemisedPremisestoKevinClair;
