HomeMy WebLinkAboutC21-106 DMI TechnologiesSECOND AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND DMI TECHNOLOGIES, INC. THIS SECOND AMENDMENT (“Second Amendment”) is effective as of ________________, by and between DMI TECHNOLOGIES INC. a Colorado corporation (hereinafter “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Contractor entered into an a greement dated the 21 day of August, 2019, for certain Services (the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain duties with compensation in an amount not to exceed $20,000; and WHEREAS, the term of the Original Agreement was extended and the scope of the Original Agreement was amended by a first amendment dated the 25 day of June, 2020; and WHEREAS, County and Contractor desire by this Second Amendment to further modify the scope and extend the term of the Agreement for one additional year. SECOND AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows : 1. The Original Agreement and First Amendment shall be amended to include additional Services as described in Exhibit 1, which is attached hereto and incorporated herein by reference. 2.The compensation for the additional Services set forth in Exhibit 1 shall not exceed $30,000.00 or a total maximum compensation under the Original Agreement, First Amendment and this Second Amendment of $8 6,761.00. 3.The term of the Original Agreement is hereby extended to the 31st day of July, 2022. 4.C apitalized terms in this Second Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the Second Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this Second Amendment shall govern and control the rights and obligations of the parties. Except as expressly altered, modified and changed in this Second Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This Second Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. DMI ID: DMI02192021TL1REV1 Koltin, Thank you for allowing DMI Technologies the opportunity to provide pricing solution for the Eagle County Airport MDF Matrix rewire. 1. SCOPE OF WORK A. Replacing all RCM’s and Card readers that are in the Airport Terminal MDF. • DMI will install New Matrix Aperta 12-Door Distribution Panel with MSG. • DMI will install 1 CAT 6 cable from the new Matrix can to County Data patch Panel. • DMI will get equipment programmed into the Matrix system and bring live. • DMI will start moving 1 door/reader at a time from existing RCM’s to new panels. • DMI will replace the HID Card Reader with a Frontier Card Reader. • DMI will test door/reader to make sure it is live and functioning correctly before moving on. • DMI will after moving all doors/readers to new Matrix panels work on Demoing any unused power supplies and cabling. • DMI will replace any cable that is not correct with new Matrix cable. • DMI will need the help of the airport electrician to move unused power outlets and install new power outlet where needed. • DMI will remove all old equipment and give to Airport for spare parts. Access Control System (MATRIX) Install new access control on panels. Will need access to the Matrix access control system. 2. Will need access to IT Closets. 3. Will need IP Address and switch port from IT department. 4. All Power needs done by others. 5.
