HomeMy WebLinkAboutC21-019 Latino Community Foundation1 Latino Community Foundation of Colorado Colorado Action Awards: Terms and Conditions Please review the Award Terms below, and sign at the bottom to indicate the Awardee’s acceptance of the Terms. 1.Tax Status of Awardee. Awardee is either an individual, for-profit organization, or non-profit organization as section 501(c)(3) of the Internal Revenue Code (the “Code”), and is not a “private foundation” within the meaning of section 509(a) of the Code. Awardee will notify Foundation immediately of any change in, or IRS proposed or actual revocation of, such tax status. 2.Compliance with Contract. Awardee will comply with the terms and conditions of this contract, including any amendments made pursuant to section 1 0 and will exercise full control over the award and the use of funds. 3.Use of Award Funds. Awardee will use the funds only for the specified purposes listed here. Awardee will not use the funds for any purpose or in any fashion that is prohibited by law. Awardee will notify Foundation immediately in the event of: (i) its inability to expend the funds for the specified charitable purposes, or (ii) any expenditure from funds for any purpose other than the specified charitable purposes. Any unexpended funds, and the amount of any expenditure from funds for any purpose other than the specified purposes of the Project, must be paid immediately to Foundation. 4.Reports. Awardee will submit a program and financial report to the Foundation according to the reporting schedule outlined in the Special Conditions below, providing a summary of how the funds were used. Awardee will also provide any other information reasonably requested by Foundation. 5.Publicity. Foundation encourages Awardee to publicize information concerning award. Foundation may include information regarding this award in any written material produced by Foundation, including on Foundation’s website. The Foundation welcomes any photographs relevant to the award for Foundation use. Photos must have prior client releases (if applicable) for publication purposes. If there are privacy concerns regarding publicity, Awardee must notify Foundation. 6.Copyrights. Any written documents reporting the results of, or produced by the expenditure of, the funds may be copyrighted by Awardee, or by the author thereof, in accordance with the policies of Awardee; however, Foundation reserves a royalty-free license to use such documents. 7.Reversion of Funds. Foundation reserves the right to require a total or partial refund of any funds, if, in Foundation’s sole discretion, such action is necessary: (i) because Awardee is no longer able to fulfill the terms and conditions of this contract; or (iii) to comply with any law or regulation applicable to Awardee or to Foundation. Foundation gives high priority to the realization of equality of opportunity for all members of society and strongly encourages diversity by Awardee in all aspects of the Project and throughout all levels of the organization (if applicable). 9. No Assignment or Delegation. Awardee may not assign or otherwise transfer its rights or delegate any of its obligations under this contract without the prior approval of Foundation. 10. Amendment. Any amendment to this agreement must be agreed to by both parties and approved in writing by the Foundation. 11. Termination. This agreement shall automatically terminate in the event of insolvency, receivership, bankruptcy filing, or dissolution of organization, if applicable. Either party may terminate this agreement upon written notice to the other party within 30 days of execution of this document. The undersigned certifies that he or she is responsible for the execution of this award and, as such, is authorized to accept this contract and to observe all of the terms and conditions contained in this contract. Special Conditions The following are special conditions of this award: - Funds will be released upon signed agreement. - Awardees should anticipate a request to provide a short narrative report regarding funding usage and impact at the completion of this award in August of 2021.
