HomeMy WebLinkAboutTVHS20-02 ElectricBabyFIRST AMENDMENT TO AGREEMENT BETWEEN THE VALLEY HOME STORE, LLC AND ELECTRICBABY INCORPORATED THIS FIRST AMENDMENT (“First Amendment”) is effective as of the ____________________ by and between Electricbaby Incorporated a Colorado corporation (hereinafter “Contractor”) and The Valley Home Store, LLC (hereinafter “VHS”). RECITALS WHEREAS, VHS and Contractor entered into an agreement dated the 19th day of March, 2019, for certain Services (the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Contractor would perform certain duties and use certain software applications to provide an application management program for its potential homeowner applicants. Exhibit A to the Original Agreement described the various components of such program; and WHEREAS, the Contractor developed a software application called Public House Online Housing Applications (“Public House”) that will function better within the application management program and, as a result, VHS and the Contractor desire to modify Exhibit A to reflect use of this software application; and WHEREAS, VHS desires to apply additional Public House security testing and breach protections; and WHEREAS, VHS desires to extend the term of this Agreement for an additional 12 month period; and WHEREAS, VHS and Consultant desire by this First Amendment to expand the scope of Services as set forth in the Original Agreement. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. In Section 1.A.i.a. of Exhibit A in the Original Agreement, it stated that “FormAssembly” would be used as the Eligibility Questionnaire form. “FormAssembly” shall be deleted as substituted with “Public House Online Housing Application”. 2. Electricbaby grants permission to the County to engage a knowledgeable third party to perform an assessment, audit, penetration test, examination or review of all controls in Electricbaby’s physical and/or technical environment in relation to all data being handled and/or services being provided to the County pursuant to this Agreement. Electricbaby shall fully cooperate with such assessment by providing access to knowledgeable personnel, physical premises, documentation, infrastructure and application software that processes, stores or transmits data pursuant to this Agreement. The County may require, at County expense, Electricbaby to perform an initial independently conducted penetration test (the “Pen Test”) that at a minimum will include evaluating the shared platform, inter-platform APIs, secret management, and the appropriate separation of tenants. Referenced Pen Testing should follow a standard framework and methodology such as the Open Source Security Testing Methodology Manual (OSSTMM), the Penetration Testing Execution Standard (PTES), the NIST Special Publication 800-115, the Information System Security Assessment Framework (ISSAF) or the Open Web Administration Security Project (OWASP) Testing Guide. Subsequent to the initial Pen Test, Electricbaby shall at its own expense, perform regular independently conducted Pen Tests focused on evaluating the effectiveness of security controls on an ongoing basis. Ongoing Pen Tests will be conducted at an interval of no less than once per year. All Pen Test results shall be forwarded directly from the independent third party organization conducting the Pen Test to the County. Electricbaby will promptly take appropriate measures to mitigate deficiencies identified by a Pen Test in order to meet its obligations under this Agreement. d. Data Protection. Electricbaby shall not access Customer or Eagle County Data, except (1) in response to service or technical issues, (2) for proactive service and problem resolution, (3) for the purpose of performing its obligations under the Agreement this Agreement or (4) at Customer’s written request. Electricbaby agrees to keep confidential all Customer and Eagle County Data, and agrees not to sell, assign, distribute, or disclose any such information to any other person or entity without seeking written permission from Customer and Eagle County. For purposes of this Section, Customer and Eagle County Data means all information, whether in oral or written (including electronic) form, created by or in any way originating with Customer or Eagle County and End Users, and all information that is the output of any computer processing, or other electronic manipulation, of any information that was created by or in any way originating with Customer or Eagle County and End Users, in the course of using and configuring the Services provided under this Agreement. e. Security Provisions. Electricbaby attests that it has implemented administrative, physical and technical safeguards for its data security that at a minimum meet industry best practices. Electricbaby shall ensure that all such safeguards, including the manner in which data is collected, accessed, transmitted, used, stored, processed, DocuSign Envelope ID: 22A7DBA3-9401-40FB-8965-09EE4D99E2A7 3 VHS Am Scope Comp Final 5/14 disposed of and disclosed, comply with applicable data protection and privacy laws, as well as the terms and conditions of this Agreement. Electricbaby will ensure that security measures are regularly reviewed and revised to address evolving threats and vulnerabilities while Electricbaby has responsibility for County information under the terms of this agreement. Prior to the effective date of this Agreement, and periodically thereafter (no more frequently than annually) at the County’s request, Electricbaby will provide assurance, in the form of a third-party audit report or other documentation (such as the Cloud Security Alliance Consensus Assessments Initiative Questionnaire) acceptable to the County, demonstrating that appropriate information security safeguards and controls are in place. f. Data Breach. Electricbaby will respond to, contain and remediate security incidents, using commercially reasonable efforts, on a 24/7 basis. Electricbaby shall notify Customer of security incidents within twenty-four (24) hours of becoming aware of an actual incident involving Customer or Eagle County Data. An “incident” is a breach of data protection, confidentiality, data integrity or a security compromise of a network or server resulting in the unauthorized access, use, transfer or acquisition of Customer or Eagle County Data. Electricbaby shall inform Customer about incident response activities in reasonable intervals until the incident is resolved, which may include documenting and keeping Customer reasonably informed of all investigative and recovery efforts related to any such incidents, including discovery, investigation and containment, recovery, use of data and experience for gap identification and process improvement, mitigation plans, and cooperation with law enforcement, if legally permissible, as reasonably appropriate. g. Breach Responsibilities. Unless otherwise stipulated, if a data breach is a direct result of Electricbaby’s breach of its contractual obligation to prevent the unauthorized release of Customer or Eagle County Data (a “Data Breach”), Electricbaby shall bear the reasonable and documented costs associated with (1) the investigation and resolution of the Data Breach; (2) Customer’s notifications to individuals, regulators or others as may be required by applicable state law; (3) a credit monitoring service as may be required by applicable state (or federal) law; (4) a website or a toll-free number and call center for affected individuals as may be required by applicable state law; and (5) all corrective actions based on root cause. In the case of a breach originating from Customer or Eagle County, Electricbaby will provide reasonable assistance to Customer and/or Eagle County for identification and resolution, but Customer and/or Eagle County will have sole responsibility for any remediation actions, costs and expenses necessary as a result of the Data Breach. 3. Paragraph 3 shall be revised to add an additional 12 month term from March 19, 2020 through March 19, 2021. 4. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. Description of Services Contractor will create an online form application for VHS managed housing programs that allows applicants to submit an application for deed restricted housing by uploading required documentation. Contractor will perform consulting, mapping, installation and testing for the creation of an online HomeKeeper Application for VHS. Contractor also agrees to create Online Forms with SalesForce Configuration and Testing Phase, Required Document Management, and a Two-Step Authentication System, to be used in conjunction with the online application. a. Online Forms with SalesForce Configuration and Testing Phase: Contractor will configure custom objects, workflows, process builders and e-mail templates for this implementation. i. Eligibility Questionnaire: Contractor will create an eligibility questionnaire, which will function to determine an applicant’s eligibility in the housing programs managed by VHS without having to review a buyer’s application. An applicant will input information and the inputted information will populate into Salesforce, creating a new contact and mapping the questions into a custom object called Eligibility. Once in Salesforce, VHS specific custom formula fields calculate eligibility and either emails to applicant a success email with links to the full application form or emails to applicant a non-eligible email with detailed explanations for each requirement that the applicant did not meet and as applicable, references to alternative resources. a) The Eligibility Questionnaire FormAssembly form that maps to a custom object in SalesForce. b) The Eligibility Questionnaire is also embedded into VHS's website with a single line of HTML for an iframe. ii. Full Application: Contractor will create and customize a full application with adaptive fields specific to VHS’s needs to create a Service File for each applicant. Contractor will map back applicant information into Salesforce. Features of application are: a) Automated creation of up to 34 objects and mapping of up to 282 fields for each application in Salesforce b) Pre-populating all fields for testing c) Editable HTML support text on each page d) Populates a number of select boxes automatically so that the applicant does not have to make changes to each one e) Shows / hides Employment or School fields based on age f) Clean school selection and field mapping g) Propagates the Race and Ethnicity of the primary applicant to all other applicant household members h) Google fonts i) Can optionally create contacts for all applicant household members by changing a single default field value j) Can accept an existing SalesForce Account IDBuild a pre-fill connector to populate a form with data from existing Service Files in Homekeeper/Salesforce. k) Insert “Save My Progress” buttons on each page of the online application. l) All processes will be encapsulated to not interfere with HomeKeeper or existing VHS functionality. Testing Phase: Forms and processes of this nature require testing by Contractor and VHS. VHS should anticipate 2-3 weeks for testing and reviewing. b. Required Document Management: Contractor will embed in the full application the Required Documents for applicant. i. Create stages for Required Documents in review and Required Documents approved. a. Applicants can submit multiple files for each Required Document. b. Google Team Drive folder automatically created for each new service file. c. Mass document edit tool provided to VHS to review / approve / decline documents for each Service File with notification to applicant to view declined documents and comments from staff. c. Two -Step Authentication System: Contractor will create a two-step authentication system for the Online Application and Required Documents email originating from SalesForce to applicant that includes the security that is Contact specific with 64 bit encryption. i. Applicants may access the application via custom links in Salesforce generated email. a) Applicants that are not found in the system do not have a service file and are redirected to the pre application questionnaire. b) Applicants (who have remained applicants and have not purchased a unit) with existing service files will be able to supplement their required documents over time. ii. SMS will be initiated automatically when online application page is accessed through the email link. If authentication page is not accessed via email link then email authentication and SMS authentication will be required. iii. Two - Step Authentication features: ● Unique 64 bit encrypted ID for each contact ● Update encrypted id for single contact or all contacts ● Temporary maintenance redirect ● Invalid ID redirect ● Session expiration after period of inactivity ● Site usage logging - Most recent visit and number of visits (at least 10 minutes apart) ● Help requests logged as Cases at authentication and in Site ● Staff access to Site without usage logging ● Twilio utilized for SMS delivery 2. Cost Tables – Labor The project plan below includes tasks, corresponding labor category codes, and estimated labor hours. If work is completed in less time than estimated, VHS reserves the right to request Contractor to configure additional workflows, custom code, forms and emails to facilitate VHS’s application processing at additional billable hours. VHS may request additional customizations (within the original scoped hours). VHS is not obligated to use the full scoped hours if the objectives are met before then. Contractor will review how all the components and key integration points fit and function together, the online form system functions and usage, as well as a high level review of the salesforce.com custom code design and location. ● Authentication credential information related to all systems and integration points in order that relevant passwords could be successfully updated by Eagle County IT upon conclusion of contract. ● Contractor will prepare technical documentation deliverable that will include documentation outlining o 1) flowchart and / or wireframe documentation of overall solution design o 2) narrative describing what the application is intended to do and key aspects of how over solution functions o 3) the main integration points and related authentication mechanisms and o 4) details concerning location and intent of custom codes within any of the solution platforms.
