EAGLE COUNTY, COLORADO
AND
AUZIMI CONSULTING, LLC
THIS SECOND AMENDMENT (“Second Amendment”) is effective as of January 1, 2021, by
and between Auzimi Consulting, LLC a limited liability company (hereinafter “Consultant” or
“Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 2nd day of February,
2020, for certain Services (the “Original Agreement”); and
WHEREAS, County and Consultant entered into an agreement dated the 28th day of October,
2020, for certain Services (the “First Amendment” C20-394); and
WHEREAS, the First Amendment contemplated that the Consultant would perform certain
duties with compensation in an amount not to exceed $37,500; and
WHEREAS, the County and Consultant desire to extend the Original Agreement and First
Amendment for another 12 months; and
WHEREAS, the County desires to have Consultant perform additional Services for additional
compensation and to extend the term of the contract as set forth below.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1.The Second Amendment shall be amended to include additional Services as described
in Exhibit A-2, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit A-2 shall not exceed
$17,500 or a total maximum compensation under the Original Agreement, the First
Amendment and this Second Amendment of $55,000.
3.Paragraph 3 of Original Agreement is amended to extend the term of the agreement to
December 31, 2021.
4.Capitalized terms in this Second Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the Second
conflict with, modify or supplement portions of the First Amendment or the Original
Agreement, the terms and provisions contained in this Second Amendment shall
govern and control the rights and obligations of the parties.

5. Except as expressly altered, modified and changed in this Second Amendment, all
terms and provisions of the Original Agreement shall remain in full force and effect,
and are hereby ratified and confirmed in all respects as of the date hereof.
6. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to the
Original Agreement on October 28, 2020.

SCOPE OF SERVICES, SCHEDULE, FEES
1. PURPOSE:
Eagle County Department of Human Services (ECDHS) provides a wide array of State &
Federally mandated services to ensure the safety and stability of the most vulnerable
populations in Eagle County. ECDHS seeks to contract with a professional to provide services
outlined below.
2. PROVIDER RESPONSIBILITIES:
• Contractor will continue facilitating program design related to the ECDHS Rewiring
Partnership Roadmap. This Roadmap focuses on identifying additional, preventative
strategies to protect children in Eagle County from abuse and neglect. Additional
Rewiring scope (“Phase 3”) will be finalized and implemented. This phase will include
project implementation support, ongoing communication tool development, and
identification of additional projects to be implemented in addition to the primary
“Rewiring” identified project. Anticipated to be completed in the first quarter of 2021.
• Contractor will work with ECDHS Executive Team to implement the work plan specific to
the strategic plan review and refresh. Planning to be finalized in the first quarter of 2021
with implementation starting in the second quarter of 2021.
3. FEES AND COMPENSATION:
County shall pay Contractor as follows:
• Payment for planning and implementation of Rewiring Phase 3 and strategic plan review
and refresh will be billed in installments on a monthly basis reflective of work completed
the previous month. Total of projects not to exceed $17,500.
