HomeMy WebLinkAboutC20-394 Auzimi Consulting FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND AUZIMI CONSULTING, LLC THIS FIRST AMENDMENT (“First Amendment”) is effective as of the ______________, by and between Auzimi Consulting, LLC a limited liability company (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 2nd day of February, 2020, for certain Services (the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain duties with compensation in an amount not to exceed $20,000; and WHEREAS, the County desires to have Consultant perform additional Services for additional compensation as set forth below. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1.The Original Agreement shall be amended to include additional Services as described in Exhibit A-1, which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit A-1 shall not exceed $17,500 or a total maximum compensation under the Original Agreement and this First Amendment of $37,500. 3.Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. 4.Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 5. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. PURPOSE: Eagle County Department of Human Services (ECDHS) provides a wide array of State & Federally mandated services to ensure the safety and stability of the most vulnerable populations in Eagle County. ECDHS seeks to contract with a professional to provide services outlined below. 2. PROVIDER RESPONSIBILITIES: • Contractor will continue facilitating program design related to the ECDHS Rewiring Partnership Roadmap. This Roadmap focuses on identifying additional, preventative strategies to protect children in Eagle County from abuse and neglect. Facilitation role will include task force meeting preparation and correspondence, managing Rewiring app, and other associated tasks. • Additional Rewiring scope (“Phase 3”) will be drafted. This phase will include project implementation support, ongoing communication tool development, and identification of additional projects to be implemented in addition to the primary “Rewiring” identified project. • Contractor will work with ECDHS Executive Team to identify a work plan specific to the strategic plan review and refresh. Plan to include team involvement and engagement strategies. Of key value will be identifying process changes through COVID pandemic response that have positive impact on organizational goals and objectives. In addition to written reports, infographics and related collateral materials, contractor will document enhanced process changes. 3. FEES AND COMPENSATION: County shall pay Contractor as follows: • Payment of $5,000 for completion of Phase 2 of Rewiring work shall be invoiced at the completion of the project phase (anticipated by November 2020). • Payment of $2,500 for the development of Phase 3 of Rewiring work shall be invoiced at the completion of the work plan (anticipated by December 2020). • Payment of $10,000 shall be invoiced at the completion of the ECDHS Strategic Plan refresh work plan document (anticipated by December 2020). • Total of additional scope compensation not to exceed $17,500.
