1.GrantofEasement.GrantorherebygrantsandconveystoGranteesanon-exclusiveeasementover,uponandacrosstheGrantorPropertyinthelocationdescribedanddepictedonExhibitBwhichisattachedheretoandincorporatedhereinbythisreference(the“EmergencyEasement”).TheEmergencyEasementshallnotexceedtwenty(20)feetinwidthandisforusebyGrantees,theirguests,inviteesandsuccessorsandassignsandemergencyserviceproviders(i)forthepurposeofemergencyingressandegressbyfireandpoliceprotectionandambulanceandrescueservices;(ii)forthepurposeofvehicularegressfromtheGrantees’Propertyassociatedwithanemergencysuchasfire,floodorothernaturaldisaster;and(iii)formaintenanceoftheEmergencyEasementassetforthherein,allinamannerconsistentwiththeConservationEasement.GranteeacknowledgesandagreesthattheEmergencyEasementisonlyforusebyhigh-clearance(truckandSUVtype)vehiclesinemergencysituationswhentheGrantee’sdrivewayaccessroadand/orbridgeareclosedorimpassible.TheEmergencyEasementshallnotbeusedforanyotherpurposeexceptasdescribedherein.TheEmergencyEasementandthisAgreementshallnotconstituteanyrelinquishmentofGrantor’spropertyrightswhetherthroughclaimsofadversepossession,prescriptiveeasementoranyothermeans.2.Maintenance.(a)RepairandmaintenanceoftheEmergencyEasementshallbeperformedbytheGrantees,subjecttopriorwrittenapprovalofandanynecessarypermittingbyCountyorapprovalsoftheEagleValleyLandTrustasholderoftheConservationEasement.GrantormayrequireinsuranceandlienwaiversfromtheGranteesortheircontractorsperformingrepairandmaintenance.Allrepairandmaintenanceshallbeperformedinagoodandworkmanlikemannersoastoensureprotectionoftheenvironmentandthehealthandsafetyofthepublic.AllrepairandmaintenanceworkshallbeconfinedtotheEmergencyEasement.Noworkshallbeperformedduringseasonalwildlifeclosuresorduringwetconditions.Further,repairandmaintenanceshallbeconsistentwiththerequirementsoftheConservationEasementandGranteesshallnotimprovethesurfaceofthegroundwithintheEmergencyEasementbypavingorinstallationofanyimperviousmaterials.(b)GranteesacknowledgethatthisAgreementissubordinateandsubjecttotheConservationEasement.3.RightsofGrantor.TheEmergencyEasementgrantedbythisAgreementisnon-exclusiveandGrantorreservestherighttouseforitselfandtogranttoothersrights-of-wayover,under,acrossorthroughtheEmergencyEasementhereingrantedforrecreationandotherpurposes,providedthattheydonotunreasonablyinterferewiththerightofGranteestousethesameforthepurposeshereingranted.2 4.Insurance.GranteesagreetomaintaingeneralliabilityinsurancewhichpolicyshallprovideinsurancecoverageconsistentwiththelimitsofliabilityundertheColoradoGovernmentalImmunityAct.ThegeneralliabilitypolicyshallnameGrantorandtheEagleValleyLandTrustasadditionalinsureds.GranteesshallprovideGrantorwithevidenceofsuchinsuranceuponanyrequestthereforbyGrantor.5.Termination.IntheeventthatGranteesceasetousetheEmergencyEasementinaccordancewiththetermsofthisAgreementorotherwisefailstocomplywithanyandallofthetermsofthisAgreementorapplicablelaw,then,afterwrittennoticegivenbyGrantortoGranteeswithanopportunityforGranteestocureanysuchbreach,thisAgreementandtheEmergencyEasementmaybeterminateduponthirty(30)dayswrittennoticebyGrantor,initssolediscretion.EmergencyEasementwouldnotbeconsideredabandonedmerelybaseduponlackofuse.6.Recording.ThisAgreementshallberecordedintheEagleCountyClerkandRecorder’sOffice.7.GoverningLaw.Granteesshallcomplywithallapplicablefederal,stateandlocallaws,regulationsandstandards.ItistheintentionofthePartiesheretothatallquestionswithrespecttotheconstructionandinterpretationofthisAgreementandtherightsandliabilitiesofthePartieshereundershallbedeterminedinaccordancewiththelawsoftheStateofColorado.VenueshallbeintheDistrictCourtofEagleCounty,Colorado.8.Notice.Allnoticesorothercommunicationsmadepursuantheretoshallbeinwritingandshallbedeemedproperlydelivered,givenorserved(i)whenpersonallydelivered,or(ii)two(2)calendardaysafterbeingdepositedintheUnitedStatesmail,certifiedorregistered,postageprepaid,returnreceiptrequested,(iii)whendeliveredbyFedExorothercomparablecourierservices,chargesprepaid,tothepartiesattheirrespectiveaddresslistedbelowfortheirsignatures.Eitherpartymaychangeitsaddressforthepurposesofthisparagraphbygivingfive(5)dayspriorwrittennoticeofsuchchangetotheotherparty.Grantees:TheCharlesP.RidgwayTrustandJulianneTolbertRidgwayTrustPostOfficeBox989Eagle,CO$1631Telephone:970-328-69173 negotiation,andshallnotbedeemedtohavebeendraftedsolelybyanyPartyandthePartiesherebywaivethebenefitofanyruleofcontractinterpretationorconstructionrequiringthatthesamebeconstruedagainstthedraftingpartyintheeventofambiguity.13.RunwiththeLand.AllprovisionsofthisAgreementincludingthebenefitsandburdenscreatedherebyshallrunwiththeland.ThisAgreementismadesubjecttoanyexistingeasements,reservations,restrictionsorrightsofway.14.CorrectionDocuments.IntheeventanyclericalorothererrorsarefoundinthisAgreement,thePartiesagreetopromptlyexecute,acknowledge,initialand/ordeliverasnecessaryanydocumentationinordertocorrecttheerroneousdocument,ordescription.15.BindingEffect.AllprovisionsofthisAgreementinuretothebenefitofandarebindinguponthePartieshereto,theirsuccessors,assignsandpersonalrepresentatives.16.Modifications.ThePartiesagreethatanymodificationsofthisAgreementshallbeeffectiveoniywhenmadeinwritingsignedbybothPartiesandrecordedwiththeClerkandRecorderofEagleCounty,Colorado;providedthatnosuchmodificationtothewidth,useorlocationoftheEmergencyAccessEasementshallbemadewithoutthepriorwrittenconsentofEagleValleyLandTrust,whichconsentshallnotbeunreasonablydelayed,conditionedorwithheldtotheextentsuchmodificationisconsistentwiththetermsoftheconservationeasementontheOpenSpaceParcel.17.Severability.Wheneverpossible,eachprovisionofthisAgreementshallbeinterpretedinsuchamannerastobevalidunderapplicablelaw;suchprovisionshallbeineffectivetotheextentofsuchinvalidityorprohibitionwithoutinvalidatingtheremainingprovisionsofthisAgreement.18.NoThirdPartyBeneficiary.Notwithstandinganythingtothecontraryherein,thisAgreementisenteredintobyandbetweenCountyandRidgwaysandtheirsuccessorsandassignsandisalsoforthebenefitofEagleValleyLandTrustandtheStateBoardofGreatOutdoorsColoradoTrustfund.Otherthanthepartiesexpresslyidentifiedinthisparagraph18,thisAgreementdoesnotcreaterightsandresponsibilitiesinthirdparties.tSignaturestofollowJ5
