B.GrantoristhefeesimpleownerofcertainadditionalrealpropertyadjacenttotheOriginalConservationEasementProperty,whichconsistsofapproximately131acresoflanddescribedasthe“RidgwayProperty”inExhibitA-7anddepictedonExhibitC-iattachedheretoandmadeaparthereof.C.GrantordesirestoencumbertheRidgwayPropertybytheterms,conditionsandrestrictionsoftheOriginalConservationEasement,asamendedhereby.D.ThepurposeofthisAmendmentistopreserveandprotecttheconservationvaluesoftheRidgwayPropertyintoperpetuitybyaddingtoandenhancingthestatedconservationvaluesoftheOriginalConservationEasement.ThisAmendmentprovidesnoprivatebenefittotheGrantor.NOW,THEREFORE,inconsiderationoftherecitalssetforthabove,incorporatedhereinbythisreference,andthemutualcovenants,terms,conditions,andrestrictionscontainedherein,andpursuanttothelawsoftheStateofColorado,GrantorandGranteeagreetoamendtheOriginalConservationEasementassetforthherein.1.CapitalizedtermsnototherwisedefinedhereinshallhavethemeaningsetforthintheOriginalConservationEasement.2.GrantorvoluntarilygrantsandconveystoGranteeandGranteevoluntarilyaccepts,thisAmendmentasanimmediatelyvestedinterestinrealpropertydefinedbyC.R.S.§38-30.5-101,etseq.,andofthenatureandcharacterdescribedinthisAmendment,forthepurposeofpreservingandprotectingtheconservationvaluesoftheRidgwayProperty,asdescribedherein,inperpetuity.3.TheRidgwayPropertyshallbereferredtointhesingularastheRidgwayPropertyandtogethertheOriginalConservationEasementPropertyandtheRidgwayPropertyarehereinafterreferredtoasthe“Property”forallpurposesundertheEasement.4.TheRidgwayPropertyincludesthewaterrightsdescribedintheattachedExhibitD-i,whichtogetherwiththeWaterRightsfortheOriginalConservationEasementPropertyshallhereinafterbereferredtoasthe“WaterRights”forallpurposesundertheEasement.5.RecitalCoftheOriginalConservationEasementisherebyamendedtoincludethefollowing:“TheConservationValuesincludethefollowingconservationvaluesoftheRidgwayProperty:1.PublicRecreationorEducation[Treas.Reg.§1.170A-14(d)(2)].TheRidgwayPropertyisintendedtobeusedforpublicrecreationandeducationincluding,butnotlimitedto,publictrails.ItistheintentionoftheGrantortoincludetheRidgwayPropertyintheEagleCountyOpenSpaceProgram.ItisanticipatedthatoncetheRidgwayPropertyispartofthisprogram,trailsandtrailheadswillbeofficiallyacknowledgedandestablishedandfirstAmendmenttoHardscrabbleC’E—RidgwayPropertyPage2 connectivitywithanextensivetrailsystemontheadjoiningpubliclandswillbeimproved.ThepublicmayalsohaveaccesstoportionsoftheRidgwayPropertyforpassiverecreation,includingbutnotlimitedto,gardening,wildlifeviewing,fishingandhuntingsubjecttotheGrantor’stermsandconditions.2.RelativelyNaturalHabitat[Treas.Reg.§1.170A-14(d)(3)].TheRidgwayPropertysupportsnativeirrigatedhaymeadowsandpastures,and1.1mitesofcold-watermontanestreamsandripariancorridorsthatprovideforage,cover,breedinghabitat,andmigrationareasforavarietyofwildlifespecies,includingmigratorysongbirds,raptors,reptiles,amphibians,smallmammals,biggame,andfish.TheRidgwayPropertylieswithinColoradoParksandWildlife(CPW)-mappedsummerrangeandwinterconcentrationareasforbothelkandmuledeer,andwithinoverallrangesofblackbearandmountainlion.ThesebiggamespeciescontributesignificantlytothebiodiversityoftheregionandtotheStateandlocaleconomiesthroughhuntingrevenues.TheRidgwayProperty’srelativelynaturalhabitatalsoqualifiesas“significanfasdefinedbyU.S.TreasuryRegulations,becauseitcouldprovidehabitatforspeciesconsideredrare,threatened,endangeredorofspecialconcern-namelybaldeagle(astateofColoradoSpeciesofConcern),andpotentialhabitatforthenativecutthroattrout(theColoradoRivercutthroattroutisaColoradoSpeciesofConcern,theGreenbackcutthroattroutisfederallyregisteredasathreatenedspecies),andthenorthernleopardfrog(astateofColoradoSpeciesofConcern).3.OpenSpace[Treas.Reg.§1.170A-I4(d)(4)J.TheRidgwayPropertypossessesthecharacteristicsofopenspaceinthatitspreservationwillprovidescenicenjoymenttothegeneralpublic,ispursuanttoclearlydelineatedpublicpolicies,andwillyieldasignificantpublicbenefit.a.Scenicenloyment.TheRidgwayPropertyspansasignificantportionofthelowerBrushCreekValleysoutheastoftheTownofEagle,encompassingpicturesqueopenmeadowsandmeanderingstreamsinthevalleyflooraswellasruggedwoodedterracesandfoothillsflankingthevalley.PositionedbetweentheTownofEagleandresidentialsubdivisionsatthelowerendofthevalleyandanup-valleygolfcourseandresidentialsubdivision,theRidgwayPropertyisintegraltothescenicopenspacebeautyandruralranchingcharacterofthearea.TheRidgwayPropertyisaninholdingpropertysurroundedonthreesidesbytheexistingBrushCreekValleyRanchandOpenSpace(“BCVROS”),whichliesbetweenextensiveareasofpubliclandsadministeredbyBLMoneithersideofthevalley.ConservationoftheRidgwayPropertywillmaintainvisualcongruityofthevalley’sscenicopenspace,aswellashabitatconnectivityacrossthevalleyfloorforbiggame.TheRidgwayPropertyisvisuallyaccessibletothepublicfromtheadjoiningpubliclands,aswellasfrommanypublicroadsinthearea.b.Agriculture.Asaworkingranch,theRidgwayPropertysupportslivestockgrazingacrossitsrangelands,irrigatedhayproduction,andhassignificantirrigationwaterrights.Assuch,theRidgwayPropertyisintegraltothescenicopenspacebeautyandruralranchingcharacterofthearea.TheRidgwayProperty’sWaterFirstAmendmenttoHardscrabbleCE—RidgwayPropertyPage3 RightswillbepermanentlytiedtotheRidgwayPropertybythisAmendment,ensuringthatagriculturalproductioncancontinueonthelandinperpetuity.c.ClearlyDelineatedGovernmentConservationPolicy.ProtectionoftheRidgwayPropertyfurthersthespecificobjectivesofthoseclearlydelineatedgovernmentconservationpoliciessetforthinRecitalsDandEoftheOriginalConservationEasement.U.Significantpublicbenefit.TheRidgwayProperty’isaninholdingpropertysurroundedonthreesidesbytheexistingBCVROS,whichliesbetweenextensiveareasofpubliclandsadministeredbyBLMoneithersideofthevalley.ConservationoftheRidgwayPropertywillmaintainvisualcongruityofthevalley’sscenicopenspace,aswellashabitatconnectivityacrossthevalleyfloorforbiggame.ThereisaforeseeabletrendofctrbanizationandrttralsttbdivisiondevelopmentinthevicinityoftheRidgwayPropertyandthesurroundingareaswithinEagleCounty.ThereisastronglikelihoodthatdevelopmentoftheRidgwayPropertywouldleadtoorcontributetodegradationofthescenicandnaturalcharacterofthearea.PreservationoftheRidgwayPropertywillcompleteconservationoftheBrushCreekValleyfloorandprovideanopportunityforthegeneralpublictoappreciateitsscenicvalues.GrantorandGranteeacknowledgeandagreethattheseConservationValuesareofgreatimportancetoGrantor,Grantee,theresidentsofEagleCounty,andtheStateofColorado.6.RecitalFoftheOriginalConservationEasementisherebyamendedtoincludethefollowing:TheBaselineReporthasbeensupplementedbyaBaselineSupplementalReportpreparedbyRareEarthScience,LLCdatedJune22,2020(“BaselineSupplementReport”),whichBaselineSupplementReportisacknowledgedbyGrantorandGranteeasanaccuraterepresentationoftheRidgwayProperty,andcontainsanaturalresourcesinventoryandalsodocumentstheConservationValuesandthecharacteristics,currentuse,andstatusofexistingimprovementsonanddevelopmentoftheRidgwayProperty,asoftheAmendmentEffectiveDate.TheBaselineSupplementalReporthasbeenprovidedtobothPartiesandwillbeusedbyGranteetoassurethatanyfuturechangesintheuseoftheRidgwayProperty’willbeconsistentwiththetermsoftheOriginalConservationEasementandthisAmendment.However,theBaselineSupplementalReportisnotintendedtoprecludetheuseofotherevidencetoestablishtheconditionoftheRidgwayPropertyasoftheAmendmentEffectiveDate.AllreferencesintheOriginalConservationEasementtotheBaselineReportshallbedeemedtoalsorefertotheBaselineSupplementalReport.7.Section4oftheOriginalConservationEasementisherebyamendedtoprovidethattheManagementPlanshallbeupdatedtoincludeoperationandmanagementprovisionsfortheRidgwayProperty(the“UpdatedManagementPlan”).TheUpdatedManagementPlanwillbefinalizedwithinoneyearfollowingtheAmendmentEffectiveDate,preparedbyGrantorandapprovedbyGrantee,whichapprovalshallnotbewithheldunlesstheGranteereasonablyFirstAmendmenttoHardscrabbleCE—RidgwayPropertyPage4 determinestheUpdatedManagementPlanismateriallyinconsistentwiththePurpose.AllreferencesintheOriginalConservationEasementtotheManagementPlanshallbedeemedtoalsorefertotheUpdatedManagementPlanuponitsfinalization.8.Section5oftheOriginalConservationEasementisherebyamendedtoprovidethat:ImprovementsontheRidgwayPropertyexistingasoftheAmendmentEffectiveDatemayberemoved,ormaintainedrepairedandreplacedintheircurrentlocation.Theinstallation,placementorconstructionofanyotherimprovementsisprohibitedunlessexpresslypermittedbythisSection5.Section5.1oftheOriginalConservationEasementisherebyamendedtoincludethefollowingprovisionsapplicableonlytotheRidgwayProperty:5.1.8RidgwayRanchHeadquartersBuildingArea.Theapproximately7.46-acre,moreorless,“RidgwayRanchHeadquartersBuildingArea”isdescribedanddepictedontheattachedExhibitF-i.WithintheRidgwayRanchHeadquartersBuildingAreathefollowingimprovementsexistasoftheAmendmentEffectiveDate:Residence/cabin(2000sq.ft.);LogShed(300sq.ft.);twoLowSheds(125and65sq.ft.);Barn(2000sq.ft.);SmallShed(130sq.ft.);twoLoafingSheds(960sq.ft.each);Shop(2000sq.ft.);Granary(200sq.ft.);olddilapidatedshed(110sq.ft.);equipmentstorageareas(<2acrestotal);fencing,corrals,paddocks;andthree(3)elevatedfuelstoragetanks(200to300gallonseach)forfarmequipmentandvehiclefuel.5.1.9RidgwayPropertyRecreationandEducationBuildingArea.Theapproximately2-acres,moreorless,“RidgwayRecreationandEducationBuildingArea”isdescribedanddepictedontheattachedExhibitF-2.TherearecurrentlynoimprovementsexistingwithintheRidgwayRecreationandEducationBuildingAreaasoftheAmendmentEffectiveDate.5.1.10RidgwayPropertyBuildingAreas;AccessAreas;AcreageLimitation.Grantormay(a)reconfigureandexpandtheBuildingAreasdescribedinSections5.1.8and5.1.9;and(b)designateadditionalAccessAreasnearexistingRoadsorTrails(orelsewhereuponNoticetoGranteepursuanttoSection19andGrantee’sApprovalpursuanttoSection20);eachuponnoticetoGranteepursuanttoSection19(Grantor’sNotice),providedthatthetotalacreageintheBuildingAreasdescribedinSections5.1.8and5.1.9),togetherwiththeacreageintheAccessAreasontheRidgwayProperty,shallnotexceed13acresintotal.AnysuchAccessAreasorincreaseinsizeofsuchAccessAreasorBuildingAreasshallbeincludedintheUpdatedManagementPlanoranyamendmentthereto.9.Section5.2oftheOriginalConservationEasementisherebyamendedtoprovidethatImprovementsexistingontheRidgwayPropertyasoftheAmendmentEffectiveDatearepermitted,andGrantormaylease,sublease,removeormaintain,repair,replaceandenlargeasprovidedhereinsuchImprovementsintheircurrentlocationswithoutGrantee’sapproval.ExistingImprovementsontheRidgwayPropertyinclude,withoutlimitation,allstructureswithintheRidgwayRanchHeadquartersBuildingArea,agriculturalareas,irrigationandirrigationinfrastructure,waterwells,pondbasin,varioushorsepaddocksandlivestockcorrals,equipmentFirstAmendmenttoHardscrabbleCE—RidgwayPropertyPage5 storageareas,fencing,haystackyards,threefuelstoragetanks,andanyotherstructuresorimprovementsidentifiedintheBaselineSupplementalReport.10.Section5.3oftheOriginalConservationEasementisherebyamendedtoincludethefollowingprovisionsapplicableonlytotheRidgwayProperty:5.3.9RidgwayRanchHeadquartersBuildingArea.Grantormaylease,sublease,remove,place,install,construct,maintain,enlarge,repairandreplacenewandexistingstructuresandimprovementsintheRidgwayRanchHeadquartersBuildingArea.TheexistingstructciresandimprovementsintheRidgwayRanchHeadquartersBuildingAreatotalapproximately8,850squarefeet.InadditiontotheexistingstructuresandimprovementswithintheRidgwayRanchHeadquartersBuildingArea,andnewagriculturalstructuresandimprovements,includingbutnotlimitedto,hoophouses,greenhouses,fruit/vegetablefarmstand(s),educationaloragrictilturalbuilding(s),restroomfacilities,parking,trailhead(s)andshelters,shallnotexceedatotalof10,000squarefeet,providedthatthetotalsquarefootageofallexistingstructuresandimprovements(includingexpansions),andnewstructuresandimprovementswithintheRidgwayRanchHeadquartersBuildingAreashallnotexceed18,850squarefeet(excludinggradedandpavedareas).StructuresandimprovementswithintheRidgwayRanchHeadquartersBuildingAreaexceedingthesquarefootagelimitationsetforthinthisSection5.3.9requireGrantor’sNotice(Section19)andGrantee’sApproval(Section20).5.3.10RidgwayPropertyRecreationandEducationBuildingArea.Grantormaylease,sublease,remove,place,install,construct,maintain,enlarge,repairandreplacenewstructuresandimprovementsintheRidgwayRecreationandEducationBuildingArea.NewstructuresandimprovementswithintheRecreationandEducationBuildingArea,includingbutnotlimitedto,restroomfacilities,shelters,parkingandtrailhead(s),shallnotexceed2,000squarefeet(excludinggradedandpavedareas).StructuresandimprovementswithintheRidgwayRecreationandEducationBuildingAreaexceedingthesquarefootagelimitationsetforthinthisSection5.3.10requireGrantor’sNotice(Section19)andGrantee’sApproval(Section20).5.3.11RidgwayPropertyAccessAreas.Grantormayplace,install,construct,maintain,repairandreplacethefollowingnewimprovementsinAccessAreas:(a)interpretive,regulatory,anddirectionalsignage;(b)wildliferesistanttrashcollectioncontainers;(c)postandrailorotherwildlifefriendlyfencingexceptwhereneededtopreventdamagetoagriculturalpropertyandproducts;(d)picnictablesandshelters;(e)benches;(f)accessibilityfacilities,and(g)suchotherimprovements,erosioncontrol,securitymeasures,parking,landscapingandberms,trails,andfacilitiesandimprovementsasGrantordeemsnecessaryforpublicaccesstoandenjoymentoftheRidgwayProperty.Themaximumcumulativesquarefootageofstructureswitharoof(e.g.coveredpicnicshelters)withintheareasfirstAmendmenttoHardscrabbteCE—RidgwayProperlyPage6
