COVENANT:NOWTHEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,GrantorsandGranteemutuallyagreeasfollows:1.Restriction.TheCovenantAreaissubjecttothistermsandconditionsofthisCovenant.Thedivision,subdivisionordefactosubdivisionoftheCovenantArea,whetherbylegalorphysicalprocess,intotwoormoreparcelsoflandorpartialorseparateinterests(includingbutnotlimitedto,condominiuminterestorthepartitionofundividedinterests)isprohibited.TheconstructionofanyNewImprovements(definedbelow)ontheCovenantAreaisprohibitedandtheCovenantAreashallbemaintainedinitsnatural,undevelopedstatetoallowforthemovementofwildlifethroughtheCovenantArea.a.ExistingImprovements.Thereisadrivewaytothemainhome,anaccessroadtotheRidgwayHomesites,andsomefencesontheCovenantArea.i.Grantorsshallhavetherighttorepair,replace,alter,andmaintaintheExistingImprovementsandsuchconstructionwillbethesoleresponsibilityofGrantors,theirsuccessorsandassigns.b.NewImprovements.i.Nonewdevelopment,installationorplacementofanytemporaryorpermanentbuildings,structures,mobileshomes,orequipment(“NewImprovements”)ispermittedintheCovenantArea.ii.Constructionofanynewroads,trails,motorizedpathsorpavingisnotpermittedontheCovenantArea.iii.NonewfencesmaybeconstructedontheCovenantArea.iv.UtilityImprovements.Grantorsmayinstall,maintain,repairandreplaceundergroundutilitieswithintheCovenantArea.AnygroundwithintheCovenantAreadisturbedbymaintenance,repairorreplacementoftheutilitiesshallberevegetatedandrestoredtoaconditionsimilartothatexistingpriortothedisturbance.c.NotforPublicUseorAccess.TheCovenantAreaisintendedtopreserveawildlifemigrationcorridorfreefromdevelopmentandthisCovenantdoesnotgrantanaccesseasementforusebythepublic.GranteemayvisittheCovenant2 Areawith48hoursadvancenoticetoGrantorsforthepurposeofmonitoringtheCovenantAreatoensurecompliancewiththisCovenant.U.Nomotorizeduse.MotorizeduseintheCovenantAreaisprohibited,excepttotraversetheexistingroads.2.OtherProhibitedUses.a.GrantorsshallnotestablishormaintainafeedlotontheCovenantArea.forpurposesofthisCovenant,“feedlot”meansapermanentlyconstructedareaorfacilitywhichisusedandmaintainedcontinuouslyandexclusivelyforpurposesofwarmuporfatteningoflivestockontheCovenantArea.b.GrantorsshallnotengageincommercialorindustrialoperationsasdefinedintheEagleCountyLandUseRegulationsontheCovenantArea.c.Nostorageofagri-chemicalsorotherchemicalsandnostorageofvehicles,trashorequipmentispermittedontheCovenantArea.Thetreatment,permanentstorage,disposalorreleaseofhazardousmaterialson,from,orundertheCovenantAreaisprohibited.ForpurposesofthisCovenant,hazardousmaterialsshallmeananyhazardousortoxicmaterialorwastethatissubjecttoanyfederal,stateorlocallaworregulation.NotwithstandinganythinginthisCovenanttothecontrary,thisprohibitiondoesnotimposeanyliabilityonGranteeforhazardousmaterials,nordoesitmakeGranteeanowneroftheCovenantArea.d.Nodevelopedgolfcourses,ballorrecreationalfields,equestriancenterorsimilarnon-dispersedrecreationshallbepermittedontheCovenantArea.e.Theexploration,miningorextractionofminerals,oil,gas,orotherhydrocarbons,soils,sands,gravel,rock,orothermaterialsonorbelowthesurfaceoftheCovenantAreaisprohibited.3.SubsequentTransfersoftheProperty.Grantorsagreetonotifyanypartywhomaypurchase,lease,orotherwiseholdaninterestintheCovenantAreaofthetermsofthisCovenant,andtoprovideacopyoftheCovenanttosuchparty.AnyconveyancedocumentshallexpresslyrefertothisCovenantandacknowledgethatallsubsequentownersorholdersofanysubsequentinterestintheCovenantAreaaresubjecttoitsterms.ThefailureofGrantorstoperformanyactrequiredbythisCovenantshallnotimpairthevalidityofthisCovenant.Further,Grantorsagreetogivewrittennoticeto3 GranteeofthetransferofanyinterestintheCovenantAreaatleastthirty(30)dayspriortothedateofsuchtransfer.4.Enforcement.ThePartiesacknowledgeandagreethatmonetarydamageswouldnotbesufficienttocompensateGrantee,foranybreachhereofbyGrantorsortheirsuccessorsorassigns.ShouldGrantorsortheirsuccessors,assignsoranyoccupantoftheCovenantAreabreachorthreatentobreachthetermsandconditionsofthisCovenant,thentheGranteeshallhavetheexpressright(butnottheobligation)toenforcetheprovisionshereofandmayexerciseallrightsandremedies,atlaworinequity,towhichitmaybeentitledonaccountofsuchbreach,includingwithoutlimitation,therighttoanactionfordamages,specificperformanceofthisCovenantand/orinjunctivereliefincludingobtainingatemporaryrestrainingorder.AnyPartyhavingtherighttoenforcethisCovenantshallnotbeliableforfailuretoenforceit.5.FurtherAssurances.ThePartiesheretofurtheragreetoexecutesuchotherdocumentsandinstrumentsasareormaybecomenecessaryinordertoeffectuateandcarryouttheobjectivesofthisCovenant.6.NoWaiver.ThefailureofanyPartytorequireperformanceofanyprovisionofthisCovenantshallnotbedeemedawaiverofanyrightsorremediesthatsaidPartymayhave,andshallnotlimittheParty’srighttoenforcetheprovisioninthefuture.Waiverofanybreachofanyprovisionshallnotbedeemedawaiverofanysucceedingbreachoftheprovisionorawaiveroftheprovisionitselforanyotherprovision.7.Subordination.TheCovenantAreaisnotsubjecttoanymortgagesorliensatthetimeofthegrantofthisCovenant,andthusnosubordinationisnecessary.NoprovisionsofthisCovenantshallbeconstruedasimpairingtheabilityofGrantorstousetheCovenantPropertyascollateralforsubsequentborrowing,providedthatanymortgageorlienarisingfromsuchborrowingshallbesubordinatetothisCovenant.8.Drafting.ThePartiesacknowledgethatthisCovenanthasbeennegotiatedatarm’slengthandingoodfaith,andthateachPartyhasbeengiventheopportunitytoberepresentedbyindependentlegalcounsel,andthatthisCovenantistheresultofmutualagreementandnegotiation,andshallnotbedeemedtohavebeendraftedsolelybyanyPartyandthePartiesherebywaivethebenefitofanyruleofcontractinterpretationorconstructionrequiringthatthesamebeconstruedagainstthedraftingpartyintheeventofambiguity.4
