EASEMENT:NOWTHEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,GrantorsandGranteemutuallyagreeasfollows:1.GrantofEasement.GrantorsherebygrantstoGranteea25footwideeasementforthebenefitofthepublicaperpetual,irrevocableandnon-exclusiveeasementacrossthePropertyasidentifiedonExhibitCattachedheretoandmadeaparthereof(the“RecreationAccess”).TheRecreationAccessisforaccesstoandfromtheFederalPublicLand.TheRecreationAccessshallbemadeavailabletoandisforthebenefitofthepublicfornon-motorized,lowimpactrecreation,includingbutnotlimitedto,hunting,pedestrian,bicycleuse,includinge-bikes,birdwatching,hiking,equestrian,snowshoeingandenvironmentaleducation.Motorizedvehicles,notincludinge-bikes,shallnotbepermittedwithintheRecreationAccess,exceptformaintenance,repairandemergencypurposesorasmayberequiredbylaw.2.RightsofGrantee.a.GranteemayentertheRecreationAccessatanytimetorepairandmaintaintheaccesstoandfromthefederalPublicLand.Repairandmaintenancemayincludetheadditiontoorremovalofsoil,removalofrockorvegetation,weedcontrolandplacementoferosioncontroldeviceswithintheRecreationAccess.b.GranteemayinstallsignswithintheRecreationAccesstomarktheaccessandtoidentifythePropertyasbeingsubjecttothisAgreement.Signagemayincludeinterpretative,directionalorregulatoryinformation.further,GranteemayinstallsignageonitsadjacentBrushCreekValleyRanchandOpenSpacepropertymakingknowntheexistenceoftheRecreationAccess.c.GranteeshallnotplaceanyimprovementsuponorwithintheRecreationAccess,withoutthepriorwrittenconsentofGrantors.d.Granteeshallhavetheright,butnottheobligation,toremoveorexcludefromtheRecreationAccess,anypersonswhoareinlocationsotherthantheRecreationAccessorwhoarenotengagedinpermitteduses.3.RightsofGrantors.a.GrantorsshallhavetherightsaccordedtothegeneralpublictousetheRecreationAccess.2 b.GrantorswillnotplaceanyimprovementsuponorwithintheRecreationAccess,withoutthepriorwrittenconsentofGrantee.4.NoChargeforAccess.NeitherGranteenorGrantorsshallchargeafeeforaccesstooruseoftheRecreationAccess.5.Insurance.GranteeagreestomaintaingeneralliabilityinsurancewhichpolicyshallprovideinsurancecoverageconsistentwiththelimitsofliabilityundertheColoradoGovernmentalImmunityAct.GranteeshallprovideGrantorswithevidenceofsuchinsuranceuponanyrequestthereforbyGrantor.6.Remedies.EachPartyshalthavetherightandpowertobringsuitinitsownnameforanylegalorequitablereliefduetolackofcompliancewithanyprovisionsofthisAgreement.7.NoLiability.GrantorsshallhavealloftheprotectionsavailabletoitunderColoradolaw.SeeC.R.S.§33-41-101etseq.GranteeshallhaveallprotectionsavailabletoitunderColoradolawandGranteedoesnotwaiveorintendtowaivethelimitationsofliabilitywhichareprovidedtoitundertheColoradoGovernmentalImmunityAct,C.R.S.§24-10-101et.seq.8.Recording.UponexecutionbytheParties,thisAgreementshallberecordedintherecordsoftheEagleCountyClerkandRecorder’sOffice.9.GoverningLawandVenue.ItistheintentionofthePartiesheretothatallquestionswithrespecttoconstructionandinterpretationofthisAgreementandtherightsandliabilitiesofthePartieshereundershallbedeterminedinaccordancewiththelawsoftheStateofColorado.VenueshallbeintheDistrictCourtofEagleCounty,Colorado.10.Notice.Allnoticesorothercommunicationsmadepursuantheretoshallbeinwritingandshallbedeemedproperlydelivered,givenorserved(i)whenpersonallydelivered,(ii)two(2)calendardaysafterbeingdepositedintheUnitedStatesmail,certifiedorregistered,postageprepaid,returnreceiptrequested,or(iii)whendeliveredbyfedExorothercomparablecourierservices,chargesprepaid,tothePartiesattheirrespectiveaddresslistedbelowfortheirsignatures.Eitherpartymaychangeitsaddressforthepurposesofthisparagraphbygivingfive(5)dayspriorwrittennoticeofsuchchangetotheotherparty.3
