EASEMENT:NOWTHEREFORE.inconsiderationofthemutualpromisesandcovenantscontainedherein,CountyandRidgwaymutuallyagreeasfollows:1.GrantofEasement.CountyherebygrantstoRidgwaysandtheirsuccessorsandassignsastheowneroftheRetainedParcel:(1)aperpetual,non-exclusivesepticfieldandaccesseasement(the“SepticfieldEasement”)appurtenanttotheRetainedParcelover,under,andacrosstheOpenSpaceParcelasdescribedinExhibitDandExhibit,attachedheretoandincorporatedherein.TheRidgwaysshallnotusetheSepticFieldEasementforanyotherpurposeexceptasdescribedherein.TheRidgwaysmayuse,maintain,replaceandrepairtheSepticfieldlocatedwithintheSepticfieldEasement,asdetailedbelowintheConstructionandMaintenancesection.TheSepticFieldEasementgrantedbythisAgreementisnon-exclusiveandCountyreservestherighttouseforitselfandtogranttoothersrights-of-wayover,under,acrossorthroughtheSepticFieldEasementhereingranted,providedthatitdoesnotinterferewiththerightofRidgwaystousethesameforthepurposeshereingranted.CountyreservestherighttouseandenjoythepremisestothefullestpossibleextentwithoutunreasonableinterferencewiththeexercisebyRidgwaysoftherightsgrantedinthisAgreement.Withoutlimitingtheforegoing,Countyreservestherighttoplacealong,across,under,overandthroughtheSepticFieldEasementundergroundelectriclines,powerlines,waterlines,sewerlines,gaslines,telephonelinesandotherutilitiesthatarereasonablynecessarytoservetheOpenSpaceParcelsubjecttotheRidgways’righttousethesameforthepurposeshereingranted;provided,however,thattheCountyshaltobtainthewrittenconsentoftheEVLTpriortoinstallationofanysuchutilities.EVLT’sapprovalofsuchutilityimprovementsmayonlybewithheldifEVLTreasonablydeterminesthatthereisanyriskthattheimprovementsasproposedareinconsistentwiththepurposeoftheconservationeasementencumberingtheOpenSpaceParcel(the“Purpose”).followingtheinstallation,repair,orreplacementofanysuchutilityimprovementbytheCounty,anyareasdisturbedbytheCountyshallberestoredtoaconditionthatisconsistentwiththePurposewithinoneyearaftersaidactivityiscompleted.ThegrantofSepticfieldEasementintotheOpenSpaceParcelshallnotconstituteanyrelinquishmentoftheCounty’spropertyrightswhetherthroughclaimsofadversepossessionoranyothermeans.2 2.ConstructionandMaintenance.Ridgwaysshallhavetherighttorepair,replace,alter,andmaintaintheSepticfieldwithintheSepticfieldEasementandsuchconstructionwillbethesoleresponsibilityofRidgwaysortheirsuccessorsandassigns.NoconstructionshallbecommenceduntilapprovedinwritingbyCounty;suchapprovalnottobeunreasonablywithheldordelayed.Notwithstandingtheforegoing,CountywillrequireRidgwaystorepairanydamagethattheymaycausetotheOpenSpaceParcelaspartoftheconstructionprocess.RidgwaysagreetoberesponsibleforallongoingnecessaryrepairandmaintenanceassociatedwiththecurrentandanyfutureworkcompletedwithintheSepticFieldEasement.3.Damagecausedbynegligence.IntheeventtheSepticfieldEasementisdamagedcausedsolelybythenegligenceofaPartytothisAgreement,orsuchParty’slicensees,employees,invitees,orguests,thensuchrepairtosuchdamageshallbeundertakenbytheresponsiblepartyatitssolecostandexpensewithinareasonabletimeafterthenegligencewhichcausedtheneedfortherepair.4.Indemnification.Ridgwaysshall,tothefullestextentpermittedbylaw,indemnifyandholdharmlessCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountyoranyofitsofficers,agents,oremployeesmaybecomesubjecttoinsofarasanysuchlosses,claims,damagesorliabilitiesariseoutof,directlyorindirectly,thisAgreementortheSepticFieldEasement,orarebaseduponanyperformanceornonperformancebyRidgwayshereunderoritssuccessorsorassigns;andRidgwaysshallreimburseCountyforanyandalllegalandotherexpensesincurredbyCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.5.Insurance.GranteesagreetomaintaingeneralliabilityinsurancewhichpolicyshallprovideinsurancecoverageconsistentwiththelimitsofliabilityundertheColoradoGovernmentalImmunityAct.ThegeneralliabilitypolicyshallnameGrantorandtheEVLTasadditionalinsureds.GranteesshallprovideGrantorwithevidenceofsuchinsuranceuponanyrequestthereforbyGrantor.6.NoticeofDefault,RighttoCure.IntheeventofanydefaultundertheprovisionsofthisAgreement.thenon-defaultingpartyshall,priortotheexerciseofanyrightorremedy,givethepartyallegedtobeindefaultwrittennoticeofsuchnoticetocuresaiddefaulttogetherwiththerightforaperiodoften(10)daysafterreceiptofsuchnoticetocuresaiddefault.Ifanallegeddefaultisbyitsnatureisnotcapableofbeingcuredwithinthetimeprovided,thepartyallegedtobeindefaultshall,providedthepartyisproceedingwithallduediligence,haveuptoanadditionaltwenty(20)days3 tocuresaiddefault.Ifadefaultisnotcuredwithinthetimeprovidedoranyextensionthereof(whichrighttocureperiodshallnotunderanycircumstancesexceedintheaggregatethirty(30)days),thennon-defaultingpartyshallthenandthereafterbefreetopursueanyrightorremedyallowedbythisAgreementorotherwisebylaw.7.Remedies.EachPartyshallhavetherightandpowertobringsuitinitsownnameforanylegalorequitablereliefduetolackofcompliancewithanyprovisionsofthisAgreement.8.NoWaiver.ThefailureofeitherPartytoinsistonstrictperformanceofanyprovisionsofthisAgreementortoexerciseanyrightoroptionavailabletoit,ortoserveanynoticetoortoinstateanyaction,shallnotbeawaiverorarelinquishmentforthefutureofanysuchprovision.9.Recording.UponexecutionbytheParties,thisAgreementshallberecordedintherecordsoftheEagleCountyClerkandRecorder’sOffice.10.GoverningLawandVenue.ItistheintentionofthePartiesheretothatallquestionswithrespecttoconstructionandinterpretationofthisAgreementandtherightsandliabilitiesofthePartieshereundershallbedeterminedinaccordancewiththelawsoftheStateofColorado.VenueshallbeintheDistrictCourtofEagleCounty,Colorado.11.Notice.Allnoticesorothercommunicationsmadepursuantheretoshallbeinwritingandshallbedeemedproperlydelivered,givenorserved(1)whenpersonallydelivered,(ii)two(2)calendardaysafterbeingdepositedintheUnitedStatesmail,certifiedorregistered,postageprepaid,returnreceiptrequested,or(iii)whendeliveredbyFedExorothercomparablecourierservices,chargesprepaid,tothePartiesattheirrespectiveaddresslistedbelowfortheirsignatures.EitherPartymaychangeitsaddressforthepurposesofthisparagraphbygivingfive(5)dayspriorwrittennoticeofsuchchangetotheotherParty.Grantor:EagleCounty,ColoradoAttn:OpenSpaceManager500BroadwayPostOfficeBox850Eagle,CO81631Telephone:970-328-86984 15.CorrectionDocuments.IntheeventanyclericalorothererrorsarefoundinthisAgreementthePartiesagreetopromptlyexecute,acknowledge,initialand/ordeliverasnecessaryanydocumentationinordertocorrecttheerroneousdocument,ordescription.16.BindingEffect.AllprovisionsofthisAgreementinuretothebenefitofandarebindinguponthePartieshereto,theirsuccessors,assignsandpersonalrepresentatives.17.Modifications.ThePartiesagreethatanymodificationsofthisAgreementshallbeeffectiveonlywhenmadeinwritingsignedbybothPartiesandrecordedwiththeClerkandRecorderofEagleCounty,Colorado;providedthatnosuchmodificationtothewidth,useorlocationoftheSepticFieldEasementshallbemadewithoutthepriorwrittenconsentofEVLT,whichconsentshallnotbeunreasonablydelayed,conditionedorwithheldtotheextentsuchmodificationisconsistentwiththetermsoftheconservationeasementontheOpenSpaceParcel.1$.EntireAgreement.ThisAgreementandanyotherdocumentsmadeorgiveninconnectionherewithortherewithconstitutetheentireunderstandingandagreementbetweenthePartieswithrespecttothemattersprovidedforhereinandsupersedesallpriorwrittenororalunderstandingsandagreementsbetweenthePartieswithrespectthereto.19.NoThirdPartyBeneficiary.Notwithstandinganythingtothecontraryherein,thisAgreementisenteredintobyandbetweenCountyandRidgwaysandtheirsuccessorsandassignsandisalsoforthebenefitofEVLTandtheStateBoardofGreatOutdoorsColoradoTrustfund.Otherthanthepartiesexpresslyidentifiedinthisparagraph19,thisAgreementdoesnotcreaterightsandresponsibilitiesinthirdParties.fSignaturestofollow]6
