foracertainwellandassociatedinfrastructureeasementburdeningportionsoftheOpenSpaceParcelwhichareforthebenefitoftheRetainedParcel.EASEMENT:NOWTHEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,CountyandRidgwaymutuallyagreeasfollows:1.GrantofEasement.CountyherebygrantstoRidgwaysandtheirsuccessorsandassignsastheowneroftheRetainedParcel:(1)aperpetual,non-exclusivewell,associatedinfrastructure,andaccesseasement(the“WellEasement”)appurtenanttotheRetainedParcelover,under,andacrosstheOpenSpaceParcelasdescribedinExhibitDandExhibitE,attachedheretoandincorporatedherein.TheRidgwaysshallnotusetheWellEasementforanyotherpurposeexceptasdescribedherein.TheRidgwaysmayuse,maintainandrepairthewellandassociatedinfrastructurelocatedwithintheWellEasement,asdetailedbelowintheConstructionandMaintenancesection.TheWellEasementgrantedbythisAgreementisnon-exclusiveandCountyreservestherighttouseforitselfandtogranttoothersrights-of-wayover,under,acrossorthroughtheWellEasementhereingranted,providedthatitdoesnotinterferewiththerightofRidgwaystousethesameforthepurposeshereingranted.CountyreservestherighttouseandenjoythepremisestothefullestpossibleextentwithoutunreasonableinterferencewiththeexercisebyRidgwaysoftherightsgrantedinthisAgreement.Withoutlimitingtheforegoing,Countyreservestherighttoplacealong,across,under,overandthroughtheWellEasementundergroundelectriclines,powerlines,waterlines,sewerlines,gaslines,telephonelinesandotherutilitiesthatarereasonablynecessarytoservetheOpenSpaceParcelsubjecttotheRidgways’righttousethesameforthepurposeshereingranted;provided,however,thattheCountyshallobtainthewrittenconsentoftheEVLTpriortoinstallationofanysuchutilities.EVLT’sapprovalofsuchutilityimprovementsmayonlybewithheldifEVLTreasonablydeterminesthatthereisanyriskthattheimprovementsasproposedareinconsistentwiththepurposeoftheconservationeasementencumberingtheOpenSpaceParcel(the“Purpose”).Followingtheinstallation,repair,orreplacementofanysuchutilityimprovementbytheCounty,anyareasdisturbedbytheCountyshallberestoredtoaconditionthatisconsistentwiththePurposewithinoneyearaftersaidactivityiscompleted.2
ThegrantofWellEasementintotheOpenSpaceParcelshallnotconstituteanyrelinquishmentoftheCounty’spropertyrightswhetherthroughclaimsofadversepossessionoranyothermeans.2.ConstructionandMaintenance.Ridgwaysshallhavetherighttorepair,replace,alter,andmaintaintheWellEasementandsuchconstructionwillbethesoleresponsibilityofRidgwaysortheirsuccessorsandassigns.NoconstructionshallbecommenceduntilapprovedinwritingbyCounty;suchapprovalnottobeunreasonablywithheldordelayed.Notwithstandingtheforegoing,CountywillrequireRidgwaystorepairanydamagethattheymaycausetotheOpenSpaceParcelaspartoftheconstructionprocess.RidgwaysagreetoberesponsibleforallongoingnecessaryrepairandmaintenanceassociatedwiththecurrentandanyfutureworkcompletedwithintheWellEasement.3.Damagecausedbynegligence.IntheeventtheWellEasementisdamagedcausedsolelybythenegligenceofaPartytothisAgreement.orsuchParty’sLicensees,employees,invitees,orguests,thensuchrepairtosuchdamageshallbeundertakenbytheresponsiblePartyatitssolecostandexpensewithinareasonabletimeafterthenegligencewhichcausedtheneedfortherepair.4.Indemnification.Ridgwaysshall,tothefullestextentpermittedbylaw,indemnifyandholdharmlessCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountyoranyofitsofficers,agents,oremployeesmaybecomesubjecttoinsofarasanysuchlosses,claims,damagesorliabilitiesariseoutof,directlyorindirectly,thisAgreementortheWellEasement,orarebaseduponanyperformanceornonperformancebyRidgwayshereunderoritssuccessorsorassigns;andRidgwaysshallreimburseCountyforanyandalllegalandotherexpensesincurredbyCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.5.NoticeofDefault,RighttoCure.IntheeventofanydefaultundertheprovisionsofthisAgreement,thenon-defaultingpattyshall,priortotheexerciseofanytightorremedy,givethepartyallegedtobeindefaultwrittennoticeofsuchnoticetocuresaiddefaulttogetherwiththerightforaperiodoften(10)daysafterreceiptofsuchnoticetocuresaiddefault.Ifanallegeddefaultisbyitsnatureisnotcapableofbeingcuredwithinthetimeprovided,thepartyallegedtobeindefaultshall,providedthepartyisproceedingwithallduediligence,haveuptoanadditionaltwenty(20)daystocuresaiddefault.Ifadefaultisnotcuredwithinthetimeprovidedoranyextensionthereof(whichrighttocureperiodshallnotunderanycircumstancesexceedinthe3
aggregatethirty(30)days),thennon-defaultingpartyshallthenandthereafterbefreetopursueanyrightorremedyallowedbythisAgreementorotherwisebylaw.6.Insurance.GranteesagreetomaintaingeneralliabilityinsurancewhichpolicyshallprovideinsurancecoverageconsistentwiththelimitsofliabilityundertheColoradoGovernmentalImmunityAct.ThegeneralliabilitypolicyshallnameGrantorandtheEVLTasadditionalinsureds.GranteesshallprovideGrantorwithevidenceofsuchinsuranceuponanyrequestthereforbyGrantor.7.Remedies.EachPartyshallhavetherightandpowertobringsuitinitsownnameforanylegalorequitablereliefduetolackofcompliancewithanyprovisionsofthisAgreement.8.NoWaiver.ThefailureofeitherPartytoinsistonstrictperformanceofanyprovisionsofthisAgreementortoexerciseanyrightoroptionavailabletoit,ortoserveanynoticetoortoinstateanyaction,shallnotbeawaiverorarelinquishmentforthefutureofanysuchprovision.9.Recording.UponexecutionbytheParties,thisAgreementshallberecordedintherecordsoftheEagleCountyClerkandRecorder’sOffice.10.GoverningLawandVenue.ItistheintentionofthePartiesheretothatallquestionswithrespecttoconstructionandinterpretationofthisAgreementandtherightsandliabilitiesofthePartieshereundershallbedeterminedinaccordancewiththelawsoftheStateofColorado.VenueshallbeintheDistrictCourtofEagleCounty,Colorado.II.Notice.Allnoticesorothercommunicationsmadepursuantheretoshallbeinwritingandshallbedeemedproperlydelivered,givenorserved(i)whenpersonallydelivered.(ii)two(2)calendardaysafterbeingdepositedintheUnitedStatesmail,certifiedorregistered,postageprepaid,returnreceiptrequested,or(iii)whendeliveredbyfedExorothercomparablecourierservices,chargesprepaid,tothepartiesattheirrespectiveaddresslistedbelowfortheirsignatures.EitherPartymaychangeitsaddressforthepurposesofthisparagraphbygivingfive(5)dayspriorwrittennoticeofsuchchangetotheotherParty.4

solelybyanyPartyandthePartiesherebywaivethebenefitofanyruleofcontractinterpretationorconstructionrequiringthatthesamebeconstruedagainstthedraftingpartyintheeventofambiguity.14.RunwiththeLand.AllprovisionsofthisAgreementincludingthebenefitsandburdenscreatedherebyshallrunwiththeland.ThisAgreementismadesubjecttoanyexistingeasements,reservations,restrictionsorrightsofway.15.CorrectionDocuments.IntheeventanyclericalorothererrorsarefoundinthisAgreementthePartiesagreetopromptlyexecute,acknowledge,initialand/ordeliverasnecessaryanydocumentationinordertocorrecttheerroneousdocument,ordescription.16.BindingEffect.AllprovisionsofthisAgreementinuretothebenefitofandarebindinguponthePartieshereto,theirsuccessors,assignsandpersonalrepresentatives.17.Modifications.ThePartiesagreethatanymodificationsofthisAgreementshallbeeffectiveonlywhenmadeinwritingsignedbybothPartiesandrecordedwiththeClerkandRecorderofEagleCounty,Colorado;providedthatnosuchmodificationtothewidth,useorlocationoftheWellEasementshallbemadewithoutthepriorwrittenconsentofEVLT,whichconsentshallnotbeunreasonablydelayed,conditionedorwithheldtotheextentsuchmodificationisconsistentwiththetermsoftheconservationeasementontheOpenSpaceParcel.1$.EntireAgreement.ThisAgreementandanyotherdocumentsmadeorgiveninconnectionherewithortherewithconstitutetheentireunderstandingandagreementbetweenthePartieswithrespecttothemattersprovidedforhereinandsupersedesallpriorwrittenororalunderstandingsandagreementsbetweenthepartieswithrespectthereto.19.NoThirdPartyBeneficiary.Notwithstandinganythingtothecontraryherein,thisAgreementisenteredintobyandbetweenCountyandRidgwaysandtheirsuccessorsandassignsandisalsoforthebenefitofEVLTandtheStateBoardofGreatOutdoorsColoradoTrustfund.Otherthanthepartiesexpresslyidentifiedinthisparagraph19,thisAgreementdoesnotcreaterightsandresponsibilitiesinthirdparties.[Signaturestofollow]6
