G.ThePartiesdesiretosetforthhereintheiragreementsregardingtheexistenceoftheDitchonandwithintheGrantors’PropertyandtheCounty’saccesstotheHeadgate,anduse,operation,maintenance,repairandreplacementoftheDitchandHeadgate;andH.TheDitchEasementconveyedhereinisinadditionto,andnotasareplacementfor,anyexistingditchrightsandinterestsCountymayhaveasaresultofowningtheIrrigationRight.NOWTHEREFORE,inconsiderationofthemutualpromises,covenantsandconveyancessetforthherein,andforothergoodandvaluableconsiderationthereceiptandsufficiencyofwhichisherebyacknowledged,thePartiesheretoagreeasfollows:1.IncorporationofRecitalsandExhibits.TheforegoingRecitalsaretrueandcorrectandincorporatedhereinbythisreference.Anyexhibitsreferencedinthisdocumentarealsoincorporatedbyreferencetosaidexhibits.2.GrantofEasement.TheGrantorherebygrantsandconveystotheCounty,forthebenefitoftheCounty,aperpetual,non-exclusiveeasementfortheaccess,inspection,operation,maintenance,repairandreplacementoftheDitch,Headgate,andtheirappurtenantstructuresbytheCounty,asmorespecificallydescribedinthisParagraph(the“Easement”).2.1.Purposes.ThepurposesoftheEasementarefortheaccess,inspection,operation,maintenance,repairandreplacementoftheDitch,Headgate,andtheirappurtenantstructuresasnecessaryfortheCountytoexerciseitswaterrightsdescribedinRecitalsCandDinaccordancewiththisAgreement.2.2.Description.ThelocationanddimensionsoftheEasementaredescribedanddepictedonExhibitCandExhibitD.2.3.County’sActivitiesWithinEasement.TheCountywiLlhaveaccesstoandwithintheEasementareatoaccomplishthepurposesoftheEasement.Exceptintheeventofemergency,theCountyshallmakereasonableeffortstoprovidenoticetotheGrantoratleast48hourspriortoenteringtheGrantorPropertyandwillcooperatewiththeGrantorstoexerciseitsrightsofentryhereunderwithconsiderationfortheGrantors’rightandinterestintheenjoymentanduseoftheGrantorProperty.TheCountyshallberesponsibleforrestoringallareasdisturbedwithintheEasement,ifany,totheconditionthatexistedpriortosuchdisturbance.3.Notice.Allnoticesorothercommunicationsmadepursuantheretoshallbeinwritingandshallbedeemedproperlydelivered,givenorserved(i)whenpersonallydelivered,(ii)two(2)calendardaysafterbeingdepositedintheUnitedStatesmail,certifiedorregistered,postageprepaid,returnreceiptrequested,or(iii)whendeliveredbyFedExorothercomparablecourierservices,chargesprepaid,tothepartiesattheirrespectiveaddresslistedbelowfortheirsignatures.Eitherpartymaychangeitsaddressforthepurposesofthisparagraphbygivingfive(5)dayspriorwrittennoticeofsuchchangetotheotherparty.2

6.RightsCumulative.Allrights,powers,remediesandprivilegesconferredhereunderuponthePartiesshallbecumulativeandnotrestrictivetothosegivenbylaworinequityunlessotherwiseexpresslylimited.7.BindingEffect/RunWiththeLand.TheprovisionsofthisAgreement,includingthebenefitsandburdenscreatedthereby,shallrunwiththelandforeverandshallconstituteaburdentotheGrantorPropertyandabenefittotheCountyandshallrunwithtitletotheGrantorProperty.ThisAgreementshallberecordedintherealpropertyrecordsofEagleCounty,Colorado,andtheCountywillarrangefortherecording.TheprovisionsofthisAgreementshallinuretothebenefitofandbebindinguponthePartiesandtheirsuccessors-in-interest.8.Remedies.AnyPartyshallhavetherightandpowertobringlegalactioninitsownnameforlegalorequitablereliefduetolackofcompliancewithanyoftheprovisionsofthisAgreement.ThePartiesagreethatinjunctivereliefmaybeappropriateintheeventofabreachofthisAgreementandthatadecreeofspecificperformancemaybegrantedbythecourt.9.NoWaiver.ThefailureofanyPartytothisAgreementtoinsistontheperformanceofanyofthetermsandconditionsofthisAgreement,orthewaiverofanybreachofanyofthetermsandconditionsofthisAgreement,shallnotbeconstruedasthereafterwaivinganysuchtermsandconditions,butthesameshallcontinueandremaininfullforceandeffectasifnosuchforbearanceorwaiverhadoccurred.10.CompleteAgreement:AmendmentsinWriting.ThisAgreementconstitutestheentireandcompleteagreementbetweenthePartiesconcerningthesubjectmatterhereofandsupersedesallpriororcontemporaneousagreements,understandings,andcommunicationsbetweentheParties(whetheroralorwritten).ThisAgreementmaynotbeamended,normayanyrightshereunderbewaived,exceptbyaninstrumentinwritingexecutedbythePartiesheretoanddulyrecordedintherealestaterecordsofEagleCounty,Colorado.11.ColoradoLaw.Theinterpretation,enforcementoranyothermattersrelativetothisAgreementshallbeconstruedanddeterminedinaccordancewiththelawsoftheStateofColorado.VenueforallactionsarisingunderthisAgreementshallbeEagleCounty,Colorado.12.CorrectionDocuments.IntheeventanyclericalorothererrorsarefoundinthisAgreementoranylegaldescriptionsorotherexhibitshereto,orintheeventanyexhibitshallbemissing.thePartiesagreetopromptlyexecute,acknowledge,initialand/ordeliverasnecessaryanydocumentationinordertocorrecttheerroneousdocument,description,orexhibitortoprovideanymissingexhibit.13.Grantors’andCounty’sWarranties.TheGrantorswarrantthattheyarethesoleownersoftheProperty,haveallnecessarypowerandauthoritytogranttheEasementgrantedherebyandthatthisinstrumenthasbeendulyauthorized,approvedandexecutedbytheGrantors.TheCountywarrantsthatthisinstrumenthasbeendulyauthorized,approvedandexecutedbytheCounty.EachPartyanditssignatoriesrepresentthattheyhavefullpower,authorityandabilitytoenterintothisAgreementandtoperformitsobligationshereunder.4
