I.GrantofEasement.CountyherebygrantstoRidgwaysandtheirsuccessorsandassignsastheowneroftheRetainedParcelandtheRidgwayKomesites:(1)aperpetual,non-exclusiveaccessandutilityeasement(the“RidgwayAccessandUtilityEasement”)appurtenanttotheRetainedParcel25feetinwidth,over,under,andacrosstheOpenSpaceParcelalongthealignmentdescribedinExhibitE,attachedheretoandincorporatedherein.2.RidgwayAccessandUtilityEasement.a.Ridgwaysshallhavetherighttoallformsofsurfacetravel,includingbutnotlimitedtopedestrian,equestrian,vehicleandbicycletravel,toandfromtheRetainedParceland/orRidgewayHomesitesalongtheRidgwayAccessandUtilityEasement,providedhoweverthatsuchtravelisconductedinareasonablemannerwhichdoesnotdisrupttheCountyorpublicuseoftheRidgwayAccessandUtilityEasement,togetherwiththerightfromtimetotimetomaintain,repair,operate,andreplaceagravelorsimilarroadwaysurfacewithinthealignmentoftheRidgwayAccessandUtilityEasement,andtherightfromtimetotimetoinstallmaintain,repair,operate,replaceandremoveutilitylines,connectionsandrelatedfacilitiesprovidingutilityservicetoandfromtheRetainedParcelandtheRidgwayHomesites,whichshallbelocatedunderneaththeroadwaysurfacewithintheRidgwayAccessandUtilityEasement.3.JointObligations.a.SharedMaintenanceandRepairoftheRoadway.ThePartiesjointlyagreetogenerallymaintaintheexistingroadwaywithintheRidgwayAccessandUtilityEasementinitscurrentconfigurationandlocationandwiththecurrentroadbaseandsurfacematerials,andthecostofsuchmaintenancefromtimetotimeshallbedeterminedbythePartiesattimeofwork.TotheextentthateitherPartydesirestoperformanyitemofmaintenanceofsuchportionoftheexistingroadwaythatisjointlyusedbytheParties,thePartydesiringtoperformsuchwork(the“RequestingParty”)shallnotifytheotherParty(“OtherParty”)inwritingofitsintentiontodoso,whichnoticeshallspecifyinreasonabledetailthenatureandestimatedscopeandcostoftheworktobeperformedandthedesiredmaintenance,alteration,repair,replacementormodificationoftheexitingroadwayshallonlybeperformeduponthepriorwrittenconsentoftheOtherPartyandinaccordancewiththetermsandconditionsofthisAgreement.2 b.Plowing.ThePartiesagreetosharethecostofsnowremovaltomaintainaccesstotheOpenSpaceParcel,theRetainedParcelandtheRidgwayHomesitesalongtheexistingroadwaywithintheRidgwayAccessandUtilityEasementinitscurrentconfigurationandlocationandthecostofsuchplowingshallbesharedequallybytheParties.c.BridgeRepair.ThePartiesagreethatthepartydesiringtomaintain,repairorreplacethebridge(“RepairParty”)shallberesponsibleforallcostsassociatedwithsuchbridgemaintenance,repairorreplacement.TheRepairPartyshallberesponsibleforobtainingallpermits,grading,demolitionorotherpermitsnecessaryforsuchwork.Anyworkshallbeperformedasexpeditiouslyaspossibleandinagoodandworkmanlikemannerwithproperlylicensedandinsuredprofessionals.Uponcompletionofthework,theRepairPartyshallrestore,re-vegetateandregradeportionsoftheeasementaffectedbysuchworkascloselyaspossibletotheconditionthatexistedpriortothecommencementofsuchwork.TheRepairPartyshallpromptlypayforallworkperformedonbehalfofitintheeasementandshallnotpermittherecordingofanymechanic’sliensagainsttheOpenSpaceParcel.d.Utilityinstallation.TheRidgwaysshallhavetherightfromtimetotimetoinstallundergroundutilitiesintheRidgwayAccessandUtilityEasementforthepurposeofservingnomorethanfive(5)totalresidences,oneofwhichalreadyexists,ontheRetainedParcelandtheRidgewayHomesites.Ridgwaysshallberesponsibletopayforthecostsassociatedwithmaintaining,repairing,operating,replacingandremovingsuchundergroundutilities.AnyworkassociatedwiththeinstalledutilitiesisatRidgways’soleexpense.Ridgwaysshallberesponsibleforobtainingallpermits,grading,demolitionorotherpermitsnecessaryforsuchwork.Anyworkshallbeperformedasexpeditiouslyaspossibleandinagoodandworkmanlikemannerwithproperlylicensedandinsuredprofessionals.Uponcompletionofthework,Ridgwaysshallrestore,re-vegetateandregradeportionsoftheeasementaffectedbysuchworkascloselyaspossibletotheconditionthatexistedpriortothecommencementofsuchwork.RidgwaysshallpromptlypayforallworkperformedonbehalfofRidgwaysintheeasementandshallnotpermittherecordingofanymechanic’sliensagainsttheOpenSpaceParcel.e.Damagecausedbynegligence.IntheeventtheRidgwayAccessandUtilityEasementisdamagedcausedsolelybythenegligenceofapartytothisAgreement,orsuchparty’slicensees,employees,invitees,orguests,thensuchrepairtosuchdamageshallbeundertakenbytheresponsiblepartyatitssolecost3 andexpensewithinareasonabletimeafterthenegligencewhichcausedtheneedfortherepair.f.NointerferenceorObstruction.NeitherPartyshallobstruct,impedeorinterferewiththereasonableuseoftheRidgwayAccessandUtilityEasementbytheRidgwaysortheCountyforthepurposesdescribedherein.g.NoticeofDefault,RighttoCure.IntheeventofanydefaultundertheprovisionsofthisAgreement,thenon-defaultingpartyshall,priortotheexerciseofanyrightorremedy,givethepartyallegedtobeindefaultwrittennoticeofsuchnoticetocuresaiddefaulttogetherwiththerightforaperiodoften(10)daysafterreceiptofsuchnoticetocuresaiddefault.Ifanallegeddefaultisbyitsnatureisnotcapableofbeingcuredwithinthetimeprovided,thepartyallegedtobeindefaultshall,providedthepartyisproceedingwithallduediligence,haveuptoanadditionaltwenty(20)daystocuresaiddefault.Ifadefaultisnotcuredwithinthetimeprovidedoranyextensionthereof(whichrighttocureperiodshallnotunderanycircumstancesexceedintheaggregatethirty(30)days),thennon-defaultingpartyshallthenandthereafterbefreetopursueanyrightorremedyallowedbythisAgreementorotherwisebylaw.h.Remedies.EachPartyshallhavetherightandpowertobringsuitinitsownnameforanylegalorequitablereliefduetolackofcompliancewithanyprovisionsofthisAgreement.i.NoWaiver.ThefailureofeitherPartytoinsistonstrictperformanceofanyprovisionsofthisAgreementortoexerciseanyrightoroptionavailabletoit,ortoserveanynoticetoortoinstateanyaction,shallnotbeawaiverorarelinquishmentforthefutureofanysuchprovision.4.Recording.UponexecutionbytheParties,thisAgreementshallberecordedintherecordsoftheEagleCountyClerkandRecorder’sOffice.5.GoverningLawandVenue.ItistheintentionofthePartiesheretothatallquestionswithrespecttoconstructionandinterpretationofthisAgreementandtherightsandliabilitiesofthePartieshereundershallbedeterminedinaccordancewiththelawsoftheStateofColorado.VenueshallbeintheDistrictCourtofEagleCounty,Colorado.6.Notice.Allnoticesorothercommunicationsmadepursuantheretoshallbeinwritingandshallbedeemedproperlydelivered,givenorserved(i)whenpersonally4 7.Insurance.GranteesagreetomaintaingeneralliabilityinsurancewhichpolicyshallprovideinsurancecoverageconsistentwiththelimitsofliabilityundertheColoradoGovernmentalImmunityAct.ThegeneralliabilitypolicyshallnameGrantorandtheEagleValleyLandTrustasadditionalinsureds.GranteesshallprovideGrantorwithevidenceofsuchinsuranceuponanyrequestthereforbyGrantor.8.Severability.Wheneverpossible,eachprovisionofthisAgreementshallbeinterpretedinsuchamannerastobevalidunderapplicablelaw;provided,however,ifanyprovisionofthisAgreementshallbeinvalidorprohibitedunderapplicablelaw,suchprovisionshallbeineffectivetotheextentofsuchinvalidityorprohibitionwithoutinvalidatingtheremainingprovisionsofthisAgreement.9.Drafting.ThePartiesacknowledgethatthisRidgwayAccessandUtilityEasementhasbeennegotiatedatarm’slengthandingoodfaith,andthateachPartyhasbeengiventheopportunitytoberepresentedbyindependentlegalcounsel,andthatthisRidgwayAccessandUtilityEasementistheresultofmutualagreementandnegotiation,andshallnotbedeemedtohavebeendraftedsolelybyanyPartyandthePartiesherebywaivethebenefitofanyruleofcontractinterpretationorconstructionrequiringthatthesamebeconstruedagainstthedraftingpartyintheeventofambiguity.10.RunwiththeLand.AllprovisionsofthisAgreementincludingthebenefitsandburdenscreatedherebyshallrunwiththeland.ThisAgreementismadesubjecttoanyexistingeasements,reservations,restrictionsorrightsofway.11.CorrectionDocuments.IntheeventanyclericalorothererrorsarefoundinthisAgreement,thePartiesagreetopromptlyexecute,acknowledge,initialand/ordeliverasnecessaryanydocumentationinordertocorrecttheerroneousdocument,ordescription.12.BindingEffect.AllprovisionsofthisAgreementinuretothebenefitofandarebindinguponthePartieshereto,theirsuccessors,assignsandpersonalrepresentatives.13.Modifications.ThePartiesagreethatanymodificationsofthisAgreementshallbeeffectiveonlywhenmadeinwritingsignedbybothPartiesandrecordedwiththeClerkandRecorderofEagleCounty,Colorado;providedthatnosuchmodificationtothewidth,useorlocationoftheAccessandUtilityEasementshallbemadewithoutthepriorwrittenconsentofEagleValLeyLandTrust,whichconsentshallnotbe6 unreasonablydelayed,conditionedorwithheldtotheextentsuchmodificationisconsistentwiththetermsoftheconservationeasementontheOpenSpaceParcel.14.EntireAgreement.ThisAgreementandanyotherdocumentsmadeorgiveninconnectionherewithortherewithconstitutetheentireunderstandingandagreementbetweenthePartieswithrespecttothemattersprovidedforhereinandsupersedesallpriorwrittenororalunderstandingsandagreementsbetweenthePartieswithrespectthereto.15.NoThirdPartyBeneficiary.Notwithstandinganythingtothecontraryherein,thisAgreementisenteredintobyandbetweenCountyandRidgwaysandtheirsuccessorsandassignsandisalsoforthebenefitofEagleValleyLandTrustandtheStateBoardofGreatOutdoorsColoradoTrustfund.Otherthanthepartiesexpresslyidentifiedinthisparagraph15,thisAgreementdoesnotcreaterightsandresponsibilitiesinthirdparties.[Signaturestofollow]7
