AGREEMENT FOR RELOCATION OF WILKINSON DITCH LATERAL,
CONSTRUCTION AND TEMPORARY CONSTRUCTION EASEMENT AGREEMENT
THIS TEMPORARY CONSTRUCTION EASEMENT AGREEMENT (the “Agreement”) is
made as of the _________________________, (the “Effective Date”) between the COUNTY OF
EAGLE, STATE OF COLORADO, whose address is P.O. Box 850, Eagle CO 81631 (“Grantor” or
“County”), and BCP-ARR, Houses and Lots, LLC, whose address is 1555 Blake Street Suite 210
Denver, CO 80202 (“Grantee”). Grantor and Grantee shall collectively be referred to as the “Parties”.
WITNESSETH:
WHEREAS, Grantor is the fee owner of certain real property more particularly described on
Exhibit A attached hereto and incorporated herein, which is referred to as the Brush Creek Valley
Ranch and Open Space in the County of Eagle, State of Colorado (the "Property"); and
WHEREAS, the Property is subject to a Conservation Easement recorded in the Eagle County,
Colorado real property records at Reception Number 201723583 (the “Conservation Easement”).
Pursuant to the Conservation Easement Section 6.10, the Grantor may relocate ditches and laterals;
and
WHEREAS, the Wilkinson Ditch traverses the Property and Grantor possesses a decreed right
to use water diverted at and carried through the Wilkinson Ditch, and specifically across the Property;
and
WHEREAS, Grantor acknowledges that Grantee proposed and agreed to construct two pullout
areas on (the “Pullout Areas”) Brush Creek Road (one in each direction) in accordance with an
amendment to the Frost Creek Planned Unit Development, approved by the County on January 31,
2017 reflected in Resolution 2017-033 adopted on June 27, 2017, as modified by Resolution 2019-
017, approved on July 2, 2019, and Resolution 2020-047, approved on June 30, 2020;
WHEREAS, Grantee must also obtain a Right of Way Permit from Eagle County Engineering
to construct the Pullout Areas and has submitted a permit application for review on August 4, 2020;
and
WHEREAS, a portion of said Pullout Areas will not be within the Brush Creek Road right-
of-way adjacent to the Property and the Grantee requires permission to work on the Property; and
WHEREAS, in order to complete the Pullout Areas, Grantee must also relocate a portion of a
lateral of the Wilkinson Ditch (the “Lateral”) from its current alignment on the Property. For purposes
of this Agreement, the Pullout Areas (including fence installation) and Lateral construction are
considered the “Project” and Grantor desires to accommodate Grantee’s request; and
WHEREAS, Grantee desires to temporarily use a portion of the Property for the purposes of
access, grading and construction to relocate the Lateral and for construction of the Project, as
described in the Final Drawings, including construction staging, parking, and storage of materials on
the Property; and

WHEREAS, Grantor desires to grant to Grantee and Grantee desires to obtain from Grantor,
a temporary construction easement on the Property for the benefit of Grantee for the construction of
the Project, all in accordance with the terms and conditions of this Agreement; and
WHEREAS, in consideration of the easement grant, Grantee shall design and pay for the
installation of the Project as set forth herein.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing premises and the following promises,
and for good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, the Parties hereto hereby agree as follows:
1. Grant of Temporary Easement. Grantor for good and valuable consideration, the
receipt and sufficiency of which is hereby confessed and acknowledged, hereby grants to Grantee, its
contractors, subcontractors, employees and agents, a non-exclusive temporary construction and
access easement over, under, upon and across the Property in the locations described and depicted as
“limits of disturbed area” on Exhibit B (collectively the “Temporary Easement”) to (i) construct the
Project as shown in the Final Drawings (defined below), including but not limited to, grading work,
and the transport, stockpiling, and storage of construction materials, soil, equipment, and vehicles;
and (ii) realign the Lateral that is located on the Property (collectively the “Easement Activities”).
The Temporary Easement may only be used for access, staging, parking, storage of construction
materials, and grading and construction of the Project by Grantee, its contractors, subcontractors,
employees and agents. The Temporary Easement area may be fenced and enclosed as part of the
construction site while construction is occurring on the Property.
2. Construction. Grantee is responsible for obtaining all necessary permits to construct
the Project. Grantee shall cause its contractor to construct the Project in substantial conformance with
the final drawings prepared by Brock Civil LLC and approved by Eagle County Engineering on
September 23, 2020 for Right of Way Permit No. 019707-2020 as set forth in Exhibit C (the “Final
Drawings” consisting of 17 pages), and approved by Grantor. Grantee has provided to County the
Final Drawings for review and approval by County for its Right of Way Permit. When the County
approves the drawings for the Right of Way Permit, those drawings will be considered approved
pursuant to this agreement, which shall occur prior to Grantee initiating construction of the Project.
Grantee shall bear all costs associated with this Project. Grantee’s contractor shall be responsible for
any risk of loss occurring to material or property stored or located by it on the Property during
construction of the Project. Grantee and its contractor shall comply with all requirements of the Right
of Way Permit.
3. Inspection. Grantee shall notify the Grantor’s representative at least three (3) days
prior to commencement of the Project. The Grantor is permitted to inspect the area where the Project
will occur prior to construction, during construction and post construction. Grantee shall notify the
Grantor’s representative within two (2) days of conclusion of the Project to allow for such inspection.
The Grantor’s right to inspect the Project in no way relieves the Grantee of its liability for improper
construction. The Grantor’s inspection is solely for the benefit of the Grantor and creates no obligation
to the Grantor, and does not create a joint venture between the Parties. Grantee shall comply with all
applicable state, federal and local government laws, codes and regulations with regard to the Project.

4. Acceptance of Lateral. Grantee shall notify County when Grantee has substantially
completed the Lateral in accordance with the Final Drawings and this Agreement. “Substantial
Completion” means the stage in the progress of the Lateral and restoration described in paragraph 5
below, as determined by Grantee’s representative, when the Lateral is complete and in accordance
with the Final Drawings except only for completion of minor items which do not impair Grantor's
ability to assume ownership and fully utilize the Lateral for its intended purpose. Regarding the
acceptance of the construction of the Pullout Areas, the construction warranty period of 2 years is
dictated by the Right of Way Permit. County shall thereafter have ten (10) days from receipt of such
notice to inspect the Laterals and notify Grantee if it accepts completion of the Laterals, which
acceptance shall not be unreasonably withheld (hereinafter “Lateral Acceptance”). Upon Lateral
Acceptance by County, any improvements to the Lateral associated with the Project shall become the
property of County without further action of either party. Subject to Grantee’s indemnification
obligations set forth in paragraph 9 hereof, upon Lateral Acceptance and expiration of any warranty
periods set forth herein County shall be solely responsible for the operation, maintenance, repair, and
replacement of the Lateral as modified and relocated by the Project.
5. Restoration. Grantee shall be responsible for restoring all areas disturbed within the
Temporary Easement, to the condition that existed prior to such disturbance, in accordance with the
Final Drawings for the Project, including installation of fencing as dictated by the Right of Way
Permit. Such restoration shall be consistent with the conservation values of the Conservation
Easement and shall be completed to the satisfaction of Grantor within thirty (30) days of Project
completion. Grantee shall include a dryland low grow seed mix for revegetation. Notwithstanding
the foregoing, Grantor acknowledges and agrees that such conservation values may require
restoration to the existing vegetation on the Property that may be delayed due to seasonal restrictions.
If vegetation restoration and/or reseeding is required, and is delayed due to such restrictions, Grantee
shall complete such restoration not to exceed seven (7) months from such delay.
6. Warranty. Grantee hereby represents and warrants that it ensures Grantee’s
contractors and subcontractors will construct and complete the Lateral in a good and workmanlike
manner and guarantees all work against defects in materials or workmanship for a period of one (1)
year from the date the Lateral is accepted by County, or such longer period as may be provided by
the law or as dictated by Grantee’s contractors or subcontractors pursuant to the Final Drawings. The
Pullout Areas warranty of 2 years shall be dictated by the requirements of the Right of Way Permit.
Within a reasonable time after receipt of written notice, Grantee shall correct at its own
expense, without cost to County, and without interruption to County:
i. Any defects in materials or workmanship which existed prior to or during the
period of any guarantee or warranty provided in this Agreement; and
ii. Any damage to any other work or property caused by such defects or the
repairing of such defects.
Guarantees and warranties shall not be construed to modify or limit any rights or actions
County may otherwise have against Grantee in law or in equity.
7. Disclaimer of Interest. Grantee disclaims any interest in the water and water rights

carried in and through the Wilkinson Ditch and in the Ditch and its appurtenant structures.
8. Term. The Temporary Easement shall be effective upon the date of entry by Grantee,
its contractors, subcontractors, employees or agents, onto the Property for commencement of
construction of the Project. The Temporary Easement shall remain in effect during construction of
the Project and shall automatically terminate on the date that is thirty (30) days after the Lateral
Acceptance. Notwithstanding the foregoing, if the Grantee must re-enter to complete the restoration
detailed in paragraph 5, the Temporary Easement shall terminate thirty (30) days after such restoration
completion. In any event, the Temporary Easement shall automatically terminate no later than 18
months after the start of construction.
9. Indemnification Grantee shall and hereby does indemnify and hold harmless Grantor,
its agents, employees and contractors, from any liability or damages that they may suffer as a result
of claims, liens, demands, costs, or judgments against them arising out of the Easement Activities
performed by Grantee’s contractors and subcontractors, including liability, loss, or damages caused
by negligence of Grantee; by negligence of Grantee’s agents, employees, guests, or contractors; by
violation of any law applicable to the Project by Grantee and/or Grantee’s agents, employees, guests,
or contractors This indemnity shall extend to and include any attorney fees incurred by County in
defending or responding to any such claim or demand. Grantee also agrees to indemnify County for
any increased costs of maintenance and operation of the Lateral caused by Grantee’s modifications
to the Lateral. This indemnity shall be an obligation of Grantee and its individual member(s). No
provisions of this Agreement shall be construed to waive the immunity under the Governmental
Immunity Act afforded to the County.
10. Insurance. Grantee shall cause its contractors and subcontractors to carry and
maintain commercial general liability for (1) the sum of three hundred fifty thousand dollars
($350,000.00) for any injury to one person in any single occurrence, and (2) the sum of nine hundred
ninety thousand dollars ($990,000.00) for an injury to two or more persons in any single occurrence,
at their sole cost, insurance covering the use and occupancy of the Temporary Easement and
conducting the Easement Activities. The Grantor shall be named as an additional insured. Grantee
shall provide a certificate of insurance attached as Exhibit D. Nothing herein shall be construed as a
waiver by Grantor of the limitations on liability which are provided to it under the Colorado
Governmental Immunity Act, C.R.S. § 24-10-101 et seq.
11. Notice. All notices or other communications made pursuant hereto shall be in writing
and shall be deemed properly delivered, given or served (i) when personally delivered, or (ii) two (2)
calendar days after being deposited in the United States mail, certified or registered, postage prepaid,
return receipt requested, or (iii) when delivered by FedEx or other comparable courier service, charges
prepaid, to the parties at their respective addresses listed below. Either party may change its address
for the purposes of this paragraph by giving five (5) days prior written notice of such change to the
other party.

12. Assignment and Successors. Grantee may not assign any of its rights and obligations
under this Agreement to any other person or entity without the prior written permission of Grantor.
This Agreement shall be binding upon and shall inure to the benefit of the Parties hereto and their
respective successors and assigns.
13. Warranty of Title. Grantor represents that it is the record owner of the Property upon
which the Temporary Easement is located and that it has full power and authority to execute this
Agreement. This Temporary Easement is granted subject to prior, recorded grants of easements.
During the term of this Agreement, Grantor shall not make or authorize any use of the Temporary
Easement which is inconsistent with or interferes with the uses authorized herein.
14. Governing Law and Venue. It is the intention of the Parties hereto that all questions
of construction and interpretation of this Agreement and the rights and obligations of the Parties
hereunder shall be determined in accordance with the laws of the State of Colorado. Venue shall be
in the District Court of Eagle County, Colorado.
15. Modifications. The Parties agree that any modification of this Agreement shall be
effective only when made in writing signed by both Parties.

16. Severability. Whenever possible, each provision of this Agreement shall be
interpreted in such a manner as to be valid under applicable law; provided, however, if any provision
of this Agreement shall be invalid or prohibited under applicable law, such provision shall be
ineffective to the extent of such invalidity or prohibition without invalidating the remaining
provisions of this Agreement.
17. Recording. This Agreement will not be recorded.

4. TEMPORARY LIGHTING PER COOT AND MUTCD STANDARDS WITH A HORIZONTAL LUMINANCE OF 5 FOOT CANDLES SHALL BE PROVIDED AT
ALL FLAGGER STATIONS FROM THE 30 MINUTES PRIOR TO THE BEGINNING OF CONSTRUCTION UNTIL ONE HOUR AFTER DAWN AND FROM
ONE HOUR PRIOR TO DUSK UNTIL CONSTRUCTION ENDS FOR THE DAY . TEMPORARY LIGHTING SHOULD BE PLACED SUCH TH AT GLARE DOES
NOT INTERFERE WITH DRIVER VISIBILITY, OR CREATE VISIBILITY PROBLEMS FOR TRUCK DRIVERS, FLAGGERS, OR OTHER WORKERS.
5. FLAGGING PROCEDURES SHALL CONFORM TO THE LATEST COOT AND MUTCD STANDARDS, INCLUDING BUT NOT LIMITED TO, HIGH -VISIBILITY
SAFETY APPAREL AND HAND-SIGNALING DEVICE. TRAFFIC CONTROL SHOULD BE CONTROLLED BY A FLAGG ER AT EACH END OF A CONSTRICTED
SECTION OF ROADWAY. ONE OF THE FLAGGERS SHOULD BE DESIGNATED AS THE COORDINATOR. TO PROVIDE COORDINATION OF THE
CONTROL OF TRAFFIC, THE FLAGGERS SHOULD BE ABLE TO COMMUNICATE WITH EACH OTHER ORALLY, ELECTRONICALLY, OR WITH MANUAL
SIGNALS. THESE MANUAL SIGNALS SHOULD NOT BE MISTAKEN FOR FLAGGING SIGNALS.
A SEPARATE, THIRD FLAGGER WILL BE REQUIRED AT THE COUNTY ROAD 307 ACCESS UNLESS IT IS CLOSED DURING CONSTRUCTION.
6. TRAFFIC CONTROL SIGNAGE SHALL BE INSTALLED ON A PERMANENT 2' ROUND STEEL POST THAT CAN BE ROTATED 90 DEGREES AWAY FROM
TRAFFIC WHEN NOT IN USE. ALL TEMPORARY TRAFFIC CONTROL DEVICES SHALL BE REMOVED UPON THE COMPLETION OF CONSTRUCTION.
7. ALL SIGNAGE AND FLAGGERS SHALL BE IN PLACE 15 MINUTES PRIOR TO THE REQUIRED START TIME AND REMOVED/ROTATED AWAY FROM
TRAFFIC 15 MINUTES AFTER THE END TIME .
8. A COPY OF THE TRAFFIC CONTROL PLAN AND NOTES SHALL BE ON SITE AT ALL TIMES THROUGHOUT THE PROJECT.
9. FLASHING BEACON (PORTABLE) SHALL BE INSTALLED ON "ROAD WORK AHEAD" SIGNS .
10 . OPEN EXCAVATIONS SHALL NOT BE ALLOWED TO BE UNPROTECTED WHEN CONSTRUCTION WORK IS NOT IN PROGRESS (INCLUDING
OVERNIGHT, WEEKENDS, AND HOLIDAYS.) METHODS OF PROTECTING PEDESTRIANS, BICYCLES, AND AUTOMOBILE TRAFFIC FROM
EXCAVATIONS, SUCH AS METAL PLATES OR CONCRETE BARRIER, SHALL BE APPROVED BY THE ENGINEER. THE COST FOR PROTECTING
EXCAVATIONS WILL NOT BE MEASURED AND PAID FOR SEPERATLEY BUT SHALL BE INCIDENTAL TO THE PROJECT.
11 . NO VERTICAL FACES GREATER THAN 3 INCHES SHALL BE LEFT WITHIN 6 FEET OF AY TRAVEL LANE DURING NON-WORKING HOURS. ANY WORK
AND MATERIAL NECESSARY TO PLACE A TEMPORARY FILL SLOPE FOR DROP-OFFS GREATER THAN 3 INCHES SHALL BE CONSIDERED INCIDENTAL
TO THE WORK . ANY TEMPORARY FILL SLOPES SHALL HAVE A SLPE NO STEEPER THAN 3:1.
12 . ANY EXISITNG SIGNS THAT CONFLICT WITH TEMPORARY SIGNS SHALL BE MASKED OR REMOVED. THE COST FOR MAINTAINING, RELOCATING,
