“MOU”or“Agreement”)isenteredintobyandbetweentheBoardofCounty CommissionersfortheCountyofEagle(hereinafterthe“County”),theEagleCountySheriff(hereinafter“Sheriff’),andthe theStateofColoradoactingby andthroughtheDepartmentofPublic Safety,forthebenefitoftheDivisionofFirePreventionandControl(hereinafterthe“State”or“CDPS”or“DFPC”).WHEREAS,in1965,variousColoradocountiesinitiatedthefirstEmergencyFirefundthroughanintergovernmentalagreementexecutedin1966,withvoluntarycontributionsthatweretobeused for costsincurredincontrolling wildfiresbyanyofthepartiescontributingmoneystothefund;andWUEREAS,HouseBill 12-1283,effectiveJuly1,2012,designatedtheColoradoDepartmentofPublicSafetyDivisionofFirePreventionandControlasthestate’smanagerandcoordinatorofwildiandfirepreparedness, responseandsuppression.ThebillalsogavetheDFPCresponsibiLityforadministeringafundknownas“theEmergencyFirefund”toprovidefundingorreimbursementforwildfirestoparticipatingcounties;andWHEREAS,pursuantto§24-33.5-1220,C.R.S.,theDFPCshallusethemoneysintheEmergencyFireFundtoprovidefundingorreimbursementforwildfiresinaccordancewithmemorandaofunderstandingwith participatingpublicentities; andWHEREAS,thepartiesfindittobeinthebestinterestsofthepublichealthsafetyandwelfaretoenterintothisMOUsetting forththeirmutualandrespectivedutiesregardingcollection,administration,anddisbursementofmoniesintheEmergencyFireFund,pursuantto§24-33.5-l220(2)(b),C.R.S.NOWTHEREFORE,inconsideration ofthemutual DocuSignEnvelopeID:DA98B2OB-E697-44F5-63A4-A2C89A0B9D262.RenewalTerms.ThisAgreementshallcontinueineffectforuptofour(4)additionaltermsofone12-month-periodeach,beginningonfebruary1ofeachyearandendingonJanuary31ofthefollowingcalendaryear(eachbeinga“RenewalTerm”),solongas(l)theCountyhaspaidtheAnnualContributionfortheRenewalTermbythelaterofFebruary1ofthatcalendaryearoronthe75thdayaftertheCountyreceivedtheAssessmentinvoiceforthatRenewalTerm,and(2)nopartyisindefaultofanytermsofthisAgreement.F.RELATEDDOCUMENTSCONCERNINGWILDLANDFIREPROTECTION1.CooperativeAgreement.ThepartiesagreetheywillatalltimesduringthetermofthisAgreementbepartytotheAgreementforCooperativeWildfireProtection.2.AnnualOperatingPlan.Thepartiesshalldevelop,review,andexecute,alongwithotherparticipants,anAnnualOperatingPlan(“AOP”)beforeApril1ofeachyearthatthisAgreementisineffect.TheAOPwillestablishspecificoperationalproceduresintendedtoensurepromptandeffectiveresponsetoandsuppressionofwildlandfires.SolongastheCountyhaspaiditsAnnualContributionforthecurrentInitialTermorRenewalTerm,failuretoexecuteanAOPbytheApril1deadlinewillnotresultinapenaltytoanypartypursuanttothisAgreement.Instead,failuretoexecuteanAOPbytheApril1deadlinemaycauseapartytobeindefaultofthisAgreementpursuanttosectionH(1),therebypreventinganautomaticsubsequentRenewalTermpursuanttosectionE(2).G.EMERGENCYFIREFUNDCONTRIBUTIONS,MANAGEMENT,ANDDISBURSEMENTS1.EmergencyFireFund.The1ffiscreatedinaccordancewithstatuteandexiststhroughthepaymentsmadebyparticipatingColoradocountiesandotherentitiesthatenterinto1FFagreementswiththeDFPC.TheDFPCmaintainstheEFFasanaccountunderthefiscalmanagementoftheDivisionDirector.PaymentsfromtheEfFshallbemadeincompliancewiththeprovisionshereinandallapplicablelaws,rulesandregulationspertainingtoDFPCfunds,includingbutnotlimitedtotheStateFiscalRules,§24-33.5-1202(3.8),C.R.S.,and§24-33.5-122l(2)(b),C.R.S.ThereisnoupperlimitontheamountoffundsthatcanaccumulateintheEFF,andfundsmayaccumulatefromyeartoyear.2.AssessmentsandCountyContributionstothefund.EachTerm,theCountyshallmakeitsannualcontributiontotheEFFintheamountassessedbyDFPCfortheCountyforsuchTerminaccordancewiththissection.Totheextentnotalreadypaid,theCountyshallpaytheassessmentfortheInitialTermsimultaneouslywiththeexecutionofthisAgreementintheamountinvoicedfor2020bytheDivision.SubjecttoannualappropriationbytheCounty,assessmentsandpaymentsforRenewalTermsshallbeasfollows:i.TheDFPCshallcalculateassessmentsinaccordancewiththefollowingformula:AnnualEFFAssessment=AcreageCost+ValuationCost.AcreageCost=(fixedcost/acre*numberofnon-federalforestedacresinthecounty)wherethefixedcostperacreissetto$0.0075.ValuationCost=(annualvaluation*normalizationvalue)wheretheannualvaluationisthetotaltaxableassessedvalueofallacresinthecounty,andthenormalizationvaluereducesthesumoftheassessmentsofallcountieseachyeartoSIM.Page3of13 DocuSignEnvelopeID:DA98B2OB-E69744F5-83A4-A2C89AOB9DE6ii.OnorbeforeAugust1oftheInitialTermandeachsubsequentRenewalTerm,theDFPCshallsendaletteradvisingthecountiesoftheiractualassessmentfortheRenewalTerm.Thisnoticeshallmatchtheinvoicereferenceinitemiiibelow.iii.OnorbeforeOctober1oftheInitialTermandeachsubsequentRenewalTerm,theDFPCshallsendaninvoicetotheCountyfortheactualassessmentforthenextRenewalTerm.iv.TheCountyshallpaytheinvoicedamountnolaterthanfebruary1ofeachRenewalTerm,exceptthatundernocircumstancesshalltheCountyhavelessthan75daysfromitsreceiptoftheinvoicefromDFPCtopaysuchinvoice.AllpaymentstotheEFFarefinalandnon-refundableexceptasprovidedinsectionH(3)(iv)ofthisAgreement.3.Reporting,Management,andEFFAdvisoryCommiftee.i.TheDivisionshallprovidewrittenfinancialreports(“EFFfinancialReport”)totheEFFCommitteeandtoallparticipantsintheEFFProgrampriortothefallCommitteemeeting,identifyingfundincome,expendituresandencumbrances,andavailablebalance.Pursuantto§24-33.5-1220(2)(a),C.R.S.,theEFFmayholdfundsreceivedfromsourcesoutsidethescopeofthisAgreement,thereforeDFPCshallaccountforsuchcontributionsseparatelyfromanyothermoneysintheEFF.II.TheDivisionDirectorshallmaketheEFFFinancialReportavailableforreviewtoanadvisorycommittee(the“EFFAdvisoryCommittee”)composedoftheDivisionDirector;threecountycommissionersdesignatedbyColoradoCounties,Inc.;threecountysheriffsdesignatedbyCountySheriffsofColorado;andtwofirechiefsdesignatedbyColoradoStateFireChiefs,pursuantto§24-33.5-1202(3.8),C.R.S.,andshallreceivefromtheEFFAdvisoryCommitteerecommendationsonmattersrelatingtotheFund,including,withoutlimitation,whetherornottheFundshouldbeincreased.FinaldecisionmakingauthorityoverfiscalmanagementmattersshallresidewiththeDivisionDirectoronbehalfoftheparticipantCounties,andshallconstitutefinalagencyactionsubjecttoreviewinaccordancewiththeprovisionof§24-4-106,C.R.S.iii.TheDFPCshallatalltimesadministertheEFFinaccQrdancewithallapplicablelaws,rules,andregulations,includingbutnotlimitedto§24-33.5-1220(2)(b),C.R.S.,whichstates:“Thedivisionshallusethemoneysintheemergencyfirefundtoprovidefundingorreimbursementforwildfiresinaccordancewithmemorandaofunderstandingwithparticipatingpublicentities.”Indoingso,theDFPCshallconsidertheroleoftheEFFAdvisoryCommitteeascontemplatedby§24-33.5-1202(3.8),C.R.S.,whichstates:“‘Emergencyfireftind’meanstheemergencyfirefundcreatedinsection24-33.5-1220thatwasfirstestablishedin1967withvoluntarycontributionsfromcountiesandtheDenverwaterboard:administeredbyanine-personcommitteecomposedotcotintycommissioners,sheriffs,firechiefs.andthedirector:andusedforthepurposeofpayingcostsincurredasaresultofcontrollingawildfirebyanyofthepartiescontributingmoneystothefund,inaccordancewiththeintergovernmentalagreementforparticipationintheemergencyfirefund.”4.DisbursementsfromtheFund.Theprovisionsofthissub-sectionshallcontroltheeligibilityofcostsforreimbursementorpaymentfromtheEFF.TheDFPCshallmakedistributionfromtheEFFonlyupondirectionoftheDivisionDirectororhis/herdesignee,andissubjecttothe“Emergencies”provisionsoftheStatefiscalRules(Rule2).DisbursementsshallbelimitedtoreimburseorpayforEligibleCostsincurredincontrollingawildfirethatisPage4of13 •DocuSignEnvelopeID:DA98B2OB-E697-44F5-83A4-A2C89AOB9DE6determinedtobeeligibleforEFFassistancepursuanttosectionG(6)belowandareincurredduringthedesignatedEFFPeriod.ThedesignatedEFFPeriodisdefmedasthetimeaftertheStateassumesfmancialresponsibilityforthefirefromtheCountyuntiltheCountyreassumesfinancialresponsibilityforthefire.DuringeachTerm,theDFPCwilluseEFFmoneystoreimbursetheCountyandtheSheriffforEligibleCostsincurredinconnectionwiththeCounty’sandtheSheriffswildlandfiresuppressioneffortsonfirestvithintheirjurisdiction,whichareEfFapprovedassetforthinthisAgreementduringsuchTerm.1.CostseligibleforreimbursementbytheEFFunlesscontrarytolocalagreements(“EligibleCosts”):a.DFPCapprovedcostsforfiresuppressionactivitiesasoutlinedintheCDPSCooperatorIncidentReimbursementGuidelines.b.HostCountypermanentemployeesovertimepayincludingbenefits.c.HostCountytemporary/seasonalemployeeregularandovertimepayincludingbenefits.d.HostFireProtectionDistrictpermanentemployeesovertimepayincludingbenefits.e.HostfireProtectionDistricttemporary/seasonalemployeeregularandovertimepayincludingbenefits.1.HostVolunteerfireDepartmentvolunteeremployeesregularandovertimepayincludingbenefits.g.StateofColoradoemployeeprojectandovertimepayincludingbenefitsandtravelexpenses.h.StateofColoradotemporary/seasonalemployeeregularandovertimepayincludingbenefitsandtravelexpenses.i.StateofColorado,HostCounty,andHostFireProtectionDistrictequipmentuse.j.Restockand/orreplacementofsuppliesconsumed,lostordestroyedinthefirecontroleffort.ii.CostsNOTeligibleforreimbursementundertheEFF:a.HostCountypermanentemployeeregular/basesalariesandbenefits.b.HostCountyequipmentrepairduetonormalwearandtear.c.HostCountyownedandmanagedaircraftuse,normalwearandtear,andrepair.d.HostFireProtectionDistrictpermanentemployeeregular/basesalariesandbenefits.e.HostFireProtectionDistrictequipmentrepairduetonormalwearandtear.1.StateofColoradopermanentemployeeregular/basesalariesandbenefits.g.StateofColoradoequipmentrepairduetonormalwearandtear.h.Costscoveredbyinsurance.i.CountySheriffscostsofperformingtheinvestigationofallhumancausedfires.exceptforovertimeandbenefitsthatoccurduringthedesignatedEFFPeriod.iii.CoststhattheDivisionDirectormaydeterminetobereimbursableasEligibleCostsonacase-by-casebasisbytheEFF:a.Damagestofireequipmentresultingfromadeclaredfire;b.OthercostsnotoutlinedinthisAgreement.iv.Forpurposesofthissub-sectionG(5),“HostCounty”isdefinedasthecountyorcountiesinwhichtheEfFincidentisoccurring,and“County”includestheSheriff.v.HostFireProtectionDistrictisdefinedasthefiredepartment(s),fireprotectiondistrict(s),orvolunteerfiredepartment(s)inwhichtheEFFincidentisoccurringwithintheorganization’slegalboundaries.Page5of13 DocuSignEnvelopeID:DA988208-E697-44F5-83A4-A2CB9AOB9DE6vi.NothinginthisAgreementshallpreventtheSherifforCountyfromseekingreimbursementforexpensesandcoststheyincurduringanEFFFireforaidgivenonlandunderfederaljurisdiction.ArrangementsfortheseexpensesandcostsmustbenegotiatedwithfederalagenciesbytheCountyorSheriffandareoutsideofthescopeofthisAgreement.5.ProcedureforObtainingEFFAssistance.ToobtainEFFassistance,theSheriffshallfollowtheprocedureoutlinedintheAgreementforCooperativeWildfireProtectionforelevatingaCountyResponsibilityfiretoaStateResponsibilityFire.ProvidedthatEFFfundsareavailable,theCountyshallbeeligibleforEFFassistancewhentheDFPCAnalysisthresholdforEFFassistancehasbeenmetandthepartieshaveenteredintoanAssumptionofFireControlDutyAgreement.AnydisagreementsbetweenthepartiesregardingeligibilityforEFFassistanceshallbeaddressedthroughtheappealsprocessinaccordancewiththeprovisionof24-4-106,C.R.S.6.BenefitsforParticipants.i.CountiesthattimelypaytheirinvoicedcontributiontotheEFFuponexecutionofthisAgreementareimmediatelyeligiblefor100%ofEFFbenefitsforEligibleCosts.AnyCountythatdoesnotpayitsannualcontributionbutchoosestoparticipateintheEfFinasubsequentyearwillbeeligibleforEFFbenefitsonapro-ratabasisasfollows:duringthefirstyear,50%ofEligibleCosts;duringthesecondyear,75%ofEligibleCosts;duringthethirdandeachsubsequentyear,100%ofEligibleCosts.ii.ACounty’sparticipationintheEFFshallnotdisqualif’orotherwiselimititseligibilityforotherfinancialassistancethatmaybeavailableforCountiesthatarenotparticipantsintheEff.7.FundDepletion.IfatanytimeduringthetermofthisAgreementtheEfFbecomesdepletedorhasinsufficientfundstomeettheobligationsofthefund,theCountyshallhavenoclaimagainstthefund,theDivision,ortheState.8.EscapedPrescribedFireReimbursement.IntheeventthatEFFmoniesareusedtopayexpensesforafirewhichwasdeterminedtobetheresultofanescapedprescribedfire,theCounty,oritsdelegatedrepresentative,shallseekcompensationfromthepartydeterminedtoberesponsiblefortheescapewithin180daysfromthecauseandorigindetermination.Fundsrecovered,uptothesameamountexpendedbytheEFFforthisincident,byshallbeplacedintotheEFF.H.DEFAULTANDTERMINATION1.DefaultandNotice.AnypartythatfailstocomplywithanyobligationofthisAgreementshallbeindefault.IntheeventtheDFPCisindefault,theCountyand/orSheriffshallsendwrittennotice,pursuanttosection1(5),totheDivisiondescribingthenatureofthedefault,theactionsrequiredtocurethedefault,ifany,andofferaminimumoften(10)businessdaysfromthedatethenoticeisdeliveredtotheDFPCtocurethedefault.IntheeventeithertheCountyorSheriff,orboth,areindefault,theDFPCshallsendthewrittennoticetotheCountyandSheriff,describingthenatureofthedefault,theactionrequiredtocurethedefault,ifany,andofferaminimumoften(10)businessdaysfromthedatethenoticeisdeliveredtotheCountyandSherifftocurethedefaultIntheeventboththeCountyandtheSheriffareindefaultandthenoticeisdeliveredtotheCountyandtheSheriffondifferentdays,thecureperiodbeginsfromthelaterdate.2.RemediesforDefault.Ifadefaultingpartyfailstotimelycureitsdefaultpursuanttothetermsofthedefaultnoticeasdescribedabove,orifthedefaultisofanaturethatcannotbecured,anyotherpartymayterminatethisAgreementbysendingwrittennotice,pursuanttoPage6of13 •DocuSgnEnvelopeID:DA98B2OB-E69744F5-83A4-A2C89AOB9DE6section1(5),tothedefaultingpartyadvisingthatthisAgreementisterminatedandsettingforthadateoftermination,whichdateshallbenoearlierthanthedatetheterminationnoticeisdeliveredtothedefaultingparty.3.Termination.InadditiontoterminationofthisAgreementforanuncureddefaultassetforthabove,thisAgreementmaybeterminatedasfollows:I.InthePublicInterest.TheDivisionisenteringintothisAgreementforthepurposeofcarryingoutthepublicpolicyoftheStateofColorado,asdeterminedbyitsGovernor,GeneralAssembly,and/orCourts.IfthisAgreementceasestofurtherthepublicpolicyoftheStateofColorado,theDivision,initssolediscretion,mayterminatethisAgreementinwholeorinpart.ExercisebytheStateofthisrightshallnotconstituteabreachoftheDivision’sobligationshereunder.TheStateshallnotifytheCountyandSheriffofsuchterminationinwriting,pursuanttosection1(5),andspecifS’theeffectivedateofthetermination.ii.DissolutionoftheEFF.IftheEFFisdissolved,terminated,orcancelledforanyreason,theDivisionshallterminatethisAgreementbysendingwrittennoticetotheCountyandSheriff.iii.TerminationbyCountyorSheriffTheCountyorSheriffmayterminatethisAgreementatwillbyprovidingwrittennoticetotheDivisionofitsintenttoterminate.TheterminationshallbeeffectiveasoftheendofthethenexistingTerm.iv.RefundintheEventofTermination.a.IntheeventofadefaultbytheCountyorSheriff,orboth,foranyreasonOTHERthanitsortheirfailuretotimelyenterintoanAOP,theCountyandSheriffmaynotbeeligibletoreceiveanyEFFfundsforanyEligibleCoststhatareincurredafterthedateofterminationsetforthinthedefaultnotice.Furthermore,theCountyshallrefundtotheStateanysumstheStatepaidorisobligatedtopayforEligibleCostsincurredbytheCountyforthatTermpriortothedateoftermination.b.IntheeventtheDivisionterminatesthisAgreementfordefaultduetothefailureoftheCountyorSherifftoenterintoanAOPforanyreasonbyApril1ofeachRenewalTerm,theCountyandSheriffshallnotbeeligibletoreceiveanyEFFfundsforanyEligibleCoststhatareincurredforthatTermafterthedateofterminationsetforthinthedefaultnotice.furthermore,theDivisionshallrepaytotheCountyallsumstheCountypaidforthatTerm,less(1)anysumstheStatepaidorisobligatedtopaytotheCountyforEligibleCostsincurredbytheCountyduringthattermpriortothedateoftermination;and(2)EFFfundscommittedduringthatTermpriortoterminationforanyotherfireinjurisdictionscoveredbytheEFFinrelianceontheAiinualContributionbytheCountyandSheriffforthatTerm.c.IftheDivisionterminatesthisAgreementinthepublicinterest,theStateshaltVrefundtotheCountyallfundstheCountypaidtotheEFFfortheTerminwhichtheterminationoccurs,lessanysumstheStatepaidorisobligatedtopayforEligibleCostsincurredbytheCountypriortothedateoftermination.U.NotwithstandinganythingtothecontraryinthisAgreement,andunlessotherwiserequiredbyfuturelaw,neitherpartyshallbeentitledtoanyrefundofEFFcontributionsmadeinanypriorTerms.I.ADDITIONALPROVISIONSANDCOLORADOSPECIALPROVISIONSCompliancewithLaws,Regulations,andRequirements.Eachpartyagreestocomplywithallapplicablefederal,stateandlocallaws,codes,regulations,rules,andorders.Page7of13
