limitedliabilitycompanyhereinafter“Subdivider”)andtheBoardofCountyCommissionersoftheCountyofEagle,StateofColorado(hereinafter“County”).WITNESSETHWHEREAS,theSubdivider,asaconditionofapprovalofthefinalPlatofTheTreeFarm—PhaseTwo(hereinafterreferredtoas“Subdivision”),desiresanAgreementasprovidedforbytheLandUseRegulationsofEagle County,Colorado,1999,asamended(hereinafterreferredtoas“LandUseRegulations”)ChapterII,Section5-280.B.5.e.andC.R.S.§30-28-137;andWHEREAS,pursuanttothesameauthority,theSubdividerisobligatedtoprovidesecurityorcollateralsufficientinthejudgmentoftheCountytomakereasonableprovisionsforcompletionofcertainpublicimprovementsasreferencedintheattachedExhibitAhereinafterdescribed(“SubdivisionImprovements”);certainlandscapingimprovementsasreferencedintheattachedExhibitB(“LandscapeImprovements”);andWHEREAS,pursuanttoChapterII,Section4-620oftheLandUseRegulations, whenaproposedsubdivisionislocatedinanareaservicedbyanexistingCountyroadandtheCountydetermines thatthetrafficgeneratedbysuchdevelopmentwillresultinsafetyhazardsforvehicledrivers,pedestriansand/oradjacentresidents,orwillresultinsubstantiallyincreasedmaintenancecoststotheCounty,theCountyisempoweredtodeterminetheamountofworknecessarytobringtheaffectedCountyroadtoacceptable standardstoprovideadequatesafeservicetopresentowners,totheproposed subdivisionandtootherprobablesubdivisions,andtorequiretheSubdividertoimproveitsequitableportionofsuchroadtoanacceptablysafecondition;andWHEREAS,theCountyhasdeterminedthatthetrafficwhichwillbegeneratedbytheSubdivision,alongwithotherpotentialsubdivisionsinthe area, willresultinsafetyhazardsandsubstantiallyincreasedmaintenancecostsrelativetotheoff-siteroads;andWHEREAS,theSubdividerhasagreedtoimprovetheroadstoanacceptablysafeconditionandtoaccommodatetheincrementalincreaseintrafficburdentothesaidroadsresultingfromthedevelopmentofthisSubdivision,bytheengineering,constructionandcompletionofphysicalimprovementstothesaidroadsassetforthinthisAgreement;andWHEREAS,asafurtherconditionofapprovalofthefinalplatofthisSubdivision,theSubdividerisobligatedtoprovide DocuSignEnvelopeID:8014F616-ECAC-4A8B-9715-73F9D99F456ALandscapeImprovements,whichincludecertainoff-siteroadimprovements,describedherein;andWHEREAS,pursuanttoChapterII,Section4-620.9oftheLandUseRegulationsandC.R.S.§43-2-147,theSubdividershallprovideaccessforalllotsandparcelsitcreatestothestatehighwaysysteminconformancewiththeStateHighwayAccessCode.NOW,THEREFORE,inconsiderationofthepremisesandthecovenantsandagreementshereincontainedtobekeptandperformedbythepartieshereto,itisherebyunderstoodandagreedasfollows:1.SUBDIVISIONIMPROVEMENTS1.1SubdivisionImprovements.SubdivisionImprovementsaredeemedtoincludeallpublicimprovements,includingbutnotlimitedtooff-siteimprovementsassetforthinalldocuments,constructiondrawingsforTheTreeFarm-PhaseTwodatedMarch4,2020,designs,maps,specifications,sketches,costestimatesandothermaterialssubmittedbytheSubdividerpriortooratfinalplatapprovalandacceptedbytheCounty.SuchSubdivisionImprovementsshatlincluderoads,utilitiesandothersimilarpublicimprovementsassetforthinExhibitA.1.2ScopeofWork.TheSubdividerherebyagrees,atitssolecostandexpense,tofurnishallnecessaryequipmentandmaterials,andtocompleteallSubdivisionImprovementsasreferencedintheattachedExhibitA,andLandscapeImprovementsasreferencedintheattachedExhibitB,andassetforthinalldocuments,constructiondrawings,designs,maps,specifications,sketches,andothermaterialssubmittedbytheSubdividerpriortooratfinalplatapprovalandacceptedbytheCounty,andinaccordancewithalllawsoftheUnitedStatesofAmerica,StateofColorado,CountyofEagle,andtheirrespectiveagenciesandaffectedgovernmentalentities.Suchperformanceshallincludeacquisitionofallnecessaryrights-of-wayandeasements.1.3DutiesofSubdivider.forthoseSubdivisionImprovementsrequiredherein,includingbutnotlimitedtothereconstructionandphysicalimprovementofthatportionofanyroadsubjecttothisAgreement,theSubdividershallretainanengineerwhosedutiesshallincludeconstructionstaking,observationofconstructionforconformancetotheapprovedplansandspecifications,andmaterialssampling,testingandinspectionusingtheColoradoDepartmentofHighways201$fieldMaterialsManualasaguideforfrequencyofsamplingandtesting.1.3.1ConstructionStaking.Whereapplicableandbywayofexampleonly,thefollowingisahighlightingoftheconstructionstakingthatwillberequiredoftheSubdivider:a.Roadway-horizontalandverticalcontrolevery50feetorevery25feetincriticalareas,specificallyincluding:-slopestaking{A0150067--7}2 DocuSignEnvelopeID:8014F616-ECAC-4A8B-9715-73F9D99F456ATheCountyEngineershallmakeanon-sitevisitwithintheforty-eight(48)hoursnotificationperiodforthepurposeofobservingproofrollsonitems1)and2)aboveandforgeneralobservationofconstructionmethodsbeingemployedatthesestages.Saidon-siteinspectionbytheEagleCountyEngineershallinnowayabrogatethedutiesoftheSubdivideroutlinedelsewhereinthisAgreement.TheSubdividershallprovidetheproofrollingbyarrangingforaloadedsingleunittruckcarrying18,000poundsperrearaxle.1.3.4WitnessingofWaterandSewerLaterals.ItisessentialthattheendsoftheselateralsbewitnessedbytheSubdivider’sengineertoaminimumofthreedivergentpointsandapermanentrecordmadeofthesame.CopiesoftheserecordsarerequiredtobefurnishedtotheEagleCountyEngineerpriortoacceptanceoftheSubdivisionImprovementsbytheCounty.Inadditiontowitnessingofthehorizontallocationoftheselaterals,averticalwitnessshallberequired.Horizontalwitnessingshallbetopropertycorners,firehydrants,manholes,andother“permanent”features.Verticalwitnessingshallbebasedondepthbelowgroundandelevationbasedonadatumusedforthesubdivision.Benchmarksshallbeshownonwitnessrecords.1.3.5TestReports.Alltestreportsshallbeconsecutivelynumbered,withcopiesfurnisheddirectlytotheEagleCountyEngineerfromthelaboratoryastheyarereportedtotheSubdivideroritsengineer.1.3.6As-BuiltRecordDrawingsofSubdivisionImprovements.As-Built,recorddrawings,sealed,sigiiedanddatedbyaRegisteredProfessionalEngineershowingtheas-constructedhorizontalandverticallocationsofSubdivisionImprovementsshallbesubmittedtotheEagleCountyEngineerpriortocompletionofthetwoyearwarrantyperiodandthefinalreleaseofSubdivisionImprovementsCollateral(asdefinedbelow)bytheCounty.Thisshallincludeas-builtdrawingsinanelectronicformacceptabletotheCountyEngineer.1.3.7AffidavitofMonumentation.AnAffidavitofMonumentationsealed,signedanddatedbyaRegisteredProfessionalLandSurveyorstatingthatthesubdivisionhasbeenmonumentedinaccordancewith§38-51-105,C.R.S.,andChapterII,Section5-2$0.5.a(1)(a)oftheLandUseRegulationsshallbeprovidedtotheEagleCountyEngineerpriortotheacceptanceoftheSubdivisionImprovementsbytheCounty.1.4CompliancewithColoradoDepartmentofHighwaysAccessCode.SubdividershallprovidetheCountywithdesignsincompliancewiththeColoradoDepartmentofHighwaysAccessCodeforallroadimprovements.1.5DateofCompletion.AllSubdivisionImprovementsshallbecompletedonorbeforeJanuary24,2022.TheconstructionscheduleisattachedasExhibitC.{AO15OO67--74 DocuSignEnvelopelID:8014F616-ECAC-4A8B-9715-73F9D99F456A1.6ApprovalandAcceptanceofWork.1.6.1Copiesofalltestresultscorrespondingtoworkwhichisbeinginspectedandanyotherinformationwhichmaybenecessarytoestablishthesatisfactorycompletionoftheworkforwhichinspectionisrequestedmustbesubmittedpriortosaidinspection.AllsuchinformationshallbeaccompaniedbyaletterfromtheSubdivider’sengineerverifyingthesatisfactorycompletionoftheworkperformedtodate.1.6.2NotwithstandingSection1.3.3above,promptlyafterreceivingarequestforinspectionandtherequireddocumentation,theCountyEngineershallreviewtheinformationpresentedand,ifnecessary,makeanon-siteinspectionoftheworkcompleted.1.6.3AllsaidworkshallbedonetothereasonablesatisfactionoftheCountyEngineerand/ortheCountyDepartmentofCommunityDevelopment,andshallnotbedeemedcompleteuntilapprovedandacceptedascompletebytheCounty.1.7EstimatedCostsofSubdivisionImprovements.TheestimatedcostoftheSubdivisionImprovementsisthesumof$6,271,446.26,assetforthonExhibitA.TosecureandguaranteeperformanceofitsobligationsassetforthinthisSection1,includingthecompletionoftherequiredSubdivisionImprovements,theSubdividerherebyagreestoprovidesecurityandcollateralfortheSubdivisionImprovementsintheformandassetforthinSection2,below.1.8TrafficControlPlan.SubdivideragreestosubmitatrafficcontrolplantobeapprovedbytheEagleCountyEngineeringDepartmentpriortoanyworkcommencing.1.9LandscapePlan.SubdividerhassubmittedalandscapeplantotheCountyDepartmentofCommunityDevelopmentwhichcomplieswiththeLandUseRegulations,Section4-240,InstallationandMaintenanceRequirements.TheSubdivideragreestoabidebythelandscapeplanapprovedbytheCountyDepartmentofCommunityDevelopment(the“LandscapePlan”).ThetotalestimatedcostoftheLandscapeImprovementsisthesumof$598,823.32,assetforthonExhibitB,with$143,518.15beingforsitefurnishingsandamenitiesandthebalancebeingforsoilandamendments,irrigation,trees,shrubs,perennialsandgroundcovers.TosecureandguaranteeperformanceofitsobligationstoinstalltheLandscapeImprovementsassetforthinthisSection1.9,includingthecompletionoftherequiredLandscapePlan,theSubdividerherebyagreestoprovidesecurityandcollateralfortheLandscapeImprovementsintheformandassetforthinSection2,below.1.10.MaintenanceofSubdivisionandLandscapeImprovements.TheSubdivider,propertyownerand/orfuturehomeownersassociationshallberesponsibleforthemaintenance,repairandreplacementoftheSubdivisionImprovementsandtheLandscapeImprovements,withtheexceptionofanySubdivisionImprovementsand/orLandscapeImprovementsforthewhichthemaintenance,repairandreplacementisperformedbyametropolitandistrict.{A0150067--7}5 DocuSignEnvelopeID:8014F616-ECAC-4A8B-9715-73F9D99F456A1.11CommonParkandRecreationAreas.SubdivideragreestosubmitaCommonOpenSpace,ParkandRecreationAreaPlantobeapprovedbytheCountyDepartmentofCommunityDevelopmentpriortoapprovaloffinalplat.2.SECURITYandCOLLATERAL2.1SubdivisionImprovementsCollateral.ThesecurityandcollateralfortheSubdivisionImprovementsrequiredinSection1.7assecurityfortheperformancebySubdividerofitsobligationsunderthisAgreement,shallbeintheamountof$6,271,446.26(the“SubdivisionImprovementsCollateral”).PriortotheissuanceofanygradingorbuildingpermitsfororcommencementofconstructionofanyoftheSubdivisionImprovements,theSubdividerwillprovidetheCountywiththeSubdivisionImprovementsCollateralintheformofanirrevocableLetterofCredit,informandsubstanceacceptabletotheCountyAttorney.2.2PartialReleaseofSubdivisionImprovementsCollateral.SubdividermayapplytotheCountyforthereleaseofportionsoftheSubdivisionImprovementsCollateralbaseduponworkcompletedinaccordancewiththisAgreement.Tomakesuchreleases,SubdividershallrequesttheCountyEngineertoinspecttheworkinordertoverifysatisfactorycompletioninaccordancewithplansandspecificationsinaccordancewithSection1.6.2.3finalReleaseofSubdivisionImprovementsCollateral/Warranty.Withinthirty(30)daysafterSubdividerhasinstalledalloftherequiredSubdivisionImprovementsandtheworkhasbeenapprovedandacceptedbytheCounty,theentireremainingamountoftheSubdivisionImprovementsCollateral,lessanamountequaltotenpercent(10%)oftheoriginalSubdivisionImprovementsCollateral,shallbereleased.SubdividershaltberesponsiblefortheconditionoftheSubdivisionImprovementsforaperiodoftwoyearsaftercompletion;thisshallbeguaranteedeitherthroughtheretentionof10%ofthetotalSubdivisionImprovementsCollateral,assetforthinthisSection2.3,orSubdividermayprovideasubstituteformofSubdivisionImprovementsCollateralassetforthinSection2.4below.2.3.1TheMidValleyMetropolitanDistrict(“MVMD”).MVMD’sinfrastructure,water,sewer,forcemainandliftstation,shallbeconstructedaccordingtoMVMD’srequirementsandRulesandRegulations.TheSubdivideragreesthatthewaterandsewerimprovementsthatitisrequiredtoconstructanddedicatetoMVMDshallbecompletedbyitanddedicatedtoandacceptedbyMVMDpriortothefinalreleaseoftheapplicablesecurityunderthisAgreement.2.4SubstitutionofSubdivisionImprovementsCollateral.TheSubdividermayatanytimesubstitutetheSubdivisionImprovementsCollateraloriginallydepositedwiththeCountyherein,foranotherformofcollateralacceptabletotheCountyAttorney,toguaranteethefaithfulcompletionoftheSubdivisionImprovementsreferredtohereinandtheperformanceofthetermsofthisAgreement.Atthetimeofsubstitutionofcollateral,aninflationaryand/ordeflationaryfactorbasedupontheDenver-Boulder,ColoradoConsumerPriceIndexforAllUrbanConsumers,AllItems(1967=100)publishedbytheU.S.BureauofLaborStatistics,303-837-2467,or,alternatively,anapprovedconstructioncostindex,shallbeusedtodeterminean{A0150067--7}6 DocusignEnvelope1D:8014F616-ECAC-4A8B-9715-73F9D99F456AadjustedestimatedcostforallSubdivisionImprovementsasdescribedherein,andcollateralshallbesubmittedbytheSubdividerinaccordancetherewith.2.5Draws.DrawsagainsttheSubdivisionImprovementsCollateralshallonlybemadeasdirectedbywrittenResolutionoftheCounty,statingthattherehasbeenanEventofDefault(definedbelow)underthisAgreementandthatasumcertainisrequiredtoremedythedefault.AnyamountdrawnontheSubdivisionImprovementsCollateralmustbeappliedforthepurposeofcompletingtheworkrequiredbythisAgreementandrelatedexpensesandcosts.2.6EventsofDefault.Thefollowingeventsshallbedeemed“EventsofDefault,”entitlingtheCountytodrawontheCollateral:2.6.1IfSubdividerhasnotcompletedtheworkrequiredbythisAgreementwithinthirty(30)dayspriortotheDateofCompletionsetforthherein,theCountymay,afterten(10)workingdayswrittenNoticetoSubdivider,drawupontheSubdivisionImprovementsCollateralanamountsufficienttocompletesaidworkandcompensatetheCountyforitsreasonablecostsandexpensesrelatedtosaiddraw.2.6.2IftheoriginalCollateralpresentedtotheCounty(oranyextensionthereof)isduetoexpireandtheworkisnotyetcompleted,andSubdividerhasnotprovidedsubstitutecollateralorthebank’swrittenextensiontotheoriginalcollateral(asitmayhavebeenpreviouslyextended),theCountyshalldrawontheCollateralaccordingtotheprovisionssetforthinthisSection2.ItisSubdivider’sresponsibility,withorwithoutnotice,toensurethattheCollateralisextended,orthatsubstitutecollateralisprovidedinaformacceptabletotheCounty,atleasttendayspriortoitsexpiration.IfCollateralisneitherextendednorsubstitutecollateralprovided,inaformacceptabletotheCountyAttorney,atleasttendayspriortoitsexpiration,thedevelopershallpaytheCountyanadditional$500(Fivehundreddollars)fortheadditionaladministrativeworkrequiredbecauseofthefailuretoextendorsubstituteCollateralinatimelymannerasrequiredbythisAgreement.2.6.3IftheSubdivisionImprovementsCollateralissubstituted,asotherwiseprovidedherein,thisAgreementmaybeamendedormodifiedinordertosetforthspecificEventsofDefaultdeemednecessary,intheCounty’ssolediscretion,commensuratewiththetypeofcollateralsubstituted.2.7CostsandExpenses.Subdivideragreestopayanycostsandexpenses,includingbutnotlimitedtolegalfees,whichtheCountymayincurindeterminingtoacceptcollateral,indrawingupontheSubdivisionImprovementsCollateral,orLandscapePlanCollateral(definedbelow),orinaccomplishinganextensionofitsexpiration.2.8LandscapePlanCollateral.2.8.1PriortotheCounty’sissuanceofanydevelopmentpermitfortheSubdivision,SubdivideragreestoprovidetheCountythe“LandscapePlanCollateral”intheformandsubstanceacceptabletotheCountyAttorney,intheformofanirrevocableLetterofCredittoensuretheLandscapeImprovementswillbeinstalledaccordingtotheapprovedAOl5OO67--77 DocuSignEnvelopeID:8014F616-ECAC-4A8B-9715-73F9D99F456ALandscapePlan.SubdivideragreestoprovidetheLandscapePlanCollateralfornolessthan:(a)onehundredpercent(100%)oftheestimatedcostofthoseLandscapeImprovementsthataresitefurnishingandamenities;and(b)onehundredandtwenty-fivepercent(125%)oftheestimatedcostoftheotherLandscapeImprovementslistedintheapprovedLandscapePlan(the“PlantingCollateralPortion”),basedonthecostestimateprovidedbytheSubdividerandapprovedbytheCounty,assetforthinExhibitBandSection2.1,above.TheLandscapePlanCollateralshallbeintheamountof$712,649.62asfurtherdetailedonExhibitB.2.8.2AsportionsoftheLandscapeImprovementsarecompleted,theCommunityDevelopmentDirectorshallinspectthem,anduponapprovalandacceptance,shallauthorizethereleasefromtheLandscapePlanCollateraloftheagreedestimatedcostforthatportionoftheLandscapeImprovements,exceptthattenpercent(10%)shallbewithhelduntilallproposedLandscapeImprovementsarecompletedandapproved,andanadditionaltwenty-fivepercent(25%)shallberetaineduntiltheLandscapeImprovementshavebeenmaintainedinasatisfactoryconditionfortwo(2)years.Suchtwenty-fivepercent(25%)retainageshallapplyonlytothatportionofthePlantingCollateralPortionofthetotalLandscapePlanCollateral.2.8.3followinginstallationoftherequiredLandscapeImprovements,theSubdividershallcertifythelandscapinghasbeeninstalledinconformancewiththeapprovedLandscapePlan.Tenpercent(10%)oftheLandscapePlanCollateralshallbereleasedwithinten(10)workingdaysfollowingreceiptofthecertificationandinspectionbytheCounty.Twenty-fivepercent(25%)ofthePlantingCollateralPortionoftheLandscapeCollateralshallbereleasedwithinten(10)workingdaysfollowingreceiptofcertificationandinspectionbytheCountythattheLandscapeImprovementshavebeenmaintainedinasatisfactoryconditionfortwo(2)years.2.8.4IntheeventtheLandscapeImprovementscontainedinthecostestimateapprovedbytheCountyarenotinstalledorareinstalledinamannerthatdoesnotconformwiththeapprovedLandscapePlan,theCountymaydrawontheLandscapePlanCollateralinthesamemannerprovidedinSection2.5and2.6tobringtheLandscapeImprovementsintoconformancewiththeapprovedLandscapePlan.3.iNSURANCEandINDEMNIFICATION3.1Indemnification.SubdividershallindemnifyandholdtheCountyharmlessfromanyandallclaimsmadeagainsttheCountybyanycontractor,subcontractor,materialmen,employee,independentcontractor,agentorrepresentativeinvolvedintheworknecessarytocomplywiththisAgreement,oronaccountofanyotherclaimsagainsttheCountybecauseoftheactivitiesconductedbyoronbehalfofSubdividerinfurtheranceofthetermsofthisAgreement.ThisindemnificationandholdharmlessprovisionshallincludeanylegalexpensesorcostsincurredbytheCounty.3.2CertificatesofInsurance.TheSubdividershallsecurefromanycontractororsubcontractorengagedintheworknecessarytocomplywiththisAgreementaCertificateofInsuranceprovidingforliabilityprotectionintheminimumamountof$350,000perindividual{A0150067--7}$ DocuSignEnvelopeID:8014F616-ECAC-4A8B-9715-73F9D99F456A4.2SubdivisionImprovementAgreementControls.IntheeventofanyinconsistencyorincongruitybetweentheprovisionsofthisAgreementandtheLandUseRegulations,theprovisionsofthisAgreementshaltinaltrespectsgovernandcontrol.4.3WarrantiesandGuarantees.Thereshallbeatwo-yearcorrectionperiod,orsuchlongerperiodasmaybeprescribedbylaw,fromthetimeofcompletionoftheSubdivisionImprovementsduringwhichtimetheSubdividershallpromptlycorrectorremoveandreplace,inaccordancewiththeCounty’swritteninstructions,defectiveworkormaterialsandconsequencesthereofRepairorreplacementmadeunderthetwo-yearcorrectionperiodshallbearanadditionalone-yearcorrectionperiodfromtheacceptanceoftherepairorthereplacementbytheEagleCountyEngineer.TheworkshallbecollateralizedduringthecorrectionperiodinanamountandtypeofcollateralasshallbereasonablydeterminedbytheCounty.Theworkshallbeinspected,attherequestoftheSubdivider,nolessthansixty(60)dayspriortoexpirationoftheone-yearadditionalcorrectionperiod,andanydeficienciesshallbenotedtotheSubdivider.4.4ApprovaloffinalPlat.TheCountyagreestotheapprovaloftheFinalPtatoftheSubdivision,subjecttothetermsandconditionsofthisAgreement.4.4.1FinalPlatAmendments.Wherefieldchangesorothercircumstanceshavecausedtheroad,utilities,orotherSubdivisiontmprovementstobeconstructedinlocationsdifferentfromthoseshownontheapprovedplans,thelocationsofrights-of-way,easements,lotlines,buildingenvelopes,setbacklines,orotherattributesshownonthefinalPlatshallbeamendedasnecessarytocomplywithfinalPlatrequirementsoftheLandUseRegulations4.5AmendmentandModification.ThepartiesheretomutuallyagreethatthisAgreementmaybeamendedormodifiedfromtimetotime,providedthatsuchamendmentormodificationbeinwritingandsignedbyallpartieshereto.4.6Assignability.ThisAgreementshallbeenforceableagainsttheSubdivider,provided,however,thatintheeventtheSubdividersells,transfersorassignsallorpartofthesubjectSubdivision,theobligationsoftheSubdividerunderthisAgreementastothatportionofthesubjectSubdivisionmaybeassumedinwritingbythepurchaseroftheparcel,andtheSubdividershallhavenofurtherobligationshereunder.Itisagreed,however,thatnosuchassumptionoftheseobligationsshallbeeffectiveunlesstheCountygivesitspjçwrittenapprovaltosuchassumptionfollowinganinvestigationofthefinancialconditionofthepurchaser.TheSubdividershallnototherwiseassign,transfer,convey,pledgeorotherwisedisposeofthisAgreementwithoutpriorwrittenconsentoftheCounty,whichconsentshallnotbeunreasonablywithheld.4.7BindinguponSuccessors.ThisAgreementshallinuretothebenefitofandbebindinguponthepartieshereto,theirrespectivesuccessors,andassigns.4.8SoleResponsibilityofSubdividerPriortoCountyAcceptance.Itisfurtheragreedandunderstoodthatatalltimespriortothecompletionandacceptanceoftheoff-siteSubdivisionImprovementssetforthhereinbytheCounty,eachofsaidimprovementsnotacceptedascompleteshallbeunderthesoleresponsibilityandchargeoftheSubdivider.When{A0150067--7}10
