County,Colorado,abodycorporateandpolitic,byandthroughitsBoardofCountyCommissioners (hereinafter“EagleCounty”)andtheRoaringForkTransportationAuthority (hereinafter“RFTA”).WITNESSETH:WHEREAS,EagleCountyistheownerofcertainproperty locatedinSections34,T7S,R 87Wofthe6principalmeridianinEagle County,Colorado(hereinafter“ROWProperty“).WHEREAS,RFTAdesirestoconstructandmaintaintwo(2)RFTAbusstopsintheEagleCountyroadright-of-wayatlocationsadjoiningJWDriveandElJebelRoad(the“ROW”).Asthemajoraspectofthisconstruction,RFTAiswideningandpavingthesouthernandthenorthern shouldersofJWDriveinthetwo(2)busstoplocationspertheplansdatedFebruary27,2020,andsubmittedinconjunctionwithEagleCountyright-of-waypermitROW-01$438-2020.TheconstructionwillbealongJWDriveandwestapproximately80feetoftheintersection.Thesurfacewillbepavedtojoinandbeflushwith thesurfaceofJWDrive.WHEREAS,EagleCountyiswillingtoallow RFTAtoconstructandmaintainthetwo(2)RFTAbusstopsinEagleCounty’sROWpursuanttothetemisandconditionsofthisAgreement.NOW,THEREFORE,inconsiderationofthetermsandcovenantsstatedherein,thesufficiencyofwhichisherebyacknowledged,EagleCounty,RFTAagreeasfollows:ENCROACHMENTEASEMENTGRANT:EagleCounty herebygrantsandconveystoRFTA,itssuccessorsandassigns,non-exclusiveeasementson,overandthroughtheROWPropertyforthepurposesofconstructingandmaintainingtwo(2)busstopswithintheEagle CountyROWatthelocationsshownonExhibitNA”attachedheretoandincorporated hereinbythisreference(hereinafter “EncroachmentEasement”).TheEncroachmentEasementshallnotbeused foranyother purposeexceptasdescribedherein.TheEncroachmentEasementgrantedinthisAgreementshallbepossessedandenjoyedbyRFTA,itssuccessorsandassigns,solongastheEncroachmentEasementisusedbyRFTAinaccordancewiththetermsandconditionsofthisAgreement.IntheeventthatRFTAceasestousetheEncroachmentEasementinaccordancewiththetermsandconditionsofthisAgreementorotherwise,failstocomplywithany andallofthetermsandconditionsofthis Agreement,thisAgreementandEncroachmentEasementmaybeterminateduponten(10)days’noticebyEagleCounty,in itssolediscretion.Notwithstandingtheforegoing paragraph,Eagle County,initssolediscretion,reservestherighttoterminatethisAgreementandtheEncroachmentEasementandtorequire RFTAtoremoveC20-226 DocuSignEnvelopeID:1E855494-988C-48CA-807B-2B7284B9ADF7and/orrelocatethetwo(2)busstopsatRFTAsoleexpenseuponsixty(60)days’noticebyEagleCounty.Uponnoticeoftermination,RFTAagreestorestoretheEncroachmentEasementareatoitsoriginalcondition,orasclosetheretoaspossible,andRFTAshallre-gradeandre-vegetatethedisturbedareawithintheEncroachmentEasementareawithinninety(90)daysoftermination.IfRFTAshallfailtotimelyremovethetwo(2)busstopsandrestoretheEncroachmentEasementuponsuchnoticeandwithinsuchtimeperiod,EagleCountymaydosoatRFTNsexpenseandRFTAshallreimburseEagleCountyforitsreasonablecostsincurredwithinninety(90)daysofdemand.TheEncroachmentEasementgrantedbythisAgreementisnon-exclusiveandEagleCountyreservestherighttouseforitselfandtograntforothersrights-of-wayover,under,acrossorthroughtheEncroachmentEasementhereingranted,providedthattheydonotmateriallyinterferewithRFTA’suseoftheEncroachmentEasementherein.EagleCountyreservestherighttouseandenjoythepremisestothefullestpossibleextentwithoutunreasonableinterferencewiththeexercisebyRFTAoftherightsgrantedinthisAgreement.Withoutlimitingtheforegoing,EagleCountyreservestherighttoplacealong,across,under,overandthroughtheEncroachmentEasementasmanyelectriclines,powerlines,waterlines,sewerlines,gaslines,telephonelinesandotherutilitiesasEagleCountymaydesiresubjectonlytotherightofRFTAtousethesameforthepurposeshereingranted.Theencroachmentofthetwo(2)busstopsintotheCounty’sROWshallnotconstituteanyrelinquishmentoftheCounty’spropertyrightswhetherthroughclaimsofadversepossessionoranyothermeans.CONSTRUCTIONANDMAINTENANCEOFENCROACHMENTEASEMENT:Construction,includingreplacementorsignificantalterations,andrepairandmaintenanceofthetwo(2)busstopsandanyrelatedsidewalkswillbeatthesoleresponsibilityandexpenseofRFTA.NoconstructionshallbecommenceduntilapprovedinwritingbyEagleCounty,suchapprovalnottobeunreasonablywithheldordelayed.AllconstructionshallbeconductedinaccordancewiththeEagleCountyLandUseRegulationsandtheplansetdatedFebruary27,2020,andEagleCountyrightofwaypermitROW—018438-2020.RFTAagreestoberesponsibleforallremovalofsnowthatmayaccumulateonoraroundthetwo(2)busstopsshownon“Exhibit“A”astheresultofnaturalaccumulationorsnowplowingoperations.RFTAagreestoberesponsibleforallongoingrepairandmaintenancecostsassociatedwiththecurrentandanyfutureuseoftheEncroachmentEasement.Wheneverpossible,RFTAshallnotifyandcoordinatewithEagleCountypriortoperforminganymaintenancetoavoiddisruptionwithintheCounty’sROW.2 DocuSignEnvelopeID:1E855494-988C-48CA-807B-2B7284B9ADF7INDEMNIFICATION:RFTAshall,tothefullestextentpermittedbylaw,indemnifyandholdharmlessEagleCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichEagleCountyoranyofitsofficers,agents,oremployeesmaybecomesubjectto,insofarasanysuchlosses,claims,damagesorliabilitiesarisingoutof,directlyorindirectly,thisAgreementandtheEncroachmentEasement,orarebaseduponanyperformanceornonperformancebyRFTAhereunder;andRfTAshallreimburseEagleCountyforanyandalllegalandotherexpensesincurredbyEagleCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ThepartiesheretounderstandandagreethatRFTAisrelyingon,anddoesnotwaiveorintendtowaivebyanyprovisionofthisAgreementthemonetarylimitationsoranyotherrights,immunities,andprotectionsprovidedbytheColoradoGovemmentalImmunityActetseq.,C.R.S.§24-10-101etseq.asfromtimetotimeamended,oranyotherrights,protections,immunities,defensesorlimitationsonliabilityprovidedbylaworanyapplicableprovisionsoftheColoradoConstitutionandotherapplicablelawsorotherwiseavailabletoRFTA,itssubsidiary,associatedand/oraffiliatedentities,successors,orassigns;oritselectedofficials,employees,agents,andvolunteers.ENFORCEMENTREMEDIES:ThisAgreementshallberecordedwiththeEagleCountyClerkandRecorder’sOfficeandshallconstitutecovenantsrunningwiththeROWProperty,asaburdenthereon,forthebenefitof,andshallbespecificallyenforceablebyEagleCountyagainstRFTA,itssuccessorsandassigns.RFTA’sobligationsforrestoration,repair,andindemnificationshallsurviveterminationofthisAgreementandtheEncroachmentEasement.EagleCountyagreesthatthisAgreementmaybeenforcedforspecificperformance,injunctive,orotherappropriaterelief,includingdamages,asmaybeavailableaccordingtothelawsandstatutesoftheStateofColorado.ItisspecificallyunderstoodthatbyexecutingthisAgreement,RfTAcommitsitselftoperformpursuanttothesetermscontainedherein.MISCELLANEOUS:ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofColorado.VenueforanyactionarisingoutofanydisputepertainingtothisAgreementshallbeinEagle,Colorado.ThisAgreement,andtherightsandobligationscreatedherebyshallbebindinguponandinuretothebenefitofEagleCounty,RFTAandtheirrespectivesuccessorsandassigns.NothinghereinexpressedorimpliedisintendedorshouldbeconstruedtoconferorgivetoanypersonorentityotherthanEagleCounty,RFTAandtheirrespectivesuccessorsandassigns,anyright,remedyorclaimunderorbyreasonhereoforbyreasonofanycovenantorconditionhereincontained.IfanyportionofthisAgreementisheldinvalidorunenforceableforanyreasonbyacourtofcompetentjurisdiction,suchportionshallbedeemedseverableanditsinvalidityorits3 DocuSignEnvelopeID:1E855494-988C-48CA-807B-2B7284B9ADF7unenforceabilityshallnotaffecttheremainingprovisions;suchremainingprovisionshallbefullyseverableandthisAgreementshallbeconstruedandenforcedasifsuchinvalidprovisionhadneverbeeninsertedintothisAgreement.ThisAgreementmaybeamended,modified,changed,orterminatedinwholeorinpartonlybywrittenagreementdulyauthorizedandexecutedbyEagleCountyandRFTA.ThisAgreementrepresentsthefullandcompleteunderstandingofEagleCountyandRFTAandsupersedesanyprioragreements,discussions,negotiations,representationsorunderstandingsofEagleCountyandRFTAwithrespecttothesubjectmattercontainedherein.Thepartiesheretoagreethatneitherhasmadeorauthorizedanyagreementwithrespecttothesubjectmatterofthisinstrumentotherthanexpresslysetforthherein,andnooralrepresentation,promise,orconsiderationdifferentfromthetermshereincontainedshallbebindingoneitherpartyoritsagentsoremployeeshereto.Allofthecovenantshereincontainedshallbebindinguponandinuretothebenefitsofthepartieshereto,theirrespectiveheirs,personalrepresentatives,successorsandassigns.ThisEncroachmentEasementisgrantedsubjecttopriorgrantsofeasementsandotherownershipinterestsofrecord.EagleCountymakesnowarrantiesastothetitleoftheeasementconveyed.INWITNESSWHEREOF,EAGLECOUNTYandRFTAhaveexecutedthisEncroachmentEasementAgreementthis____________________ATTEST:COUNTYOFEAGLE,STATEOFCOLORADO,byandthroughitsBOARDOFCOUNTYCOMMISSIONERSDocuSignedby:DocuSignedby:By:________________By:Clerkto63Wd4fCountyKathyevMty,ChairCommissioners4
