COMCASTOFCOLORADOIX,LLC,ANDEAGLECOUNTY,COLORADOCABLEAGREEMENTThisCableTlevisionAgreement(“Agreement”)isenteredintoinEagleCounty,Colorado,one/R)ZcbyandbetweenEagleCounty,Coloradoabodycorporateandpolitic,hereinafter(“Grantor”orthe“County”)andComcastofColoradoIX,LLC(“Grantee”).GrantorandGranteearesometimesreferredtohereinaftercollectivelyasthe“parties.”WHEREAS,theGrantorhasidentifiedthefuturecable-relatedneedsandinterestsoftheGrantoranditsresidents,hasconsideredthefinancial,technicalandlegalqualificationsofGrantee,andhasdeterminedthatGrantee’splansforconstructing,operatingandmaintainingitsSystemareadequate,inapublicproceedingaffordingdueprocesstoallparties;andWHEREAS,thepublichashadadequatenoticeandopportunitytocommentonGrantee’sproposaltoprovidecabletelevisionservicewithintheCounty;andWHEREAS,theGrantorhasalegitimateandnecessaryregulatoryroleinensuringtheavailabilityofstateoftheartCableService,hightechnicalcapabilityandreliabilityofSystemsinitsjurisdiction,theavailabilityoflocalprogramming(includingEducationalandGovernmentalAccessprogramming)andqualitycustomerservice;andWHEREAS,diversityinCableServiceandlocalandnon-localprogrammingisanimportantpolicygoalandtheGrantee’sSystemshouldofferawiderangeofprogrammingservices;andWHEREAS,flexibilitytorespondtochangesintechnology,subscriberinterestsandcompetitivefactorswithintheCableServicemarketshouldbeanessentialcharacteristicofthisAgreementandboththeGrantorandtheGranteewilladdressmaximumsystemflexibilitytotakeadvantageofnewtechnologytobenefitsubscribersandresidentsassuchtechnologybecomesavailable;andWHEREAS,theCountyisauthorizedbyapplicablelawtograntoneormorenonexclusiveagreementstoconstruct,operateandmaintaincabletelevisionSystemswithintheboundariesoftheCounty;andWHEREAS,pursuanttoC.R.S.§30-11-101,et.seq.andinaccordancewiththeCableAct,theCountyhastheauthoritytograntsuchrenewaloftheexistingAgreements.NOW,THEREFORE,inconsiderationofthemutualpromisesmadeherein,andothergoodandvaluableconsiderationasprovidedherein,thereceiptandadequacyofwhichareherebyacknowledged,GrantorandGranteedoherebyagreeasfollows:
SECTION1.DEFINITIONSANDEXHIBITS(A)DEFINITIONSForthepurposesofthisAgreement,thefollowingterms,phrases,wordsandtheirderivationsshallhavethemeaninggivenherein.Whennotinconsistentwiththecontext,wordsusedinthepresenttenseincludethefuture,wordsinthepluralincludethesingular,andwordsinthesingularincludetheplural.Wordsnotdefinedshallbegiventheircommonandordinarymeaning.Theword“shall”isalwaysmandatoryandnotmerelydirectory.1.1“Access”or“AccessProgramming”includesPublicAccess,EducationalAccessandGovernmentalAccess,(collectivelyreferredtoas“PEG”)collectivelyandtheavailabilityfornoncommercialusebyvariousagencies,institutions,organizations,groupsandindividualsinthecommunity,includingtheCountyanditsdesignees,oftheCableSystemtoacquire,create,receive,anddistributevideoCableServicesandotherservicesandsignalsaspermittedunderApplicableLawincluding,butnotlimitedto:a.“PublicAccess”meansAccesswherecommunity-based,noncommercialorganizations,groupsorindividualmembersofthegeneralpublic,onanondiscriminatorybasis,aretheprimaryusers.b.“EducationalAccess”meansAccesswhereschoolsaretheprimaryusershavingeditorialcontroloverprogrammingandservices.Forpurposesofthisdefinition,“school”meansanyState-accreditededucationalinstitution,publicorprivate,including,forexample,primaryandsecondaryschools,collegesanduniversities.c.“GovernmentAccess”meansAccesswheregovernmentalinstitutionsortheirdesigneesaretheprimaryusershavingeditorialcontroloverprogrammingandservices.1.2“AccessChannel”meansanyChannel,orportionthereof,designatedforAccesspurposesorotherwisemadeavailabletofacilitateortransmitAccessprogrammingorservices.1.3“Activated”meansthestatusofanycapacityorpartoftheCableSysteminwhichanyCableServicerequiringtheuseofthatcapacityorpartisavailablewithoutfurtherinstallationofsystemequipment,whetherhardwareorsoftware.1.4“Affiliate,”whenusedinconnectionwithGrantee,meansanyPersonwhoownsorcontrols,isownedorcontrolledby,orisundercommonownershiporcontrolwith,Grantee.1.5“Agreement”meansthedocumentinwhichthisdefinitionappears,i.e.,thecontractualagreement,executedbetweentheCountyandGrantee,containingthespecificprovisionsoftheauthorizationgranted,includingreferences,specifications,requirementsandotherrelatedmatters.1.6“AgreementArea”meanstheunincorporatedareawithinthejurisdictionalboundariesoftheCounty,andalsoincludes,bywayofillustrationandnotlimitation,unincorporatedareaswheretherearehomeownersassociations,metropolitandistricts(withtheexceptionofmetropolitan2
districtsthathaveenteredintoaseparatepublicwayaccessagreementorsimilaragreementwithGrantee,privatecommunities(whereCountyownsorcontrolstheRight-of-Way)andanyunincorporatedareaswhichbecomepartoforannexedintheCountyduringthetermofthisagreement.1.7“Agreementfee”meansthatfeepayabletotheCountydescribedinSection3.1.1.8“ApplicableLaw”meansanyfederallaw,statelaw,locallaw,statute,ordinance,resolution,judicialdecision,executiveorder,EagleCountyLandUseRegulations(ECLUR)orregulationhavingtheforceandeffectoflawthatdeterminesthelegalstandingofacaseorissue.1.9“BadDebt”meansamountslawfullybilledtoaSubscriberandowedbytheSubscriberforCableServiceandaccruedasrevenuesonthebooksofGrantee,butnotcollectedafterreasonableeffortshavebeenmadebyGranteetocollectthecharges.1.10“BasicService”isthelevelofprogrammingservicewhichincludes,ataminimum,allBroadcastChannels,allPEGSDandHDAccessChannelsrequiredinthisAgreement,andanyadditionalProgrammingaddedbytheGrantee,andismadeavailabletoallCableServicesSubscribersintheAgreementArea.1.11“BroadcastChannel”meanslocalcommercialtelevisionstations,qualifiedlowpowerstationsandqualifiedlocalnoncommercialeducationaltelevisionstations,asreferencedunder47USC§534and535.1.12“BroadcastSignal”meansatelevisionorradiosignaltransmittedovertheairtoawidegeographicaudience,andreceivedbyaCableSystembyantenna,microwave,satellitedishesoranyothermeans.1.13“CableAct”meanstheTitleVIoftheCommunicationsActof1934,asamended.1.14“CableOperator”meansanyPersonorgroupsofPersons,includingGrantee,whoprovide(s)CableServiceoveraCableSystemanddirectlyorthroughoneormoreaffiliatesownsasignificantinterestinsuchCableSystemorwhootherwisecontrol(s)oris(are)responsiblefor,throughanyarrangement,themanagementandoperationofsuchaCableSystem.1.15“CableService”meanstheone-waytransmissiontoSubscribersofvideoprogrammingorotherprogrammingservice,andSubscriberinteraction,ifany,whichisrequiredfortheselectionoruseofsuchvideoprogrammingorotherprogrammingservice.1.16“CableSystem”meansanyfacility,includingGrantee’s,consistingofasetofclosedtransmissionspathsandassociatedsignalgeneration,reception,andcontrolequipmentthatisdesignedtoprovideCableServicewhichincludesvideoprogrammingandwhichisprovidedtomultipleSubscriberswithinacommunity,butsuchtermdoesnotinclude(A)afacilitythatservesonlytoretransmitthetelevisionsignalsofoneormoretelevisionbroadcaststations;(B)afacilitythatservesSubscriberswithoutusinganyRight-of-Way;(C)afacilityofacommoncarrierwhichissubject,inwholeorinpart,totheprovisionsofTitleIIofthefederalCommunicationsAct(473
U.S.C.201etseq.),exceptthatsuchfacilityshallbeconsideredaCableSystem(otherthanforpurposesofSection621(c)(47U.S.C.541(c))totheextentsuchfacilityisusedinthetransmissionofvideoprogrammingdirectlytoSubscribers,unlesstheextentofsuchuseissolelytoprovideinteractiveon-demandservices;(D)anopenvideosystemthatcomplieswithfederalstatutes;or(E)anyfacilitiesofanyelectricutilityusedsolelyforoperatingitselectricutilitysystems.1.17“Channel”meansaportionoftheelectromagneticfrequencyspectrumwhichisusedintheCableSystemandwhichiscapableofdeliveringatelevisionchannel(astelevisionchannelisdefinedbytheFCCbyregulation).1.1$“CommercialSubscribers”meansanySubscribersotherthanResidentialSubscribers.1.19“Commissioners”meanstheBoardofCountyCommissionersofEagleCounty,Colorado,oritssuccessor,thegoverningbodyofEagleCounty,Colorado.1.20“County”isEagleCounty,Colorado,abodypoliticandcorporateunderthelawsoftheStateofColorado.1.21“DesignatedAccessProvider”meanstheentityorentitiesdesignatednoworinthefuturebytheCountytomanageorco-manageAccessChannelsandfacilities.TheCountymaybeaDesignatedAccessProvider.1.22“DigitalStarterService”meanstheTierofoptionalvideoprogrammingservices,whichisthelevelofCableServicereceivedbymostSubscribersaboveBasicServiceanddoesnotincludePremiumServices.1.23“Downstream”meanscarryingatransmissionfromtheHeadendtoremotepointsontheCableSystemortoInterconnectionpointsontheCableSystem.1.24“DwellingUnit”meansanybuilding,orportionthereof,thathasindependentlivingfacilities,includingprovisionsforcooking,sanitationandsleeping,andthatisdesignedforresidentialoccupancy.BuildingswithmorethanonesetoffacilitiesforcookingshallbeconsideredMultipleDwellingUnitsunlesstheadditionalfacilitiesareclearlyaccessory.1.25“FCC”meansthefederalCommunicationsCommission.1.26“FiberOptic”meansatransmissionmediumofopticalfibercable,alongwithallassociatedelectronicsandequipment,capableofcarryingCableServicebymeansofelectriclightwaveimpulses.1.27“Grantee”meansComcastofColoradoIX,LLC,oritslawfulsuccessor,transfereeorassignee.1.28“GrossRevenues”means,andshallbeconstruedbroadlytoincludeallrevenuesderiveddirectlyorindirectlybyGranteeand/oranAffiliatedEntitythatisthecableoperatoroftheCable4
System,fromtheoperationofGrantee’sCableSystemtoprovideCableServiceswithintheCounty.Grossrevenuesinclude,bywayofillustrationandnotlimitation:•monthlyfeesforCableServices,regardlessofwhethersuchCableServicesareprovidedtoresidentialorcommercialcustomers,includingrevenuesderivedfromtheprovisionofallCableServices(includingbutnotlimitedtopayorpremiumCableServices,digitalCableServices,pay-per-view,pay-per-eventandvideo-on-demandCableServices);•installation,reconnection,downgrade,upgradeorsimilarchargesassociatedwithchangesinsubscriberCableServicelevels;•feespaidtoGranteeforchannelsdesignatedforcommercial/leasedaccessuseandshallbeallocatedonaproratabasisusingtotalCabLeServicesubscriberswithintheCounty;•converter,remotecontrol,andotherCableServiceequipmentrentals,leases,orsales;•AdvertisingRevenuesasdefinedherein;•latefees,conveniencefeesandadministrativefeeswhichshallbeallocatedonaproratabasisusingCableServicesrevenueasapercentageoftotalsubscriberrevenueswithintheCounty;•revenuesfromprogramguides;•AgreementFees;•FCCRegulatoryfees;and•commissionsfromhomeshoppingchannelsandotherCableServicerevenuesharingarrangementswhichshallbeallocatedonaproratabasisusingtotalCableServicesubscriberswithintheCounty.(A)“AdvertisingRevenues”shallmeanrevenuesderivedfromsalesofadvertisingthataremadeavailabletoGrantee’sCableSystemsubscriberswithintheCountyandshallbeallocatedonaproratabasisusingtotalCableServicesubscribersreachedbytheadvertising.Additionally,GranteeagreesthatGrossRevenuessubjecttoAgreementfeesshallincludeallcommissions,repfees,AffiliatedEntityfees,orrebatespaidtoNationalCableCommunications(“NCC”)andComcastSpotlight(“Spotlight”)ortheirsuccessorsassociatedwithsalesofadvertisingontheCableSystemwithintheCountyallocatedaccordingtothissubsectionusingtotalCableServicesubscribersreachedbytheadvertising.(B)“GrossRevenues”shallnotinclude:5
•actualbaddebtwrite-offs,exceptanyportionwhichissubsequentlycollectedwhichshallbeallocatedonaprorotabasisusingCableServicesrevenueasapercentageoftotalsubscriberrevenueswithintheCounty;•anytaxesand/orfeesonservicesfurnishedbyGranteeimposedbyanymunicipality,stateorothergovernmentalunit,providedthatAgreementfeesandtheFCCregulatoryfeeshallnotberegardedassuchataxorfee;•feesimposedbyanymunicipality,stateorothergovernmentalunitonGranteeincludingbutnotlimitedtoPublic,EducationalandGovernmental(PEG)Fees;•launchfeesandmarketingco-opfees;and,•unaffiliatedthird-partyadvertisingsalesagencyfeeswhicharereflectedasadeductionfromrevenues.(C)TotheextentrevenuesarereceivedbyGranteefortheprovisionofadiscountedbundleofserviceswhichincludesCableServicesandnon-CableServices,GranteeshallcalculaterevenuestobeincludedinGrossRevenuesusingamethodologythatallocatesrevenueonaproratabasiswhencomparingthebundledservicepriceanditscomponentstothesumofthepublishedratecard,exceptasrequiredbyspecificfederal,stateorlocallaw,itisexpresslyunderstoodthatequipmentmaybesubjecttoinclusioninthebundledpriceatfullratecardvalue.ThiscalculationshallbeappliedtoeverybundledservicepackagecontainingCableServicefromwhichGranteederivesrevenuesintheCounty.TheCountyreservesitsrighttoreviewandtochallengeGrantee’scalculations.(D)GranteereservestherighttochangetheallocationmethodologiessetforthinthisSection1.28inordertomeetthestandardsrequiredbygoverningaccountingprinciplesaspromulgatedanddefinedbythefinancialAccountingStandardsBoard(“FASB”),EmergingIssuesTaskForce(“EITF”)and/ortheU.S.SecuritiesandExchangeCommission(“SEC”).GranteewillexplainanddocumenttherequiredchangestotheCountywithinthree(3)monthsofmakingsuchchanges,andaspartofanyauditorreviewofAgreementfeepayments,andanysuchchangesshallbesubjecttoSection1.28(E)below.(E)ResolutionofanydisputesovertheclassificationofrevenueshouldfirstbeattemptedbyagreementoftheParties,butshouldnoresolutionbereached,thePartiesagreethatreferenceshallbemadetogenerallyacceptedaccountingprinciples(“GAAP”)aspromulgatedanddefinedbytheFinancialAccountingStandardsBoard(“FASB”),EmergingIssuesTaskforce(“EITF”)and/ortheU.S.SecuritiesandExchangeCommission(“$EC”).Notwithstandingtheforgoing,theCountyreservesitsrighttochallengeGrantee’scalculationofGrossRevenues,includingtheinterpretationofGAAPaspromulgatedanddefinedbytheFASB,EITFand/ortheSEC.1.29“Headend”meansanyfacilityforsignalreceptionanddisseminationonaCableSystem,includingcables,antennas,wires,satellitedishes,monitors,switchers,modulators,processorsforBroadcastSignals,equipmentfortheInterconnectionoftheCableSystemwithadjacentCable6
SystemsandInterconnectionofanynetworkswhicharepartoftheCableSystem,andallotherrelatedequipmentandfacilities.1.30“Interconnect”or“Interconnection”,totheextentfinanciallyandtechnicallyapplicable,meansthelinkingofAccessChannelswithAccessChannelscarriedonanothercablesystem,includingtechnical,engineering,physical,andothernecessarycomponentstoaccomplish,completeandadequatelymaintainsuchlinking,inamannertopermitthetransmissionandreceivingofelectronicoropticalsignalsatequivalentaudioandvideoquality,functionalityandaccessibilitytothatofthecommercialChannelsandwithoutsignaldegradationbetweentheSystemandothersystemsortopermitthenecessarycomponentstoaccomplish,completeandadequatelymaintainpathwaysthatpermitthetransmissionandreceivingofsuchelectronicoropticalsignalsbetweenlocationsconnectedtoportionsoftheSystemwithothercablesystems.1.31“LeasedAccessChannel”meansanyChannelorportionofaChannelcommerciallyavailableforvideoprogrammingbyPersonsotherthanGrantee,forafeeorcharge.1.32“Manager”meanstheCountyManageroftheCountyordesignee.1.33“PayService”or“PremiumService”meansVideoProgrammingorotherprogrammingservicechoices(suchasmovieChannelsorpay-per-viewprograms)offeredtoSubscribersonaper-Channel,per-programorper-eventbasis.1.34“Person”meansanyindividual,soleproprietorship,partnership,jointventure,association,orlimitedliabilityentityorcorporation,oranyotherformofentityororganization.1.35“PremiumService”meansprogrammingchoices(suchasmovieChannels,pay-per-viewprograms,orvideoondemand)offeredtoSubscribersonaper-Channel,per-programorper-eventbasis.1.36“ResidentialSubscriber”meansanyPersonwhoreceivesCableServicedeliveredtoDwellingUnitsorMultipleDwellingUnits,excludingsuchMultipleDwellingUnitsbilledonabulk-billingbasis.1.37“Right-of-Way”shallmeanthesurface,theairspaceabovethesurface,andtheareabelowthesurfaceofanypublicstreet,highway,lane,path,alley,sidewalk,boulevard,drive,bridge,tunnel,park,parkway,waterway,easement,orsimilarpropertyinwhichtheCountynoworhereafterholdsanypropertyinterest,which,consistentwiththepurposesforwhichitwasdedicated,maybeusedforthepurposeofinstallingandmaintainingaCableSystem,provided,however,Right-of-Wayshallnotincludeparksandopenspaceswhereconservationeasementsprohibitdevelopment.Noreferencehereintoa“PublicRight-of-Way”shallbedeemedtobearepresentationorguaranteebytheCountythatitsinterestorotherrighttocontroltheuseofsuchpropertyissufficienttopermititsuseforsuchpurposes,andGranteeshallbedeemedtogainonlythoserightstouseasareproperlyintheCountyandastheCountymayhavetheundisputedrightandpowertogive.7
1.3$“StandardInstallation”meansaninstallationthatiswithinonehundredtwenty-five(125)footdropconnectingtoaninsidewallforResidentialSubscribers,withadditionalchargesfornonstandardinstallationscomputedaccordingtoanon-discriminatorymethodologyforsuchinstallations,adoptedbyGranteeandprovidedinwritingtotheCounty.1.39“State”meanstheStateofColorado.1.40“Subscriber”or“Customer”meansanyPersonwhoorwhichelectstosubscribeto,foranypurpose,CableServiceprovidedbyGranteebymeansoforinconnectionwiththeCableSystemandwhosepremisesarephysicallywiredandlawfullyActivatedtoreceiveCableServicefromGrante&sCableSystem,andwhoisincompliancewithGrantee’sregularandnondiscriminatorytermsandconditionsforreceiptofservice.1.41“SubscriberNetwork”meansthatportionoftheCableSystemusedprimarilybyGranteeinthetransmissionofCableServicestoResidentialSubscribers.1.42“Telecommunications”meansthetransmission,betweenoramongpointsspecifiedbytheuser,ofinformationoftheuserschoosing,withoutchangeintheformorcontentoftheinformationassentandreceived(asprovidedin47U.S.C.Section153(43)).1.43“TelecommunicationsService”meanstheofferingofTelecommunicationsforafeedirectlytothepublic,ortosuchclassesofusersastobeeffectivelyavailabledirectlytothepublic,regardlessofthefacilitiesused(asprovidedin47U.S.C.Section153(46)).1.44“Tier”meansagroupofChannelsforwhichasingleperiodicsubscriptionfeeischarged.1.45“Two-Way”meansthattheCableSystemiscapableofprovidingbothUpstreamandDownstreamtransmissions.1.46“Upstream”meanscarryingatransmissiontotheHeadendfromremotepointsontheCableSystemorfromInterconnectionpointsontheCableSystem.(B)EXHIBITSThefollowingdocument,whichisoccasionallyreferredtointhisAgreement,isformallyincorporatedandmadeapartofthisAgreementbythisreference:ExhibitA,entitledReportform.SECTION2.GRANTOFAGREEMENT2.1Grant(A)TheCountyherebygrantstoGranteeanonexciusiveauthorizationtomakereasonableandlawfuluseoftheRights-of-WaywithintheCountytoconstruct,operate,maintain,reconstructandrebuildaCableSystemforthepurposeofprovidingCableServicesubjecttothe8
termsandconditionssetforthinthisAgreement.ThisAgreementshallconstitutebotharightandanobligationtoprovidetheCableServicesrequiredby,andtofulfilltheobligationssetforthin,theprovisionsofthisAgreement.(B)NothinginthisAgreementshallbedeemedtowaivethelawfulrequirementsofanygenerallyapplicableCountyordinanceexistingasoftheEffectiveDate,asdefinedinSection2.3.(C)Eachandeveryterm,provisionorconditionhereinissubjecttotheprovisionsofStatelaw,federallaw,theCountyregulations,andtheordinancesandregulationsenactedpursuantthereto.TheCountyregulations,asthesamemaybeamendedfromtimetotime,areherebyexpresslyincorporatedintothisAgreementasiffullysetouthereinbythisreference.Notwithstandingtheforegoing,theCountymaynotunilaterallyalterthematerialrightsandobligationsofGranteeunderthisAgreementsubjecttoSection2.5.(D)ThisAgreementshallnotbeinterpretedtopreventtheCountyfromimposingadditionallawfulconditions,includingadditionalcompensationconditionsforuseoftheRights-of-Way,shouldGranteeprovideserviceotherthanCableService.(F)Granteepromisesandguarantees,asaconditionofexercisingtheprivilegesgrantedbythisAgreement,thatanyAffiliateoftheGranteedirectlyinvolvedintheofferingofCableServiceintheAgreementArea,ordirectlyinvolvedinthemanagementoroperationoftheCableSystemintheAgreementArea,willalsocomplywiththeobligationsofthisAgreement.(G)NorightsshallpasstoGranteebyimplication.Withoutlimitingtheforegoing,bywayofexampleandnotlimitation,thisAgreementshallnotincludeorbeasubstitutefor:(1)AnyotherpermitorauthorizationrequiredfortheprivilegeoftransactingandcarryingonabusinesswithintheCountythatmayberequiredbytheordinancesandlawsoftheCounty;(2)Anypermit,agreement,orauthorizationrequiredbytheCountyforRight-of-WayusersinconnectionwithoperationsonorinRights-of-Wayorpublicpropertyincluding,bywayofexampleandnotlimitation,streetcutpermits;or(3)AnypermitsoragreementsforoccupyinganyotherpropertyoftheCountyorprivateentitiestowhichaccessisnotspecificallygrantedbythisAgreementincluding,withoutlimitation,permitsandagreementsforplacingdevicesonpoles,inconduitsorinoronotherstructures.(H)ThisAgreementisintendedtoconveylimitedrightsandinterestsonlyastothoseRights-of-WayinwhichtheCountyhasanactualinterest.ItisnotawarrantyoftitleorinterestinanyRight-of-Way;itdoesnotprovidetheGranteewithanyinterestinanyparticularlocationwithintheRight-of-Way;anditdoesnotconferrightsotherthanasexpresslyprovidedinthegranthereof.(I)ThisAgreementdoesnotauthorizeGranteetoprovideTelecommunicationsService,ortoconstruct,operateormaintainTelecommunicationsfacilitiesseparatefromthose9
usedtoprovideCableService.ThisAgreementisnotabartotheprovisionofnon-CableServices,ortotheimpositionofanylawfulconditionsonGranteewithrespecttoTelecommunications,whethersimilar,differentorthesameastheconditionsspecifiedherein.ThisAgreementdoesnotrelieveGranteeofanyobligationitmayhavetoobtainfromtheCountyanauthorizationtoprovideTelecommunicationsServices,ortoconstruct,operateormaintainTelecommunicationsfacilitiesseparatefromthoseusedtoprovideCableService,orrelieveGranteeofitsobligationtocomplywithanysuchauthorizationsthatmaybelawfullyrequired.2.2UseofRights-of-Way(A)SubjecttotheCounty’ssupervisionandcontrol,Granteemayerect,install,construct,repair,replace,reconstruct,andretainin,on,over,under,upon,across,andalongtheRights-of-WaywithintheCountysuchwires,cables,conductors,ducts,conduits,vaults,manholes,amplifiers,pedestals,attachmentsandotherpropertyandequipmentasarenecessaryandappurtenanttotheoperationofaCableSystemwithintheCounty.Grantee,throughthisAgreement,isgrantedextensiveandvaluablerightstooperateitsCableSystemforprofitusingtheCounty’sRights-of-WayincompliancewithallapplicableCountyconstructioncodesandprocedures.Astrusteeforthepublic,theCountyisentitledtofaircompensationasprovidedforinSection3ofthisAgreementtobepaidforthesevaluablerightsthroughoutthetermoftheAgreement.(B)GranteemustfollowCountyestablishednondiscriminatoryrequirementsforplacementofCableSystemfacilitiesinRights-of-Way,includingthespecificlocationoffacilitiesintheRights-of-Way,andmustinanyeventinstallCableSystemfacilitiesinamannerthatminimizesinterferencewiththeuseoftheRights-of-Waybyothers,includingothersthatmaybeinstallingcommunicationsfacilities.WithinlimitsreasonablyrelatedtotheCounty’sroleinprotectingpublichealth,safetyandwelfare,theCountymayrequirethatCableSystemfacilitiesbeinstalledataparticulartime,ataspecificplaceorinaparticularmannerasaconditionofaccesstoaparticularRight-of-Way;maydenyaccessifGranteeisnotwillingtocomplywithCounty’srequirements;andmayremove,orrequireremovalof,anyfacilitythatisnotinstalledbyGranteeincompliancewiththerequirementsestablishedbytheCounty,orwhichisinstalledwithoutpriorCountyapprovalofthetime,placeormannerofinstallation,andchargeGranteeforallthecostsassociatedwithremoval;andmayrequireGranteetocooperatewithotherstominimizeadverseimpactsontheRights-of-Waythroughjointtrenchingandotherarrangements.2.3EffectiveDateandTermofAgreementThisAgreementandtherights,privilegesandauthoritygrantedhereundershalltakeeffectonthedateitisexecutedbytheCounty(the“EffectiveDate”),andshallterminatetenyearsfromsuchdateunlessterminatedsoonerashereinafterprovided.2.4AgreementNonexciusiveThisAgreementshallbenonexclusive,andsubjecttoallpriorrights,interests,easementsorlicensesgrantedbytheCountytoanyPersontouseanyproperty,Right-of-Way,right,interestorlicenseforanypurposewhatsoever,includingtherightoftheCountytousesameforany10
purposeitdeemsfit,includingthesameorsimilarpurposesallowedGranteehereunder.TheCountymayatanytimegrantauthorizationtousetheRights-of-WayforanypurposeandforsuchadditionalagreementsforCableSystemsastheCountydeemsappropriate.2.5PolicePowersGrantee’srightshereunderaresubjecttothepolicepowersoftheCountytoadoptandenforceordinancesnecessarytothesafety,health,andwelfareofthepublic,andGranteeagreestocomplywithalllawsandordinancesofgeneralapplicabilityenacted,orhereafterenacted,bytheCountyoranyotherlegallyconstitutedgovernmentalunithavinglawfuljurisdictionoverthesubjectmatterhereofTheCountyshallhavetherighttoadopt,fromtimetotime,suchordinancesasmaybedeemednecessaryintheexerciseofitspolicepower;providedthatsuchhereinafterenactedordinancesshallbereasonableandnotmateriallymodifythetermsofthisAgreement.AnyconflictbetweentheprovisionsofthisAgreementandanyotherpresentorfuturelawfulexerciseoftheCounty’spolicepowersshallberesolvedinfavorofthelatter.2.6CompetitiveEquity(A)TheGranteeacknowledgesandagreesthattheCountyreservestherighttograntone(1)ormoreadditionalagreementsorothersimilarlawfulauthorizationtoutilizetheRights-of-WayinordertoprovideCableServicesorsimilarvideoprogrammingservicewithintheCounty.IftheCountygrantssuchanadditionalagreementorothersimilarlawfulauthorizationthatpermitsotherproviderstoutilizetheRights-of-WayforCableServicesorsimilarvideoprogrammingservicescontainingmaterialtermsandconditionsthatdifferfromGrantee’smaterialobligationsunderthisAgreement,ordeclinestorequiresuchagreementorothersimilarlawfulauthorizationwhereithasthelegalauthoritytodoso,thenthepartiesagreethattheobligationsinthisAgreementwill,pursuanttotheprocesssetforthinthisSection,beamendedtoincludeanymaterialtermsorconditionsthatitimposesupontheotherproviders,orproviderelieffromexistingmaterialtermsorconditions,soastoinsurethattheregulatoryandfinancialburdensoneachentityaremateriallyequivalent.“Materialtermsandconditions”include,butarenotlimitedto:AgreementFeesandGrossRevenues;complementaryservices;insurance;Systembuild-outrequirements;securityinstruments;Public,EducationandGovernmentAccessChannelsandsupport;customerservicestandards;requiredreportsandrelatedrecordkeeping;competitiveequity(oritsequivalent);audits;disputeresolution;remedies;andnoticeandopportunitytocurebreaches.Thepartiesagreethatthisprovisionshallnotrequireawordforwordidenticalagreementorauthorizationforacompetitiveentitysolongastheregulatoryandfinancialburdensoneachentityaremateriallyequivalent.VideoProgrammingServices(asdefinedintheCableAct)deliveredoverwirelessbroadbandnetworks,whoseinfrastructureisnotlocatedintheRights-of-Wayandwhoisnotrequiredunderfederalorstatelawtoobtainacableagreement,arespecificallyexemptedfromtherequirementsofthisSection.(B)ThemodificationprocessofthisAgreementasprovidedforinSection2.6(A)shallonlybeinitiatedbywrittennoticebytheGranteetotheCountyregardingspecifiedAgreementobligations.Grantee’snoticeshalladdressthefollowing:(I)identifyingthespecifictermsorconditionsinthecompetitivecableservicesagreementwhicharemateriallydifferentfromGrantee’sobligationsunderthisAgreement;(2)identifyingtheAgreementtermsandconditions11
forwhichGranteeisseekingamendments;(3)providingtextforanyproposedAgreementamendmentstotheCounty,withawrittenexplanationofwhytheproposedamendmentsarenecessaryandconsistent.(C)UponreceiptofGrantee’swrittennoticeasprovidedinSection2.6(3),theCountyandGranteeagreethattheywillusebesteffortsingoodfaithtonegotiateGrantee’sproposedAgreementmodifications,andthatsuchnegotiationwillproceedandconcludewithinaninety(90)daytimeperiod,unlessthattimeperiodisreducedorextendedbymutualagreementoftheparties.IftheCountyandGranteereachagreementontheAgreementmodificationspursuanttosuchnegotiations,thentheCountyshallamendthisAgreementtoincludethemodifications.(D)InthealternativetoAgreementmodificationnegotiationsasprovidedforinSection2.6(C),oriftheCountyandGranteefailtoreachagreementinsuchnegotiations,Granteemay,atitsoption,electtoreplacethisAgreementbyoptingintotheagreementorothersimilarlawfulauthorizationthattheCountygrantstoanothermulti-channelvideoprogrammingprovider(withtheunderstandingthatGranteewilluseitscurrentsystemdesignandtechnologyinfrastructuretomeetanyrequirementsofthenewAgreement),soastoinsurethattheregulatoryandfinancialburdensoneachentityaremateriallyequivalent.IfGranteesoelects,theCountyshallimmediatelycommenceproceedingstoreplacethisAgreementwiththeagreementissuedtotheotherwirelinemulti-channelvideoprogrammingprovider.(E)NotwithstandinganythingcontainedinthisSection2.6(A)through(D)tothecontrary,theCountyshallnotbeobligatedtoamendorreplacethisAgreementunlesstheotherprovidermakesCableServicesorsimilarvideoprogrammingserviceavailableforpurchasebysubscribersorcustomersunderitsagreementwiththeCounty.(F)Notwithstandinganyprovisiontothecontrary,atanytimethatawireline-basedentitywithfacilitiesusedtodeliverCableServicesormultipleChannelsofvideoprogramminglocatedintheCounty’sRightsofWaymakesavailableforpurchasebysubscribersorcustomerscableservicesormultiplechannelsofvideoprogrammingwithintheAgreementAreawithoutanagreementorothersimilarlawfulauthorizationthatpermitsanotherprovidertoutilizetheRightsofWaygrantedbytheCounty,then:(1)GranteemaynegotiatewiththeCountytoseekAgreementmodificationsasperSection2.6(C)above;or(a)thetermofGrantee’sAgreementshall,uponninety(90)dayswrittennoticefromGrantee,beshortenedsothattheAgreementshallbedeemedtoexpireonadateeighteen(1$)monthsfromthefirstdayofthemonthfollowingthedateofGrantee’snotice;or,(b)Granteemayassert,atGrantee’soption,thatthisAgreementisrendered“commerciallyimpracticable,”andinvokethemodificationproceduressetforthinSection625oftheCableAct.12
2.7FamiliaritywithAgreementTheGranteeacknowledgesandwarrantsbyacceptanceoftherights,privilegesandagreementsgrantedherein,thatithascarefullyreadandfullycomprehendsthetermsandconditionsofthisAgreementandiswillingtoanddoesacceptalllawfulandreasonablerisksofthemeaningoftheprovisions,termsandconditionsherein.TheGranteefurtheracknowledgesandstatesthatithasfullystudiedandconsideredtherequirementsandprovisionsofthisAgreementandfindsthatthesamearecommerciallypracticableatthistime,andconsistentwithalllocal,Stateandfederallawsandregulationscurrentlyineffect,includingtheCableAct.2.8EffectofAcceptanceByacceptingtheAgreement,theGrantee:(1)acknowledgesandacceptstheCounty’slegalrighttoissueandenforcetheAgreement;(2)acceptsandagreestocomplywitheachandeveryprovisionofthisAgreementsubjecttoApplicableLaw;and(3)agreesthattheAgreementwasgrantedpursuanttoprocessesandproceduresconsistentwithApplicableLaw,andthatitwillnotraiseanyclaimtothecontrary.SECTION3.AGREEMENTFEEPAYMENTANDFINANCIALCONTROLS3.1AgreementFeeAscompensationforthebenefitsandprivilegesgrantedunderthisAgreementandinconsiderationofpermissiontousetheCounty’sRights-of-Way,GranteeshallcontinuetopayasanAgreementFeetotheCounty,throughoutthedurationofandconsistentwiththisAgreement,anamountequaltofivepercent(5%)ofGrantee’sGrossRevenues.TheCountyhasgrantedadditionalagreement(s)tootherwirelineCableServiceprovider(s),GranteeshallnotberequiredtopaymorethantheAgreementFeepercentageimposedbytheotherwirelineagreement(s)requiredfromotherwirelineCableServiceprovider(s).3.2PaymentsGrantee’sAgreementFeepaymentstotheCountyshallbecomputedquarterlyfortheprecedingcalendarquarterendingMarch31,June30,September30,andDecember31.Eachquarterlypaymentshallbedueandpayablenolaterthanforty-five(45)daysaftersaiddates.3.3AcceptanceofPaymentandRecomputationNoacceptanceofanypaymentshallbeconstruedasanaccordbytheCountythattheamountpaidis,infact,thecorrectamount,norshallanyacceptanceofpaymentsbeconstruedasareleaseofanyclaimtheCountymayhaveforfurtheroradditionalsumspayableorfortheperformanceofanyotherobligationofGrantee.13
3.4QuarterlyAgreementReportsEachpaymentshallbeaccompaniedbyawrittenreporttotheCounty,orconcurrentlysentunderseparatecover,verifiedbyanauthorizedrepresentativeofGrantee,containinganaccuratestatementinsummarizedform,aswellasindetail,ofGrantee’sGrossRevenuesandthecomputationofthepaymentamounts.SuchreportsshalldetailallGrossRevenuesoftheCableSystem.3.5AnnualAgreementFeeReportsGranteeshall,withinsixty(60)daysaftertheendofeachyear,furnishtotheCountyastatementstatingthetotalamountofGrossRevenuesfortheyearandallpayments,deductionsandcomputationsfortheperiod.3.6AuditsOnanannualbasis,uponthirty(30)dayspriorwrittennotice,theCounty,includingtheCounty’sAuditororhis/herauthorizedrepresentative,shallhavetherighttoconductanindependentaudit/reviewofGrantee’srecordsreasonablyrelatedtotheadministrationorenforcementofthisAgreement.PursuanttoSection1.28,aspartoftheAgreementFeeaudit/reviewtheCountyshallspecificallyhavetherighttoreviewrelevantdatarelatedtotheallocationofrevenuetoCableServicesintheeventGranteeoffersCableServicesbundledwithnon-CableServices.ForpurposesofthisSection,“relevantdata”shallinclude,ataminimum,Grantee’srecords,producedandmaintainedintheordinarycourseofbusiness,showingthesubscribercountsperpackageandtherevenueallocationperpackageforeachpackagethatwasavailableforCountysubscribersduringtheauditperiod.TotheextentthattheCountydoesnotbelievethattherelevantdatasuppliedissufficientfortheCountytocompleteitsaudit/review,theCountymayrequireotherrelevantdata.ForpurposesofthisSection3.6,the“otherrelevantdata”shallgenerallymeanall:(1)billingreports,(2)financialreports(suchasGeneralLedgers)and(3)samplecustomerbillsusedbyGranteetodetermineGrossRevenuesfortheAgreementAreathatwouldallowtheCountytorecomputetheGrossRevenuedetermination.Iftheaudit/reviewshowsthatAgreementFeepaymentshavebeenunderpaidbyfivepercent(5%)ormore(orsuchothercontractunderpaymentthresholdassetforthinagenerallyapplicableandenforceableregulationorpolicyoftheCountyrelatedtoaudits),Granteeshallpaythetotalcostoftheaudit/review,suchcostnottoexceedfivethousanddollars($5,000)foreachyearoftheauditperiod.TheCounty’srighttoaudit/reviewandtheGrantee’sobligationtoretainrecordsrelatedtothisSectionshallexpirethree(3)yearsaftereachAgreementFeepaymenthasbeenmadetotheCounty.3.7LatePaymentsIntheeventanypaymentduequarterlyisnotreceivedwithinforty-five(45)daysfromtheendofthecalendarquarter,Granteeshallpayinterestontheamountdue(attheprimerateaslistedintheWallStreetJournalonthedatethepaymentwasdue),compoundeddaily,calculatedfromthedatethepaymentwasoriginallydueuntilthedatetheCountyreceivesthepayment.14
3.8UnderpaymentsIfanetAgreementFeeunderpaymentisdiscoveredastheresultofanaudit,Granteeshallpayinterestattherateoftheeightpercent(8%)perannum,compoundedquarterly,calculatedfromthedateeachportionoftheunderpaymentwasoriginallydueuntilthedateGranteeremitstheunderpaymenttotheCounty.3.9AlternativeCompensationIntheeventtheobligationofGranteetocompensatetheCountythroughAgreementfeepaymentsislawfullysuspendedoreliminated,inwholeorpart,thenGranteeshallpaytotheCountycompensationequivalenttothecompensationpaidtotheCountybyothersimilarlysituatedusersoftheCounty’sRights-of-WayforGrantee’suseoftheCounty’sRights-of-Way,providedthatinnoeventshallsuchpaymentsexceedtheequivalentoffivepercent(5%)ofGrantee’sGrossRevenues(subjecttotheotherprovisionscontainedinthisAgreement),totheextentconsistentwithApplicableLaw.3.10MaximumLegalCompensationThepartiesacknowledgethat,atpresent,applicablefederallawlimitstheCountytocollectionofamaximumpermissibleAgreementFeeoffivepercent(5%)ofGrossRevenues.IntheeventthatatanytimeduringthedurationofthisAgreement,theCountyisauthorizedtocollectanamountinexcessoffivepercent(5%)ofGrossRevenues,thenthisAgreementmaybeamendedunilaterallybytheCountytoprovidethatsuchexcessamountshallbeaddedtotheAgreementFeepaymentstobepaidbyGranteetotheCountyhereunder,providedthatGranteehasreceivedatleastninety(90)dayspriorwrittennoticefromtheCountyofsuchamendment,solongasallcableoperatorsintheCountyarepayingthesameAgreementFeeamount.3.11AdditionalCommitmentsNotAgreementFeePaymentsThePEGContributionandPEGCapitalGrantpursuanttoSection9.7,aswellasanychargesincidentaltotheawardingorenforcingofthisAgreement(i.e.,paymentsforbonds,securityfunds,lettersofcredit,insurance,indemnification,penaltiesorliquidateddamages)shallnotbeoffsetagainstAgreementFees.Furthermore,theCountyandGranteeagreethatanytax,feeorassessmentofgeneralapplicabilityshallbeinadditiontoanyAgreementFeesrequiredherein,andthereshallbenooffsetagainstAgreementFeesexceptwheresuchtax,feeorassessmentisundulydiscriminatoryagainstcableoperatorsorcablesubscribers.Withtheexceptionoftheforegoing,Granteereservesallrightstooffsetcashornon-cashpaymentsfromAgreementFees,consistentwithApplicableLaw.BoththeGranteeandtheCountyreserveallrightsunderApplicableLaw.ShouldGranteeelecttooffsetcommitmentsorinitiativessuchascomplimentaryCableServiceagainsttheAgreementFeesinaccordancewithApplicableLaw,includinganyOrderresultingfromtheFCC’s621proceeding,MBDocketNo.05-311,GranteeshallprovidetheCountyonehundredtwenty(120)days’advancewrittennotice.15
3.12TaxLiabilityTheAgreementFeesshallbeinadditiontoanyandalltaxesorotherleviesorassessmentswhicharenoworhereafterrequiredtobepaidbybusinessesingeneralbyanylawoftheCounty,theStateortheUnitedStatesincluding,withoutlimitation,sales,useandothertaxes,businesslicensefeesorotherpayments.PaymentoftheAgreementfeesunderthisAgreementshallnotexemptGranteefromthepaymentofanyotherlicensefee,permitfee,taxorchargeonthebusiness,occupation,propertyorincomeofGranteethatmaybelawfullyimposedbytheCounty.Anyotherlicensefees,taxesorchargesshallbeofgeneralapplicabilityinnatureandshallnotbeleviedagainstGranteesolelybecauseofitsstatusasaCableOperator,oragainstSubscribers,solelybecauseoftheirstatusassuch.3.13FinancialRecordsGranteeagreestomeetwitharepresentativeoftheCountyuponrequesttoreviewGrante&smethodologyofrecord-keeping,financialreporting,thecomputingofAgreementFeeobligationsandotherprocedures,theunderstandingofwhichtheCountydeemsnecessaryforreviewingreportsandrecords.3.14PaymentonTerminationIfthisAgreementterminatesforanyreason,theGranteeshallfilewiththeCountywithinninety(90)calendardaysofthedateofthetermination,afinancialstatement,certifiedbyanindependentcertifiedpublicaccountant,showingtheGrossRevenuesreceivedbytheGranteesincetheendofthepreviousfiscalyear.TheCountyreservestherighttosatisfyanyremainingfinancialobligationsoftheGranteetotheCountybyutilizingthefundsavailableintheletterofcreditorothersecurityprovidedbytheGrantee.SECTION4.ADMINISTRATIONANDREGULATION4.1Authority(A)TheCountyshallbevestedwiththepowerandrighttoreasonablyregulatetheexerciseoftheprivilegespermittedbythisAgreementinthepublicinterest,ortodelegatethatpowerandright,oranypartthereof,totheextentpermittedunderFederal,Stateandlocallaw,toanyagentatitssolediscretion.(B)NothinginthisAgreementshalllimitnorexpandtheCountysrightofeminentdomainunderStatelaw.4.2RatesandChargesAllofGrantee’sratesandchargesrelatedtoorregardingCableServicesshallbesubjecttoregulationbytheCountytothefullextentauthorizedbyapplicablefederal,Stateandlocallaws.16
4.3RateDiscriminationAllofGrantee’sratesandchargesshallbepublished(intheformofapublicly-availableratecard)andbenon-discriminatoryastoallPersonsandorganizationsofsimilarclasses,undersimilarcircumstancesandconditions.GranteeshallapplyitsratesinaccordancewithApplicableLaw,withidenticalratesandchargesforallSubscribersreceivingidenticalCableServices,withoutregardtorace,color,ethnicornationalorigin,religion,age,sex,sexualorientation,marital,militaryoreconomicstatus,orphysicalormentaldisabilityor,whereconsistentwithanyrequirementsoffederallaw,geographiclocationwithintheCounty.GranteeshallofferthesameCableServicestoallResidentialSubscribersatidenticalratestotheextentrequiredbyApplicableLawandtoMultipleDwellingUnitSubscriberstotheextentrequiredbyFCCrulesorapplicablefederallaw.GranteeshallpermitSubscriberstomakeanylawfulin-residenceconnectionstheSubscriberchooseswithoutadditionalchargenorpenalizingtheSubscribertherefor.However,ifanyin-homeconnectionrequiresservicefromGranteeduetosignalquality,signalleakageorotherfactors,causedbyimproperinstallationofsuchin-homewiringorfaultymaterialsofsuchin-homewiring,theSubscribermaybechargedreasonableservicechargesbyGrantee.Nothinghereinshallbeconstruedtoprohibit:(A)Thetemporaryreductionorwaivingofratesorchargesinconjunctionwithvalidpromotionalcampaigns;or,(B)Theofferingofreasonablediscountstoseniorcitizensoreconomicallydisadvantagedcitizens;or,(C)TheofferingofratediscountsforCableService;or,(D)TheGranteefromestablishingdifferentandnondiscriminatoryratesandchargesandclassesofserviceforCommercialSubscribers,asallowablebyfederallawandregulations.4.4FilingofRatesandCharges(A)ThroughoutthetermofthisAgreement,GranteeshallmaintainonfilewiththeCountyacompletescheduleofapplicableratesandchargesforCableServicesprovidedunderthisAgreement.NothinginthissubsectionshallbeconstruedtorequireGranteetofileratesandchargesundertemporaryreductionsorwaiversofratesandchargesinconjunctionwithpromotionalcampaigns.(B)UponrequestoftheCounty,GranteeshallprovideacompletescheduleofcurrentratesandchargesforanyandallLeasedAccessChannels,orportionsofsuchChannels,providedbyGrantee.Thescheduleshallincludeadescriptionoftheprice,terms,andconditionsestablishedbyGranteeforLeasedAccessChannels.4.5CrossSubsidizationGranteeshallcomplywithallApplicableLawsregardingratesforCableServicesandallApplicableLawscoveringissuesofcrosssubsidization.‘7
4.6ReservedAuthorityBothGranteeandtheCountyreserveallrightstheymayhaveundertheCableActandanyotherrelevantprovisionsoffederal,State,orlocallaw.4.7AgreementAmendmentProcedureEitherpartymayatanytimeseekanamendmentofthisAgreementbysonotifyingtheotherpartyinwriting.Withinthirty(30)daysofreceiptofnotice,theCountyandGranteeshallmeettodiscusstheproposedamendment(s).Ifthepartiesreachamutualagreementuponthesuggestedamendment(s),suchamendment(s)shallbesubmittedtotheCountyBoardforitsapproval.IfsoapprovedbytheCountyBoardandtheGrantee,thensuchamendment(s)shallbedeemedpartofthisAgreement.Ifmutualagreementisnotreached,thereshallbenoamendment.4.8LateFees(A)Forpurposesofthissubsection,anyassessment,charge,cost,feeorsum,howevercharacterized,thattheGranteeimposesuponaSubscribersolelyforlatepaymentofabillisalatefeeandshallbeappliedinaccordancewiththeCounty’sCustomerServiceStandards,asthesamemaybeamendedfromtimetotimebytheCountyBoardactingbyordinanceorresolution,orasthesamemaybesupersededbylegislationorfinalcourtorder.(B)Nothinginthissubsectionshallbedeemedtocreate,limitorotherwiseaffecttheabilityoftheGrantee,ifany,toimposeotherassessments,charges,feesorsumsotherthanthosepermittedbythissubsection,fortheGrantee’sotherservicesoractivitiesitperformsincompliancewithApplicableLaw,includingFCClaw,ruleorregulation.(C)TheGrantee’slatefeeanddisconnectionpoliciesandpracticesshallbenondiscriminatoryandsuchpoliciesandpractices,andanyfeesimposedpursuanttothissubsection,shallapplyequallyinallpartsoftheCountywithoutregardtotheneighborhoodorincomeleveloftheSubscriber.4.9TimeLimitsStrictlyConstruedWheneverthisAgreementsetsforthatimeforanyacttobeperformedbyGrantee,suchtimeshallbedeemedtobeoftheessence,andanyfailureofGranteetoperformwithintheallottedtimemaybeconsideredabreachofthisAgreement,andsufficientgroundsfortheCountytoinvokeanyrelevantremedy.4.10ForceMajeureIntheeventGranteeispreventedordelayedintheperformanceofanyofitsobligationsunderthisAgreementbyreasonbeyondthecontrolofGrantee,Granteeshallhaveareasonabletime,underthecircumstances,toperformtheaffectedobligationunderthisAgreementortoprocureasubstituteforsuchobligationwhichissatisfactorytotheCounty.Thoseconditions1$
whicharenotwithinthecontrolofGranteeinclude,butarenotlimitedto,naturaldisasters,civildisturbances,workstoppagesorlabordisputes,poweroutages,telephonenetworkoutages,andsevereorunusualweatherconditionswhichhaveadirectandsubstantialimpactontheGrantee’sabilitytoprovideCableServicesintheCountyandwhichwasnotcausedandcouldnothavebeenavoidedbytheGranteewhichuseditsbesteffortsinitsoperationstoavoidsuchresults.IfGranteebelievesthatareasonbeyonditscontrolhaspreventedordelayeditscompliancewiththetermsofthisAgreement,GranteeshallprovidedocumentationasreasonablyrequiredbytheCountytosubstantiatetheGrantee’sclaim.IfGranteehasnotyetcuredthedeficiency,GranteeshallalsoprovidetheCountywithitsproposedplanforremediation,includingthetimingforsuchcure.SECTIONS.FINANCIALANDINSURANCEREQUIREMENTS5.1Indemnification(A)GeneralIndemnification.Granteeshallindemnify,defendandholdtheCounty,itsofficers,officials,boards,commissions,agentsandemployees,harmlessfromanyactionorclaimforinjury,damage,loss,liability,costorexpense,includingcourtandappealcostsandattorneys’feesorexpenses,arisingfromanycasualtyoraccidenttoPersonorproperty,including,withoutlimitation,copyrightinfringement,defamation,andallotherdamagesinanywayarisingoutof,orbyreasonof,anyconstruction,excavation,operation,maintenance,reconstruction,oranyotheractdoneunderthisAgreement,byorforGrantee,itsagents,oritsemployees,orbyreasonofanyneglectoromissionofGrantee.GranteeshallconsultandcooperatewiththeCountywhileconductingitsdefenseoftheCounty.GranteeshallnotbeobligatedtoindemnifytheCountytotheextentoftheCounty’snegligenceorwillfulmisconduct.(B)IndemnificationforRelocation.GranteeshallindemnifytheCountyforanydamages,claims,additionalcostsorreasonableexpensesassessedagainst,orpayableby,theCountyarisingoutof,orresultingfrom,directlyorindirectly,Grantee’sfailuretoremove,adjustorrelocateanyofitsfacilitiesintheRights-of-WayinatimelymannerinaccordancewithanyrelocationrequiredbytheCounty.(C)AdditionalCircumstances.Granteeshallalsoindemnify,defendandholdtheCountyharmlessforanyclaimforinjury,damage,loss,liability,costandexpense,includingcourtandappealcostsandattorneys’feesandexpensesinanywayarisingoutof:(1)ThelawfulactionsoftheCountyingrantingthisAgreementtotheextentsuchactionsareconsistentwiththisAgreementandApplicableLaw.(2)DamagesarisingoutofanyfailurebyGranteetosecureconsentsfromtheowners,authorizeddistributors,orlicensees/licensorsofprogramstobedeliveredbytheCableSystem,whetherornotanyactoromissioncomplainedofisauthorized,allowedorprohibitedbythisAgreement.(D)ProceduresandDefense.Ifaclaimoractionarises,theCountyoranyother19
indemnifiedpartyshallpromptlytenderthedefenseoftheclaimtoGrantee,whichdefenseshallbeatGrantee’sexpense.TheCountymayparticipateinthedefenseofaclaiminwhichitisnamed,atitsowncost.GranteemaynotagreeaspartofasettlementagreementthattheCountyviolatedanylawswithouttheCounty’spriorwrittenapprovalwhichmaynotbeunreasonablywithheld.(E)Non-waiver.ThefactthatGranteecarriesoutanyactivitiesunderthisAgreementthroughindependentcontractorsshallnotconstituteanavoidanceofordefensetoGrantee’sdutyofdefenseandindemnificationunderthissubsection.(F)Expenses.IfseparaterepresentationtofullyprotecttheinterestsoftheCountyisnecessary,suchasarisingfromaconflictofinterestbetweentheCountyandthecounselselectedbyGranteetorepresenttheCounty,afterallreasonablemeasureshavebeentakentopreventthenecessityofhiringseparatecounselfortheCounty,thentheGranteeshallpayallreasonableexpensesincurredbytheCountyindefendingitselfwithregardtoanyaction,suitorproceedingindemnifiedbyGrantee.TheCounty’sexpensesshallincludeallreasonableout-of-pocketexpenses,suchasconsultants’fees,andshallalsoincludethereasonablevalueofanyservicesrenderedbytheCountyAttorneyorhis/herassistantsoranyemployeesoftheCountyoritsagentsbutshallnotincludeoutsideattorneys’feesforservicesthatareunnecessarilyduplicativeofservicesprovidedtheCountybyGrantee.(G)DutytoGiveNotice.TheGrantorshallgivetheGranteetimelywrittennoticeofanyclaimorofthecommencementofanyaction,suitorotherproceedingcoveredbytheindemnityinthisSection.Intheeventanysuchclaimarises,theGrantororanyotherindemnifiedpartyshalltenderthedefensethereoftotheGranteeandtheGranteeshallhavetheobligationanddutytodefendanyclaimsarisingthereunder,andtheGrantorshallcooperatefullytherein.5.2InsuranceRequirements(A)GeneralRequirement.GranteemustprovideinsurancecoverageasrequiredhereinorasprovidedintheGovernmentalImmunityAct(whicheverisgreaterprovidedthatGranteehasthirty(30)daysadvancewrittennoticefromGrantorofanyincreaseintheamountofcoveragerequired)duringtheentiretermofthisAgreementtoprotecttheGrantoragainstclaimsforinjuriestoPersonsordamagestopropertywhichinanywayrelateto,arisefromorareconnectedwiththisAgreement,orinvolveGrantee,itsagents,representatives,contractors,subcontractorsandtheiremployees.(B)InitialInsuranceLimits.GranteemustmaintaininfullforceandeffectatitsowncostandexpenseduringtheAgreementterminsuranceineffectinaccordancewiththeminimuminsurancelimitshereinsetforth.TheGranteeshallprovideinsurancecoverageinthefollowinginitialminimuminsurancelimits:(1)CommercialGeneralLiability:Onemilliondollars($1,000,000)aggregatelimitperoccurrenceforbodilyinjury,personalinjuryandpropertydamage;(2)AutomobileLiability:Onemilliondollars($1,000,000)combinedsinglelimitperaccidentforbodilyinjuryandpropertydamage;and20
(3)Employe?sLiability:Onemilliondollars($1,000,000).(4)WorkersCompensationInsuranceinaccordancewithstatelawrequirements.(5)IftheinsuranceiscancelledormateriallyalteredsoastobeoutofcompliancewiththerequirementsofthisSectionwithinthetermofthisAgreement,Granteeshallprovidethirty(30)days’writtennoticeandacertificatereflectingareplacementpolicy.Granteeagreestomaintaincontinuousuninterruptedinsurancecoverage,intheamountsrequired,forthedurationofthisAgreement.5.3DeductiblesICertificateofInsuranceAnydeductibleofthepoliciesshallnotinanywaylimitGrantee’sliabilitytotheCounty.(A)Endorsements.(1)Allpoliciesshallcontain,orshallbeendorsedsothat:(a)TheCounty,itsofficers,officials,boards,commissions,employeesandagentsaretobecoveredas,andhavetherightsof,additionalinsuredswithrespecttoliabilityarisingoutofactivitiesperformedby,oronbehalfof,GranteeunderthisAgreementorApplicableLaw,orintheconstruction,operationorrepair,orownershipoftheCableSystem;(b)Grantee’sinsurancecoverageshallbeprimaryinsurancewithrespecttotheCounty,itsofficers,officials,boards,commissions,employeesandagents.Anyinsuranceorself-insurancemaintainedbytheCounty,itsofficers,officials,boards,commissions,employeesandagentsshallbeinexcessoftheGrantee’sinsuranceandshallnotcontributetoit;and(c)Grantee’sinsuranceshallapplyseparatelytoeachinsuredagainstwhomaclaimismadeorlawsuitisbrought,exceptwithrespecttothelimitsoftheinsurer’sliability.(B)AcceptabilityofInsurers.TheinsuranceobtainedbyGranteeshallbeplacedwithinsurerswithaBest’sratingofnolessthan“AVII.”(C)VerificationofCoverage.TheGranteeshallfurnishtheCountywithcertificatesofinsuranceandendorsementsoracopyofthepageofthepolicyreflectingblanketadditionalinsuredstatus.ThecertificatesandendorsementsforeachinsurancepolicyaretobesignedbyaPersonauthorizedbythatinsurertobindcoverageonitsbehalf.Thecertificatesandendorsementsforeachinsurancepolicyaretobeonstandardformsorsuchformsasareconsistentwithstandardindustrypractices.21
(D)Self-InsuranceInthealternativetoprovidingacertificateofinsurancetotheCountycertifyinginsurancecoverageasrequiredabove,Granteemayprovideself-insuranceinthesameamountandlevelofprotectionforGranteeandCounty,itsofficers,agentsandemployeesasotherwiserequiredunderthisSection.Theadequacyofself-insuranceshallbesubjecttotheperiodicreviewandapprovaloftheCounty.5.4LetterofCredit(A)IfthereisaclaimbytheCountyofanuncuredbreachbyGranteeofamaterialprovisionofthisAgreementorpatternofrepeatedviolationsofanyprovision(s)ofthisAgreement,thentheCountymayrequireandGranteeshallestablishandprovidewithinthirty(30)daysfromreceivingnoticefromtheCounty,totheCountyassecurityforthefaithfulperformancebyGranteeofalloftheprovisionsofthisAgreement,aletterofcreditfromafinancialinstitutionsatisfactorytotheCountyintheamountoftwenty-fivethousanddollars($25,000).(B)IntheeventthatGranteeestablishesaletterofcreditpursuanttotheproceduresofthisSection,thentheletterofcreditshallbemaintainedattwenty-fivethousanddollars($25,000)untiltheallegationsoftheuncuredbreachhavebeenresolved.(C)AftercompletionoftheproceduressetforthinSection13.1orotherapplicableprovisionsofthisAgreement,theletterofcreditmaybedrawnuponbytheCountyforpurposesincluding,butnotlimitedto,thefollowing:(1)failureofGranteetopaytheCountysumsdueunderthetermsofthisAgreement;(2)ReimbursementofcostsbornebytheCountytocorrectAgreementviolationsnotcorrectedbyGrantee;(3)MonetaryremediesordamagesassessedagainstGranteeduetodefaultorbreachofAgreementrequirements;and,(4)FailuretocomplywiththeCustomerServiceStandardsoftheCounty,asthesamemaybeamendedfromtimetotimebytheCountyBoardactingbyordinanceorresolution.(D)TheCountyshallgiveGranteewrittennoticeofanywithdrawalunderthissubsectionuponsuchwithdrawal.Withinseven(7)daysfollowingreceiptofsuchnotice,GranteeshallrestoretheletterofcredittotheamountrequiredunderthisAgreement.(E)GranteeshallhavetherighttoappealtotheCountyBoardforreimbursementintheeventGranteebelievesthattheletterofcreditwasdrawnuponimproperly.GranteeshallalsohavetherightofjudicialappealifGranteebelievestheletterofcredithasnotbeenproperlydrawnuponinaccordancewiththisAgreement.AnyfundstheCountyerroneouslyorwrongfullywithdrawsfromtheletterofcreditshallbereturnedtoGranteewithinterest,fromthedateofwithdrawalatarateequaltotheprimerateofinterestasquotedintheWallStreetJournal.22
SECTION6.CUSTOMERSERVICE6.1CustomerServiceStandardsTheCountyherebyadoptsthecustomerservicestandardssetforthinPart76,§76.309,76.1602,76.1603and76.1619oftheFCC’srulesandregulations,asamended.TheGranteeshallcomplyinallrespectswiththecustomerservicerequirementsestablishedbytheFCC.6.2SubscriberPrivacyGranteeshallfullycomplywithanyprovisionsregardingtheprivacyrightsofSubscriberscontainedinfederal,State,orlocallaw.6.3CustomerServiceLocation(s)Granteeshallprovidecustomerservicecenterswhichareconvenientlylocatedandwhichareopenduringnormalbusinesshours.TheservicecentersshallbefullystaffedwithcustomerservicerepresentativesofferingthefollowingservicestoCustomerswhocometotheservicecenter:billpayment,equipmentexchange,processingofchangeofservicerequests,andresponsetoCustomerinquiriesandrequest.6.4SubscriberContractsGranteeshallnotenterintoacontractwithanySubscriberwhichisinanywayinconsistentwiththetermsofthisAgreement,oranyExhibithereto,ortherequirementsofanyapplicablecustomerservicestandard.Uponrequest,GranteewillprovidetotheCountyasampleoftheSubscribercontractorserviceagreementtheninuse.6.5AdvanceNoticetoCountyTheGranteeshallusereasonableeffortstofurnishinformationprovidedtoSubscribersorthemediainthenormalcourseofbusinesstotheCountyinadvance.6.6IdentificationofLocalAgreementAuthorityonSubscriberBillsWithinsixty(60)daysafterwrittenrequestfromtheCounty,GranteeshallplacetheCounty’sphonenumberonitsSubscriberbills,toidentifywhereaSubscribermaycalltoaddressescalatedcomplaints.SECTION7.REPORTSANDRECORDS7.1OpenRecordsGranteeshallmanageallofitsoperationsinaccordancewithapolicyofkeepingitsdocumentsandrecordsopenandaccessibletotheCounty.TheCounty,includingtheCounty’sAuditororhis/herauthorizedrepresentative,shallhaveaccessto,andtherighttoinspect,any23
booksandrecordsofGrantee,itsparentcorporationsandAffiliateswhicharereasonablyrelatedtotheadministrationorenforcementofthetermsofthisAgreement.GranteeshallnotdenytheCountyaccesstoanyofGrantee’srecordsonthebasisthatGrantee’srecordsareunderthecontrolofanyparentcorporation,Affiliateorathirdparty.TheCountymay,inwriting,requestcopiesofanysuchrecordsorbooksandGranteeshallprovidesuchcopieswithinthirty(30)daysofthetransmittalofsuchrequest.One(1)copyofallreportsandrecordsrequiredunderthisoranyotherSectionshallbefurnishedtotheCounty,atthesoleexpenseofGrantee.Iftherequestedbooksandrecordsaretoovoluminous,orforsecurityreasonscannotbecopiedorremoved,thenGranteemayrequest,inwritingwithinten(10)days,thattheCountyinspectthematGrantee’slocaloffices.IfanybooksorrecordsofGranteearenotkeptinalocalofficeandnotmadeavailableincopiestotheCountyuponwrittenrequestassetforthabove,andiftheCountydeterminesthatanexaminationofsuchrecordsisnecessaryorappropriatefortheperformanceofanyoftheCounty’sduties,administrationorenforcementofthisAgreement,thenallreasonabletravelandrelatedexpensesincurredinmakingsuchexaminationshallbepaidbyGrantee.7.2ConfidentialityTotheextentallowedbytheColoradoOpenRecordsActandApplicableLaw,theCountyagreestotreatasconfidentialanybooksorrecordsthatconstituteproprietaryorconfidentialinformationunderfederalorStatelaw,totheextentGranteemakestheCountyawareofsuchconfidentiality.Granteeshallberesponsibleforclearlyandconspicuouslystampingtheword“Confidential”oneachpagethatcontainsconfidentialorproprietaryinformation,andshallprovideabriefwrittenexplanationastowhysuchinformationisconfidentialunderStateorfederallaw.IftheCountybelievesitmustreleaseanysuchconfidentialbooksandrecordsinthecourseofenforcingthisAgreement,orforanyotherreason,itshalladviseGranteeinadvancesothatGranteemaytakeappropriatestepstoprotectitsinterests.IftheCountyreceivesademandfromanyPersonfordisclosureofanyinformationdesignatedbyGranteeasconfidential,theCountyshall,sofarasconsistentwithApplicableLaw,adviseGranteeandprovideGranteewithacopyofanywrittenrequestbythepartydemandingaccesstosuchinformationwithinareasonabletime.Untilotherwiseorderedbyacourtoragencyofcompetentjurisdiction,theCountyagreesthat,totheextentpermittedbyStateandfederallaw,itshalldenyaccesstoanyofGrantee’sbooksandrecordsmarkedconfidentialassetforthabovetoanyPerson.GranteeshallreimbursetheCountyforallreasonablecostsandattorney’sfeesincurredinanylegalproceedingspursuedunderthisSection.7.3RecordsRequired(A)Granteeshallatalltimesmaintain,andshallfurnishtotheCountyuponthirty(30)days’writtenrequestandsubjecttoApplicableLaw:(1)AcompletesetofmapsshowingtheexactlocationofallCableSystemequipmentandfacilitiesintheRight-of-Way,butexcludingdetailonproprietaryelectronicscontainedthereinandSubscriberdrops.As-builtmapsincludingproprietaryelectronicsshallbeavailableatGrantee’sofficesforinspectionbytheCounty’sauthorizedrepresentative(s)oragent(s)andmadeavailabletosuchduringthecourseoftechnical24
inspectionsasreasonablyconductedbytheCounty.ThesemapsshallbecertifiedasaccuratebyanappropriaterepresentativeoftheGrantee;(2)AcopyofallFCCfilingsonbehalfofGrantee,itsparentcorporationsorAffiliateswhichrelatetotheoperationoftheCableSystemintheCounty;(3)CurrentSubscriberRecordsandinformation;(4)AlogofCableServicesaddedordropped,Channelchanges,numberofSubscribersaddedorterminated,allconstructionactivity,andtotalhomespassedfortheprevioustwelve(12)monthsaswellasanytechnologicalchangesoccurringintheCableSystem;and(5)AlistofCableServices,ratesandChannelline-ups.(B)SubjecttoSection7.2,allinformationfurnishedtotheCountyispublicinformation,andshallbetreatedassuch,exceptforinformationinvolvingtheprivacyrightsofindividualSubscribers.7.4ReportsWithinsixty(60)daysoftheCounty’swrittenrequest,GranteeshallsubmittotheCountyawrittenreport,inaformacceptabletotheCounty,whichshallinclude,butnotnecessarilybelimitedto,thefollowinginformationfortheCounty:(A)AGrossRevenuestatement,asrequiredbySection3.5ofthisAgreement;(B)AcopyofthemostrecentannualreportGranteefiledwiththeSECorothergoverningbody;and(C)Plannedconstruction,ifany,forthenextyear.ThepartiesagreethattheCounty’srequestfortheseannualreportsshallremaineffective,andneedonlybemadeonce.SucharequestshallrequiretheGranteetocontinuetoprovidethereportsannually,untilfurtherwrittennoticefromtheCountytothecontrary.7.5CopiesofFederalandStateReportsWithinthirty(30)daysofawrittenrequest,GranteeshallsubmittotheCountycopiesofallpleadings,applications,notifications,communicationsanddocumentsofanykind,submittedbyGranteeoritsparentcorporation(s),toanyfederal,Stateorlocalcourts,regulatoryagenciesandothergovernmentbodiesifsuchdocumentsdirectlyrelatetotheoperationsofGrantee’sCableSystemwithintheCounty.Granteeshallnotclaimconfidential,privilegedorproprietaryrightstosuchdocumentsunlessunderfederal,State,orlocallawsuchdocumentshavebeendeterminedtobeconfidentialbyacourtofcompetentjurisdiction,orafederalorStateagency.25
7.6ComplaintFileandReports(A)GranteeshallkeepanaccurateandcomprehensivefileofanycomplaintsregardingtheCableSystem,inamannerconsistentwiththeprivacyrightsofSubscribers,andGrantee’sactionsinresponsetothosecomplaints.ThesefilesshallremainavailableforviewingtotheCountyduringnormalbusinesshoursatGrantee’slocalbusinessoffice.(B)Withinthirty(30)daysofawrittenrequest,GranteeshallprovidetheCountyaquarterlyexecutivesummaryintheformattachedheretoasExhibitA,whichshallincludethefollowinginformationfromtheprecedingquarter:(1)Asummaryofservicecalls,identifyingthenumberandnatureoftherequestsandtheirdisposition;(2)Alogofallserviceinterruptions;(3)AsummaryofcustomercomplaintsreferredbytheCountytoGrantee;and,(4)SuchotherinformationasreasonablyrequestedbytheCounty.ThepartiesagreethattheCounty’srequestforthesesummaryreportsshallremaineffective,andneedonlybemadeonce.SucharequestshallrequiretheGranteetocontinuetoprovidethereportsquarterly,untilfurtherwrittennoticefromtheCountytothecontrary.7.7FailuretoReportThefailureorneglectofGranteetofileanyofthereportsorfilingsrequiredunderthisAgreementorsuchotherreportsastheCountymayreasonablyrequest(notincludingclericalerrorsorerrorsmadeingoodfaith),may,attheCounty‘soption,bedeemedabreachofthisAgreement.7.8FalseStatementsAnyfalseormisleadingstatementorrepresentationinanyreportrequiredbythisAgreement(notincludingclericalerrorsorerrorsmadeingoodfaith)maybedeemedamaterialbreachofthisAgreementandmaysubjectGranteetoallremedies,legalorequitable,whichareavailabletotheCountyunderthisAgreementorotherwise.SECTION8.PROGRAMMING8.1BroadProgrammingCategoriesGranteeshallprovideorenabletheprovisionofatleastthefollowinginitialbroadcategoriesofprogrammingtotheextentsuchcategoriesarereasonablyavailable:(A)Educationalprogramming;26
(B)Coloradonews,weather&information;(C)Sports;(D)Generalentertainment(includingmovies);(E)Childrenlfamily-oriented;(F)Arts,cultureandperformingarts;(G)foreignlanguage;(H)Science/documentary;(I)Nationalnews,weatherandinformation;and(J)Public,EducationalandGovernmentAccess,totheextentrequiredbythisAgreement.8.2DeletionorReductionofBroadProgrammingCategories(A)GranteeshallnotdeleteorsolimitastoeffectivelydeleteanybroadcategoryofprogrammingwithinitscontrolwithoutthepriorwrittenconsentoftheCounty.(B)Intheeventofamodificationproceedingunderfederallaw,themixandqualityofCableServicesprovidedbyGranteeontheEffectiveDateofthisAgreementshallbedeemedthemixandqualityofCableServicesrequiredunderthisAgreementthroughoutitsterm.8.3ObscenityGranteeshallnottransmit,orpermittobetransmittedoveranyChannelsubjecttoitseditorialcontrol,anyprogrammingwhichisobsceneunder,orviolatesanyprovisionof,ApplicableLawrelatingtoobscenity,andisnotprotectedbytheConstitutionoftheUnitedStates.GranteeshallbedeemedtohavetransmittedorpermittedatransmissionofobsceneprogrammingonlyifacourtofcompetentjurisdictionhasfoundthatanyofGrantee’sofficersoremployeesoragentshavepermittedprogrammingwhichisobsceneunder,orviolativeof,anyprovisionofApplicableLawrelatingtoobscenity,andisotherwisenotprotectedbytheConstitutionoftheUnitedStates,tobetransmittedoveranyChannelsubjecttoGrantee’seditorialcontrol.Granteeshallcomplywithallrelevantprovisionsoffederallawrelatingtoobscenity.8.4ParentalControlDeviceUponrequestbyanySubscriber,Granteeshallmakeavailableaparentalcontrolorlockoutdevice,trapsorfilterstoenableaSubscribertocontrolaccesstoboththeaudioandvideoportionsofanyorallChannels.GranteeshallinformitsSubscribersoftheavailabilityofthelockoutdevice27
atthetimeoftheirinitialsubscriptionandperiodicallythereafter.Anydeviceofferedshallbeatarate,ifany,incompliancewithApplicableLaw.8.5ContinuityofServiceMandatory(A)ItshallbetherightofallSubscriberstocontinuetoreceiveCableServicefromGranteeinsofarastheirfinancialandotherobligationstoGranteearehonored.TheGranteeshallactsoastoensurethatallSubscribersreceivecontinuous,uninterruptedCableServiceregardlessofthecircumstances.Forthepurposesofthissubsection,“uninterrupted”doesnotincludeshort-termoutagesoftheCableSystemformaintenanceortesting.(B)Intheeventofachangeofgrantee,orintheeventanewCableOperatoracquirestheCableSysteminaccordancewiththisAgreement,GranteeshallcooperatewiththeCounty,newAgreementorCableOperatorinmaintainingcontinuityofCableServicetoallSubscribers.Duringanytransitionperiod,GranteeshallbeentitledtotherevenuesforanyperiodduringwhichitoperatestheCableSystemandshallbeentitledtoreasonablecostsforitsserviceswhenitnolongeroperatestheCableSystem.(C)IntheeventGranteefailstooperatetheCableSystemforfour(4)consecutivedayswithoutpriorapprovaloftheManager,orwithoutjustcause,theCountymay,atitsoption,operatetheCableSystemitselfordesignateanotherCableOperatoruntilsuchtimeasGranteerestoresserviceunderconditionsacceptabletotheCountyorapermanentCableOperatorisselected.IftheCountyisrequiredtofulfillthisobligationforGrantee,GranteeshallreimbursetheCountyforallreasonablecostsordamagesthataretheresultofGrantee’sfailuretoperform.8.6ServicesfortheDisabledGranteeshallcomplywiththeAmericanswithDisabilitiesActandanyamendmentstheretoandallApplicableLaws.SECTION9.ACCESS9.1DesignatedAccessProviders(A)TheCountyshallhavethesoleandexclusiveresponsibilityforidentifyingtheDesignatedAccessProviders,includingitselfforAccesspurposes,tocontrolandmanagetheuseofanyorallAccessFacilitiesprovidedbyGranteeunderthisAgreement.AsusedinthisSection,such“AccessFacilities”includestheChannels,services,facilities,equipment,technicalcomponentsand/orfinancialsupportprovidedunderthisAgreement,whichisusedoruseablebyandforPublicAccess,EducationalAccess,andGovernmentAccess(“PEG”or“PEGAccess”).(B)GranteeshallcooperatewithCountyinCounty’seffortstoprovideAccessprogrammingbutwillnotberesponsibleorliableforanydamagesresultingfromaclaiminconnectionwiththeprogrammingplacedontheAccessChannelsbytheDesignatedAccessProvider.2$
9.2ReturnLines(A)ThepartiesacknowledgethattheCounty’sprogrammingforthePEGAccessChannelprovidedforinSection9.3originatesfromtheCounty’sbuildinglocatedat500BroadwayintheTownofEagle.Currently,theCountyprovidesRDAccessChannelvideowithembeddedaudiototheGrantee’sencoderlocatedintheCounty’sbuilding.TheCountycooperates,atitscost,withanothercableprovidertotransportitsAccessChannelprogrammingthoughanEthernetprivateline(“EPL”)totheGrantee’sHeadendlocatedinAvon,Colorado(the“Headend”).AttheHeadend,GranteedistributestheAccessChannelonitsCableSystemintheCounty.TheGranteeshallcontinuetoberesponsiblefortheprovisionofitsencoder,asmaybereplacedfromtimetotime,atnocosttotheGrantor.TheCountyshallcontinuetoberesponsible,fromafinancialandtechnicalperspective,fordeliveryofitsAccessChannelprogrammingtotheGrantee’sHeadendinAvonuntilsuchtimethatconditionsinSec.9.2(C)aremet.GranteeshallcontinuetocarrytheAccessChannelprogrammingandmaintainitsencoderintheCountybuildingandotherequipmentinandfromtheHeadendandthentoSubscribersatnocosttotheGrantor.(B)ShouldadditionalreturnlinesbenecessaryfordeliveryoftheCounty’sAccessChannelprogrammingtoGranteeattheHeadend,theCountyshallberesponsibleforallarrangementsandcostsassociatedwithdeliveringsuchprogramming.IntheeventthatGranteeestablishesaCableSystemandCableServiceintheTownofEagle,attheelectionoftheCounty,uponwrittenrequestfromCounty,withinareasonabletime,GranteeshallconstructandmaintainanewfiberOpticreturnlineconnectingtheCountybuildingat500BroadwayinEagle,Colorado,totheGrantee’sCableSysteminEagle(the“NewConnection”)andfromtheretotheHeadend.ItisunderstoodandagreedthatCountymayormaynotelecttohavetheNewConnectiondonebyGrantee,andfurther,theCountymayselectacontractorofitsownchoosingtobeapprovedbyGrantee,suchapprovalshallnottobeunreasonablywithheld,toconstructtheNewConnection.ThereturnlineconstructioncostsfromtheGrantee’snearesttie-pointtotheCountybuildingwillbetheCounty’sresponsibility.OtherthantheaforesaidNewConnectioninEaglefromGranteetotheGrantorandthetransmissionbyGranteetoitsHeadendandthentoSubscribers,allactualconstructioncostsincurredbyGranteefornewlocationsfromwhichtheCountycanbroadcastshallbepaidbytheCountyortheDesignatedAccessProvider.Suchnewreturnlinesshallbecompletedwithinone(1)yearfromtherequestoftheCountyoritsDesignatedAccessProvider,orasotherwiseagreedtobytheparties.Ifanemergencysituationnecessitatesmovementofproductionfacilitiestoanewlocation,thepartiesshallworktogethertocompletethenewreturnlineassoonasreasonablypossible.(C)Asprovidedabove,intheeventthatGranteeestablishesaCableSystemandCableServicesintheTownofEagleandCountyrequeststheNewConnectiontobeconstructedbyGrantee,GranteeshallprovidetheNewConnectiontotheCountyatnocosttotheCountyasidefromtheinitialconstructioncostsdescribedinSection9.2(3)aboveandatnotransportcoststotheCountyexceptasprovidedbyApplicableLawirrespectiveofwhatentityconstructstheNewConnection.29
9.3ChannelCapacityandUse(A)GranteeshallmakeavailabletotheCountytwo(2)DownstreamChannelsforPEGuseasprovidedforinthisSection;thatis,Granteeshallprovideone(1)RDAccessChannelandone(1)SDAccessChannelpursuanttoSections9.3(C)and(D).Thesetwo(2)channelsshallbeavailabletoCustomersinEagleCountyresidingintheEagleRiverValleyandtheRoaringforkRiverValley,althoughGrantoracknowledgestheymaynotbeassignedthesamenumbersinthechannelline-upintheRoaringForkRiverValley.PartiesacknowledgethatGranteewillneedtimetoestablishtheexistingSDAccessChannelintheRoaringforkValley.Therefore,withinonehundredtwenty(120)daysoftheeffectivedateofthisAgreement,Granteeshallincorporatetheone(1)SDAccessChannelintheRoaringforkRiverValleychannelline-up.(B)GranteeshallhavetherighttotemporarilyuseanyChannel,orportionthereof,whichisallocatedunderthisSectionforPublic,Educational,orGovernmentalAccessuse,withinsixty(60)daysafterawrittenrequestforsuchuseissubmittedtoCounty,ifsuchChannelisnot“fullyutilized”asdefinedherein.AChannelshallbeconsideredfullyutilizedifsubstantiallyunduplicatedprogrammingisdeliveredoveritmorethananaverageof32hoursperweekoverasix(6)monthperiod.ProgrammingthatisrepeatedonanAccessChanneluptotwotimesperdayshallbeconsidered“unduplicatedprogramming.”Character-generatedprogrammingshallbeincludedforpurposesofthissubsectionbutmaybecountedtowardsthetotalaveragehoursonlywithrespecttoone(1)ChannelprovidedtoCounty.IfaChannelallocatedforPublic,Educational,orGovernmentalAccessusewillbeusedbyGranteeinaccordancewiththetermsofthissubsection,theinstitutiontowhichtheChannelhasbeenallocatedshallhavetherighttorequirethereturnoftheChannelorportionthereof.CountyshallrequestreturnofsuchChannelspacebydeliveringwrittennoticetoGranteestatingthattheinstitutionispreparedtofullyutilizetheChannel,orportionthereof,inaccordancewiththissubsection.Insuchevent,theChannelorportionthereofshallbereturnedtosuchinstitutionwithinsixty(60)daysafterreceiptbyGranteeofsuchwrittennotice.(C)StandardDefinition(“SD”)DigitalAccessChannels.(1)Granteeshallcontinuetoprovideone(1)ActivatedDownstreamChannelforPEGAccessuseinastandarddefinition(“SD”)digitalformatinGrantee’sBasicService(“SDAccessChannel”).GranteeshallcarryallcomponentsoftheSDAccessChannelSignalsprovidedbyaDesignatedAccessProviderincluding,butnotlimitedto,closedcaptioning,stereoaudioandotherelementsassociatedwiththeProgramming.Granteeshallcontinuetoprovideandreplaceitsencoder,atnocosttotheCounty,sothattheDesignatedAccessProvidercanprovidetheSDAccessChannelSignalinanSDformattotheReadendthroughtheEPLorNewConnection.GranteeshalltransportanddistributetheSDAccessChannelsignalonitsCableSystemandshallnotunreasonablydiscriminateagainstSDAccessChannelswithrespecttoaccessibility,functionalityandtotheapplicationofanyapplicableFederalCommunicationsCommissionRules&Regulations,includingwithoutlimitationSubpartKChannelsignalstandards.(2)Withrespecttosignalquality,GranteeshallnotberequiredtocarryaSDAccessChannelinahigherqualityformatthanthatoftheSDAccessChannelsignal30
deliveredtoGrantee,butGranteeshalltransportanddistributetheSDAccessChannelsignalwithoutdegradation.UponreasonablewrittenrequestbyaDesignatedAccessProvider,GranteeshallverifysignaldeliverytoSubscriberswiththeDesignatedAccessProvider,consistentwiththerequirementsofthisSection9.3(C).(3)GranteeshallberesponsibleforcostsassociatedwiththetransmissionofSDAccesssignalsfromtheHeadendwhichforthepurposesofthisSection9.3(C)(3),shallmeanuptoandincludingtheencoderwheretheCountysignalisconvertedintoaformattobetransmittedovertheEPLorNewConnectiontoGrantee.TheCountyorDesignatedAccessProvidershallberesponsibleforcostsassociatedwithSDAccesssignaltransmissionovertheEPLtotheHeadendoruptotheencoderiftheNewConnectionisutilized.(4)SDAccessChannelsmayrequireSubscriberstobuyorleasespecialequipment,availabletoallSubscribers,andsubscribetothosetiersofCableService,uponwhichSDchannelsaremadeavailable.GranteeisnotrequiredtoprovidefreeSDequipmenttoSubscribers,includingcomplimentarygovernmentandeducationalaccounts,normodifyitsequipmentorpricingpoliciesinanymanner.(D)HighDefinition(“HD”)DigitalAccessChannel.(1)AftertheEffectiveDateandwithinonehundredtwenty(120)daysofwrittennotice,Granteeshallactivateone(1)HDAccessChannel,forwhichtheCountymayprovideAccessChannelsignalsinHDformattotheHeadend.ActivationoftheRDAccessChannelshallonlyoccurafterthefollowingconditionsaresatisfied:(a)TheCountyshall,initswrittennoticetoGranteeasprovidedforinthissubsection,confirmthatitoritsDesignatedAccessProviderhasthecapabilitiestoproduce,hasbeenproducingandwillproduceprogramminginanHDformatforthenewlyactivatedHDAccessChannel(s);and,(b)Therewillbeaminimumoffive(5)hoursper-day,fivedaysper-weekofRDPEGprogrammingavailableforeachRDAccessChannel.Forthepurposesofthissubsection,character-generatedprogramming(i.e.,communitybulletinboards)shallnotsatisfy,inwholeorinpart,thisprogrammingrequirement.(2)TheCountyshallberesponsibleforprovidingtheRDAccessChannelsignalinanHDdigitalformattotheencoderorNewConnection.ForpurposesofthisAgreement,anRDsignalreferstoatelevisionsignaldeliveringpictureresolutionofeither72Opor10801,orsuchotherresolutioninthissamerangethatGranteeutilizesforothersimilarnon-sport,non-movieprogrammingchannelsontheCableSystem,whicheverisgreater.(3)GranteeshalltransportanddistributetheRDAccessChannelsignalonitsCableSystemandshallnotunreasonablydiscriminateagainstRDAccessChannelswithrespecttoaccessibility,functionalityandtotheapplicationofanyapplicableFederal31
CommunicationsCommissionRules&Regulations,includingwithoutlimitationSubpartKChannelsignalstandards.Withrespecttosignalquality,GranteeshallnotberequiredtocarryaRDAccessChannelinahigherqualityformatthanthatoftheRDAccessChannelsignaldeliveredtoGrantee,butGranteeshalltransportanddistributetheRDAccessChannelsignalwithoutdegradation.GranteeshallcarryallcomponentsoftheHDAccessChannelsignalsprovidedbytheDesignatedAccessProviderincluding,butnotlimitedto,closedcaptioning,stereoaudioandotherelementsassociatedwiththeProgramming.UponreasonablewrittenrequestbytheCounty,GranteeshallverifysignaldeliverytoSubscriberswiththeCounty,consistentwiththerequirementsofthisSection9.3(D).(4)RDAccessChannelsmayrequireSubscriberstobuyorleasespecialequipment,availabletoallSubscribers,andsubscribetothosetiersofCableService,uponwhichRDchannelsaremadeavailable.GranteeisnotrequiredtoprovidefreeRDequipmenttoSubscribers,includingcomplimentarygovernmentandeducationalaccounts,normodifyitsequipmentorpricingpoliciesinanymanner.(5)TheCountyoranyDesignatedAccessProviderisresponsibleforacquiringallequipmentnecessarytoproduceprogramminginHD.(6)OnitssideoftheencoderandNewConnection,theCountyshallberesponsibleforthecostsofalltransmissionequipmentandotherequipment,requiredinorderforGranteetoreceiveanddistributetheHDAccessChannelsignal,andforthecostofanyresultingupgradestotheEPLorNewConnectionasaresultofGrantor’sequipmentupgrades.TheCountyandGranteeagreethatsuchexpenseofacquiringandinstallingthetransmissionequipmenttotheEPLorNewConnectionqualifiesasacapitalcostforPEGFacilitieswithinthemeaningoftheCableAct47U.S.C.A.Section542(g)(20)(C),andthereforeisanappropriateuseofrevenuesderivedfromthosePEGCapitalfeesprovidedforinthisAgreement.IfrequestedbytheCounty,GranteeshallcooperatewiththeCountytoprocureandprovidetotheCounty,attheGrantor’scost,equipmentfortheCounty’sfacilityintheTownofEagletotransmittotheEPLorNewConnectioninordertodelivertheHDAccessChannel,exceptasotherwisealreadynotedinthisAgreement.(E)Granteeshallsimultaneouslycarrytheone(1)RDAccessChannelprovidedforinSection9.3(D)inhighdefinitionformatontheCableSystem,inadditiontosimultaneouslycarryinginstandarddefinitionformattheSDAccessChannelprovidedpursuanttoSection9.3(C).(F)ThereshallbenorestrictiononGrantee’stechnologyusedtodeployanddeliverSDorRDsignalssolongastherequirementsoftheAgreementareotherwisemet.GranteemayimplementRDcarriageofthePEGchannelinanymanner(includingselectionofcompression,utilizationofIP,andotherprocessingcharacteristics)thatproducesasignalqualityforthe32
consumerthatisreasonablycomparableandfunctionallyequivalenttosimilarcommercialHDchannelscarriedontheCableSystem.IntheeventtheCountybelievesthatGranteefailstomeetthisstandard,CountywillnotifyGranteeofsuchconcern,andGranteewillrespondtoanycomplaintsinatimelymanner.9.4AccessChannelAssignmentsGranteewillusereasonableeffortstominimizethemovementofSDandHDAccessChannelassignments.Inaddition,GranteewillmakereasonableeffortstolocateHDAccessChannelsprovidedpursuanttoSection9.3(D)inalocationonitsHDChannelline-upthatiseasilyaccessibletoSubscribers.9.5RelocationofAccessChannelsGranteeshallprovideCountyaminimumofsixty(60)days’notice,anduseitsbesteffortstoprovideonehundredandtwenty(120)days’notice,priortothetimePublic,Educational,andGovernmentalAccessChanneldesignationsarechanged.9.6AccessInterconnections(A)GranteeshallnotobjecttoorimpedeanyconnectionestablishedbytheCountyoraDesignatedAccessProvider,oracompetingprovider,whetheronthepropertyoftheCountyoraDesignatedAccessProviderorotherpropertybymeansofwhichacompetingproviderobtainsaccesssolelytothePEGAccessChannels,norshalltheGranteeobjecttoorimpedethetransmissionofsuchPEGAccessChannelsignalsbyanycompetingprovider.(B)ItisGrantee’sresponsibilitytoensurethatanysignalsitprovidesonareturnpathtoaCountyfacilitymeetFCCtechnicalstandards.ItisnottheGrantee’sresponsibilitytoensurethatanysignalsprovidedbyanothercableoperatormeetindustrystandards.9.7SupportforAccessCosts(A)DuringthetermofthisAgreement,Granteeshallcontinuetoprovidesixtycents($0.60)permonthperResidentialSubscriberlocatedwithintheAgreementArea(the“PEGContribution”)tobeusedsolelyforcapitalcostsrelatedtoPublic,EducationalandGovernmentalAccessasmaybepermittedbyApplicableLaw.ToaddressinflationaryimpactsoncapitalequipmentortoevaluatewhethertheCounty’sPEGAccesscapitalcostshavereducedwithtime,theCountyandGranteemaymeetnomorethanthreetimesaftertheEffectiveDatetodiscusswhethertoincreaseortodecreasethePEGContribution.TheprimarypurposeofsuchmeetingswillbeforthepartiestoreviewpriorexpendituresandfuturecapitalplanstodetermineifthecurrentPEGContributionisreasonablyappropriatetomeetfutureneeds.TheCountyandGranteemaysuggesttoeachother,basedupontheirownassessmentsofreasonablepastpracticesandfutureanticipatedneeds,whetherthecurrentlevelofPEGContributionisappropriate.IfeitherpartybelievesthatthePEGContributionshouldbemodifiedinareasonableamounttoaddresssuchfutureneedsthepartiesshallshareallrelevantinformationsupportingtheirpositionsandnegotiateingoodfaithtodetermineifthePEGContributionshouldbeincreasedordecreased,and33
ifso,inwhatamount.SuchdiscussionsregardingpotentialadjustmenttothePEGContributionwillbeconductedpursuanttotheAgreementamendmentproceduresinSection4.7ofthisAgreement.GranteeshallmakePEGContributionpaymentsquarterly,followingtheeffectivedateofthisAgreementfortheprecedingquarterendingMarch31,June30,September30,andDecember31.Eachpaymentshallbedueandpayablenolaterthanforty-five(45)daysfollowingtheendofthequarter.CountyshallhavesolediscretiontoallocatetheexpenditureofsuchpaymentsforanycapitalcostsrelatedtoPEGAccess.ThepartiesagreethatthisAgreementshallprovideCountydiscretiontoutilizeAccesspaymentsfornewinternalnetworkconnectionsandenhancementstotheCounty’sexistingnetwork.SincetheCountyhasgrantedadditionalagreement(s)tootherwirelineCableServiceprovider(s),GranteeshallnotberequiredtopaymorethanthePEGFeerateimposedbytheCountyinotheragreement(s).(B)PEGfeesshallnotbecollectedandremittedon(1)SubscribersresidinginMultipleDwellingUnitsbilledonabulk-billingbasisforanyadditionalservices;(2)Subscribersand/oremployeesreceivingCableServiceonagratisorcomplimentarybasis;and(3)SubscriberswhoseaccountsarewrittenoffasuncollectableorareconsideredBadDebt.(C)IfCountyelectstohavetheNewConnectionconstructed,withinonehundredtwenty(120)daysofwrittenrequest,Granteeagreestoprovideaone-timePEGcapitalgrantoftenthousand($10,000)dollars(“PEGCapitalGrant”)totheCounty.GranteeshallbeentitledtofullyrecoverthisPEGCapitalGrantfromSubscriberspursuanttoApplicableLaw.9.8QuarterlyPEGFeeReportsEachPEGFeepaymentshallbeaccompaniedbyawrittenreporttotheCounty,orconcurrentlysentunderseparatecover,verifiedbyanauthorizedrepresentativeofGrantee,containinganaccuratestatementofPEGFeepaymentsmadepursuanttoSection9.7ofthisAgreement.9.9AccessSupportNotAgreementFeesGranteeagreesthatcapitalsupportforAccessCostsarisingfromorrelatingtotheobligationssetforthinthisAgreementshallinnowaymodifyorotherwiseaffectGrantee’sobligationstopayAgreementFeestoCounty.GranteeagreesthatalthoughthesumofAgreementFeesplusthepaymentssetforthinthisSectionmaytotalmorethanfivepercent(5%)ofGrantee’sGrossRevenuesinany12-monthperiod,theadditionalcommitmentsshallnotbeoffsetorotherwisecreditedinanywayagainstanyAgreementFeepaymentsunderthisAgreementsolongassuchsupportisusedforcapitalAccesspurposesconsistentwiththisAgreementandfederallaw.9.10AccessChannelsonBasicServiceorLowestPricedHDServiceTierAllSDAccessChannelsunderthisAgreementshallbeincludedbyGrantee,withoutlimitation,aspartofBasicService.AllHDAccessChannelsunderthisAgreementshallbeincludedbyGrantee,withoutlimitation,aspartofthelowestpricedtierofHDCableServiceuponwhichGranteeprovidesRDprogrammingcontent.34
9.11ChangeInTechnologyIntheeventGranteemakesanychangeintheCableSystemandrelatedequipmentandFacilitiesorinGrantee’ssignaldeliverytechnology,whichdirectlyorindirectlyaffectsthesignalqualityortransmissionofAccessservicesorprogramming,Granteeshallatitsownexpensetakenecessarytechnicalstepsorprovidenecessarytechnicalassistance,includingtheacquisitionofallnecessaryequipment,andfulltrainingofCounty’sAccesspersonneltoensurethatthecapabilitiesofAccessservicesarenotdiminishedoradverselyaffectedbysuchchange.IftheCountyimplementsanewvideodeliverytechnologythatiscurrentlyofferedandcanbeaccommodatedontheGrantee’slocalCableSystemthenthesameprovisionsaboveshallapply.IftheCountyimplementsanewvideodeliverytechnologythatisnotcurrentlyofferedonand/orthatcannotbeaccommodatedbytheGrantee’slocalCableSystem,thentheCountyshallberesponsibleforacquiringallnecessaryequipment,facilities,technicalassistance,andtrainingtodeliverthesignaltotheHeadendfordistributiontoSubscribers.9.12TechnicalQualityGranteeshallmaintainallupstreamanddownstreamAccessservicesandChannelsfromitsHeadendatthesameleveloftechnicalqualityandreliabilityrequiredbythisAgreementandallotherapplicablelaws,rulesandregulationsforResidentialSubscriberChannels.GranteeshallprovideroutinemaintenanceforalltransmissionequipmentatandfromitsHeadend,includingmodulators,decoders,multiplexequipment,andassociatedcableandequipmentnecessarytocarryaqualitysignaltoandfromCounty’sfacilitiesfortheAccessChannelsprovidedunderthisAgreement.Granteeshallalsoprovide,ifrequestedinadvancebytheCounty,adviceandtechnicalexpertiseregardingtheproperoperationandmaintenanceoftransmissionequipmentontheCounty’ssideoftheHeadend.TheCountyshallalsoberesponsible,atitsownexpense,toreplaceanyoftheGrantee’sequipmentthatisdamagedbythegrossnegligenceorintentionalactsofCountystaff.TheGranteeshallberesponsible,atitsownexpense,toreplaceanyoftheGrantor’sequipmentthatisdamagedbythegrossnegligenceorintentionalactsofGrantee’sstaff.9.13AccessCooperation-CountymaydesignateanyotherjurisdictionwhichhasenteredintoanagreementwithGranteeoranAffiliateofGranteebaseduponthisAgreementtoreceiveanyAccessbenefitdueCountyhereunder,ortoshareintheuseofAccessFacilitieshereunder.ThepurposeofthisSectionshallbetoallowcooperationintheuseofAccessandtheapplicationofanyprovisionunderthisSectionasCountyinitssolediscretiondeemsappropriate,andGranteeshallcooperatefullywith,andin,anysucharrangementsbyCounty.SECTION10.GENERALRIGHT-OF-WAYUSEANDCONSTRUCTION10.1RighttoConstructSubjecttoApplicableLaw,regulations,rules,resolutionsandordinancesoftheCountyandtheprovisionsofthisAgreement,GranteemayperformallconstructionintheRights-of-WayforanyfacilityneededforthemaintenanceorextensionofGrantee’sCableSystem.35
10.2Right-of-WayMeetingsGranteewillregularlyattendandparticipateinmeetingsoftheCounty,ofwhichtheGranteeismadeaware,regardingRight-of-WayissuesthatmayimpacttheCableSystem.10.3JointTrenching/BoringMeetingsGranteewillregularlyattendandparticipateinplanningmeetingsoftheCounty,ofwhichtheGranteeismadeaware,toanticipatejointtrenchingandboring.Wheneveritispossibleandreasonablypracticabletojointtrenchorshareboresorcuts,Granteeshallworkwithotherproviders,licensees,permittees,andagreementholderssoastoreducesofaraspossiblethenumberofRight-of-WaycutswithintheCounty.10.4GeneralStandardAllworkauthorizedandrequiredhereundershallbedoneinasafe,thoroughandworkmanlikemanner.Allinstallationsofequipmentshallbepermanentinnature,durableandinstalledinaccordancewithgoodengineeringpracticesandofsufficientheighttocomplywithallfederal,Stateandlocalregulations,ordinancesandlawsoastonotinterfereinanymannerwiththerightsofthepublicorindividualpropertyowner.10.5PermitsRequiredforConstructionPriortodoinganyworkintheRight-ofWayorotherpublicproperty,Granteeshallapplyfor,andobtain,appropriatepermitsfromtheCounty.Aspartofthepermittingprocess,theCountymayimposesuchconditionsandregulationsasarenecessaryforthepurposeofprotectinganystructuresinsuchRights-of-Way,properrestorationofsuchRights-of-Wayandstructures,theprotectionofthepublic,andthecontinuityofpedestrianorvehiculartraffic.SuchconditionsmayalsoincludetheprovisionofaconstructionscheduleandmapsshowingthelocationofthefacilitiestobeinstalledintheRight-of-Way.GranteeshallpayallapplicablefeesfortherequisiteCountypermitsreceivedbyGrantee.10.6EmergencyPermitsIntheeventthatemergencyrepairsarenecessary,GranteeshallimmediatelynotifytheCountyoftheneedforsuchrepairs.Granteemayinitiatesuchemergencyrepairsandshallapplyforappropriatepermitswithinforty-eight(4$)hoursafterdiscoveryoftheemergency.10.7CompliancewithApplicableCodes(A)CountyConstructionCodes.GranteeshallcomplywiththeEagleCountyLandUseRegulationsandallapplicableCountyconstructioncodes,including,withoutlimitation,theUniformBuildingCodeandotherbuildingcodes,theUniformFireCode,theUniformMechanicalCode,theElectronicIndustriesAssociationStandardforPhysicalLocationandProtectionofBelow-GroundFiberOpticCablePlant,andzoningcodesandregulations.36
(B)TowerSpecifications.Antennasupportingstructures(towers)shallbedesignedfortheproperloadingasspecifiedbytheElectronicsIndustriesAssociation(ETA),asthosespecificationsmaybeamendedfromtimetotime.Antennasupportingstructures(towers)shallbepainted,lighted,erectedandmaintainedinaccordancewithallapplicablerulesandregulationsofthefederalAviationAdministrationandallotherapplicablefederal,State,andlocalcodesorregulations.(C)SafetyCodes.Granteeshallcomplywithallfederal,StateandCountysafetyrequirements,rules,regulations,lawsandpractices,andemployallnecessarydevicesasrequiredbyApplicableLawduringconstruction,operationandrepairofitsCableSystem.Bywayofillustrationandnotlimitation,GranteeshallcomplywiththeNationalElectricCode,NationalElectricalSafetyCodeandOccupationalSafetyandHealthAdministration(OSHA)Standards.UnderanycircumstancesregardingoperationoruseoftheCableSystemthatposesorinvolvespublichealth,safetyorwelfarehazards,perilordangerorpropertyhazards,Granteeshalltakestepsandactexpeditiouslytorectifysuchsituationsuntilconclusion.10.8GISMappingGranteeshallcomplywithanygenerallyapplicableordinances,rulesandregulationsoftheCountyregardinggeographicinfonnationmappingsystemsforusersoftheRights-of-Way.10.9MinimalInterferenceWorkintheRight-of-Way,onotherpublicproperty,nearpublicproperty,oronornearprivatepropertyshallbedoneinaccordancewiththeRegulationsforConstructionwithinthePublicWayofEagleCountyasmaybeamendedfromtimetotimeinamannerthatcausestheleastinterferencewiththerightsandreasonableconvenienceofpropertyownersandresidents.Grantee’sCableSystemshallbeconstructedandmaintainedinsuchmannerasnottointerferewithsewers,waterpipes,oranyotherpropertyoftheCounty,orwithanyotherpipes,wires,conduits,pedestals,structures,orotherfacilitiesthatmayhavebeenlaidintheRights-of-Wayby,orunder,theCounty’sauthority.TheGrantee’sCableSystem,transmissionanddistributionsystem,wiresandappurtenancesshallbelocated,erectedandmaintainedsoasnottoendangerorinterferewiththelivesofPersons,ortointerferewithnewimprovementstheCountymaydeempropertomakeortounnecessarilyhinderorobstructthefreeuseoftheRights-of-Wayorotherpublicproperty,andshallnotinterferewiththetravelanduseofpublicplacesbythepublicduringtheconstruction,repair,operationorremovalthereof,andshallnotobstructorimpedetraffic.Intheeventofsuchinterference,theCountymayrequiretheremovalorrelocationofGrantee’slines,cables,equipmentandotherappurtenancesfromthepropertyinquestionatGrantee’sexpense.10.10PreventInjury/SafetyGranteeshallprovideanduseanyequipmentandfacilitiesnecessarytocontrolandcarryGrantee’ssignalssoastopreventinjurytotheCounty’spropertyorpropertybelongingtoanyPerson.Grantee,atitsownexpense,shallrepair,renew,changeandimproveitsfacilitiestokeepthemingoodrepair,andsafeandpresentablecondition.AllexcavationsmadebyGranteeinthe37
Rights-of-Wayshallbeproperlysafeguardedforthepreventionofaccidentsbytheplacementofadequatebarriers,fencesorboarding,theboundsofwhich,duringperiodsofduskanddarkness,shallbeclearlydesignatedbywarninglights.10.11HazardousSubstances(A)GranteeshallcomplywithanyandallApplicableLaws,statutes,regulationsandordersconcerninghazardoussubstancesrelatingtoGrantee’sCableSystemintheRights-of-Way.(B)UponreasonablenoticetoGrantee,theCountymayinspectGrantee’sfacilitiesintheRights-of-Waytodetermineifanyreleaseofhazardoussubstanceshasoccurred,ormayoccur,fromorrelatedtoGrantee’sCableSystem.InremovingormodifyingGrantee’sfacilitiesasprovidedinthisAgreement,Granteeshallalsoremoveallresiduesofhazardoussubstancesrelatedthereto.(C)GranteeagreestoindemnifytheCountyagainstanyclaims,costs,andexpenses,ofanykind,whetherdirectorindirect,incurredbytheCountyarisingoutofareleaseofhazardoussubstancescausedbyGrantee’sCableSystem.10.12LocatesPriortodoinganyworkintheRight-of-Way,GranteeshallgiveappropriatenoticestotheCountyandtothenotificationassociationestablishedinC.R.S.§9-1.5-105,assuchmaybeamendedfromtimetotime.Withinforty-eight(4$)hoursafteranyCountybureauoragreementholders,licenseeorpermitteenotifiesGranteeofaproposedRight-of-Wayexcavation,Granteeshall,atGrantee’sexpense:(A)Markonthesurfaceallofitslocatedundergroundfacilitieswithintheareaoftheproposedexcavation;(B)Notifytheexcavatorofanyunlocatedundergroundfacilitiesintheareaoftheproposedexcavation;or(C)NotifytheexcavatorthatGranteedoesnothaveanyundergroundfacilitiesinthevicinityoftheproposedexcavation.10.13NoticetoPrivatePropertyOwnersExceptinthecaseofemergencyinvolvingpublicsafetyorserviceinterruptionstoalargenumberofSubscribers,Granteeshallgivereasonableadvancenoticetoprivatepropertyownersorlegaltenantsofworkonoradjacenttoprivateproperty.38
10.14UndergroundConstructionandUseofPoles(A)Whenrequiredbygeneralordinances,resolutions,regulationsorrulesoftheCountyorapplicableStateorfederallaw,Grantee’sCableSystemshallbeplacedundergroundatGrantee’sexpenseunlessfundingisgenerallyavailableforsuchrelocationtoallusersoftheRights-of-Way.Placingfacilitiesundergrounddoesnotprecludetheuseofground-mountedappurtenances.(B)Whereelectric,telephone,andotherabove-groundutilitiesareinstalledundergroundatthetimeofCableSystemconstruction,orwhenallsuchwiringissubsequentlyplacedunderground,allCableSystemlinesshallalsobeplacedundergroundwithotherwirelineserviceatnoexpensetotheCountyorSubscribersunlessfundingisgenerallyavailableforsuchrelocationtoallusersoftheRights-of-Way.RelatedCableSystemequipment,suchaspedestals,mustbeplacedinaccordancewiththeCounty’sapplicablecoderequirementsandrules.Inareaswhereeitherelectricortelephoneutilitywiringisaerial,theGranteemayinstallaerialcable,exceptwhenapropertyownerorresidentrequestsundergroundinstallationandagreestobeartheadditionalcostinexcessofaerialinstallation.(C)TheGranteeshallutilizeexistingpolesandconduitwhereverpossible.(D)IntheeventGranteecannotobtainthenecessarypolesandrelatedfacilitiespursuanttoapoleattachmentagreement,andonlyinsuchevent,thenitshallbelawfulforGranteetomakeallneededexcavationsintheRights-of-Wayforthepurposeofplacing,erecting,laying,maintaining,repairing,andremovingpoles,supportsforwiresandconductors,andanyotherfacilityneededforthemaintenanceorextensionofGrantee’sCableSystem.AllpolesofGranteeshallbelocatedasdesignatedbytheproperCountyauthorities.(E)ThisAgreementdoesnotgrant,giveorconveytotheGranteetherightorprivilegetoinstallitsfacilitiesinanymanneronspecificutilitypolesorequipmentoftheCountyoranyotherPerson.Copiesofagreementsfortheuseofpoles,conduitsorotherutilityfacilitiesmustbeprovideduponrequestbytheCounty.(F)TheGranteeandtheCountyrecognizethatsituationsmayoccurinthefuturewheretheCountymaydesiretoplaceitsowncableorconduitforFiberOpticcableintrenchesorboresopenedbytheGrantee.TheGranteeagreestocooperatewiththeCountyinanyconstructionbytheGranteethatinvolvestrenchingorboring,providedthattheCountyhasfirstnotifiedtheGranteeinsomemannerthatitisinterestedinsharingthetrenchesorboresintheareawheretheGrantee’sconstructionisoccurring.TheGranteeshallallowtheCountytolayitscable,conduitandFiberOpticcableintheGrantee’strenchesandbores,providedthereisreasonablespaceavailableandtheCountysharesinthecostofthetrenchingandboringonthesametermsandconditionsastheGrantee.TheCountyshallberesponsibleformaintainingitsrespectivecable,conduitandfiberOpticcableburiedintheGrantee’strenchesandboresunderthissubsection.39
10.15UndergroundingofMultipleDwellingUnitDropsIncasesofsinglesiteMultipleDwellingUnits,GranteeshallminimizethenumberofindividualaerialdropcablesbyinstallingmultipledropcablesundergroundbetweenthepoleandMultipleDwellingUnitwheredeterminedtobetechnologicallyfeasibleandinaccordancewiththeownersand/orowner’sassociationoftheMultipleDwellingUnits.10.16BurialStandards(A)Depths.UnlessotherwiserequiredbylawortheNationalElectricCode,Grantee,anditscontractors,shallcomplywiththefollowingburialdepthstandards.InnoeventshallGranteeberequiredtoburyitscabledeeperthanelectricorgasfacilities,orexistingtelephonefacilitiesinthesameportionoftheRight-of-Way,solongasthosefacilitieshavebeenburiedinaccordancewithApplicableLaw:Undergroundcabledropsfromthecurbshallbeburiedataminimumdepthoftwelve(12)inches,unlessasprinklersystemorotherconstructionconcernsprecludeit,inwhichcase,undergroundcabledropsshallbeburiedatadepthofatleastsix(6)inches.feederlinesshallbeburiedataminimumdepthoftwentyfour(24)inches.Trunklinesshallbeburiedataminimumdepthoftwentyfour(24)inches.FiberOpticcableshallbeburiedataminimumdepthofthirty-six(36)inches.Intheeventofaconflictbetweenthissubsectionandtheprovisionsofanycustomerservicestandard,thissubsectionshallcontrol.(B)Timeliness.CabledropsinstalledbyGranteetoresidencesshallbeburiedaccordingtothesestandardswithinonecalendarweekofinitialinstallation,oratatimemutually-agreeduponbetweentheGranteeandtheSubscriber.WhenfreezingsurfaceconditionspreventGranteefromachievingsuchtimetable,GranteeshallapprisetheSubscriberofthecircumstancesandtherevisedscheduleforburial,andshallprovidetheSubscriberwithGrantee’stelephonenumberandinstructionsastohowandwhentocallGranteetorequestburialofthelineiftherevisedscheduleisnotmet.10.17CableDropBondingGranteeshallensurethatallcabledropsareproperlybondedatthehome,consistentwithapplicablecoderequirements.Allnon-conformingornon-performingcabledropsshallbereplacedbyGranteeasnecessary.40
10.1$PrewiringAnyordinanceorresolutionoftheCountywhichrequiresprewiringofsubdivisionsorotherdevelopmentsforelectricalandtelephoneserviceshallbeconstruedtoincludewiringforCableSystems.10.19RepairandRestorationofProperty(A)TheGranteeshallprotectpublicandprivatepropertyfromdamage.Ifdamageoccurs,theGranteeshallpromptlynotifythepropertyownerwithintwenty-four(24)hoursinwriting.(B)WheneverGranteedisturbsordamagesanyRight-of-Way,otherpublicpropertyoranyprivateproperty,GranteeshallpromptlyrestoretheRight-of-Wayorpropertytoatleastitspriorcondition,normalwearandtearexcepted,atitsownexpense.(C)Rights-of-WayandOtherPublicProperty.GranteeshallwarrantanyrestorationworkperformedbyorforGranteeintheRight-of-WayoronotherpublicpropertyinaccordancewithApplicableLaw.IfrestorationisnotsatisfactorilyperformedbytheGranteewithinareasonabletime,theCountymay,afterpriornoticetotheGrantee,orwithoutnoticewherethedisturbanceordamagemaycreatearisktopublichealthorsafety,causetherepairstobemadeandrecoverthecostofthoserepairsfromtheGrantee.Withinthirty(30)daysofreceiptofanitemizedlistofthosecosts,includingthecostsoflabor,materialsandequipment,theGranteeshallpaytheCounty.(D)PrivateProperty.Uponcompletionoftheworkwhichcausedanydisturbanceordamage,Granteeshallpromptlycommencerestorationofprivateproperty,andwillusebesteffortstocompletetherestorationwithinseventy-two(72)hours,consideringthenatureoftheworkthatmustbeperformed.GranteeshallalsoperformsuchrestorationinaccordancewiththeRegulationsforConstructionwithinthePublicWayofEagleCountyasmaybeamendedfromtimetotime.(E)GranteeshallatalltimesconformtotherepairandrestorationstandardsassetforthforconstructionintheRegulationsforConstructionwithinthePublicWayofEagleCountyasmaybeamendedfromtimetotime.10.20UseofConduitsbytheCountyTheCountymayinstalloraffixandmaintainwiresandequipmentownedbytheCountyforCountypurposesinoruponanyandallofGrantee’sducts,conduitsorequipmentintheRights-of-WayandotherpublicplacesifsuchplacementdoesnotinterferewithGrantee’suseofitsfacilities,withoutchargetotheCounty,totheextentspacethereinorthereonisreasonablyavailable,andpursuanttoallApplicableLaw.ThisrightshaltnotextendtoaffiliatesofGranteewhohavefacilitiesintheRight-of-Wayfortheprovisionofnon-cableservices.ForthepurposesofthisSection,“Countypurposes”includes,butisnotlimitedto,theuseofthestructuresandinstallationsforCountyfire,police,traffic,water,telephone,and/orsignalsystems,butnotforCableServiceortransmissiontothirdpartiesoftelecommunicationsorinformationservicesin41
competitionwithGrantee.GranteeshallnotdeductthevalueofsuchuseofitsfacilitiesfromitsAgreementFeepaymentsorfromotherfeespayabletotheCounty.10.21CommonUsers(A)Forthepurposesofthissubsection:(1)“Attachment”meansanywire,opticalfiberorothercable,andanyrelateddevice,apparatusorauxiliaryequipment,forthepurposeofvoice,videoordatatransmission.(2)“Conduit”or“ConduitFacility”meansanystructure,orsectionthereofcontainingoneormoreDucts,conduits,manholes,handholeorothersuchfacilitiesinGrante&sCableSystem.(3)“Duct”meansasingleenclosedracewayforcables,FiberOpticsorotherwires.(4)“Licensee”meansanyPersonlicensedorotherwisepermittedbytheCountytousetheRights-of-Way.(5)“SurplusDuctsorConduits”areConduitFacilitiesotherthanthoseoccupiedbyGranteeoranypriorLicensee,orunoccupiedDuctsheldbyGranteeasemergencyusespares,orotherunoccupiedDuctsthatGranteereasonablyexpectstousewithintwo(2)yearsfromthedateofarequestforuse.(B)GranteeacknowledgesthattheRights-of-WayhaveafinitecapacityforcontainingConduits.Therefore,GranteeagreesthatwhenevertheCountydeterminesitisimpracticabletopermitconstructionofanundergroundConduitsystembyanyotherPersonwhichmayatthetimehaveauthoritytoconstructormaintainConduitsorDuctsintheRights-of-Way,butexcludingPersonsprovidingCableServicesincompetitionwithGrantee,theCountymayrequireGranteetoaffordtosuchPersontherighttouseGranteesSurplusDuctsorConduitsincommonwithGrantee,pursuanttothetermsandconditionsofanagreementforuseofSurplusDuctsorConduitsenteredintobyGranteeandtheLicensee.NothinghereinshallrequireGranteetoenterintoanagreementwithsuchPersonif,inGrantee’sreasonabledetermination,suchanagreementcouldcompromisetheintegrityoftheCableSystem.(C)ALicenseeoccupyingpartofaDuctshallbedeemedtooccupytheentireDuct.(D)GranteeshallgiveaLicenseeaminimumofonehundredtwenty(120)days’noticeofitsneedtooccupyalicensedConduitandshallproposethattheLicenseetakethefirstfeasibleactionasfollows:(1)PayrevisedConduitrentdesignedtorecoverthecostofretrofittingtheConduitwithmultiplexing,FiberOpticsorotherspace-savingtechnologysufficienttomeetGrantee’sspaceneeds;42
(2)PayrevisedConduitrentbasedonthecostofnewConduitconstructedtomeetGrantee’sspaceneeds;(3)VacatetheneededDuctsorConduit;or(4)ConstructandmaintainsufficientnewConduittomeetGrantee’sspaceneeds.(E)WhentwoormoreLicenseesoccupyasectionofConduitfacility,thelastLicenseetooccupytheConduitFacilityshallbethefirsttovacateorconstructnewConduit.WhenConduitrentisrevisedbecauseofretrofitting,space-savingtechnologyorconstructionofnewConduit,allLicenseesshallbeartheincreasedcost.(F)AllAttachmentsshallmeetlocal,State,andfederalclearanceandothersafetyrequirements,beadequatelygroundedandanchored,andmeettheprovisionsofcontractsexecutedbetweenGranteeandtheLicensee.Granteemay,atitsoption,correctanyattachmentdeficienciesandchargetheLicenseeforitscosts.EachLicenseeshallpayGranteeforanyfines,fees,damagesorothercoststheLicense&sattachmentscauseGranteetoincur.(G)InordertoenforcetheprovisionsofthissubsectionwithrespecttoGrantee,theCountymustdemonstratethatithasrequiredthatallsimilarlysituatedusersoftheRights-of-Waytocomplywiththeprovisionsofthissubsection.10.22AcquisitionofFacilitiesUponGrantee’sacquisitionofCableSystem-relatedfacilitiesinanyCountyRight-of-Way,orupontheadditiontotheCountyofanyareainwhichGranteeownsoroperatesanyfacility,Granteeshall,attheCountysrequest,submittotheCountyastatementdescribingallsuchfacilitiesinvolved,whetherauthorizedbyAgreement,permit,licenseorotherpriorright,andspecifyingthelocationofallsuchfacilitiestotheextentGranteehaspossessionofsuchinformation.SuchCableSystem-relatedfacilitiesshallimmediatelybesubjecttothetermsofthisAgreement.10.23DiscontinuingUse/AbandonmentofCableSystemFacilitiesWheneverGranteeintendstodiscontinueusinganyfacilitywithintheRights-of-Way,GranteeshallsubmitfortheCounty’sapprovalacompletedescriptionofthefacilityandthedateonwhichGranteeintendstodiscontinueusingthefacility.GranteemayremovethefacilityorrequestthattheCountypermitittoremaininplace.NotwithstandingGrantee’srequestthatanysuchfacilityremaininplace,theCountymayrequireGranteetoremovethefacilityfromtheRight-of-Wayormodifythefacilitytoprotectthepublichealth,welfare,safety,andconvenience,orotherwiseservethepublicinterest.TheCountymayrequireGranteetoperformacombinationofmodificationandremovalofthefacility.GranteeshallcompletesuchremovalormodificationinaccordancewithaschedulesetbytheCounty.UntilsuchtimeasGranteeremovesormodifiesthefacilityasdirectedbytheCounty,oruntiltherightstoandresponsibilityforthefacilityare43
acceptedbyanotherPersonhavingauthoritytouse,constructand/ormaintainsuchfacility,Granteeshallberesponsibleforallnecessaryrepairsandrelocationsofthefacility,aswellasmaintenanceoftheRight-of-Way,inthesamemanneranddegreeasifthefacilitywereinactiveuse,andGranteeshallretainallliabilityforsuchfacility.IfGranteeabandonsitsfacilities,theCountymaychoosetousesuchfacilitieswithoutchargeforanypurposewhatsoeverincluding,butnotlimitedto,Accesspurposes.10.24MovementofCableSystemFacilitiesForCountyPurposesTheCountyshallhavetherighttorequireGranteetorelocate,remove,replace,modifyordisconnectGrantee’sfacilitiesandequipmentlocatedintheRights-of-WayoronanyotherpropertyoftheCountyforpublicpurposesorintheeventofanemergencythatrequiressuchchange(forexample,withoutlimitation,byreasonoftrafficconditions,Right-of-Waywideningoraltering,publicsafety,Right-of-Wayvacation,Right-of-Wayconstruction,changeorestablishmentofRight-of-Waygrade,installationofsewers,drains,gasorwaterpipes,oranyothertypesofstructuresorimprovementsbytheCountyforpublicpurposes).SuchworkshallbeperformedattheGrantee’sexpense.Exceptduringanemergency,theCountyshallprovidereasonablenoticetoGrantee,nottobelessthanforty-five(45)businessdaysandallowGranteewiththeopportunitytoperformsuchaction.Intheeventofanycapitalimprovementprojectexceeding$500,000inexpendituresbytheCountywhichrequirestheremoval,replacement,modificationordisconnectionofGrante&sfacilitiesorequipment,theCountyshallprovideatleastsixty(60)days’writtennoticetoGrantee.followingnoticebytheCounty,Granteeshallrelocate,remove,replace,modifyordisconnectanyofitsfacilitiesorequipmentwithinanyRight-of-Way,oronanyotherpropertyoftheCounty.IftheCountyrequiresGranteetorelocateitsfacilitieslocatedwithintheRights-of-Way,theCountyshallmakeareasonableefforttoprovideGranteewithanalternatelocationwithintheRights-of-Way.IffundsaregenerallymadeavailabletousersoftheRights-of-Wayforsuchrelocation,Granteeshallbeentitledtoitsproratashareofsuchfunds.IftheGranteefailstocompletethisworkwithinthetimeprescribedandtotheCounty’ssatisfaction,theCountymaycausesuchworktobedoneandbillthecostoftheworktotheGrantee,includingallcostsandexpensesincurredbytheCountyduetoGrantee’sdelay.Insuchevent,theCountyshallnotbeliableforanydamagetoanyportionofGrantee’sCableSystem.Withinthirty(30)daysofreceiptofanitemizedlistofthosecosts,theGranteeshallpaytheCounty.10.25ReimbursementofGranteeCostsGranteespecificallyreservesanyrightsitmayhaveunderApplicableLawforreimbursementofcostsrelatedtoundergroundingorrelocationoftheCableSystemandnothinghereinshallbeconstruedasawaiverofsuchrights.10.26MovementofCableSystemFacilitiesForOtherAgreementHoldersIfanyremoval,replacement,modificationordisconnectionoftheCableSystemisrequiredtoaccommodatetheconstruction,operationorrepairofthefacilitiesorequipmentofanother44
Countyagreementholder,Granteeshall,afteratleastthirty(30)days’advancewrittennotice,takeactiontoeffectthenecessarychangesrequestedbytheresponsibleentity.Granteeshallrequirethatthecostsassociatedwiththeremovalorrelocationbepaidbythebenefitedparty.10.27TemporaryChangesForOtherPermitteesAttherequestofanyPersonholdingavalidpermitanduponreasonableadvancenotice,Granteeshalltemporarilyraise,lowerorremoveitswiresasnecessarytopermitthemovingofabuilding,vehicle,equipmentorotheritem.Theexpenseofsuchtemporarychangesmustbepaidbythepermitholder,andGranteemayrequireareasonabledepositoftheestimatedpaymentinadvance.10.28ReservationofCountyUseofRight-of-WayNothinginthisAgreementshallpreventtheCountyorpublicutilitiesowned,maintainedoroperatedbypublicentitiesotherthantheCountyfromconstructingsewers;grading,paving,repairingoralteringanyRight-of-Way;layingdown,repairingorremovingwatermains;orconstructingorestablishinganyotherpublicworkorimprovement.Allsuchworkshallbedone,insofaraspracticable,soasnottoobstruct,injureorpreventtheuseandoperationofGrantee’sCableSystem.10.29Rights-of-WayVacationIfanyRights-of-WayorportionthereofusedbyGranteeisvacatedbytheCountyduringthetermofthisAgreement,unlesstheCountyspecificallyreservestoGranteetherighttocontinuetheuseofvacatedRights-of-Way,Granteeshall,withinthirty(30)dayswrittennoticefromtheCountyandsubjecttotheprovisionsofapplicablelawwithoutexpensetotheCounty,removeitsfacilities(unlessutilitieshavebeenpermittedtoleavetheirfacilitiesinplace)fromsuchRights-of-Way,andrestore,repairorreconstructtheRights-of-Waywheresuchremovalhasoccurred.Intheeventoffailure,neglectorrefusalofGrantee,afterthirty(30)days’noticebytheCounty,torestore,repairorreconstructsuchRights-of-Way,theCountymaydosuchworkorcauseittobedone,andthereasonablecostthereof,asfoundanddeclaredbytheCounty,shallbepaidbyGranteewithinthirty(30)daysofreceiptofaninvoiceanddocumentation.10.30TreeTrimmingGranteemaypruneorcausetobepruned,usingproperpruningpractices,anytreeintheCounty’sRights-of-WaywhichinterfereswithGrantee’sCableSystem.GranteeshallcomplywithanygeneralordinanceorregulationsoftheCountyregardingtreetrimming.Exceptinemergencies,Granteemaynotprunetreesatapointbelowthirty(30)feetabovesidewalkgradeuntilone(1)weekwrittennoticehasbeengiventotheowneroroccupantofthepremisesabuttingtheRight-of-Wayinoroverwhichthetreeisgrowing.Theowneroroccupantoftheabuttingpremisesmayprunesuchtreeathisorherownexpenseduringthisone(1)weekperiod.Iftheowneroroccupantfailstodoso,Granteemayprunesuchtreeatitsownexpense.forpurposesofthisSection,emergenciesexistwhenitisnecessarytoprunetoprotectthepublicorGrantee’sfacilitiesfromimminentdangeronly.45
10.31InspectionofConstructionandFacilitiesTheCountymayinspectanyofGrantee’sfacilities,equipmentorconstructionatanytimeuponatleasttwenty-four(24)hours’notice,or,incaseofemergencyasdeterminedbytheCounty,upondemandwithoutpriornotice.TheCountyshallhavetherighttochargegenerallyapplicableinspectionfeestherefore.Ifanunsafeconditionisfoundtoexist,theCounty,inadditiontotakinganyotheractionpermittedunderApplicableLaw,mayorderGrantee,inwriting,tomakethenecessaryrepairsandalterationsspecifiedthereinforthwithtocorrecttheunsafeconditionbyatimetheCountyestablishes.TheCountyhastherighttocorrect,inspect,administerandrepairtheunsafeconditionifGranteefailstodoso,andtochargeGranteetherefore.Withinthirty(30)daysofreceiptofanitemizedlistofthosecosts,theGranteeshallpaytheCounty.10.32StopWork(A)OnnoticefromtheCountythatanyworkisbeingperformedcontrarytotheprovisionsofthisAgreement,orinanunsafeordangerousmannerasdeterminedbytheCounty,orinviolationofthetermsofanyapplicablepermit,laws,regulations,ordinances,orstandards,theworkmayimmediatelybestoppedbytheCounty.(B)Thestopworkordershall:(1)Beinwriting;(2)BegiventothePersondoingthework,orpostedontheworksite;(3)BesenttoGranteebyovernightdelivery,byfacsimileorbyemailattheaddressgivenherein;(4)Indicatethenatureoftheallegedviolationorunsafecondition;and(5)Establishconditionsunderwhichworkmayberesumed.10.33WorkofContractorsandSubcontractorsGrantee’scontractorsandsubcontractorsshallbelicensedandbondedinaccordancewiththeCounty’sordinances,regulationsandrequirements.Workbycontractorsandsubcontractorsissubjecttothesamerestrictions,limitationsandconditionsasiftheworkwereperformedbyGrantee.Granteeshallberesponsibleforallworkperformedbyitscontractorsandsubcontractorsandothersperformingworkonitsbehalfasiftheworkwereperformedbyit,andshallensurethatallsuchworkisperformedincompliancewiththisAgreementandotherApplicableLaw,andshallbejointlyandseverallyliableforalldamagesandcorrectingalldamagecausedbythem.ItisGrantee’sresponsibilitytoensurethatcontractors,subcontractorsorotherPersonsperformingworkonGrantee’sbehalfarefamiliarwiththerequirementsofthisAgreementandotherApplicableLawgoverningtheworkperformedbythem.46
SECTION11.CABLESYSTEM,TECHNICALSTANDARDSANDTESTING11.1SubscriberNetwork(A)Grantee’sCableSystemshallbeequivalenttoorexceedtechnicalcharacteristicsofatraditionalHFC750MHzCableSystemandprovideActivatedTwo-Waycapability.TheCableSystemshallbecapableofsupportingvideoandaudio.TheCableSystemshalldelivernolessthanonehundredten(110)ChannelsofdigitalvideoprogrammingservicestoSubscribers,providedthattheGranteereservestherighttousethebandwidthinthefutureforotherusesbasedonmarketfactors.(B)Granteeshallnotassertorotherwiseraiseanyclaimbeforeanycourtoradministrativeagencythat,asoftheeffectivedateofthisAgreement,theminimumCableSystemdesignandperformancerequirementssetforthinthisAgreementareunenforceableunder,orinconsistentwith,thencurrentapplicablelawsorregulations,oranyordersordecisionsoftheFCC.(C)EquipmentmustbeinstalledsothatallclosedcaptioningprogrammingreceivedbytheCableSystemshallincludetheclosedcaptionsignalsolongastheclosedcaptionsignalisprovidedconsistentwithFCCstandards.Equipmentmustbeinstalledsothatalllocalsignalsreceivedinstereoorwithsecondaryaudiotracks(broadcastandAccess)areretransmittedinthosesameformats.(D)AllconstructionshallbesubjecttotheCounty’spermittingprocess.(E)GranteeandCountyshallmeet,attheCounty’srequest,todiscusstheprogressofthedesignplanandconstruction.(F)GranteewilltakepromptcorrectiveactionifitfindsthatanyfacilitiesorequipmentontheCableSystemarenotoperatingasexpected,orifitfindsthatfacilitiesandequipmentdonotcomplywiththerequirementsofthisAgreementorApplicableLaw.(G)Grantee’sconstructiondecisionsshallbebasedsolelyuponlegitimateengineeringdecisionsandshallnottakeintoconsiderationtheincomelevelofanyparticularcommunitywithintheAgreementArea.11.2TechnologyAssessment(A)TheCountymaynotifyGranteeonorafterfive(5)yearsaftertheEffectiveDate,thattheCountywillconductatechnologyassessmentofGrantee’sCableSystem.Thetechnologyassessmentmayinclude,butisnotbelimitedto,determiningwhetherGrantee’sCableSystemtechnologyandperformanceareconsistentwithcurrenttechnicalpracticesandrangeandlevelofservicesexistinginthefifteen(15)largestcablesystemsinColoradoownedandoperatedbyGrantee’sParentCorporationand/orAffiliatespursuanttoagreementsorfranchisesthathavebeenrenewedorextendedsincetheEffectiveDate.47
(B)GranteeshallcooperatewiththeCountytoprovidenecessarynon-confidentialandproprietaryinformationupontheCounty’sreasonablerequestaspartofthetechnologyassessment.(C)AtthediscretionoftheCounty,findingsfromthetechnologyassessmentmaybeincludedinanyproceedingcommencedforthepurposeofidentifyingfuturecable-relatedcommunityneedsandinterestsundertakenbytheCountypursuantto47U.S.C.§546.11.3StandbyPowerGrantee’sCableSystemHeadendshallbecapableofprovidingatleasttwelve(12)hoursofemergencyoperation.Inaddition,throughoutthetermofthisAgreement,Granteeshallhaveaplaninplace,alongwithallresourcesnecessaryforimplementingsuchplan,fordealingwithoutagesofmorethanfour(4)hours.ThisoutageplanandevidenceofrequisiteimplementationresourcesshallbepresentedtotheCountynolaterthanthirty(30)daysfollowingreceiptofarequest.11.4EmergencyAlertCapabilityGranteeshallprovideanoperatingEmergencyAlertSystem(“EAS”)throughoutthetermofthisAgreementincompliancewithFCCstandards.GranteeshalltesttheEASasrequiredbytheFCC.Uponrequest,theCountyshallbepermittedtoparticipateinand/orwitnesstheEAStestinguptotwiceayearonascheduleformedinconsultationwithGrantee.IfthetestindicatesthattheEASisnotperformingproperly,GranteeshallmakeanynecessaryadjustmenttotheEAS,andtheEASshallberetested.11.5TechnicalPerformanceThetechnicalperformanceoftheCableSystemshallmeetorexceedallapplicablefederal(including,butnotlimitedto,theFCC),Stateandlocaltechnicalstandards,astheymaybeamendedfromtimetotime,regardlessofthetransmissiontechnologyutilized.TheCountyshallhavethefullauthoritypermittedbyApplicableLawtoenforcecompliancewiththesetechnicalstandards.11.6CableSystemPerformanceTesting(A)Granteeshall,atGrantee’sexpense,performthefollowingtestsonitsCableSystem:(1)AlltestsrequiredbytheFCC;(2)AllothertestsreasonablynecessarytodeterminecompliancewithtechnicalstandardsadoptedbytheFCCatanytimeduringthetermofthisAgreement;and(3)AllothertestsasotherwisespecifiedinthisAgreement.4$
(B)Ataminimum,Grantee’stestsshallinclude:(1)Cumulativeleakageindextestingofanynewconstruction;(2)Semi-annualcomplianceandproofofperformancetestsinconformancewithgenerallyacceptedindustryguidelines;(3)TestsinresponsetoSubscribercomplaints;(4)Periodicmonitoringtests,atintervalsnottoexceedsix(6)months,ofSubscriber(field)testpoints,theHeadend,andtheconditionofstandbypowersupplies;and(5)Cumulativeleakageindextests,atleastannually,designedtoensurethatonehundredpercent(100%)ofGrantee’sCableSystemhasbeengroundorairtestedforsignalleakageinaccordancewithFCCstandards.(C)GranteeshallmaintainwrittenrecordsofallresultsofitsCableSystemtests,performedbyorforGrantee.CopiesofsuchtestresultswillbeprovidedtotheCountyuponreasonablerequest.(D)IftheFCCnolongerrequiresproofofperformancetestsforGrantee’sCableSystemduringthetermofthisAgreement,GranteeagreesthatitshallcontinuetoconductproofofperformancetestsontheCableSysteminaccordancewiththestandardsthatwereinplaceontheEffectiveDate,oranygenerallyapplicablestandardslateradopted,atleastonceayear,andprovidewrittenresultsofsuchteststotheCountyuponrequest.(E)TheFCCsemi-annualtestingisconductedinJanuary/FebruaryandJuly/Augustofeachyear.IftheCountycontactsGranteepriortothenexttestperiod(i.e.,beforeDecember15andJune15respectivelyofeachyear),GranteeshallprovideCountywithnolessthanseven(7)dayspriorwrittennoticeoftheactualdate(s)forFCCcompliancetesting.IfCountynotifiesGranteebytheDecember15thandJune15thdatesthatitwishestohavearepresentativepresentduringthenexttest(s),Granteeshallcooperateinschedulingitstestingsothattherepresentativecanbepresent.Notwithstandingtheabove,alltechnicalperformancetestsmaybewitnessedbyrepresentativesoftheCounty.(F)Granteeshallberequiredtopromptlytakesuchcorrectivemeasuresasarenecessarytocorrectanyperformancedeficienciesfullyandtopreventtheirrecurrenceasfaraspossible.Grantee’sfailuretocorrectdeficienciesidentifiedthroughthistestingprocessshallbeamaterialviolationofthisAgreement.Sitesshallbere-testedfollowingcorrection.11.7AdditionalTestsWherethereexistsotherevidencewhichinthejudgmentoftheCountycastsdoubtuponthereliabilityortechnicalqualityofCableService,theCountyshallhavetherightandauthoritytorequireGranteetotest,analyzeandreportontheperformanceoftheCableSystem.Grantee49
shallfuiiycooperatewiththeCountyinperformingsuchtestingandshallpreparetheresultsandareport,ifrequested,withinthirty(30)daysaftertesting.Suchreportshallincludethefollowinginformation:(A)thenatureofthecomplaintorproblemwhichprecipitatedthespecialtests;(B)theCableSystemcomponenttested;(C)theequipmentusedandproceduresemployedintesting;(D)themethod,ifany,inwhichsuchcomplaintorproblemwasresolved;and(E)anyotherinformationpertinenttosaidtestsandanalysiswhichmayberequired.SECTION12.SERVICEAVAILABILITYANDINTERCONNECTION12.1ServiceAvailability(A)InGeneral.Exceptasotherwiseprovidedherein,GranteeshallprovideCableServicewithinseven(7)daysofarequestbyanyPersonwithintheCounty.ForpurposesofthisSection,arequestshallbedeemedmadeonthedateofsigningaserviceagreement,receiptoffundsbyGrantee,receiptofawrittenrequestbyGranteeorreceiptbyGranteeofaverifiedverbalrequest.Exceptasotherwiseprovidedherein,Granteeshallprovidesuchservice:(1)WithnolineextensionchargeexceptasspecificallyauthorizedelsewhereinthisAgreement;(2)Atanon-discriminatoryinstallationchargeforaStandardInstallation;and(3)Atnon-discriminatorymonthlyratesforResidentialSubscribers.(B)ServicetoMultipleDwellingUnits.ConsistentwiththisSection12.1,theGranteeshalloffertheindividualunitsofaMultipleDwellingUnitallCableServicesofferedtootherDwellingUnitsintheCounty;provided,however,thatanysuchofferingisconditionedupontheGranteehavinglegalaccesstosaidunit.TheCountyacknowledgesthattheGranteecannotcontrolthedisseminationofparticularCableServicesbeyondthepointofdemarcationataMultipleDwellingUnit.(C)CustomerChargesforExtensionsofService.GranteeagreestoextenditsCableSystemtoallpersonslivinginareaswitharesidentialdensityofforty-five(45)residencespermileofCableSystemplant.Iftheresidentialdensityislessthanforty-five(45)residencesper5,280cable-bearingstrandfeetoftrunkordistributioncable,servicemaybemadeavailableonthebasisofacapitalcontributioninaidofconstruction,includingcostofmaterial,laborandeasements.ForthepurposeofdeterminingtheamountofcapitalcontributioninaidofconstructiontobebornebytheGranteeandcustomersintheareainwhichservicemaybeexpanded,theGranteewillcontributeanamountequaltotheconstructionandothercostspermile,multiplied50
byafractionwhosenumeratorequalstheactualnumberofresidencesper5,280cable-bearingstrandfeetofitstrunkordistributioncableandwhosedenominatorequalsforty-five(45).Customerswhorequestservicehereunderwillbeartheremainderoftheconstructionandothercostsonaproratabasis.TheGranteemayrequirethatthepaymentofthecapitalcontributioninaidofconstructionbornebysuchpotentialcustomersbepaidinadvance.SECTION13.AGREEMENTVIOLATIONS13.1ProcedureforRemedyingAgreementViolations(A)IftheCountyreasonablybelievesthatGranteehasfailedtoperformanyobligationunderthisAgreementorhasfailedtoperforminatimelymanner,theCountyshallnotifyGranteeinwriting,statingwithreasonablespecificitythenatureoftheallegeddefault.Granteeshallhavethirty(30)daysfromthereceiptofsuchnoticeto:(1)respondtotheCounty,contestingtheCounty’sassertionthatadefaulthasoccurred,andrequestingameetinginaccordancewithsubsection(B),below;(2)curethedefault;or,(3)notifytheCountythatGranteecannotcurethedefaultwithinthethirty(30)days,becauseofthenatureofthedefault.Intheeventthedefaultcannotbecuredwithinthirty(30)days,GranteeshallpromptlytakeallreasonablestepstocurethedefaultandnotifytheCountyinwritingandindetailastotheexactstepsthatwillbetakenandtheprojectedcompletiondate.Insuchcase,theCountymaysetameetinginaccordancewithsubsection(B)belowtodeterminewhetheradditionaltimebeyondthethirty(30)daysspecifiedaboveisindeedneeded,andwhetherGrantee’sproposedcompletionscheduleandstepsarereasonable.(B)IfGranteedoesnotcuretheallegeddefaultwithinthecureperiodstatedabove,orbytheprojectedcompletiondateundersubsection(A)(3),ordeniesthedefaultandrequestsameetinginaccordancewith(A)(1),ortheCountyordersameetinginaccordancewithsubsection(A)(3),theCountyshallsetameetingtoinvestigatesaidissuesortheexistenceoftheallegeddefault.TheCountyshallnotifyGranteeofthemeetinginwritingandsuchmeetingshalltakeplacenolessthanthirty(30)daysafterGrantee’sreceiptofnoticeofthemeeting.Atthemeeting,Granteeshallbeprovidedanopportunitytobeheardandtopresentevidenceinitsdefense.(C)If,afterthemeeting,theCountydeterminesthatadefaultexists,theCountyshallorderGranteetocorrectorremedythedefaultorbreachwithinfifteen(15)daysorwithinsuchotherreasonabletimeframeastheCountyshalldetermine.IntheeventGranteedoesnotcurewithinsuchtimetotheCounty’sreasonablesatisfaction,theCountymay:(1)Withdrawanamountfromtheletterofcreditasmonetarydamages;(2)RecommendtherevocationofthisAgreementpursuanttotheproceduresinSection13.2;and,51
(3)RecommendanyotherlegalorequitableremedyavailableunderthisAgreementoranyApplicableLaw.(D)ThedeterminationastowhetheraviolationofthisAgreementhasoccurredshallbewithinthediscretionoftheCounty,providedthatanysuchfinaldeterminationmaybesubjecttoappealtoacourtofcompetentjurisdictionunderApplicableLaw.13.2Revocation(A)InadditiontorevocationinaccordancewithotherprovisionsofthisAgreement,theCountymayrevokethisAgreementandrescindallrightsandprivilegesassociatedwiththisAgreementinthefollowingcircumstances,eachofwhichrepresentsamaterialbreachofthisAgreement:(1)IfGranteefailstoperformanymaterialobligationunderthisAgreementorunderanyotheragreement,ordinanceordocumentregardingtheCountyandGrantee;(2)IfGranteewillfullyfailsformorethanforty-eight(4$)hourstoprovidecontinuousanduninterruptedCableService;(3)IfGranteeattemptstoevadeanymaterialprovisionofthisAgreementortopracticeanyfraudordeceitupontheCountyorSubscribers;or(4)IfGranteebecomesinsolvent,orifthereisanassignmentforthebenefitofGrante&screditors;(5)IfGranteemakesamaterialmisrepresentationoffactintheapplicationforornegotiationofthisAgreement.(B)FollowingtheproceduressetforthinSection13.1andpriortoforfeitureorterminationoftheAgreement,theCountyshallgivewrittennoticetotheGranteeofitsintenttorevoketheAgreementandsetadateforarevocationproceeding.Thenoticeshallsetforththeexactnatureofthenoncompliance.(C)AnyproceedingunderthesubsectionaboveshallbeconductedbytheCountyBoardandopentothepublic.Granteeshallbeaffordedatleastforty-five(45)dayspriorwrittennoticeofsuchproceeding.(1)Atsuchproceeding,Granteeshallbeprovidedafairopportunityforfullparticipation,includingtherighttoberepresentedbylegalcounsel,tointroduceevidence,andtoquestionwitnesses.Acompleteverbatimrecordandtranscriptshallbemadeofsuchproceedingandthecostshallbesharedequallybetweentheparties.TheCountyBoardshallhearanyPersonsinterestedintherevocation,andshallallowGrantee,inparticular,anopportunitytostateitspositiononthematter.52
(2)Withinninety(90)daysafterthehearing,theCountyBoardshalldeterminewhethertorevoketheAgreementanddeclarethattheAgreementisrevokedandtheletterofcreditforfeited;orifthebreachatissueiscapableofbeingcuredbyGrantee,directGranteetotakeappropriateremedialactionwithinthetimeandinthemannerandonthetermsandconditionsthattheCountyBoarddeterminesarereasonableunderthecircumstances.IftheCountydeterminesthattheAgreementistoberevoked,theCountyshallsetforththereasonsforsuchadecisionandshalltransmitacopyofthedecisiontotheGrantee.GranteeshallbeboundbytheCounty’sdecisiontorevoketheAgreementunlessitappealsthedecisiontoacourtofcompetentjurisdictionwithinfifteen(15)daysofthedateofthedecision.(3)GranteeshallbeentitledtosuchreliefastheCourtmaydeemappropriate.(4)TheCountyBoardmayatitssolediscretiontakeanylawfulactionwhichitdeemsappropriatetoenforcetheCounty’srightsundertheAgreementinlieuofrevocationoftheAgreement.13.3ProceduresintheEventofTerminationorRevocation(A)IfthisAgreementexpireswithoutrenewalaftercompletionofallprocessesavailableunderthisAgreementandfederallaworisotherwiselawfullyterminatedorrevoked,theCountymay,subjecttoApplicableLaw:(1)AllowGranteetomaintainandoperateitsCableSystemonamonth-to-monthbasisorshort-termextensionofthisAgreementfornotlessthansix(6)months,unlessasaleoftheCableSystemcanbeclosedsoonerorGranteedemonstratestotheCounty’ssatisfactionthatitneedsadditionaltimetocompletethesale;or(2)PurchaseGrantee’sCableSysteminaccordancewiththeproceduressetforthinSection13.4,below.(B)Intheeventthatasalehasnotbeencompletedinaccordancewithsubsections(A)(1)and/or(A)(2)above,theCountymayordertheremovaloftheabove-groundCableSystemfacilitiesandsuchundergroundfacilitiesfromtheCountyatGrantee’ssoleexpensewithinareasonableperiodoftimeasdeterminedbytheCounty.Inremovingitsplant,structuresandequipment,Granteeshallrefill,atitsownexpense,anyexcavationthatismadebyitandshallleaveallRights-of-Way,publicplacesandprivatepropertyinasgoodconditionasthatprevailingpriortoGrantee’sremovalofitsequipmentwithoutaffectingtheelectricalortelephonecablewiresorattachments.Theindemnificationandinsuranceprovisionsandtheletterofcreditshallremaininfullforceandeffectduringtheperiodofremoval,andGranteeshallnotbeentitledto,andagreesnottorequest,compensationofanysorttherefore.(C)IfGranteefailstocompleteanyremovalrequiredbySection13.3(B)totheCounty’ssatisfaction,afterwrittennoticetoGrantee,theCountymaycausetheworktobedoneandGranteeshallreimbursetheCountyforthecostsincurredwithinthirty(30)daysafterreceipt53
ofanitemizedlistofthecosts,ortheCountymayrecoverthecoststhroughtheletterofcreditprovidedbyGrantee.(D)TheCountymayseeklegalandequitablerelieftoenforcetheprovisionsofthisAgreement.13.4PurchaseofCableSystem(A)IfatanytimethisAgreementisrevoked,terminated,ornotreneweduponexpirationinaccordancewiththeprovisionsoffederallaw,theCountyshallhavetheoptiontopurchasetheCableSystem.(B)TheCountymay,atanytimethereafter,offerinwritingtopurchaseGrantee’sCableSystem.Granteeshallhavethirty(30)daysfromreceiptofawrittenofferfromtheCountywithinwhichtoacceptorrejecttheoffer.(C)InanycasewheretheCountyelectstopurchasetheCableSystem,thepurchaseshallbeclosedwithinonehundredtwenty(120)daysofthedateoftheCounty’sauditofacurrentprofitandlossstatementofGrantee.TheCountyshallpayfortheCableSystemincashorcertifiedfunds,andGranteeshalldeliverappropriatebillsofsaleandotherinstrumentsofconveyance.(D)Forthepurposesofthissubsection,thepricefortheCableSystemshallbedeterminedasfollows:(1)InthecaseoftheexpirationoftheAgreementwithoutrenewal,atfairmarketvaluedeterminedonthebasisofGrantee’sCableSystemvaluedasagoingconcern,butwithnovalueallocatedtotheAgreementitself.Inordertoobtainthefairmarketvalue,thisvaluationshallbereducedbytheamountofanylien,encumbrance,orotherobligationofGranteewhichtheCountywouldassume.(2)Inthecaseofrevocationforcause,theequitablepriceofGrantee’sCableSystem.13.5Bankruptcy,ReceivershipandForeclosure(A)AttheoptionoftheCounty,subjecttoApplicableLaw,thisAgreementmayberevokedonehundredtwenty(120)daysaftertheappointmentofareceiverortrusteetotakeoverandconductthebusinessofGranteewhetherinareceivership,reorganization,bankruptcyorotheractionorproceeding,unless:(1)Thereceivershiportrusteeshipisvacatedwithinonehundredtwenty(120)daysofappointment;or(2)Thereceiversortrusteeshave,withinonehundredtwenty(120)daysaftertheirelectionorappointment,fullycompliedwithallthetermsandprovisionsofthisAgreementandhaveremediedalldefaultsundertheAgreement.Additionally,the54
receiversortrusteesshallhaveexecutedanagreementdulyapprovedbythecourthavingjurisdiction,bywhichthereceiversortrusteesassumeandagreetobeboundbyeachandeveryterm,provisionandlimitationofthisAgreement.(B)Ifthereisaforeclosureorotherinvoluntarysaleofthewholeoranypartoftheplant,propertyandequipmentofGrantee,theCountymayservenoticeofrevocationonGranteeandtothepurchaseratthesale,andtherightsandprivilegesofGranteeunderthisAgreementshallberevokedthirty(30)daysafterserviceofsuchnotice,unless:(1)TheCountyhasapprovedthetransferoftheAgreement,inaccordancewiththeproceduressetforthinthisAgreementandasprovidedbylaw;and(2)ThepurchaserhascovenantedandagreedwiththeCountytoassumeandbeboundbyallofthetermsandconditionsofthisAgreement.13.6NoMonetaryRecourseAgainsttheCountyGranteeshallnothaveanymonetaryrecourseagainsttheCountyoritsofficers,officials,boards,commissions,agentsoremployeesforanyloss,costs,expensesordamagesarisingoutofanyprovisionorrequirementofthisAgreementortheenforcementthereof,inaccordancewiththeprovisionsofapplicablefederal,Stateandlocallaw.TherightsoftheCountyunderthisAgreementareinadditionto,andshallnotbereadtolimit,anyimmunitiestheCountymayenjoyunderfederal,Stateorlocallaw.13.7AlternativeRemediesNoprovisionofthisAgreementshallbedeemedtobartherightoftheCountytoseekorobtainjudicialrelieffromaviolationofanyprovisionoftheAgreementoranyrule,regulation,requirementordirectivepromulgatedthereunder.NeithertheexistenceofotherremediesidentifiedinthisAgreementnortheexercisethereofshallbedeemedtobarorotherwiselimittherightoftheCountytorecovermonetarydamagesforsuchviolationsbyGrantee,ortoseekandobtainjudicialenforcementofGrante&sobligationsbymeansofspecificperformance,injunctiverelieformandate,oranyotherremedyatlaworinequity.13.8AssessmentofMonetaryDamages(A)TheCountymayassessagainstGranteemonetarydamages(i)uptofivehundreddollars($500.00)perdayforgeneralconstructiondelays,violationsofPEGobligationsorpaymentobligations,(ii)uptotwohundredfiftydollars($250.00)perdayforanyothermaterialbreaches,or(iii)uptoonehundreddollars($100.00)perdayfordefaults,andwithdrawtheassessmentfromtheletterofcreditorcollecttheassessmentasspecifiedinthisAgreement.DamagespursuanttothisSectionshallaccrueforaperiodnottoexceedonehundredtwenty(120)daysperviolationproceeding.Toassessanyamountfromtheletterofcredit,Countyshallfollowtheproceduresforwithdrawalsfromtheletterofcreditsetforthintheletterofcreditand-inthisAgreement.Suchdamagesshallaccruebeginningthirty(30)daysfollowingGrantee’sreceiptof55
thenoticerequiredbySection13.1(A),orsuchlaterdateifapprovedbytheCountyinitssolediscretion,butmaynotbeassesseduntilaftertheproceduresinSection13.1havebeencompleted.(B)TheletterofcreditreferredtoinSection5.4maybedrawnuponbytheCountyforbreachofamaterialprovisionafternoticeandopportunitytocure.TheassessmentdoesnotconstituteawaiverbytheCountyofanyotherrightorremedyitmayhaveundertheAgreementorapplicablelaw,includingitsrighttorecoverfromGranteeanyadditionaldamages,losses,costsandexpensesthatareincurredbyCountybyreasonofthebreachofthisAgreement.13.9EffectofAbandonmentIftheGranteeabandonsitsCableSystemduringtheAgreementterm,orfailstooperateitsCableSysteminaccordancewithitsdutytoprovidecontinuousservice,theCounty,atitsoption,mayoperatetheCableSystem;designateanotherentitytooperatetheCableSystemtemporarilyuntiltheGranteerestoresserviceunderconditionsacceptabletotheCounty,oruntiltheAgreementisrevokedandanewwirelineCableServiceproviderisselectedbytheCounty;orobtainaninjunctionrequiringtheGranteetocontinueoperations.IftheCountyisrequiredtooperateordesignateanotherentitytooperatetheCableSystem,theGranteeshallreimbursetheCountyoritsdesigneeforallreasonablecosts,expensesanddamagesincurred.13.10WhatConstitutesAbandonmentTheCountyshallbeentitledtoexerciseitsoptionsinSection13.9if:(A)TheGranteefailstoprovideCableServiceinaccordancewiththisAgreementoverasubstantialportionoftheAgreementAreaforfour(4)consecutivedays,unlesstheCountyauthorizesalongerinterruptionofservice;or(B)TheGrantee,foranyperiod,willfullyandwithoutcauserefusestoprovideCableServiceinaccordancewiththisAgreement.SECTION14.AGREEMENTRENEWALANDTRANSFER14.1Renewal(A)TheCountyandGranteeagreethatanyproceedingsundertakenbytheCountythatrelatetotherenewaloftheAgreementshallbegovernedbyandcomplywiththeprovisionsofSection626oftheCableAct,unlesstheproceduresandsubstantiveprotectionssetforththereinshallbedeemedtobepreemptedandsupersededbytheprovisionsofanysubsequentprovisionoffederalorStatelaw.(B)InadditiontotheproceduressetforthinsaidSection626(a),theCountyagreestonotifyGranteeofthecompletionofitsassessmentsregardingtheidentificationoffuturecablerelatedcommunityneedsandinterests,aswellasthepastperformanceofGranteeunderthethencurrentAgreementterm.Notwithstandinganythingtothecontrarysetforthherein,GranteeandCountyagreethatatanytimeduringthetermofthethencurrentAgreement,whileaffordingthe56
publicadequatenoticeandopportunityforcomment,theCountyandGranteemayagreetoundertakeandfinalizenegotiationsregardingrenewalofthethencurrentAgreementandtheCountymaygrantarenewalthereof.GranteeandCountyconsiderthetermssetforthinthissubsectiontobeconsistentwiththeexpressprovisionsofSection626oftheCableAct.(C)ShouldtheAgreementexpirewithoutamutuallyagreeduponrenewedAgreementandGranteeandCountyareengagedinaninformalorformalrenewalprocess,theAgreementshallcontinueonamonth-to-monthbasis,withthesametermsandconditionsasprovidedintheAgreement,andtheGranteeandCountyshallcontinuetocomplywithallobligationsanddutiesundertheAgreement.14.2TransferofOwnershiporControl(A)TheCableSystemandthisAgreementshallnotbesold,assigned,transferred,leasedordisposedof,eitherinwholeorinpart,eitherbyinvoluntarysaleorbyvoluntarysale,mergerorconsolidation;norshalltitlethereto,eitherlegalorequitable,oranyright,interestorpropertythereinpasstoorvestinanyPersonorentitywithoutthepriorwrittenconsentoftheCounty,whichconsentshallbebytheCountyBoard,actingbyordinance/resolution.(B)TheGranteeshallpromptlynotifytheCountyofanyactualorproposedchangein,ortransferof,oracquisitionbyanyotherpartyofcontroloftheGrantee.Theword“control”asusedhereinisnotlimitedtomajoritystockholdersbutincludesactualworkingcontrolinwhatevermannerexercised.Everychange,transferoracquisitionofcontroloftheGranteeshallmakethisAgreementsubjecttocancellationunlessanduntiltheCountyshallhaveconsentedinwritingthereto.(C)ThepartiestothesaleortransferorchangeincontrolshallmakeawrittenrequesttotheCountyforitsapprovalofasaleortransferorchangeincontrolshallfurnishallinformationrequiredbylawandtheCounty.(D)InseekingtheCounty’sconsenttoanychangeinownershiporcontrol,theproposedtransfereeorcontrollingentityshallindicatewhetherit:(1)Haseverbeenconvictedorheldliableforactsinvolvingdeceitincludinganyviolationoffederal,Stateorlocallaworregulations,oriscurrentlyunderanindictment,investigationorcomplaintchargingsuchacts;(2)Haseverhadajudgmentinanactionforfraud,deceit,ormisrepresentationenteredagainsttheproposedtransfereebyanycourtofcompetentjurisdiction;(3)Haspendinganymateriallegalclaim,lawsuit,oradministrativeproceedingarisingoutoforinvolvingacablesystemorabroadbandsystem;(4)Isfinanciallysolvent,bysubmittingfinancialdataincludingfinancialstatementsthatareauditedbyacertifiedpublicaccountantwhomayalsobeanofficerof57
thetransfereeorcontrollingentity,alongwithanyotherdatathattheCountymayreasonablyrequire;and(5)Hasthefinancial,legalandtechnicalcapabilitytoenableittomaintainandoperatetheCableSystemfortheremainingtermoftheAgreement.(E)TheCountyshallactbyordinanceontherequestwithinonehundredtwenty(120)daysoftherequest,providedithasreceivedallinformationrequiredbythisAgreementand/orbyApplicableLaw.TheCountyandtheGranteemaybymutualagreement,atanytime,extendthe120dayperiod.Subjecttotheforegoing,iftheCountyfailstorenderafinaldecisionontherequestwithinsuchonehundredtwenty(120)days,suchrequestshallbedeemedgrantedunlesstherequestingpartyandtheCountyagreetoanextensionoftime.(F)Withinthirty(30)daysofanytransferorsale,ifapprovedordeemedgrantedbytheCounty,GranteeshallfilewiththeCountyacopyofthedeed,agreement,leaseorotherwritteninstrumentevidencingtheclosingofsuchsaleortransferofownershiporcontrol,certifiedandsworntoascorrectbyGranteeandthetransfereeorcontrollingentity,andthetransfereeorcontrollingentityshallfileitswrittenacceptanceagreeingtobeboundbyalloftheprovisionsofthisAgreement,subjecttoApplicableLaw.Intheeventofachangeincontrol,inwhichtheGranteeisnotreplacedbyanotherentity,theGranteewillcontinuetobeboundbyalloftheprovisionsoftheAgreement,subjecttoApplicableLaw,andwillnotberequiredtofileanadditionalwrittenacceptance.(G)Inreviewingarequestforsaleortransfer,theCountymayinquireintothelegal,technicalandfinancialqualificationsoftheprospectivecontrollingpartyortransferee,andGranteeshallassisttheCountyinsoinquiring.TheCountymayconditionsaidsaleortransferuponsuchtermsandconditionsasitdeemsreasonablyappropriate,inaccordancewithApplicableLaw.(H)Notwithstandinganythingtothecontraryinthissubsection,thepriorapprovaloftheCountyshallnotberequiredforanychangeofcontrol,sale,assignmentortransferoftheAgreementorCableSystemtoanentitycontrolling,controlledbyorunderthesamecommoncontrolasGrantee,providedthattheproposedassigneeortransfereemustshowfinancialresponsibilityasmaybedeterminednecessarybytheCountyandmustagreeinwritingtocomplywithalloftheprovisionsoftheAgreement.Further,GranteemaypledgetheassetsoftheCableSystemforthepurposeoffinancingwithouttheconsentoftheCounty;providedthatsuchpledgeofassetsshallnotimpairormitigateGrantee’sresponsibilitiesandcapabilitiestomeetallofitsobligationsundertheprovisionsofthisAgreement.SECTION15.SEVERABILITYIfanySection,subsection,paragraph,termorprovisionofthisAgreementisdeterminedtobeillegal,invalidorunconstitutionalbyanycourtoragencyofcompetentjurisdiction,suchdeterminationshallhavenoeffectonthevalidityofanyotherSection,subsection,paragraph,termorprovisionofthisAgreement,allofwhichwillremaininfullforceandeffectforthetermoftheAgreement.5$
SECTION16.MISCELLANEOUSPROVISIONS16.1PreferentialorDiscriminatoryPracticesProhibitedNODISCRIMINATIONINEMPLOYMENT.InconnectionwiththeperformanceofworkunderthisAgreement,theGranteeagreesnottorefusetohire,discharge,promoteordemote,ordiscriminateinmattersofcompensationagainstanyPersonotherwisequalified,solelybecauseofrace,color,religion,nationalorigin,gender,age,militarystatus,sexualorientation,maritalstatus,orphysicalormentaldisability;andtheGranteefurtheragreestoinserttheforegoingprovisioninallsubcontractshereunder.ThroughoutthetermofthisAgreement,Granteeshallfuilycomplywithallequalemploymentornon-discriminationprovisionsandrequirementsoffederal,Stateandlocallaws,andinparticular,FCCrulesandregulationsrelatingthereto.16.2NoticesThroughoutthetermoftheAgreement,eachpartyshallmaintainandfilewiththeotheralocaladdressfortheserviceofnoticesbymail.Allnoticesshallbesentovernightdeliverypostageprepaidtosuchrespectiveaddressandsuchnoticesshallbeeffectiveuponthedateofmailing.TheseaddressesmaybechangedbytheCountyortheGranteebywrittennoticeatanytime.AttheEffectiveDateofthisAgreement:Grantee’saddressshallbe:ComcastofColoradoIX,LLC8000E.IliffAve.Denver,CO80231Attn:GovernmentAffairsTheCounty’saddressshallbe:EagleCounty500BroadwayP.0.Box$50Eagle,CO81631Attn:CountyManager16.3DescriptiveHeadingsTheheadingsandtitlesoftheSectionsandsubsectionsofthisAgreementareforreferencepurposesonlyandshallnotaffectthemeaningorinterpretationofthetextherein.16.4PublicationCoststobeBornebyGranteeGranteeshallreimbursetheCountyforallcostsincurredinpublishingthisAgreement,ifsuchpublicationisrequired.59
16.5BindingEffectThisAgreementshallbebindinguponthepartieshereto,theirpermittedsuccessorsandassigns.16.6NoJointVentureNothinghereinshallbedeemedtocreateajointventureorprincipal-agentrelationshipbetweentheparties,andneitherpartyisauthorizedto,norshalleitherpartyacttowardthirdPersonsorthepublicinanymannerwhichwouldindicateanysuchrelationshipwiththeother.16.7WaiverThefailureoftheCountyatanytimetorequireperformancebytheGranteeofanyprovisionhereofshallinnowayaffecttherightoftheCountyhereaftertoenforcethesame.NorshallthewaiverbytheCountyofanybreachofanyprovisionhereofbetakenorheldtobeawaiverofanysucceedingbreachofsuchprovision,orasawaiveroftheprovisionitselforanyotherprovision.16.8ReasonablenessofConsentorApprovalWheneverunderthisAgreement“reasonableness”isthestandardforthegrantingordenialoftheconsentorapprovalofeitherpartyhereto,suchpartyshallbeentitledtoconsiderpublicandgovernmentalpolicy,aswellasbusinessandeconomicconsiderations.16.9EntireAgreementThisAgreementandallExhibitsrepresenttheentireunderstandingandagreementbetweenthepartiesheretowithrespecttothesubjectmatterhereofandsupersedeallpriororalnegotiationsbetweentheparties.16.10GoverningLawThisAgreementshallbegoverned,construedandenforcedinaccordancewiththelawsoftheStateofColorado(asamended),theCableActasamended,anyapplicablerules,regulations,technicalstandardsandordersoftheFCC,andanyotherapplicablelocal,stateandfederallaws,rules,regulations,legislationororders(assuchnowexist,arelateramendedorsubsequentlyadopted).NothingcontainedhereinshallbedeemedawaiverofanyrightsorprotectionsofGrantororGranteeexistingundersuchlawsorregulations.16.11CumulativeRightsSubjecttoapplicablelaw,allrightsandremediesgiventotheCountybythisAgreementorretainedbytheCountyhereinorgiventotheGranteebythisAgreementorretainedbythe60
Granteeshallbeinadditiontoandcumulativewithanyandallotherrightsandremedies,existingorimplied,noworhereafteravailabletotheCountyorGrantee,atlaworinequity,andsuchrightsandremediesshallnotbeexclusive,buteachandeveryrightandremedyspecificallygivenbythisAgreementorotherwiseexistingorgivenmaybeexercisedfromtimetotimeandasoftenandinsuchorderasmaybedeemedexpedientbytheCountyorGranteeandtheexerciseofoneormorerightsorremediesshallnotbedeemedawaiveroftherighttoexerciseatthesametimeorthereafteranyotherrightorremedy.16.12JurisdictionVenueforanyjudicialdisputebetweentheCountyandGranteearisingunderoroutofthisAgreementshallbeinEagleCountyDistrictCourt,Colorado,orintheUnitedStatesDistrictCourtinDenver.(Therestofthispageisleftintentionallyblank)61
