AMENDEDANDRESTATEDLEASEAGREEMENTBETWEENTHECOUNTYOFEAGLE,STATEOFCOLORADOANDCROWNMOUNTAINPARKANDRECREATIONDISTRICT/)êt/tltP?t&ThisAmendedandRestatedLseAgreemnt(hereinafterreferredtoasthe“Agreement”or“Lease”)ismadeandenteredintothisday2014,betweenEagleCounty,byandthroughitsBoardofCountyCommissioners(hereinafterreferredtoasthe“County”),andtheCrownMountainParkandRecreationDistrict,aquasi-municipalcorporationandapoliticalsubdivisionoftheStateofColoradoactingbyandthroughitsBoardofDirectors(hereinafterreferredtoasthe“District”).RECITALS:WHEREAS,theCountyownsthepropertypreviouslyandcommonlyknownastheMt.SoprisTreefarminunincorporatedEagleCounty,Coloradoconsistingofapproximately132acresattheintersectionofElJebelRoad,ValleyRoadandSoprisVillageDriveintheunincorporatedElJebetneighborhood(hereinafterreferredtoasthe“TreeFarmProperty”);andWHEREAS,theDistrictleasesapproximately80.7acresoftheTreeFarmProperty(whichtogetherwiththe Sheddescribedbelowconstitutesthe“CrownMountainPark”)fromtheCountypursuanttoaLeaseAgreementexecutedonMarch10,2005(the“Lease”)andsubsequentlyamendedonSeptember10,2005(the“firstAmendmenttoLease”),onAugust13,200$(the“SecondAmendmenttoLease”),andonMarch23,2010(the“ThirdAmendmenttoLease”);andWHEREAS,byseparateleaseagreementdatedMay4,2010,theDistrictleasesfromtheCountyastorageshedlocatedontheTreefarmProperty(the“Shed”)tobeusedforstoringvehicles,equipmentandtoolsandforuseasastaffoffice(the“ShedLease”);andWHEREAS,theCountyadoptedPlannedUnitDevelopmentzoningfortheLeasedPropertybyResolutions2001-047,asamendedbyResolution2005-021(collectivelyreferredtohereinasthe“2001PUD”);WHEREAS,in2012,EagleCountyadoptedResolutionsNos.2012-067and2012-068approvingaPlannedUnitDevelopment(PUD)SecondAmendmenttitled“TheCrownMountainParkPlannedUnitDevelopment”(the“PUDSecondAmendment”)anda1041LandUseApplication,respectively,whichincludesaplanfor futureuses anddevelopmentofCrownMountainPark;andWHEREAS,theDistrictdesirestocontinuetoleasethe80.7acres(lesstheroundaboutattheentranceofCrownMountainPark);theShed,togetherwithapproximatelytwenty(20)feetoneachofthethreesidesoftheShed;andapproximatelytwo(2)acresinthelocationofthefutureicerinkapprovedaspartofthePUDSecondAmendment,whichpropertyislegallydescribedonExhibitA,attachedheretoandincorporatedhereinanddepictedonthesiteplanattachedheretoasExhibitBandincorporatedherein(collectively hereinafterreferredtoasthe“LeasedProperty”).C14-487 TheLeasedPropertyconsistsofapproximately81.2931acres.ThesiteplanattachedheretoasExhibitBidentifiestheboundaryoftheLeasedPremisesandshowsthoseportionsoftheTreeFarmPropertyretainedbytheUnitedStatesForestService(the“USFSParcel”)andlandownedbyEagleCountywhicharenotincludedintheLeasedPremises;andWHEREAS,theDistrictandtheCountydesiretoconsolidatetheLeaseandallamendmentstheretoandtheShedLease,andtoensurethatallactivities,includingbutnotlimitedtofacilities’construction,repairandmaintenancethatarecontemplatedbythePUDSecondAmendmentarespecificallyauthorizedtooccurwithintheLeasedPremises,andthereforeagreethatthisAgreementshallsupersede,replaceandconsolidateinallrespectstheLeasebetweentheparties,thefirst,SecondandThirdAmendmentstotheLeaseandtheShedLease;andWHEREAS,subjecttothetermsandconditionsofSection11,below,theDistrictiswillingandabletopaythecostsrequiredfordevelopmentandconstructionofimprovementstotheLeasedPremisesandthecostassociatedwiththemanagementandmaintenanceoftheLeasedPremises;andWHEREAS,theCountyandtheDistrictdesiretocooperatewithoneanotherintheongoingdevelopmentofCrownMountainParkasarecreationalamenity;andNOW,THEREFORE,inrecognitionoftheforegoingrecitalswhichareincorporatedhereinbyreference,togetherwiththerentaltobepaidhereunder,whichthepartiesacknowledgeandagreeconstitutefullandfairconsideration,thesufficiencyofwhichisherebyacknowledged,theCountyandtheDistrictagreeasfollows:SECTIONONELeasedPremises1.1TheCountyherebyleasestotheDistrict,andtheDistrictherebyleasesfromCounty,theLeasedPremisesdescribedonExhibitA.TheUSFSParcelandthebuildingknownasthe“pumphouse,”whicharedepictedonExhibitB,areexpresslyexcludedfromthisAgreementandarenotleasedtotheDistrict.1.2TheuseoftheLeasedPremisesshallbeconsistentwiththeDistrict’srepresentationsandplanscontainedinthePUDSecondAmendment,includingthoseusesapprovedbythe2001PUD.SECTIONTWOTerm2.1ThetermofthisAgreementisfortwenty-five(25)years,whichtermshallcommenceonthedateofmjj1ualexecutiynofthisAgrment,andunlessearlierterminatedasspecifiedherein,shallendonNIO\JfA/12P,4/1),2039. 2.2Notwithstandinganythingtothecontraryherein,intheeventthatanyfunding,includingbutnotlimitedtogeneralobligationbonds,forpresentorfutureDistrictimprovementsont1ieLeasedPremises,.çquiresthisAgreementtohaveatermextendingbeyondi\1O\114LP4/1i52039,theCounty,uponreasonablenotice,shallmeetwiththeDistricttodiscussanextensionoftheterm.TheCountyisnotobligatedtoextendthetermofthisAgreement;however,approvalofsuchrequestforextensionshallnotbeunreasonablywithheld.“Reasonableness”shallincludeconsiderationoftherecommendationsandrequirementsoftheDistrict’sunderwritersandtheCounty’sandDistrict’srespectivebondcounsel.2.3TerminationofLease.A.IfattheconclusionofthetermofthisAgreementasidentifiedinparagraph2.1hereof,theCountydoesnotelecttoextendthetermofthisAgreementpursuanttoparagraph2.2,thensubjecttoSection11below,theCountyagreesthatitshallpurchasefromtheDistrictallfixturesandimprovementsconstructedontheLeasedPremisesbytheDistrict.Thepurchasepriceshallbedeterminedbyanappraisalperformedbyalicensedappraisermutuallyacceptabletothepartiesoratapricemutuallyagreedtobytheparties.B.Notwithstandingtheforegoing,ifDistrictisindefaultunderthetermsofthisAgreementorterminationofthisAgreementispendingpursuanttoSection12hereof,thentheCountyshallhavenoobligationtopurchaseDistrictfixturesandimprovementsconstructedontheLeasedPremises.Inaddition,intheeventthepartiesagreetoextendthetermofthisAgreementbeyondthetwenty-five(25)yeartermidentifiedinparagraph2.1hereof,thentheCountyshallnotbeobligatedtopurchaseDistrictimprovementsandfixtures.C.ThepartiesagreethatthisSection2.3shallnotapplytoanyimprovementsmadebyCountyorfixturesinstalledorpaidforbyCounty.D.TitletoallimprovementsandfixturesshallvestinCountyupontheexpirationorearlierterminationofthisAgreement.2.4ThepartiesheretoacknowledgethattheDistrictreceivedagrantfromtheGreaterOutdoorsColorado(“GOCO”)relatingtoimprovementstotheLeasedPremises,andthatasaconditionofsuchgrant,GOCOrequiredthatitreceivenoticeofnon-renewalofthisAgreementinaccordancewithitsterms.CountyandDistrictagreethatintheeventCountyeitherterminatesthisAgreementpursuanttoSection12hereofordeclinestoagreetoextendthetermofthisj AgreementpursuanttoSection2.2hereof,Districtwillnotit’GOCOinwritingoftheterminationofthisAgreement.SECTIONTHREERent3.1TheDistrictagreestopayCountyafixedamountofOneDollar($1.00)peryearforthetermofthisAgreement.Byexecutingbelow,Countyacknowledgesreceiptofthisrentalsum,paidinfullinadvance,togetherwiththeDistrict’sobligationsherein,thesufficiencyofwhichisherebyacknowledgedassufficientconsiderationfortheinitialtwenty-five(25)yearterm.SECTIONFOURUseofandMaintenanceoftheLeasedPremises4.1TheDistrictmayconstructontheLeasedPremisesatitssolecostandexpenseallimprovementsitmaydeemnecessaryandappropriatefortheimplementationofitsServicePlan,andinaccordancewiththePUDSecondAmendment,andasmaybeamendedinthefuture,includingwithoutlimitation,playingfields,buildingsand/orotherrecreationfacilities,landscaping,andancillaryandsupportfacilitieswhichmaybeneeded,subjecttothetermsofthisAgreement.TheDistrictacknowledgesthatitmayberequiredtoobtainabuildingpermitfromtheCountypriortocommencinganyconstructionwithintheLeasedPremises,andanyotherpermitsorapprovalsfromtheappropriategovernmentalauthorityandthatitmustcomplywithconditionsandrestrictionsifrequiredbythePUDSecondAmendment.TheDistrictfurtheracknowledgesthatitwillberequiredtosubmitbuildingplansfordesignreviewfortheusescontemplatedandapprovedbythePUDSecondAmendment.TheDistrictacknowledgesthatitshallberesponsibleforanyandallcostsassociatedwithanychangesoradditionalamendmentstothePUD.4.2AllworkperformedontheLeasedPremisesshallconformtoallapplicablestatutes,ordinances,buildingcodesandapplicableregulationsandshallmeetorexceedEagleCountydesignstandards.TheDistrictshallnotalter,removeordemolishanyimprovementontheLeasedPremiseswithoutthepriorwrittenconsentoftheCounty,whichconsentshallnotbeunreasonablywithheld.Notwithstandingtheforegoing,theDistrictisnotrequiredtoobtainthepriorconsentoftheCountyforthemaintenanceandrepairofimprovementsontheLeasedPremises.4.3TheDistrictshallconstructatitssolecostandexpensefacilitiesandimprovementsontheLeasedPremiseswhichareconsistentwithdesign,materialsandlandscapingspecificationsapprovedbyEagleCountyandconsistentwiththelandscapingplansubmittedfortheconstructionofarecreationcenterpursuanttothePUDSecondAmendment.4.4PriortoanyconstructionassociatedwiththeusescontemplatedbythePUDSecondAmendment,oranyadditionalamendmentstothePUD,otherthanoverlotgradingandassociateddrainageimprovements,theDistrictshallprovidecompleteengineeringand4 constructiondrawingsandotherengineeringdetailwhicharesatisfactorytotheCountyEngineer.Theconstructionplansforanyimprovements,whichhavenotbeenpreviouslyapprovedbytheCountyEngineershallbesubjecttoreviewandapprovalbytheCountyEngineerpriortoissuanceofabuildingpermitorgradingplanforthoseimprovements.4.5AlightingplanshallbesubmittedtoEagleCountyaspartofthedesignreviewaccordingtothevariousPUDapprovalsbytheCounty.4.6AllsignsassociatedwithentrypointsandindividualbuildingidentificationshallbeconsistentwithEagleCountyLandUseRegulations.4.7Approvalsrequiredbyparagraphs4.4-4.6hereinshallbeissuedbyCountystaffunlessCountystaffbelievesthattheBoardofCountyCommissionersmustconsiderthematter.IftheDistrictdisagreeswithadecisionoftheCountytherein,itmayappealsuchdecisioninaccordancewiththeEagleCountyLandUseCode.4.8TheLeasedPremisesshallbeavailableforusebythegeneralpublic,includingallorganizedleaguesandteams,subjectonlytotheDistrict’srules,regulationsandfeestructuresasmaybeadoptedbytheDistrictgoverningtheuseoftheLeasedPremises.Therulesandregulations,andanyamendmentsthereto,shallbeapprovedbytheCountypriortoadoption;suchapprovalshallnotbeunreasonablywithheld.AllprogramfeesanduserfeesassociatedwithuseoftheLeasedPremisesduringthetermofthisAgreementshallaccruetotheDistricttopayfortheconstruction,operationandmaintenanceandrepairoftheLeasedPremises.4.9Allcostsassociatedwiththeoperation,maintenance,andrepairoftheLeasedPremises,including,butnotlimitedto,paymentofallutilitiesandongoingexpenses,maintenanceofthelandscapeareasconnectedwiththeLeasedPremises,maintenanceandrepairofthesurfaceoftheportionofthedrivewaylocatedwithintheboundaryoftheLeasedPremises,andtheoperation,maintenance,repairandreplacementofallplayingfields,buildingsand/orotherrecreationfacilities,andancillaryandsupportfacilitieswithintheLeasedPremises,shallbebornebytheDistrictsubjecttotheprovisionsofSection11,below.TheDistrictshallkeeptheLeasedPremisesandallequipment,facilitiesandfixturesthereincontainedingoodorder,andinaclean,sanitary,safeandaestheticatlypleasingcondition,permittingnowasteorinjury/damagestotheLeasedPremises.4.10AnypersonsemployedorindependentcontractorsengagedbytheDistrict,oranyoftheDistrict’svolunteersparticipatingintheoperationandmanagementoftheLeasedPremises,includingtheoperationoftherecreationprogramsontheLeasedPremises,shallbedeeniedtobetheemployees,independentcontractorsorvolunteersoftheDistrictandshallnotbeconsideredtheemployees,independentcontractorsorvolunteersoftheCountyforanypurpose.5 4.11TheDistrictmayinstitutereasonablefeesfortheuseoftheLeasedPremises,includingdifferentialratesforin-Districtandout-of-Districtusers.Countysponsoredevents,however,shallnotbesubjecttoanyfeesforuseoftheLeasedPremises.AllprogramfeesanduserfeesassociatedwithuseoftheLeasedPremisesduringthetermofthisAgreementshallaccruetotheDistricttopayfortheconstruction,operationandmaintenanceoftheLeasedPremises.4.12TheDistrictshallnotcauseanyliensorencumbrancestoattachtotheLeasedPremisesandanysuchlienorattachmentshallbedischargedpromptly;providedhowevertheissuancebytheDistrictofpresentandfuturegeneralobligationbondsshallnotbedeemedalienorencumbranceontheLeasedPremises.SECTIONFIVEWater5.1ThepartiesrecognizethatthefollowingdocumentsaffectwaterorestablishedcontractualobligationsrelatingtowaterservicetotheTreeFarmPropertyandtheLeasedPremises:PublicLaw103-255datedMay19,1994;MidValleyMetropolitanDistrictEagleCountyTreefarmPre-inclusionAgreementdatedMay1,2000;MemorandumofUnderstandingbetweenUSDAForestService,WhiteRiverNationalForestSoprisRangerDistrictandEagleCounty,Colorado;MidValleyMetropolitanDistrictEagleCountyMt.SoprisTreefarmPUDPhaseILineExtensionAgreement;andtheEasementandWellLocationAgreementwiththeMidValleyMetropolitanDistrictdatedMarch23,2010.5.2TheCountyacknowledgesthattheDistricthasadjudicatedachangeofundergroundwaterrights,additionalconditionalandabsoluteundergroundwaterrights,andawaterstorageright,togetherwithaplanforaugmentationinCaseNo.O5CW161(WaterDivision5),whichwaterrightsshallbedeemedappurtenanttotheLeasedPremises.5.3PursuanttotheDistrict’sPUDSecondAmendmentsubmittals,theDistrictisirrigatingupto45acresoftheLeasedPremises.TheDistrictintheCaseNo,05CW161identifiedupto64.8acresforirrigation.Thepartiesagreethatthechangefrom45acresto64.8acresofirrigatedacreagerepresentsaneffortbythepartiestoallowforadditionalirrigationontheTreeFarmProperty,southofthecurrentLeasedPremises.Further,thepartiesagreethatanyreferenceintheWaterAdjudicationtothefullacreageoftheTreefarmPropertyandadditionalirrigatedacreagedoesnotentitletheDistricttoleasethatadditionalland.5.4SubjecttotermsandconditionsofagreementsreferencedinSection5.1andwellpermitsandtheCounty’sundividedinterestinwaterrightsandtheaugmentationplaninCaseNo.O5CW161,theCountyshallmakeitsexistingwells,withtheexceptionofwellnumber2whichisherebyexpresslyomittedfromthetermsoftheAgreement,availabletotheDistrictatnoadditionalcostfortheDistrict’suseinprovidingirrigationwaterandwaterforanaesthetic6 pondasdescribedinCaseNo.05CW161fortheDistrict’sneedsontheLeasedPremises.ThewatershallbeavailableforirrigationoftheLeasedPremisesbytheDistrictonlytotheextentthattheCountyorDistricthaswaterlegallyandphysicallyavailablefromthewells.TheDistrict’suseofthewellsshallatalltimesbesubordinateandsubjecttotheCounty’sneedsanditscontractualandlegalobligationsreferencedinsubsection5.1above.TheCountymakesnorepresentationregardingthelegalandphysicalreliabilityofthewellsandthewateravailablefromthewellsfortheDistrict’sintendedpurposes.TheDistrictshallberesponsibleforobtainingadditionalirrigationwaterasnecessaryfortheLeasedPremisesandforpurposesotherthanirrigationtotheextentnotcoveredbyexistingCountywellpermits,withtheexceptionofwellnumber2,orCaseNo.O5CW16I.5.5TheDistrictshalloperatetheCounty’swells,withtheexceptionofwellnumber2,toprovideitsirrigationsupplyandotherusesasidentifiedintheCaseNo.05CW161andshallmaintainboththeexistingandfutureadditionalwellsthatmaybedevelopedingoodoperatingcondition,includingtheoperation,maintenance,repairandreplacement(“OMR&R”)offacilitiessuchaspumps,metersandotherdevicesassociatedwiththewells,attheDistrict’ssolecostandexpense,subjecttotheCounty’scontributiontosuchcostsonapro-ratabasisatsuchtime,ifever,subjecttoSection11,whentheCounty’swellsareusedtoprovidesupplytomeetotherobligationsasreferencedinsubsections5.1and5.4above.TheDistrictshalladvisetheCounty,inadvance,ofitsOMR&Ractivitiesonthewells.ThewellsshallremainpermittedintheCounty’sname.5.6AsapprovedintheCaseNo.O5CW161,theDistrictmayinstallapondorseriesofpondsontheLeasedPremises.ThelayoutofsuchpondsmustbereviewedandapprovedbytheCountypriortoinstallationofthesame.Itshallbedemonstratedpriortoconstructionofanypondorpondsotherthantheinitialdetentionpond,thatcompleteengineeringandconstructiondrawingsandotherengineeringdetailsforthepond(s)havebeenprovidedandanappropriatepondmanagementplanaddressingissuessuchasalgaegrowthhasbeendevelopedandproperlyimplemented.ThepartiesacknowledgethattheDistrictadjudicatedwaterrightsforpondsasapartofitsCaseNo.O5CW161.SubjecttoprovisionsofSection11,theDistrictagreestoperformOMR&RofanyponditconstructsontheLeasedPremises.5.7ThepartiesagreethatcoordinationandcooperationinwatermattersassociatedwiththeLeasedPremisesisimportant.Tothatend,priortoenteringintoanynewagreementssubsequenttomutualexecutionofthisAgreementfordomesticorirrigationwaterortheprovisionofsewerservicetotheLeasedPremises,theDistrictshallprovidetheCountywithareasonableopportunitytoreviewandapprovesuchagreements.TheCountyshallnotunreasonablywithholdsuchapproval.5.8Thepartiesrecognizethatitmaybenecessaryandappropriatetoadjudicatesupplementalwaterrightsand/orasupplementalplanforaugmentationintheeventtheDistrictexpandstheirrigationoftheLeasedPremises.TheDistrictshallberesponsibleforsuch7 adjudicationsandplan,butshallsubmitanyapplicationsforcourtorStateEngineerconfirmationand/orapprovalofsuchmatterstotheCountypriortofilingthesameandprovidetheCountywithareasonableopportunitytoreviewandapprovethesame.TheCountyshallnotunreasonablywithholdsuchapproval.5.9Inthefuture,theDistrictmayobtaintherighttousereplacement,supplemental,and/oralternatepointofdiversionwellsfortheexistingCountywells.TheDistrictshalladvisetheCountyofanypiantodosopriortopermittingorconstructinganysuchadditionalwellsandobtaintheCounty’spriorpermissiontodoso.AnysuchadditionalwellsshallbepermittedintheCounty’sname,subjecttotheagreedconditionsregardinguse(“OMR&R”)oftheexistingwells,andpermittedandconstructedattheDistrict’scost.5.10DistrictagreesthatuponexpirationorearlierterminationofthisAgreement,itshallconveytotheCounty,byquitclaimdeed,anyandallwaterrightsadjudicatedbytheDistrictwhichareassociatedwithandappurtenanttotheLeasedPremisesandshallassigntotheCountyanycontractsrelatedtowatersuppliesandserviceoraugmentationwatersuppliesassociatedwiththeLeasedPremises.Notwithstandingtheforegoing,theCountywillonlyacceptassignmentandconveyanceofsuchagreements,obligationsandwaterrightsasitchoosesinitssoleandabsolutediscretion.SuchassignmentandconveyanceshallbemadefornoconsiderationpaidbytheCountytotheDistrict.SECTIONSIXUtilitiesTheDistrictshallberesponsibleatitsolecostandexpenseforprovidingutilitiesandservicestotheLeasedPremises,including,butnotlimitedto,trashremoval,water,sewer,generallighting,electricalpower,andtelephoneandheating.TheDistrictagreesthattheCountyshallnotbeliableforfailuretosupplyanyutilityservicesorfordamagestopersonsorpropertyforanydiscontinuanceofsuchservices.SECTIONSEVENInsurance/DestructiontoImprovements7.1TheDistrictshallprocureandmaintainforthedurationofthisAgreement,insuranceagainstclaimsforinjuriestopersonsordamagestoproperty,whichmayarise,orinconnectionwiththeDistrict’sactivitiesandtheDistrict’soperationanduseoftheLeasedPremises.AllinsurancepoliciesshallnametheCountyasanadditionalinsuredandcopiesofsuchpolicesshallbeprovidedtotheCountyuponrequest.ThebodilyandpersonalinjurylimitsofsuchpoliciesshallbethegreaterofthestatutorylimitationsasdefinedintheColoradoGovernmentalimmunityAct,C.R.S.Section24-10-101etseq.,asamendedfromtimetotime;oranamountequalto$1,000,000peroccurrenceand$2,000,000,intheaggregate;orsuchotheramountsasrequiredbylaw.8 7.2IfDistrictimprovementsoranyportionthereofaredestroyedordamagedbyfireorotherwisetoanextentwhichrendersthemunusable,theDistrictshalluseanyinsuranceproceedstorebuildorrepairanyportionofthebuildingorstructuresodestroyedordamagedunlessotherwiseapprovedbyCounty.CountyshallnotbeliableforanylossorinjurytotheDistrictfacilitiesontheLeasedProperty.SECTIONEIGHTLiabilityandIndemnification8.1Totheextentpermittedbylaw,theDistrictshallindemnify,defendandholdtheCountyharmlessfromandagainstanyandallclaimsarisingfromtheDistrict’suseoftheLeasedPremisesandassociatedfacilitiesandimprovementsorfromconductofanyactivity,programorthingthatmaybepermittedorsufferedbytheCountyinorabouttheLeasedPremises,exceptthatneithertheDistrict,itsagentsnoritsemployeeswillbeliableunderthisparagraphforanyclaim,loss,damage,cost,chargeorexpensearisingoutofanynegligentactbytheCountyduringtheperformanceofthisAgreement.ThepartiesagreethatnothingcontainedhereinwaivesorisintendedtowaiveanyprotectionsthatmaybeapplicabletotheDistrictorCountyundertheGovernmentalImmunityAct,C.R.S.§24-10-101et.seq.,oranyotherrights,protections,immunities,defensesorlimitationsonliabilityprovidedbylaw,andsubjecttoanyapplicableprovisionsoftheColoradoConstitutionandapplicablelaws.8.2NoapprovalsgrantedhereundershallsubjecttheCountytoanyliabilityfromtheDistrictorthirdpartiesandallactivitiesconductedbytheDistrictontheLeasedPremisesshallbethesoleandexclusiveresponsibilityoftheDistrict.SECTIONNINEAssignmentandSublettingTheDistrictshallnotassigninwholeorinpartthisAgreementnoranyinterestherein.Moreover,theDistrictshallnotsublettheLeasedPremisesinwholeorinpart.Notwithstandingtheforegoing,theDistrictmayenterintoagreementsnotexceedingoneyearwiththirdparties,solongastheDistrictretainstherighttoterminatesuchagreementinitssolediscretion,forevent-specificandtemporaryuseofDistrictimprovementsorfacilitieswiththeunderstandingthattheDistrictshallmaintainprimaryresponsibilityforallaspectsoftheimprovementorfacilityuseatalltimes.SECTIONTENAccesstoPremises10.1TheCountyandCountyauthorizedrepresentative(s)shallhavetherighttoenterupontheLeasedPremisesatallreasonablehours(andinemergencies,atalltimes)toinspectthesame,tomakerepairs,additionsoralterationstotheLeasedPremises(ifitsochooses)andforanylawfulpurpose.TheCountyagreestoprovidetheDistrictwithreasonablenoticewhenever9 practicableastheCountydeemsitnecessarytoenterupontheLeasedPremises.Notwithstandingtheforegoing,theCountyshallhavenoobligationtomakerepairs,additionsoralterationstotheLeasedPremisesortoanyoftheDistrict’sfacilitiesorstructures.10.2ApumphouseispresentlylocatedontheTreeFarmPropertybutisexpresslyexcludedfromtheLeasedPremisesandisnotsubjecttothetermsofthisAgreement.SeeExhibitB.CountyherebygrantsarevocablelicensetotheDistrictforthepurposeofallowingaccesstothepumphouseinordertoaccessandruntheirrigationsystemwhichservestheLeasedPremises.SECTIONELEVENObligationsSubjecttoAnnualAppropriationThetermsandconditionsofthisLeaseAgreementandallassociatedobligationsandcommitmentsaresubjecttoandcontingentupontheannualappropriationoffundsbytheCountyandtheDistricttofulfillthoseobligationsandcommitments,inaccordancewiththeprovisionsofArticle25,Title30oftheColoradoRevisedStatutes,theLocalGovernmentBudgetLaw(C.R.S.§29-1-101etseq.)andtheTABORAmendment(ColoradoConstitution,ArticleX,Sec.20).SECTIONTWELVETermination12.1ThisAgreementmaybeterminatedupontheoccurrenceofanyofthefollowing:A.DefaultoftheDistrictintheperformanceofitsobligationshereunder;B.IftheDistrictisindefaultunderanyotherfutureagreementwiththeCounty;C.IftheDistrictbecomesinsolvent;andD.IftheDistrictgivespermissiontoanypersontousetheLeasedPremisesforanyillegalpurposeorpurposecontrarytothisAgreement.12.2Intheeventofdefault,andpriortotermination,CountyshallfirstgivetheDistrictwrittennoticebyregisteredorcertifiedmail,postageprepaidandreturnreceiptrequested,specifyingthenatureofthedefault.Uponreceiptofanysuchnotice,theDistrictshallhavesixty(60)daystocureanyallegeddefaultsubjecttoadditionaltimetocureintheeventnatureofdefaultandtimeofyearprecludeDistrictfromcuringinsixty(60)dayperiod.Anydisputeregardingtheadequacyofanycureshallbefirstreferredbythepartiestomediation.10
