EAGLE COUNTY, COLORADO
AND
RAE CONSULTANTS, INC.
THIS FIRST AMENDMENT (“First Amendment”) is effective as of ________________ by and
between RAE Consultants, Inc. a Colorado corporation (hereinafter “Consultant” or
“Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 11th day of September,
2019, for certain Services (the “Original Agreement”); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain
duties with compensation in an amount not to exceed $3,200.00; and
WHEREAS, County and Consultant desire by this First Amendment to expand the scope of
Services and compensation as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1.The Original Agreement shall be amended to include additional Services as described
in Exhibit 1, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services and the Original Agreement are set
forth in Exhibit 1 shall not exceed a total maximum compensation of $6,000.00.
3.Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.
4. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.
5.This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

2019-2020 Mobile Fare System Procurement Assistance
July 31, 2019
Update February 7, 2020
The services of Ann Beauvais of RAE Consultants, Inc. will be used to provide procurement
technical assistance and training to Eagle County Regional Transportation Authority (ECRTA)
planning and transit technology staff.
The scope, timeline, and budget have been modified as during Task 1 it was discovered that the
solicitation document needs to be more comprehensive than originally planned.
Specific tasks will include:
Task 1: Mobile Fare System Solicitation and Support Document Creation
Timeline: November 2019 through March 2020
Consultant is to provide the following technical assistance:
• With ECRTA staff assistance, develop solicitation and specifications document for
mobile fare system procurement that meets FTA, State and Eagle County procurement
requirements. Based on Eagle County requirements and the type of procurement, a
Request for Proposals document will be developed to include all appropriate
specifications, service, and training requirements.
• Develop and finalize Independent Cost Estimate (ICE) and procurement schedule.
• Develop scoring matrix and documentation for proposal evaluation.
Labor Hours: 25 hours
Task 2: Mobile Fare System Procurement Process
Timeline: March 2020 through July 2020
Consultant is to provide the following technical assistance:
• Assist ECRTA staff with issuing solicitation document publicly through appropriate
channels, to include newspaper legal notice, posting on Eagle County website, and
posting on industry trade publication websites.
• Assist ECRTA staff with a pre-proposal meeting as necessary to discuss specifications and
requirements with potential proposers.
• Assist ECRTA staff with format and publication of answers provided to potential

proposer submitted questions ahead of proposal submission deadline.
• Receive proposal submissions and review for responsiveness of proposals received and
responsibility of vendors proposing. Issue responsive proposals to evaluation committee
for review.
Labor Hours: 20 hours
Task 3: Mobile Fare System Proposal Evaluation, Award and Contract Process
Timeline: July 2020 through October 2020
Consultant is to provide the following technical assistance:
• Finalize RFP evaluation scoring sheets and instructions, based on RFP evaluation criteria.
• Gather and file score sheets and conduct price analysis against proposed award.
• Assist ECRTA staff with notifying vendors of award recommendation and Eagle County
contract requirements.
• Finalize documentation of procurement process for ECRTA procurement audit file.
