HomeMy WebLinkAboutC20-091 Summit Vista Homeowner's AssociationENCROACHMENTEASEMENTAGREEMENTBETWEENEAGLECOUNTYANDSUMMIT VISTAHOMEOWNER’SASSOCIATIONTHISENCROACHMENT AGREEMENT(hereinafter“Agreement”)madeasofthis/tL4f,zf1/,betweenEagleCounty,Colorado (“County”)and theSummitVista Homeowner’sAssociation(hereinafter“HOA”).WITNESSETH:WHEREAS,EagleCountyisthefeeownerofrealpropertydescribedastheValleyRoadRight-of-WayandtheSummitDriveRight-of-Way(the“Property”);andWHEREAS,theHOAdesirestoconstructaneighborhoodentrancesignonthePropertyandsuchsignwillencroach,inpart,onaportionoftheCounty’sRight-of-WayforValleyRoadandSummitDrive;andWHEREAS,HOAdesirestoobtain fromtheCountyanencroachmenteasementtoallowtheneighborhoodentrancesign(the“Encroachment”)fortheSubjectPropertytobeconstructedonandremainonaportionoftheCountyRight-of-Wayfor ValleyRoadandSummitDriveinthelocationidentifiedonExhibitA,whichisattachedheretoandincorporated hereinbythisreference;andWHEREAS,Countyiswillingtograntaneasementtothe HOAtoallow theEncroachmenttoremaininthelocationidentifiedinExhibitA,subjecttothetermsofthisAgreement.NOW,THEREFORE,inconsiderationofthe foregoing premisesandfollowingpromises,CountyandHOA agreeasfollows:ENCROACHMENTEASEMENTGRANT:TheCountyhereby grantstotheHOA,itsheirs,successorsandassigns(collectively“Owner”)anon-exclusive,revocableeasementonandoveraportionoftheCounty’sRight-of-WayforValleyRoadandSummitDrivefortheEncroachmentinitscurrent locationasdescribedinExhibitAattached hereto(the“EncroachmentEasement”).TheOwnershallnotuse theEncroachmentEasementforanyother purposeexceptasdescribedherein.Ownermayuse,maintainandrepairtheEncroachmentlocatedwithintheEncroachmentEasement,asdetailedbelowintheConstructionandMaintenancesection.TheEncroachmentEasementgrantedbythisAgreementshallbeenjoyedbyOwnersolongastheEncroachmentEasementisusedinaccordancewiththetermsandconditionsofthisAgreement.ThisAgreementshallnotbeconstruedasconferringanyrights orbenefitsonanythirdparties.Notwithstandinganythinghereintothecontrary,County,initssolediscretion, reservestherighttoterminatethisAgreementasitrelatestoalloraportionoftheEncroachmentEasementandtorequireOwnertoremoveorreducetheEncroachmentatOwner’ssoleexpenseuponninety(90)dayswrittennoticebyCounty.IntheeventOwnerceasestousetheEncroachmentEasementinaccordancewiththetermsofthisAgreementorotherwisefailstocomplywith anyand allofthetermsofthisAgreement,thisAgreementandtheEncroachmentEasementmaybeterminateduponPage1EagleCounty,Co202003749ReginaO’Brien03/10/2020Pgs:511:30:39AMREC:$0.00DOC:$0.00C20-091
ten(10)dayswrittennoticebyCounty,initssolediscretion.UponnoticeofterminationoftheEncroachmentEasementbyCounty,theEncroachmentshallberemovedand/orrelocatedatOwner’ssoleexpense.TheEncroachmentEasementareashallberestoredtoitsoriginalcondition,orasclosetheretoaspossible.IftheEncroachmentisnottimelyremovedinresponsetoCounty’srequestandtheEncroachmentEasementareaisnotrestoredwithintheallowedtimeperiod,CountymaydosoatOwner’ssoleexpense,whichexpenseshallbepromptlyreimbursedbyOwner,onpenaltyofplacementofalienontheSubjectPropertytoassurepaymentofsuchexpense.TheEncroachmentEasementgrantedbythisAgreementisnon-exclusiveandCountyreservestherighttouseforitselfandtogranttoothersrights-of-wayover,under,acrossorthroughtheEncroachmentEasementhereingranted,providedthattheydonotinterferewiththerightofOwnertousethesameforthepurposeshereingranted.CountyreservestherighttouseandenjoythepremisestothefullestpossibleextentwithoutunreasonableinterferencewiththeexercisebyOwneroftherightsgrantedinthisAgreement.Withoutlimitingtheforegoing,Countyreservestherighttoplacealong,across,under,overandthroughtheEncroachmentEasementasmanyelectriclines,powerlines,waterlines,sewerlines,gaslines,telephonelinesandotherutilitiesasCountymaydesiresubjectonlytotherightofOwnertousethesameforthepurposeshereingranted.TheEncroachmentintotheCounty’sRight-of-WayshallnotconstituteanyrelinquishmentoftheCounty’spropertyrightswhetherthroughclaimsofadversepossessionoranyothermeans.CONSTRUCTIONANDMAINTENANCEOFENCROACHMENTWITHINTHEEASEMENT:Construction,includingrepair,replacement,alterations,andmaintenanceoftheEncroachmentwillbethesoleresponsibilityofOwner.NoconstructionshatlbecommenceduntilapprovedinwritingbyCounty;suchapprovalnottobeunreasonablywithheldordelayed.Notwithstandingtheforegoing,CountywillrequireanyutilitycompanyorotherpersonspermittedtoconstructintheCountyRight-of-WaytorepairanydamagetheymaycausetoCountyRight-of-Wayand/ortheEncroachmentaspartofthepermittingprocess.OwneragreestoberesponsibleforallongoingnecessaryrepairandmaintenanceassociatedwiththecurrentandanyfutureuseoftheEncroachmentEasement.INDEMNIFICATION:Ownershall,tothefullestextentpermittedbylaw,indemnifyandholdharmlessCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountyoranyofitsofficers,agents,oremployeesmaybecomesubjecttoinsofarasanysuchlosses,claims,damagesorliabilitiesariseoutof,directlyorindirectly,thisAgreementortheEncroachmentEasement,orarebaseduponanyperformanceornonperformancebyOwnerhereunderoritssuccessorsorassigns;andOwnershallreimburseCountyforanyandalllegalandotherexpensesincurredbyCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ENFORCEMENTREMEDIES:Page2
ThisAgreementshallberecordedwiththeEagleCountyClerkandRecorder’sOffice.ThisAgreementshallconstitutecovenantsrunningwiththeSubjectProperty,asaburdenthereonandforthebenefitthereof,andshallspecificallybeenforceablebyCountyagainstOwnerandallobligationsforrestoration,repair,andindemnificationshallsurviveterminationofthisAgreementandtheEncroachmentEasement.CountyandOwneragreethatthisAgreeruentmaybeenforcedforspecificperformance,injunctive,orotherappropriatereliet’,includingdamages,asmaybeavailableaccordingtothelawsandstatutesoftheStateofColorado.‘Itis’specificallyunderstoodthatbyexecutingthisAgreementbothCountyandOwnercommitthemselvestoperformpursuanttothesetermscontainedherein.MISCELLANEOUS:ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofColorado.VenueforanyactionarisingoutofanydisputepertainingtothisAgreementshallbeinEagle,Colorado.ThisAgreementandtherightsandobligationscreatedherebyshallbebindinguponandinuretothebenefitofCountyandOwnerandtheirrespectivesuccessorsandassigns.NothinghereinexpressedorimpliedisintendedorshouldbeconstruedtoconferorgivetoanypersonorentityotherthanCountyorOwnerandtheirrespectivesuccessorsandassignsanyright,remedyorclaimunderorbyreasonhereofofbyreasonofanycovenantorconditionhereincontained.IfanyportionofthisAgreementisheldinvalidorunenforceableforanyreasonbyacourtofcompetentjurisdiction,suchportionshallbedeemedseverableanditsinvalidityoritsunenforceabilityshallnotaffecttheremainingprovisions;suchremainingprovisionshallbefullyseverableandthisAgreementshallbeconstruedandenforcedasifsuchinvalidprovisionhadneverbeeninsertedintothisAgreement.ThisAgreementmaybeamended,modified,changed,orterminatedinwholeorinpartonlybywrittenagreementdulyauthorizedandexecutedbybothCountyandOwner.ThisAgreementrepresentsthefullandcompleteunderstandingofCountyandOwnerandsupersedesanyprioragreements,discussions,negotiations,representationsorunderstandingsofCountyandOwnerwithrespecttothesubjectmattercontainedherein.Thepartiesheretoagreethatneitherhasmadeorauthorizedanyagreementwithrespecttothesubjectmatterofthisinstrumentotherthanexpresslysetforthherein,andnooralrepresentation,promise,orconsiderationdifferentfromthetermshereincontainedshallbebindingoneitherparty,oritsagentsoremployeeshereto.Allofthecovenantshereincontainedshallbebindinguponandinuretothebenefitsofthepartieshereto,theirrespectiveheirs,personalrepresentatives,successorsandassigns.ThisEncroachmentEasementisgrantedsubjecttopriorgrantsofeasementsandotherownershipinterestsofrecord.Countymakesnowarrantiesastothetitleoftheeasementconveyed.INWITNESSWHEREOF,thisEncroachmentEasementAgreementisexecutedthisPage3
