EAGLE COUNTY, COLORADO
AND
EARLY CHILDHOOD PARTNERS
THIS SECOND AMENDMENT (“Second Amendment”) is effective as of the ______________ by and
between Early Childhood Partners a Colorado nonprofit Organization (hereinafter “Consultant” or
“Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 9th day of May, 2018,
for certain Services (the “Original Agreement” C18-124); and
WHEREAS, County and Consultant entered into an agreement dated the 19th day of February, 2019, for
certain Services (the “First Amendment” C19-063); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain
Services with compensation in an amount not to exceed $7,020 and the First Amendment added Services
and compensation for a total maximum compensation under both as $132,020; and
WHEREAS, the term of the First Amendment expires on the 31st day of December, 2019, and
the parties desire to extend the term for an additional year; and
WHEREAS, the parties desire to extend the term for an additional year, revise services and compensation
for 2020.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth
below, the parties agree as follows:
1. The First Amendment shall be amended to include additional Services as described in Exhibit
1-A, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit 1-A shall not exceed an
additional $30,000 for a total maximum compensation under the Original Agreement, First
Amendment and this Second Amendment of $155,000.
3. The term of the First Amendment is hereby extended to the 31st day of December, 2020.
4. Capitalized terms in this Second Amendment will have the same meaning as in the First
Amendment. To the extent that the terms and provisions of the Second Amendment conflict
with, modify or supplement portions of the First Amendment, the terms and provisions
contained in this Second Amendment shall govern and control the rights and obligations of
the parties.
5. Except as expressly altered, modified and changed in this Second Amendment, all terms and
provisions of the First Amendment shall remain in full force and effect, and are hereby
ratified and confirmed in all respects as of the date hereof.

6. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to the First
Amendment the day and year Second above written.

EXHIBIT 1-A
SCOPE OF SERVICES
INTRODUCTION
In 2019, Early Childhood Partners launched Family Connect, a Family Support and Family Resource
Center. These are characterized as services provided to enhance and strengthen families and must
maintain or strengthen the family/individual's capacity to function as independently as possible. Services
follow a 2 generational approach and are to be provided in a family-centered, community-based and
culturally competent manner. Services through Family Connect provides support to families with young
children ages 0-5 year old as a focal point.
CONTRACTOR SHALL COMPLY WITH THE FOLLOWING SCHEDULE OR MILESTONES
IN PERFORMANCE OF THE SERVICES:
• Contractor will partner with Eagle County to develop work plan(s) for agreement, approval and
finalization no later than 60 business days from the execution of this agreement. Work plan(s)
will include scope of work and required reports and frequency
FEES
Contractor shall be compensated for performance of services as follows:
1. County agrees to pay contractor $30,000 upon receipt of co-created work plan from 2GO funding
source
2. County agrees to pay contractor $62,500 in June and September for a total not to exceed contract
value of $155,000
3. Contractor to submit invoices for payment
