EAGLE COUNTY, COLORADO
AND
VALLEY SETTLEMENT
THIS Third Amendment (“Third Amendment”) is effective as of the _______________, by and
between Valley Settlement, a Colorado nonprofit corporation (hereinafter “Consultant” or
“Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”).
RECITALS
WHEREAS, County and Consultant entered into an agreement with an effective date of January
1, 2018, for certain Services for compensation not to exceed $50,000 (the “Original Agreement"
C18-107); and
WHEREAS, County and Consultant entered into a First Amendment to the Original Agreement
effective January 1, 2019 (C18-339), which extended the term of the Original Agreement for
another year and reduced the amount of compensation to an amount not to exceed $45,000; and
WHEREAS, County and Consultant entered into a Second Amendment to the Original
Agreement dated the 27th day of February, 2019 , for certain Services (the “Second
Amendment” C19-066) (Original Agreement and all amendments referred to as the
“Agreement”); and
WHEREAS, County and Consultant desire to revise the term and compensation for a Third
Amendment.
Third Amendment
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Third Amendment shall be amended to include additional Services as described
in Exhibit 1-A, which is attached hereto and incorporated herein by reference.
2. The compensation for the Services set forth in Exhibit 1-A shall not exceed $80,350.
3. The term of the Third Amendment is hereby extended to the 31st day of December,
2020.
4. Capitalized terms in this Third Amendment will have the same meaning as in the
Third Amendment. To the extent that the terms and provisions of the Third
Amendment conflict with, modify or supplement portions of the Third Amendment,
the terms and provisions contained in this Third Amendment shall govern and control
the rights and obligations of the parties.

5. Except as expressly altered, modified and changed in this Third Amendment, all
terms and provisions of the Third Amendment shall remain in full force and effect,
and are hereby ratified and confirmed in all respects as of the date hereof.
6. This Third Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment to the
Agreement the day and year above written.

EXHIBIT 1-A
CONTRACTOR SHALL PERFORM OR PROVIDE THE FOLLOWING SERVICES
Services provided by the Family, Friend and Neighbor (FFN) Program will include:
● Recruit and register additional FFNs in Eagle County.
● Conduct outreach to families served by FFN population.
● Train, evaluate, and maintain enrollment of FFN population.
● Conduct Family Needs Assessments of all families in FFN care.
● Make and track all referrals. Post-retrospective evaluation of families served.
● Train FFN providers on appropriately using child development screening tools
● Purchase materials for El Busito Mobile preschool in Western Eagle County
● Purchase and distribute materials to address health and safety in homes providing FFN
care through mini grant process.
FEES
Contractor shall be compensated for the performance of the Services as follows:
1. County agrees to pay Contractor $20,087.50 payable quarterly January, March, June
and September 2020 via invoice.
2. Family, Friend and Neighbor program costs will not exceed $80,350.
CONTRACTOR SHALL BE REQUIRED TO SUBMIT THE FOLLOWING REPORTS
TO COUNTY:
End of year reporting for the Family Friend and Neighbor program will include and is not limited
to:
● number of FFN providers engaged
● basic demographics of FFN providers
● needs of families served by FFN providers
