AgreementDocuSignEnvelopeID:EA9359B7-A6D3-438A-8A85-139873BD943FEagleCounty,Co202000301ReginaO’Brien01/08/2020Pgs:808:59:15AMREC:$0.00DCC:$0.00AGREEMENTCONCERNINGEXTINGUISHMENTOFTHEPRELIMINARYPLANFORTHEWOLCOTTPLANNEDUNITDEVELOPMENTEagleCountyPlanningFileNo.PDP-3$30ThisAGREEMENTCONCERNTNGEXTINGUISHMENTOfTHEPRELMINARYPLA1FORTHEWOLCOTTPLANNEDUNITDEVELOPMENT(“Agreement”)isdatedthe.77“dayofJanuary,2020,byandbetweentheCountyofEagle,StateofColorado,abodycorporateandpolitic(the“County”)andG.JouflasRanches,LLC(“G.JouflasRanches”),aColoradolimitedliabilitycompany,CJCProperties,LP(“CJCProperties”),aColoradolimitedpartnership,andTheMervynLapinRevocableTrust(“TheMervynLapinRevocableTrust”)(collectivelythe“Applicant”).TheCountyandtheApplicantshallcollectivelybereferredtohereinastheParties.RECITALSWHEREAS,onoraboutJune19,2012,theCountyacceptedforfilinganapplicationsubmittedbyCommunityConceptsColorado,LLC,actingonbehalfoftheApplicant,seekingapprovalforazonechangetorezonethepropertymoreparticularlydescribedonExhibitA,attachedheretoandincorporatedherein,fromtheResourceandCommercialLimitedzonedistrictstothePUDzonedistrict,andforapprovalofthepreliminaryplan(“PreliminaryPlan”)forpLannedunitdevelopment(“PUD”)fortheWolcottPUD;andWHEREAS,onoraboutOctober15,2013,pursuanttoEagleCountyResolutionNo.2013-102,theCountyapprovedthePreliminaryPlanfortheWolcottPUD,amulti-phasePUDconsistingofapproximately373acres,inclusiveof577residentialunits;156,500squarefeetofretail,officeandservicecommercial;approximately138acresofprivatelyownedactiveandpassiveopenspace;emergencyservicefacilities;waterandwastewatertreatmentfacilities;andmunicipalandcommunityareas(“PlanApproval”);andWHEREAS,inaccordancewithSection5-240.f.3.k(2)—LengthofApproval,EagleCountyLandUseRegulations(hereinafter“ECLURs”),allmulti-phasePUDsarevalidforten(10)yearsformthedateoftheirissuance,thoughdevelopmentofatleastthefirstphasemusthavebeencompletedwithinfive(5)yearsafterthedateofapprovalofthePreliminaryPlanforPUD;andWHEREAS,theApplicantdidnotseekapprovalofafinalplatfortheWolcottPUDnordiditinitiateorcompletedevelopmentofthefirstphaseofthePUDwithinfive(5)yearsafterthedateoftheapprovalofthePreliminaryPlanfortheWolcottPUD;accordingly,thePreliminaryPlanfortheWolcottPUDwouldexpireasofOctober15,201$;andWHEREAS,inaccordancewithECLURsSection5-240.F.3.k(3)—ExtensionofPreliminaryPlanApproval,approvalofapreliminaryplanforplannedunitdevelopment(“PUD”)shallbevoidandextinguishedunlesstheapplicantcandemonstratebycompetentsubstantialevidencethatfailuretoproceedwiththedevelopmentoftheapplicationwas: DocuSignEnvelopeID:EA9359B7-A6D3-438A-8A85-139873BD943F(1)Beyondtheapplicant’scontrol;(2)ThedevelopmentcomplieswiththeECLURsandtheComprehensivePlan;and(3)Thereisareasonablelikelihoodthenextstepinthedevelopmentapplicationwillbesubmittedinthenexttwoyears,and;WHEREAS,pursuanttoECLURsSection5-240.F.3.k.(3),norequestforextensionshallbeconsideredunlessawrittenapplicationrequestingtheextensionissubmittedtothePlanningDirectornolaterthanthirty(30)calendardayspriortothedatethepreliminaryplanforPUDistoexpire,andthepermitshallbedeemedextendeduntiltheBoardofCountyCommissioners(“Board”)hasactedupontherequestforextension;andWHEREAS,theApplicantsubmittedarequestforanextensionofthePreliminaryPlanfortheWolcottPUDonSeptember14,2018,butsubsequentlywithdrewtherequestonMay2,2019,priortoahearinganddeterminationbytheBoard;andWHEREAS,pursuanttoECLURsSection5-240.f.3.k.(4)—ExtinguishmentHearing,andECLURsSection5-210(H)—ExtinguishmentofApprovals,ifaPreliminaryPlanforPUDisnotextendedbeforeitistoexpire,thenahearingshallbeinitiatedtodeterminewhethertoextinguishtheapprovalofthePreliminaryPlanforPUD;andWHEREAS,G.JouflasRanches,CJCPropertiesandTheMervynLapinRevocableTrustrepresentthattheyaretheownersofthepropertysetforthonExhibitAandsubjecttothePlanApprovalandthattheyeachwishtoabandonpursuitofanextensionofthePlanApprovalandenterintoanagreementtoextinguishthePlanApprovalwithoutahearing.AGREEMENTNOWTHEREFORE,basedupontherepresentationsbytheApplicantsetforthintheforegoingrecitals,forgoodandvaluableconsiderationthereceiptandsufficiencyofwhichisherebyacknowledged,includingthepromisessetforthherein,thepartiesagreetothefollowing:1.G.JouflasRanches,CJCPropertiesandTheMervynLapinRevocableTrusteachherebyconsentandagreethatthePlanApprovalforthePreliminaryPlanfortheWolcottPUDisherebyextinguishedwithoutahearingascontemplatedbyECLURsSection5-240.f.3.k.(4)andSection5-210(H),andthatthePlanApprovalshallhenceforthbenullandvoidandofnoforceoreffect.2.G.JouflasRanches,CJCPropertiesandTheMervynLapinRevocableTrusteachherebywaivetheirrespectiverightstoanyfurtherproceedingsconcerningthePLanApprovalorextensionorextinguishmentthereof,andeachfurtheragreesthattheCountymay,atitsdiscretion,incorporatethisextinguishmentintoaResolution.3.ThisAgreementshallberecordedwiththeEagleCountyClerkandRecorder’sOffice.4.ThisAgreementandtherightsandobligationscreatedherebyshallbebindinguponandinuretothebenefitoftheCounty,G.JouflasRanches,CJCPropertiesandTheMervynLapinRevocableTrustandtheirrespectivesuccessorsandassigns.Nothinghereinexpressedor2
