HomeMy WebLinkAboutC19-423 Murray Road PropertyEagleCountyCO201921778DocuSignEnvelopeID:BDF7AEC4-FF49-4A4D-920A-18D33D975CB3.Regina0Bnen12123/2019Pgs:2611:16:23AMREC:$0.00DOC:$0.00SUBDIVISIONANDOFF-SITEIMPROVEMENTSAGREEMENTTHEFOXHOLLOWPLANNEDUNITDEVELOPMENTFILENO.009042-2019THISSUBDIVISIONANDOFF-SITEIMPROVEMENTSAGREEMENT(“Agreement”)ismadeandenteredintothis12/17/2019,byandbetweenMurrayRoadProperty,LLC,aColoradolimitedliabilitycompany(hereinafter“Subdivider”)andtheCountyofEagle,StateofColorado(hereinafter“County”).WITNESSETHWHEREAS,theSubdivider,asaconditionofapprovalofthefinalPlatofThefoxHollowPlannedUnitDevelopment(hereinafterreferredtoasthe“Subdivision”),desiresanAgreementasprovidedforbytheLandUseRegulationsofEagleCounty,Colorado,asamended(“hereinafterreferredtoas“LandUseRegulations”)ChapterII,Section5-280.B.5.e.andC.R.S.§30-28-137;andWHEREAS,pursuanttothesameauthority,theSubdividerisobligatedtoprovidesecurityorcollateralsufficientinthejudgmentoftheCountytomakereasonableprovisionsforcompletionofcertainpublicimprovementsasreferencedintheattachedExhibitA(the“SubdivisionImprovements”)andcertainlandscapingimprovementsasreferencedintheattachedExhibitB(“LandscapeImprovements”);andWHEREAS,asaconditionofapprovalofthefinalplatoftheSubdivision,theSubdividerisobligatedtoprovidesecurityandcollateralsufficientinthejudgmentoftheCountytomakereasonableprovisionforcompletionoftheSubdivisionImprovementsandtheLandscapeImprovements;andWHEREAS,pursuanttoChapterII,Section4-620.9oftheLandUseRegulationsandC.R.S.§43-2-147,theSubdividershallprovideaccessforalllotsandparcelsitcreatestothestatehighwaysysteminconformancewiththeStateHighwayAccessCode.NOW,THEREFORE,inconsiderationofthepremisesandthecovenantsandagreementshereincontainedtobekeptandperformedbythepartieshereto,itisherebyunderstoodandagreedasfollows:I.SUBDIVISIONIMPROVEMENTS.1.1.SubdivisionImprovements.TheSubdivisionImprovementsaredeemedtoincludeallpublicimprovements,assetforthinalldocuments,constructiondrawingsforTheFoxHollowPUDdatedSeptember24,2019,designs,maps,specifications,sketches,costestimatesandothermaterialssubmittedbytheSubdividerpriortooratfinalplatapprovalandacceptedbytheCounty.SuchSubdivisionImprovementsshallincluderoads,traits,utilitiesandothersimilarpublicimprovementsassetforthinExhibitA.
DocuSignEnvelopeID:DF7AEC4-FF49-4A4D-92OA-18D33D975CB31.2.ScopeofWork.TheSubdividerherebyagrees,atitssolecostandexpense,tofurnishallnecessaryequipmentandmaterials,andtocompleteallSubdivisionImprovementsasreferencedintheattachedExhibitAandLandscapeImprovementsasreferencedintheattachedExhibit3,andassetforthinalldocuments,constructiondrawings,designs,maps,specifications,sketches,andothermaterialssubmittedbytheSubdividerpriortooratfinalplatapprovalandacceptedbytheCounty,andinaccordancewithalllawsoftheUnitedStatesofAmerica,StateofColorado,CountyofEagle,andtheirrespectiveagenciesandaffectedgovernmentalentities.Suchperformanceshallincludeacquisitionofallnecessaryrights-of-wayandeasements.1.3.DutiesofSubdivider,ForthoseSubdivisionImprovementsrequiredherein,includingbutnotlimitedtothereconstructionandphysicalimprovementofthatportionofanyroadsubjecttothisAgreement,theSubdividershallretainanengineerwhosedutiesshallincludeconstructionstaking,observationofconstructionforconformancetotheapprovedplansandspecifications,andmaterialssampling,testingandinspectionusingtheColoradoDepartmentofHighways2018FieldMaterialsManualasaguideforfrequencyofsamplingandtesting.1.3.1.ConstructionStaking.Whereapplicableandbywayofexampleonly,thefollowingisahighlightingoftheconstructionstakingthatwillberequiredoftheSubdivider:a.)Roadway-horizontalandverticalcontrolevery50feetorevery25feetincriticalareas,specificallyincluding:-slopestaking-pointsofcurvature-pointsoftangency-filletradiuspoints-culverts-transitionpointsforsuper-elevation-finishedsub-grade-finishedgravelb.)Water,Sewer,andOtherUtilities-horizontalandverticalcontrolevery100feet,orevery50feetincriticalareas.1.3.2.Testing.Whereapplicableandbywayofexampleonly,thefollowingisahighlightingoftheacceptancetestingthatwiLlberequiredoftheSubdivider:a.)Utilityanddrainageculverttrenchbackfillunderroadwayprisms-onedensitytestper200C.Y.ofbackfilloraminimumofonetestperroadwaycrossing.Thiswillrequiredailyvisitstothesitebyatestinglaboratorywhenutilitiesordrainageculvertsarebeingbackfilledwithintheroadwayprism.2
DocuSignEnvelopeID:BDF7AEC4-FF49-4A4D-920A-18D33D975CB3b.)Embankmentsforroadways-onedensitytestper2,000C.Y.ofanyadditionalembankment(s);andonedensitytestper500C.Y.whenwithin100feetofbridgeapproaches.”c.)finishedsub-grade-onedensitytestper250linealfeetofroadway.d.)Aggregatebasecourse-onein-placedensityper250linealfeetofroadway,andgradationandAtterbergLimitstestper2000tonsofaggregatebasecourse.e.)HotBituminousPavement-twoasphaltcontent,gradationandin-placedensitytestsperday’sproduction.f.)Concrete-CurbandGutter,SidewalksandBikepaths-testsforaircontent,slumpandcompressivestrengthper50C.Y.ofconcreteplacedorminimumofonesetoftestsperday.1.3.3.Notification/RoadConstruction.SubdivideroritsEngineershallnotifytheEagleCountyEngineerforthepurposeofarranginganon-siteinspectionnolessthanforty-eight(48)hoursinadvanceofthefollowingstagesofroadconstruction:1.)finishedsubgrade2.)finishedAggregateBaseCourse3.)AsphaltPlacement.4.)Concrete-CurbandGutter,SidewalksandBikepathsTheCountyEngineershallmakeanon-sitevisitwithintheforty-eight(48)hoursnotificationperiodforthepurposeofobservingproofrollsonitems1)and2)aboveandforgeneralobservationofconstructionmethodsbeingemployedatthesestages.Saidon-siteinspectionbytheEagleCountyEngineershallinnowayabrogatethedutiesoftheSubdivideroutlinedelsewhereinthisAgreement.TheSubdividershallprovidetheproofrollingbyarrangingforaloadedsingleunittruckcarrying18,000poundsperrearaxle.1.3.4.WitnessingofWaterandSewerLaterals.ItisessentialthattheendsoftheselateralsbewitnessedbytheSubdivider’sengineertoaminimumofthreedivergentpointsandapermanentrecordmadeofthesame.CopiesoftheserecordsarerequiredtobefurnishedtotheEagleCountyEngineerpriortoacceptanceoftheSubdivisionImprovementsbytheCounty.Inadditiontowitnessingofthehorizontallocationoftheselaterals,averticalwitnessshallberequired.Horizontalwitnessingshallbetopropertycorners,firehydrants,manholes,andother“permanent”features.Verticalwitnessingshallbebasedondepthbelowgroundandelevationbasedonadatumusedforthesubdivision.Benchmarksshallbeshownonwitnessrecords.1.3.5.TestReports.Alltestreportsshallbeconsecutivelynumbered,withcopiesfurnisheddirectlytotheEagleCountyEngineerfromthelaboratoryastheyarereportedtotheSubdivideroritsengineer.3
DocuSignEnvelopeID:BDF7AEC4-FF49-4A4D-920A-18D33D975CB31.3.6.As-BuiltRecordDrawingsofSubdivisionImprovements.As-Built,recorddrawings,sealed,signedanddatedbyaRegisteredProfessionalEngineershowingtheas-constructedhorizontalandverticallocationsofSubdivisionImprovementsshallbesubmittedtotheEagleCountyEngineerpriortocompletionofthetwoyearwarrantyperiodandthefinalreleaseofSubdivisionImprovementsCollateralbytheCounty.Thisshallincludeas-builtdrawingsinaneLectronicformacceptabletotheCountyEngineer.1.3.7.AffidavitofMonumentation.AnAffidavitofMonumentationsealed,signedanddatedbyaRegisteredProfessionalLandSurveyorstatingthatthesubdivisionhasbeenmonumentedinaccordancewith§38-51-105,C.R.S.,andChapterIl,Section5-280.5.a(1)(a)oftheLandUseRegulationsshallbeprovidedtotheEagleCountyEngineerpriortotheacceptanceoftheSubdivisionImprovementsbytheCounty.1.4.CompliancewithColoradoDepartmentofHighwaysAccessCode.SubdividershallprovidetheCountywithdesignsincompliancewiththeColoradoDepartmentofHighwaysAccessCodeforallroadimprovements.1.5.DateofCompletion.AllSubdivisionImprovementsshallbecompletedonorbeforeMarch29,2022,assetforthintheconstructionscheduleattachedheretoasExhibitçandincorporatedhereinbythisreference.1.6.ApprovalandAcceptanceofWork.1.6.1.Copiesofalltestresultscorrespondingtoworkwhichisbeinginspectedandanyotherinformationwhichmaybenecessarytoestablishthesatisfactorycompletionoftheworkforwhichinspectionisrequestedmustbesubmittedpriortosaidinspection.AllsuchinformationshallbeaccompaniedbyaletterfromtheSubdivider’sengineerverifyingthesatisfactorycompletionoftheworkperformedtodate.1.6.2.NotwithstandingSection1.3.3above,promptlyafterreceivingarequestforinspectionandtherequireddocumentation,theCountyEngineershallreviewtheinformationpresentedand,ifnecessary,makeanon-siteinspectionoftheworkcompleted.1.6.3.AllsaidworkshallbedonetothereasonablesatisfactionoftheCountyEngineerand/ortheCountyDepartmentofCommunityDevelopment,andshallnotbedeemedcompleteuntilapprovedandacceptedascompletebytheCounty.1.7.EstimatedCostsofSubdivisionImprovements.ThetotalestimatedcostoftheSubdivisionImprovementsisthesumof$1,488,685.14,assetforthonExhibitA.TosecureandguaranteeperformanceofitsobligationsassetforthinthisSection1,includingthecompletionoftherequiredSubdivisionImprovements,theSubdividerherebyagreestoprovidesecurityandcollateralfortheSubdivisionImprovementsintheformandassetforthinSection2,below.1.8.TrafficControlPlan.SubdivideragreestosubmitatrafficcontrolplantobeapprovedbytheEagleCountyEngineeringDepartmentpriortoanyworkcommencing.4
DocuSignEnvelopeID:BDF7AEC4-FF49-4A4D-920A-18D33D975CB31.9.LandscapePlan.SubdividerhassubmittedalandscapeplantotheCountyDepartmentofCommunityDevelopmentwhichcomplieswiththeLandUseRegulations,Section4-240,InstallationandMaintenanceRequirements.TheSubdivideragreestoabidebythelandscapeplanapprovedbytheCountyDepartmentofCommunityDevelopment(theLandscapePlan”).TheestimatedcostoftheLandscapeImprovementsisthesumof$178,339.00,assetforthonExhibitB.TosecureandguaranteeperformanceofitsobligationstoinstalltheLandscapeImprovementsassetforthinthisSection1.9,includingthecompletionoftherequiredLandscapePlan,theSubdividerherebyagreestoprovidesecurityandcollateralfortheLandscapeImprovementsintheformandassetforthinSection2,below.10.MaintenanceofSubdivisionandLandscapeImprovements.TheSubdivider,propertyownerand/orfuturehomeownersassociationshallberesponsibleforthemaintenance,repairandreplacementoftheSubdivisionImprovementsandtheLandscapeImprovements.1.11.CommonParkandRecreationAreas.SubdivideragreestosubmitaCommonOpenSpace,ParkandRecreationAreaPlantobeapprovedbytheCountyDepartmentofCommunityDevelopmentpriortoapprovaloffinalplat.2.SECURITYandCOLLATERAL.2.1.SubdivisionImprovementsCollateral.ThesecurityandcollateralfortheSubdivisionImprovementsrequiredinSection1.7assecurityfortheperformancebySubdividerofitsobligationsunderthisAgreement,shallbeintheamountof$1,488,685.14(the“SubdivisionImprovementsCollateral”).PriortotheissuanceofanygradingorbuildingpermitsfororcommencementofconstructionofanyoftheSubdivisionImprovements,theSubdividerwillprovidetheCountywiththeSubdivisionImprovementsCollateralintheformofanirrevocableLetterofCredit,informandsubstanceacceptabletotheCountyAttorney.2.2.PartialReleaseofSubdivisionImprovementsCollateral.SubdividermayapplytotheCountyforthereleaseofportionsoftheSubdivisionImprovementsCollateralbaseduponworkcompletedinaccordancewiththisAgreement.Tomakesuchreleases,SubdividershallrequesttheCountyEngineertoinspecttheworkinordertoverifysatisfactorycompletioninaccordancewithplansandspecificationsinaccordancewithSection1.6.2.3.FinalReleaseofSubdivisionImprovementsCollateral/Warranty.Withinthirty(30)daysafterSubdividerhasinstalledalloftherequiredSubdivisionImprovementsandtheworkhasbeenapprovedandacceptedbytheCounty,theentireremainingamountoftheSubdivisionImprovementsCollateral,lessanamountequaltotenpercent(10%)oftheoriginalSubdivisionImprovementsCollateral,shallbereleased.SubdividershallberesponsiblefortheconditionoftheSubdivisionImprovementsforaperiodoftwoyearsaftercompletion;thisshallbeguaranteedeitherthroughtheretentionof10%ofthetotalSubdivisionImprovementsCollateral,assetforthinthisSection2.3,orSubdividermayprovideasubstituteformofSubdivisionImprovementsCollateralassetforthinSection2.4below.2.4.SubstitutionofSubdivisionImprovementsCollateral.TheSubdividermayatanytimesubstitutetheSubdivisionImprovementsCollateraloriginallydepositedwiththe5
DocuSignEnvelopeID:BDF7AEC4-FF49-4A4D-920A-18D33D975CB3Countyherein,foranotherformofcollateralacceptabletotheCountyAttorney,toguaranteethefaithfulcompletionoftheSubdivisionImprovementsreferredtohereinandtheperformanceofthetermsofthisAgreement.Atthetimeofsubstitutionofcollateral,aninflationaryand/ordeflationaryfactorbasedupontheDenver-Boulder,ColoradoConsumerPriceIndexforAllUrbanConsumers,AllItems(1967=100)pubLishedbytheU.S.BureauofLaborStatistics,303-837-2467,or,alternatively,anapprovedconstructioncostindex,shallbeusedtodetermineanadjustedestimatedcostforallSubdivisionImprovementsasdescribedherein,andcollateralshallbesubmittedbytheSubdividerinaccordancetherewith.2.5.Draws.DrawsagainsttheSubdivisionImprovementsCollateralshallonlybemadeasdirectedbywrittenResolutionoftheCounty,statingthattherehasbeenanEventofDefault(definedbelow)underthisAgreementandthatasumcertainisrequiredtoremedythedefault.AnyamountdrawnontheSubdivisionImprovementsCollateralmustbeappliedforthepurposeofcompletingtheworkrequiredbythisAgreementandrelatedexpensesandcosts.2.6.EventsofDefault.Thefollowingeventsshallbedeemed“EventsofDefault,”entitlingtheCountytodrawontheCollateral:2.6.1.IfSubdividerhasnotcompletedtheworkrequiredbythisAgreementwithinthirty(30)dayspriortotheDateofCompletionsetforthherein,theCountymay,afterten(10)workingdayswrittennoticetoSubdivider,drawupontheSubdivisionImprovementsCollateralanamountsufficienttocompletesaidworkandcompensatetheCountyforitsreasonablecostsandexpensesrelatedtosaiddraw.2.6.2.IftheoriginalCollateralpresentedtotheCounty(oranyextensionthereof)isduetoexpireandtheworkisnotyetcompleted,andSubdividerhasnotprovidedsubstitutecollateralorthebank’swrittenextensiontotheoriginalcollateral(asitmayhavebeenpreviouslyextended),theCountyshalldrawontheCollateralaccordingtotheprovisionssetforthinthisSection2.ItisSubdivider’sresponsibility,withorwithoutnotice,toensurethattheCollateralisextended,orthatsubstitutecollateralisprovidedinaformacceptabletotheCounty,atleasttendayspriortoitsexpiration.IfCollateralisneitherextendednorsubstitutecollateralprovided,inaformacceptabletotheCountyAttorney,atleasttendayspriortoitsexpiration,thedevelopershallpaytheCountyanadditional$500(fivehundreddollars)fortheadditionaladministrativeworkrequiredbecauseofthefailuretoextendorsubstituteCollateralinatimelymannerasrequiredbythisAgreement.2.6.3.IftheSubdivisionImprovementsCollateralissubstituted,asotherwiseprovidedherein,thisAgreementmaybeamendedormodifiedinordertosetforthspecificEventsofDefaultdeemednecessary,intheCounty’ssolediscretion,commensuratewiththetypeofcollateralsubstituted.2.7.CostsandExpenses.Subdivideragreestopayanycostsandexpenses,includingbutnotlimitedtolegalfees,whichtheCountymayincurindeterminingtoacceptcollateral,indrawingupontheSubdivisionImprovementsorLandscapePlanCollateral(definedbelow),orinaccomplishinganextensionofitsexpiration.6
DocuSignEnvelopeID:BDF7AEC4-FF49-4A4D-920A-18D33D975CB32.8.LandscapePlanCollateral.2.8.1.PriortotheCountysissuanceofanydevelopmentpermitfortheSubdivision,SubdivideragreestoprovidetheCountytheLandscapePlanCollateralintheformandsubstanceacceptabletotheCountyAttorney,intheformofanirrevocableLetterofCredittoensuretheLandscapeImprovementswillbeinstalledaccordingtotheapprovedLandscapePlan.SubdivideragreestoprovidetheLandscapePlanCollateralfornolessthanonehundredandtwenty-fivepercent(125%)oftheestimatedcostoftheLandscapeImprovementslistedintheapprovedLandscapePlan,basedonthecostestimateprovidedbytheSubdividerandapprovedbytheCounty,assetforthinExhibitBandSection1.9,above.TheLandscapePlanCollateralshallbeintheamountof$222,923.75.2.8.2.AsportionsoftheLandscapeImprovementsarecompleted,theCommunityDevelopmentDirectorshaltinspectthem,anduponapprovalandacceptance,shallauthorizethereleasefromtheLandscapePlanCollateraloftheagreedestimatedcostforthatportionoftheLandscapeImprovements,exceptthattenpercent(10%)shallbewithhelduntilallproposedLandscapeImprovementsarecompletedandapproved,andanadditionaltwenty-fivepercent(25%)shallberetaineduntiltheLandscapeImprovementshavebeenmaintainedinasatisfactoryconditionfortwo(2)years.2.8.3.FollowinginstallationofalloftheLandscapeImprovements,theSubdividershallcertifythelandscapinghasbeeninstalledinconformancewiththeapprovedLandscapePlan.Tenpercent(10%)oftheLandscapePlanCollateralshallbereleasedwithinten(10)workingdaysfollowingreceiptofthecertificationandinspectionbytheCounty.Twenty-fivepercent(25%)oftheLandscapeCollateralshallbereleasedwithinten(10)workingdaysfollowingreceiptofcertificationandinspectionbytheCountythattheLandscapeImprovementshavebeenmaintainedinasatisfactoryconditionfortwo(2)years.2.8.4.IntheeventtheLandscapeImprovementscontainedinthecostestimateapprovedbytheCountyarenotinstalledorareinstalledinamannerthatdoesnotconformwiththeapprovedLandscapePlan,theCountymaydrawontheLandscapePlanCollateralinthesamemannerasprovidedinSections2.5and2.6abovetobringtheLandscapeImprovementsintoconformancewiththeapprovedLandscapePlan.3.INSURANCEandINDEM1JIFICATION.3.1.Indemnification.SubdividershallindemnifyandholdtheCountyharmlessfromanyandallclaimsmadeagainsttheCountybyanycontractor,subcontractor,materialmen.employee,independentcontractor,agentorrepresentativeinvolvedintheworknecessarytocomplywiththisAgreement,oronaccountofanyotherclaimsagainsttheCountybecauseoftheactivitiesconductedinfurtheranceofthetermsofthisAgreement.ThisindemnificationandholdharmlessprovisionshallincludeanylegalexpensesorcostsincurredbytheCounty.3.2.CertificatesofInsurance.TheSubdividershallsecurefromanycontractororsubcontractorengagedintheworknecessarytocomplywiththisAgreementaCertificateofInsuranceprovidingforliabilityprotectionintheminimumamountof$350,000perindividual7
DocuSignEnvelopeID:BDF7AEC4-FF49-4A4D-920A-18D33D975C3and$999,000peroccurrence,namingtheCountyasanadditionallynamedinsured.TheSubdivider,ifitservesasthecontractorfortheSubdivisionImprovements,shallprovideinsuranceinthesameformandamountsasrequiredofthegeneralcontractor.SaidlimitsshallbeadjustedtocomplywithanychangedlimitsintheColoradoGovernmentalImmunityAct,Title24,Article10,ColoradoRevisedStatutes.3.3.CountyIncursNoLiability.TheCountyshallnot,norshallanyofficeroremployeethereofbeliableorresponsibleforanyaccident,lossordamagehappeningoroccurringtotheSubdivisionand/orSubdivisionImprovementsspecifiedinthisAgreementpriortothecompletionandacceptanceofthesame;norshalltheCounty,noranyofficeroremployeethereofbeliableforanypersonsorpropertyinjuredordamagedbyreasonsofthenatureofsaidworkontheSubdivisionImprovements,butallofsaidliabilitiesshallbeandareherebyassumedbytheSubdivider.NothinginthisAgreementshallconstituteawaiverbytheCountyofitsgovernmentalimmunityunderStateorFederalcommorlaworstatute.TheSubdividerherebyagreestoindemnifyandholdharmlesstheCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichtheCountyoranyofitsofficers,agents,oremployeesmaybecomesubjectto,insofarasanysuchlosses,claims,damagesorliabilities(oractionsinrespectthereof)ariseoutoforarebaseduponanyperformanceornonperformancebytheSubdividerhereunder;andtheSubdividershallreimbursetheCountyforanyandallreasonableandcustomarylegalandotherexpensesincurredbytheCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ThisindemnityprovisionshallbeinadditiontoanyotherliabilitywhichtheSubdividermayhave.ThisindemnificationshallnotapplytoclaimsbythirdpartiesagainsttheCountytotheextentthattheCountyisliabletosuchthirdpartyforsuchclaimswithoutregardtotheinvolvementoftheSubdivider.3.4.GovernmentalImmunity.CountyisrelyingonanddonotwaiveorintendtowaivebyanyprovisionofthisAgreement,themonetarylimitationsoranyotherrights,immunities,defensesandprotectionsprovidedbytheColoradoGovernmentalImmunityAct,§24-10-101etseq.,C.R.S.,asfromtimetotimeamended,orotherwiseavailabletoCountyoritsofficersoremployees.4.GENERALPROVISIONS.ThefollowingshallapplytoallSubdivisionImprovementssetforthinthisAgreement:4.1.CompliancewithLandUseRegulations.TheSubdividershallberequiredtoobtainallnecessarypermitsandcomplywiththeprovisionsoftheLandUseRegulations,includingbutnotlimitedtotheRegulationsforConstructionwithinthePublicWaysofEagleCounty,asthesameareineffectatthetimeofcommencementofconstructionoftheSubdivisionImprovementsreferredtoherein.4.2.SubdivisionImprovementAgreementControls.IntheeventofanyinconsistencyorincongruitybetweentheprovisionsofthisAgreementandtheLandUseRegulations,theprovisionsofthisAgreementshallinallrespectsgovernandcontrol.8
DocuSignEnvelopeID:BDF7AEC4-FF49-4A4D-920A-18D33D975CB34.3.WarrantiesandGuarantees.Thereshallbeatwo-yearcorrectionperiod,orsuchlongerperiodasmaybeprescribedbylaw,fromthetimeofcompletionoftheSubdivisionImprovementsduringwhichtimetheSubdividershallpromptlycorrectorremoveandreplace,inaccordancewiththeCounty’swritteninstructions,defectiveworkormaterialsandconsequencesthereof.Repairorreplacementmadeunderthetwo-yearcorrectionperiodshallbearanadditionalone-yearcorrectionperiodfromtheacceptanceoftherepairorthereplacementbytheEagleCountyEngineer.TheworkshallbecollateralizedduringthecorrectionperiodinanamountandtypeofcollateralasshallbereasonablydeterminedbytheCounty.Theworkshallbeinspected,attherequestoftheSubdivider,nolessthansixty(60)dayspriortoexpirationoftheone-yearadditionalcorrectionperiod,andanydeficienciesshallbenotedtotheSubdivider.4.4.ApprovalofFinalPlat.TheCountyagreestotheapprovaloftheFinalPlatoftheSubdivision,subjecttothetermsandconditionsofthisAgreement.4.4.1.FinalPlatAmendments.Wherefieldchangesorothercircumstanceshavecausedtheroad,utilities,orotherSubdivisionImprovementstobeconstructedinlocationsdifferentfromthoseshownontheapprovedplans,thelocationsofrights-of-way,easements,lotlines,buildingenvelopes,setbacklines,orotherattributesshownontheFinalPlatshallbeamendedasnecessarytocomplywithFinalPlatrequirementsoftheLandUseRegulations4.5.AmendmentandModification.ThepartiesheretomutuallyagreethatthisAgreementmaybeamendedormodifiedfromtimetotime,providedthatsuchamendmentormodificationbeinwritingandsignedbyallpartieshereto.4.6.Assignability.ThisAgreementshallbeenforceableagainsttheSubdivider,provided,however,thatintheeventtheSubdividersells,transfersorassignsallorpartofthesubjectSubdivision,theobligationsoftheSubdividerunderthisAgreementastothatportionofthesubjectSubdivisionmaybeassumedinwritingbythepurchaseroftheparcel,andtheSubdividershallhavenofurtherobligationshereunder.Itisagreed,however,thatnosuchassumptionoftheseobligationsshallbeeffectiveunlesstheCountygivesitspriorwrittenapprovaltosuchassumptionfollowinganinvestigationofthefinancialconditionofthepurchaser.TheSubdividershallnototherwiseassign,transfer,convey,pledgeorotherwisedisposeofthisAgreementwithoutpriorwrittenconsentoftheCounty,whichconsentshallnotbeunreasonablywithheld.4.7.BindinguponSuccessors.ThisAgreementshallinuretothebenefitofandbebindinguponthepartieshereto,theirrespectivesuccessors,andassigns.4.8.SoleResponsibilityofSubdividerPriortoCountyAcceptance.ItisfurtheragreedandunderstoodthatatalltimespriortothecompletionandacceptanceoftheoffsiteSubdivisionImprovementssetforthhereinbytheCounty,eachofsaidimprovementsnotacceptedascompleteshallbeunderthesoleresponsibilityandchargeoftheSubdivider.WhenitisnecessarytoallowthegeneralpublictoutilizetheroadwaysunderconstructionbytheSubdivider,trafficcontrolandwarningdevicesshallbeplaceduponsuchroadwaysbytheSubdividerinaccordancewiththeManualonUniformTrafficControlDevicesforStreetsand9
