This Agreement is made and entered into by and between the Vail Valley Jet Center and the ________________(“Sponsor”).
In consideration of the mutual promises set forth herein, the parties hereby agree as follows:
1.EVENT: WHEELS AND WINGS FESTIVAL
2.Vail Valley Jet Center Responsibilities: The Vail Valley Jet Center agrees to provide all benefits and privileges
specified by the Sponsorship Level selection. Any additional agreements must be written and signed by both parties
to be vailed and enforceable.
3.Sponsors Responsibilities. In exchange for the benefits and privileges associated with the sponsorship of the event,
Sponsor agrees to pay ____________ to the Vail Valley Jet Center.
4.Promotional Limitation. (a) Except as expressly provided herein, neither the Sponsor or the Vail Valley Jet Center
shall have the right to use in any way the corporate or trade name, trademark(s), service mark(s), logo(s), or other
identification of the other party without their prior written consent. (b) Sponsor hereby grants to the Vail Valley Jet
Center a royalty-free, non-exclusive license to use and display the trademarks associated with its products or service.
Such use shall be limited solely to the duration of the sponsorship of the event and any advertising or promotional
activities relating thereto. Vail Valley Jet Center shall not use any of the Sponsor’s trademarks in a way affiliated
with or otherwise acting on behalf of Vail Valley Jet Center. Sponsor and Vail Valley Jet Center acknowledge that
the provisions of this paragraph do not convey any right, title or ownership interest in the trademark. Sponsor is
solely responsible to provide all graphics and/ or advertising copy to the Vail Valley Jet Center or its employees and
agents with any instructions as to proper use. If such instructions are not pr ovided, Vail Valley Jet Center may
modify such graphics and copy to fir any print space provided.

-Option to partner with VVJC as official VVF event airport sponsor for the Bird's of Prey 2019 Ski
Championship:
Current verbiage "Vail Valley Jet Center, located at the Eagle County Regional Airport is official
Bird's of Prey travel private FBO!"
-Recognition as main event 2018 Wheels and Wings event sponsor when awarding 2020 Aviation
Scholarship (Date TBD)
-Option to partner with VVJC to adopt a highway along local interstate or highway corridor

5.Term and Termination. This Agreement shall be effective from the date of signature through the end of the
aforementioned event.
6.Force Majeure. No party shall be responsible for events beyond its reasonable control, such as acts of God, weather
delays, government restrictions, or unforeseen commercial delays.
