RohrbackPROFESSIONALSERVICESAGREEMENTTHISPROFESSIONALSERVICESAGREEMENT(“Agreement”)ismadebetweenEagleCounty,Colorado,apoliticalsubdivisionoftheStateofColorado(“County”),andKellerRobrbackL.L.P.,withitsprincipalplaceofbusinesslocatedat1201ThirdAvenue,Suite3200,Seattle,Washington(“SpecialCounsel”,collectively“theParties”).InconsiderationofthemutualagreementscontainedinthisAgreement,andsubjecttothetermsandconditionsstatedinthisAgreement,thePartiesagreeasfollows:1.COORDINATIONWITHCOUNTYATTORNEY’SOFFICE:SpecialCounselshallfullycoordinateallservicesundertheAgreementwiththeCountyAttorneyortheCountyAttorney’sdesignatedrepresentative(“CountyAttorney”).Toprovidethebestpossiblelegalrepresentationandreducecosts,SpecialCounselagreeswheneverrequestedtoutilizethestaffoftheCountyAttorney’sOffice,togetherwithotherCountypersonnel.AsdirectedbytheCountyAttorney,SpecialCounselagreestoutilizeandcoordinatewithanyconsultantretainedbytheCountyonmattersrelatedtoSpecialCounsel’swork.SpecialCounselacknowledgesthatoneormoreAssistantCountyAttorneysmaybeassignedtoprovideadditionallegalrepresentationtotheCountyoncertainmatters.Ifapplicable,SpecialCounselshallsubmittotheCountyforapproval:budgets,workplansandcaseplansinsuchformasmayberequiredbytheCountyAttorney’sOffice.2.PROFESSIONALSERVICESTOBEPERFORMED:a.SpecialCounselshallprovideprofessionallegalservicesinconformancewiththeColoradoRulesofProfessionalConductinpursuingclaimsforabatement,damages,andinjunctivereliefagainstmanufacturersofe-cigarettesandrelatedproducts,includingbutnotlimitedtoJUULLabs,Inc.f/k/aPAXLabs,Inc.;PAXLabs,Inc.;EonsmokeLLC;AltriaGroup,Inc.;AltriaClientServicesInc.;AltriaGroupDistributionCompany;NuMarkLLC;NuMarkInnovations,Ltd.;LOEC,Inc.;Lorillard,LLC;ImperialBrandsp.l.c.;fontemVenturesB.V.;fontemU.S.,Inc.;R.J.ReynoldsVaporCompany;ReynoldsAmericanInc.;andBritishAmericanp.l.c.,andotherrelatedservicesasnecessary.SpecialCounselisready,willing,andabletoprovidetheseservicesandshallfaithfullyperformtheservicespursuanttotheAgreementinaccordancewiththestandardsofcare,skill,training,diligence,andjudgmentprovidedbyhighlycompetentindividualswhoperfonnservicesofasimilarnaturetothosedescribedintheAgreement.b.DeanKawamotoshallserveasleadattorneyforSpecialCounselandshalldirecttheprovisionofservicesunderthisAgreement.SpecialCounselshallsupplytheCountywithacopyofallpleadings,motions,briefs,interrogatories,requestsforadmissions,requestsforproductionofdocuments,memoranda,ordersandjudgmentsofthecourtorarbitrator,contracts,agreements,memoranda,orotherdocumentspreparedbySpecialCounseloranysubcontractorhiredbySpecialCounselunderthisAgreement.SpecialCounselagreesthattheCountyAttorneyshallhavefinalauthorityovertheuseofalldocumentstobepreparedintheabovematters.c.Multi-PartyRepresentation.TheCountyacknowledgesthatSpecialCounselwillrepresentnotonlytheCountyinthelitigation,butalsootherentities,includingcountiesandschooldistricts.Bymutualagreement,thePartiesmayaddadditionalparticipatingjurisdictionstothecitiesandcountiesafterthedatethisAgreementisexecuted.TheCountyagreestoSpecialCounsel’srepresentationofotherplaintiffentities.TheCountyunderstandsthatitisoneofmultipleplaintiffsrepresentedbySpecialCounselinthelitigation.TheCountyconsentstosuchrepresentationandwaivesanypotentialconflictthatmightarisefromsuchrepresentation.TheCountyfurtherunderstandstheeffectofjointrepresentationonattorney-clientconfidentiality.Attorney-clientcommunicationsareprivilegedandareprotectedagainstdisclosuretoathirdparty.ByenteringintothisAgreement,theCountywaives anyrightitmayhavetorequireSpecialCounseltodisclosetotheCountyanyconfidencesSpecialCounselhaveobtainedfromanyotherplaintiffregardingsimilarlitigation.BythisAgreement,theCountyalsoauthorizesandprovidesitsconsentforSpecialCounseltoundertakeaggregatesettlementdiscussionsofallclaimsSpecialCounselfilesonbehalfoftheCountyandanyotherclientsthatSpecialCounselrepresents.Nocityorcounty’sdecisiontosettleclaimsinthelitigationshallbebindingonanyothercityorcounty.3.TERM:TheAgreementwillcommenceDecember,2019andwillexpireontheconclusionofallassignedlitigationoronDecember,2022,whicheveroccurslater(the“Term”).4.PAYMENT:a.Payment,ifany,isbasedonacontingencyfee,withallcostsadvancedbySpecialCounsel,andifapplicable,willincludecostsincurredbypartnerfinns.AnypaymentobligationoftheCountyiscontingentuponreceiptandsupplementalappropriationofthelitigationrecoverycollectedpursuanthereto.SpecialCounselshalladvancecourtcostsandothercostsrelatedtothelitigation,therepaymentofwhichshallbecontingentuponthesuccessfulrecoverybytheCountyoflitigationrevenuefromdefendantspursuanthereto.ThepercentagebelowshallbeappliedtothenetamountcollectedbytheCountyafierthesubtractionofcourtcostsandcostsrelatedtothelitigation.Intheeventthatacourtdeterminestheawardofattorneys’feesuponresolutionoftheSpecialCounselMatter,SpecialCounselwillreceiveanamountequaltothegreaterofthecourt-awardedattorneys’feesorthecontingencyfee.SpecialCounselfeesshallnotexceedanamountequalto$1000/hour(ONETHOUSANDDOLLARSPERHOUR)multipliedbythenumberofhoursspentonthisSpecialCounselMatter.b.IftheCountyobtainsarecoverypursuanthereto,SpecialCounselshallbereimbursedoutoftherecoveryforitsoutofpocketcostsincurredinthepreparationandpresentationoftheCounty’sclaims,includingwithoutlimitationfilingfees,costsofconsultants,costsofexpertwitnesses,costsofobtainingrecords,depositioncosts,mileage,travelcosts,investigationcosts,photographiccosts,copyingcosts,laywitnessfees,andcomputeraccesscharges,asoutlinedinExhibitA.CostswillbebilledatactualcostorastandardperunitchargewhichthePartiesagreeapproximatesactualcost.Ifanopposingpartyisawardedcostsandattorney’sfeesagainsttheCountyduetotheCounty’sdereliction,theCountyshallberesponsibleforpaymentthereof.c.TheCounty’spaymentobligation,whetherdirectorcontingent,extendsonlytofundsappropriatedannuallybytheCountylegislativebody,paidintotheTreasuryoftheCounty,andencumberedforthepurposeoftheAgreement.TheCountydoesnotbytheAgreementirrevocablypledgepresentcashreservesforpaymentorperformanceinfuturefiscalyears.TheAgreementdoesnotandisnotintendedtocreateamultiple-fiscalyeardirectorindirectdebtorfinancialobligationoftheCounty.d.CalculationofAttorneys’fees.(1)Attorneys’Feesarecontingentwithaflatratecontingencyfeeof15%ofsumsrecoveredupto$100million,totalinaggregatefortheCounty.AsitisusedinthisAgreement,theterm“sumsrecovered”includes,butisnotlimitedto,anyproceedsrecoveredasaresultofthelitigationonbehalfoftheCounty,includingthecreationofasettlementfund.Ifmorethan$100millionisrecovered,thenthefeewillbe15%onthefirst$100million.Onanyadditionalamountoverandabove$100million,thefeeonthatadditionalamountwillbe10%.(2)Forpurposesofcalculatingthefee,costswillbedeductedfromthesumsrecoveredbeforethefeeiscalculated.5.TYPEOFATTORNEYS’FEEAGREEMENTS:TheCountyhasbeeninformedandunderstandsthatthereareseveraltypesofattorneyfeearrangements:(1)timebased,(2)fixed,(3)contingent,or(4)combinationsofthesetypesoffeearrangements.“Timebased”meansafeethatis21717 determinedbytheamountoftimeinvolvedsuchassomuchperhour,dayorweek.“fixed”meansafeethatisbasedonanagreedamountregardlessofthetimeoreffortinvolvedortheresultobtained.“Contingent”meansacertainagreedpercentageoramountthatispayableonlyuponattainingarecoveryregardlessofthetimeoreffortinvolved.TheCountyunderstandsthatnotallattorneysofferallofthesedifferenttypesoffeearrangements,andtheCountyacknowledgesthatithastherighttocontactotherattorneystodetermineiftheymayprovidesuchotherfeearrangementsforitscaseormatter.Aftersuchconsiderationorconsultation,theCountyelectedthefeearrangementsetforthabove.6.STATEMENTOfSERVICESRENDERED:SpecialCounselshallsubmittotheCountyafinaldisbursementstatementidentifyingtheamountofrecovery,thephaseoflitigationduringwhichthecaseisresolved,andotherinformationanddocumentationrequiredbytheColoradoSupremeCourtRulesgoverningcontingentfees,orasrequestedbytheCountyAttorney.ApartnerofSpecialCounselshallverifythestatement.Thefinaldisbursementstatementshallbetreatedasaconfidentialattorney-clientprivilegeddocumentandwillremainassuchuntilandunlesstheCountyAttorneyotherwisedirects.SpecialCounselshallalsoprovidestatusreportsandupdatesregardingthelitigationasmayberequestedfromtimetotimebytheCountyAttorney.7.STATUSOfSPECIALCOUNSEL:ThestatusofSpecialCounselunderthisAgreementshallbethatoflicensedattorneysatlaw,providingprofessionallegalservicestotheCountyunderthisAgreement,andneitherSpecialCounselnoritsagentsorpersonnelshallbeconsideredemployeesoftheCountyforanypurposewhatsoever.8.TERMINATION:ThePartiesmayterminatethisAgreementatanytime,withorwithoutcauseuponthirty(30)dayswrittennotice.TerminationshallbesubjecttoCourtconsent,ifsuchconsentisrequired.IfSpecialCounsel’sservicesareterminated,itshallbepaidonlyforthatportionofservicessatisfactorilycompletedinaccordancewiththisAgreementatthetimeofnoticeofsuchaction,andonlyoutofanylitigationrecoverycollectedfromdistributerormanufacturercompaniespursuanttoproceedingsinitiatedordefendedhereunder.9.EXAMINATIONOFRECORDS:AnyauthorizedagentoftheCounty,includingtheCountyAttomey,hastherighttoaccessandtherighttoexamineanypertinentbooks,documents,papersandrecordsofSpecialCounsel,involvingtransactionsrelatedtotheAgreementuntilthelatterofthree(3)yearsafterthefinalpaymentundertheAgreementorexpirationoftheapplicablestatuteoflimitations.10.WHENRIGHTSANDREMEDIESNOTWAIVED:InnoeventwillanypaymentorotheractionbytheCountyconstituteorbeconstruedtobeawaiverbytheCountyofanybreachofcovenantordefaultthatmaythenexistonthepartofSpecialCounsel.Nopayment,otheraction,orinactionbytheCountywhenanybreachordefaultexistswillimpairorprejudiceanyrightorremedyavailabletoitwithrespecttoanybreachordefault.Noassent,expressedorimplied,toanybreachofanytermoftheAgreementconstitutesawaiverofanyotherbreach.11.INSURANCE:a.GeneralConditions:SpecialCounselagreestosecure,atorbeforethetimeofexecutionofthisAgreement,thefollowinginsurancecoveringalloperations,goodsorservicesprovidedpursuanttothisAgreement.SpecialCounselshallkeeptherequiredinsurancecoverageinforceatalltimesduringthetermoftheAgreement,oranyextensionthereof,duringanywarrantyperiod,andforthree(3)yearsafterterminationoftheAgreement.TherequiredinsuranceshallbeunderwrittenbyaninsurerlicensedorauthorizedtodobusinessinColoradoandratedbyA.M.BestCompanyas“A-”VIIIorbetter.EachpolicyshallcontainavalidprovisionorendorsementrequiringnotificationtotheCountyintheeventanyoftherequiredpoliciesbecanceledornon-renewedbeforetheexpirationdatethereof.SuchwrittennoticeshallbesenttothePartiesidentifiedintheNoticessectionofthisAgreement.Saidnoticeshallbesentthirty(30)dayspriortosuchcancellationornon-renewalunlessduetonon-payment3 ofpremiumsforwhichnoticeshallbesentten(10)daysprior.Ifsuchwrittennoticeisunavailablefromtheinsurer,contractorshaltprovidewrittennoticeofcancellation,non-renewalandanyreductionincoveragetothePartiesidentifiedintheNoticessectionbycertifiedmail,returnreceiptrequestedwithinthree(3)businessdaysofsuchnoticebyitsinsurer(s)andreferencingtheCountycontractnumber.Ifanypolicyisinexcessofadeductibleorself-insuredretention,theCountymustbenotifiedbySpecialCounsel.SpecialCounselshallberesponsibleforthepaymentofanydeductibleorself-insuredretention.TheinsurancecoveragesspecifiedinthisAgreementaretheminimumrequirements,andtheserequirementsdonotlessenorlimittheliabilityofSpecialCounsel.SpecialCounselshallmaintain,atitsownexpense,anyadditionalkindsoramountsofinsurancethatitmaydeemnecessarytocoveritsobligationsandliabilitiesunderthisAgreement.b.ProofofInsurance—Workers’Compensation,CommercialGeneralLiability,andProfessionalLiability:SpecialCounselshallprovideacopyofthisAgreementtoitsinsuranceagentorbroker.SpecialCounselmaynotcommenceservicesorworkrelatingtotheAgreementpriortoplacementofcoverage.SpecialCounselcertifiesthatthecertificateofinsuranceattachedasExhibitB,preferablyanACORDcertificate,complieswithallinsurancerequirementsofthisAgreementwiththeexceptionofthePersonalAutomobileinsurancerequirement.AcceptanceofacertificateofinsuranceorotherproofofinsurancethatdoesnotcomplywithallinsurancerequirementssetforthinthisAgreementshallnotactasawaiverofSpecialCounsel’sbreachofthisAgreementorofanyoftheCountyrightsorremediesunderthisAgreement.TheCountymayrequireadditionalproofofinsurance,includingbutnotlimitedtopoliciesandendorsements.c.AdditionalInsureds:forCommercialGeneralLiability,SpecialCounselandsubcontractor’sinsurer(s)shallnametheCounty,itselectedandappointedofficials,employeesandvolunteersasadditionalinsured.d.WaiverofSubrogation:Forallcoverages,SpecialCounsel’sinsurershallwaivesubrogationrightsagainsttheCounty.e.SubcontractorsandSubconsultants:Allsubcontractorsandsubconsultants(includingindependentcontractors,suppliersorotherentitiesprovidinggoodsorservicesrequiredbythisAgreement)shallbesubjecttoalloftherequirementshereinandshallprocureandmaintainthesamecoveragesrequiredofSpecialCounsel.SpecialCounselshallincludeallsuchsubcontractorsasadditionalinsuredunderitspolicies(withtheexceptionofWorkers’Compensation)orshallensurethatallsuchsubcontractorsandsubconsultantsmaintaintherequiredcoverages.SpecialCounselagreestoprovideproofofinsuranceforallsuchsubcontractorsandsubconsultantsuponrequestbytheCounty.f.Workers’Compensation/Employer’sLiabilityInsurance:SpecialCounselshallmaintainthecoverageasrequiredbystatuteforeachworklocationandshallmaintainEmployer’sLiabilityinsurancewithlimitsof$100,000peroccurrenceforeachbodilyinjuryclaim,$100,000peroccurrenceforeachbodilyinjurycausedbydiseaseclaim,and$500,000aggregateforallbodilyinjuriescausedbydiseaseclaims.SpecialCounselexpresslyrepresentstotheCounty,asamaterialrepresentationuponwhichtheCountyisrelyinginenteringintothisAgreement,thatnoneofSpecialCounsel’sofficersoremployeeswhomaybeeligibleunderanystatuteorlawtorejectWorkers’CompensationInsuranceshalleffectsuchrejectionduringanypartofthetermofthisAgreement,andthatanysuchrejectionspreviouslyeffected,havebeenrevokedasofthedateSpecialCounselexecutesthisAgreement.g.CommercialGeneralLiability:SpecialCounselshallmaintainaCommercialGeneralLiabilityinsurancepolicywithlimitsof$1,000,000foreachoccurrence,$1,000,000foreachpersonalandadvertisinginjuryclaim,$2,000,000productsandcompletedoperationsaggregate,and$2,000,000policyaggregate.4 h.BusinessAutomobileLiability:SpecialCounselshallmaintainbusinessautomobileliabilitywithlimitsof$1,000,000combinedsinglelimitapplicabletoallowned,hiredandnon-ownedvehiclesusedinperformingservicesundertheAgreement.1.ProfessionalLiability:SpecialCounselshallmaintainprofessionalliabilitylimitsof$1,000,000perclaimand$1,000,000aggregatepolicylimit.j.AdditionalProvisions:(1)ForCommercialGeneralLiability,thepoliciesmustprovidethefollowing:A.ThatthisAgreementisanInsuredContractunderthepolicy;B.Defensecostsareinexcessofpolicylimits;C.Aseverabilityofinterestsorseparationofinsuredsprovision(noinsuredvs.insuredexclusion);andD.Aprovisionthatcoverageisprimaryandnon-contributorywithothercoverageorself-insurancemaintainedbytheCounty.(2)Forclaims-madecoverage:E.TheretroactivedatemustbeonorbeforethecontractdateorthefirstdatewhenanygoodsorserviceswereprovidedtotheCounty,whicheverisearlier;andF.SpecialCounselshalladvisetheCountyintheeventanygeneralaggregateorotheraggregatelimitsarereducedbelowtherequiredperoccurrencelimits.(3)Attheirownexpense,andwheresuchgeneralaggregateorotheraggregatelimitshavebeenreducedbelowtherequiredperoccurrencelimit,SpecialCounselwillprocuresuchperoccurrencelimitsandfurnishanewcertificateofinsuranceshowingsuchcoverageisinforce.12.COLORADOGOVERNMENTALIMMUNITYACT:InrelationtotheAgreement,theCountyisrelyinguponandhasnotwaivedthemonetarylimitationsandallotherrights,immunitiesandprotectionprovidedbytheColoradoGovernmentalAct,C.R.S.§24-10-101etseq.13.TAXES,CHARGESANDPENALTIES:TheCountyisnotliableforthepaymentoftaxes,latechargesorpenaltiesofanynature.SpecialCounselshallpromptlypaywhendue,alltaxes,bills,debtsandobligationsitincursperformingtheservicesundertheAgreementandshallnotallowanylien,mortgage,judgmentorexecutiontobefiledagainsttheCounty’sproperty.14.ASSIGNMENT;SUBCONTRACTING:Exceptasspecificallyauthorizedhereunder,SpecialCounselshallnotvoluntarilyorinvoluntarilyassignanyofitsrightsorobligations,orsubcontractperformanceobligations,underthisAgreementwithoutobtainingtheCountyAttorney’spriorwrittenconsent.Exceptasspecificallyauthorizedhereunder,anyassignmentorsubcontractingwithoutsuchconsentwillbeineffectiveandvoid,andshallbecauseforterminationofthisAgreementbytheCounty.TheCountyAttorneyhassoleandabsolutediscretionwhethertoconsenttoanyassignmentorsubcontracting,ortoterminatetheAgreementonaccountofunauthorizedassignmentorsubcontracting.Intheeventofanysubcontractingorunauthorizedassignment:(i)SpecialCounselshallremainresponsibletotheCounty;and(ii)nocontractualrelationshipshallbecreatedbetweentheCountyandanysub-consultant,subcontractororassign.5 15.INUREMENT:TherightsandobligationsofthePartiestotheAgreementinuretothebenefitofandshallbebindinguponthePartiesandtheirrespectivesuccessorsandpermittedassigns,providedassignmentsareconsentedtoinaccordancewiththetermsoftheAgreement.16.NOTHIRDPARTYBENEFICIARY:EnforcementofthetermsoftheAgreementandallrightsofactionrelatingtoenforcementarestrictlyreservedtotheParties.NothingcontainedintheAgreementgivesorallowsanyclaimorrightofactiontoanythirdpersonorentity.AnypersonorentityotherthantheCountyorSpecialCounselreceivingservicesorbenefitspursuanttotheAgreementisanincidentalbeneficiaryonly.17.NOAUTHORITYTOBINDCOUNTYTOCONTRACTS:SpecialCounsellacksanyauthoritytobindtheCountyonanycontractualmatters.finalapprovalofallcontractualmattersthatpurporttoobligatetheCountymustbeexecutedbytheCountyinaccordancewiththeCountyContractandDelegationPolicy.1$.SEVERABILITY:ExceptfortheprovisionsoftheAgreementrequiringappropriationoffundsandlimitingthetotalamountpayablebytheCounty,ifacourtofcompetentjurisdictionfindsanyprovisionoftheAgreementoranyportionofittobeinvalid,illegal,orunenforceable,thevalidityoftheremainingportionsorprovisionswillnotbeaffected,iftheintentofthePartiescanbefulfilled.19.CONFLICTOFINTEREST:a.NoemployeeoftheCountyshallhaveanypersonalorbeneficialinterestintheservicesorpropertydescribedintheAgreement.SpecialCounselshallnothire,orcontractforserviceswith,anyemployeeorofficeroftheCounty.b.SpecialCounselacknowledgesthatitanditsattorneysareboundbytheColoradoRulesofProfessionalConductapplicabletoColoradoattorneys,includingwithoutlimitationRule1.7,whichaddressesalawyer’sengagementundercircumstancesinvolvingaconflictofinterest.SpecialCounselshallnotengageinanytransaction,activityorconductthatwouldresultinaconflictofinterestundertheAgreement.c.TheCountyunderstandsthatitisoneofmultiplegovernmentalplaintiffsbeingrepresentedbySpecialCounselinthelitigation.d.TheCountyconsentstosuchrepresentationandwaivesanypotentialconflictthatmightarisefromsuchrepresentationofothergovernmentalentities.TheCountyrecognizesandagreesthatanaggregatesettlementofmultipleJUULcasesatonetimemaybereached.Inthisscenario,theclaimsbroughtonbehalfoftheCountymaybesettledonlywiththeCounty’spriorapproval.TheCountyhasfinaldecision-makingauthorityastowhethertoacceptanyproposedsettlementoftheCounty’sclaims.IftheCountyrejectsanysuchsettlementproposal(s),SpecialCounselshallcontinuetorepresenttheCountythroughanytrialandappellateproceedingsoftheCounty’sclaims,exceptasotherwiseindicated.TheCounty’sdecisiontorejecttheproposedsettlementshallnotpreventotherclientsrepresentedbySpecialCounselinthelitigationfromacceptinganaggregatesettlementorotherwiseresolvingtheirownclaims.e.Excepttotheextentindicatedabove,SpecialCounselrepresentsthatithasdisclosedanyandallcurrentorpotentialconflictsininterest,andarenotawareofanypendingmattersorproceedingsinwhichtheyrepresentclientswithpositionsorinterestsadversetotheCounty.SpecialCounselwillnotifytheCountyAttorneybeforeundertakingtorepresentanyclientinsuchmatters.20.NOTICES:NoticesconcerningterminationoftheAgreement,allegedoractualviolationsofthetermsoftheAgreement,andmattersofsimilarimportancemustbehanddelivered,sentbyovernightcourierservice,mailedbycertifiedmail,returnreceiptrequested,ormailedviatheU.S.PostalService,postageprepaid,iftoSpecialCounselattheaddressfirstabovewritten,andiftotheCountyat:6 d.SpecialCounselisliableforanyviolationsasprovidedintheCertificationStatute.IfSpecialCounselviolatesanyprovisionofthissectionortheCertificationStatute,theCountymayterminatethisAgreementforabreachoftheAgreement.IftheAgreementissoterminated,SpecialCounselshallbeliableforactualandconsequentialdamagestotheCounty.AnysuchterminationofacontractduetoaviolationofthissectionortheCertificationStatutemayalso,atthediscretionoftheCounty,constitutegroundsfordisqualifyingSpecialCounselfromsubmittingbidsorproposalsforfuturecontractswiththeCounty.22.GOVERNINGLAW;VENUE:TheAgreementwillbeconstruedandenforcedinaccordancewithapplicablefederallawandthelawsoftheStateofColorado,whichareexpresslyincorporatedintotheAgreement.Unlessotherwisespecified,anyreferencetostatutes,laws,regulations,charterorcodeprovisions,ordinances,executiveorders,orrelatedmemoranda,includesamendmentsorsupplementstosame.VenueforanylegalactionrelatingtotheAgreementwillbeintheEagleCountyDistrictCourtoftheStateofColorado.23.NODISCRIMINATIONINEMPLOYMENT:InconnectionwiththeperformanceofworkundertheAgreement,SpecialCounselmaynotrefusetohire,discharge,promoteordemote,ordiscriminateinmattersofcompensationagainstanypersonotherwisequalified,solelybecauseofrace,color,religion,nationalorigin,gender,age,militarystatus,sexualorientation,genderexpressionorgenderidentity,maritalstatus,orphysicalormentaldisability.SpecialCounselshallinserttheforegoingprovisioninallsubcontracts.24.COMPLIANCEWITHALLLAWS:SpecialCounselshaltperformorcausetobeperformedallservicesinfullcompliancewithallapplicablelaws,rules,regulationsandcodesoftheUnitedStatesandStateofColorado;andwithrulesandregulationsoftheCounty.25.LEGALAUTHORITY:SpecialCounselrepresentsandwarrantsthatitpossessesthelegalauthority,pursuanttoanyproper,appropriateandofficialmotion,resolutionoractionpassedortaken,toenterintotheAgreement.EachpersonsigningandexecutingtheAgreementonbehalfofSpecialCounselrepresentsandwarrantsthathehasbeenfullyauthorizedbySpecialCounseltoexecutetheAgreementonbehalfofSpecialCounselandtovalidlyandlegallybindSpecialCounseltoalltheterms,performancesandprovisionsoftheAgreement.TheCountyshallhavetheright,initssolediscretion,toeithertemporarilysuspendorpermanentlyterminatetheAgreementifthereisadisputeastothelegalauthorityofeitherSpecialCounselorthepersonsigningtheAgreementtoenterintotheAgreement.26.NOCONSTRUCTIONAGAINSTDRAFTINGPARTY:ThePartiesandtheirrespectivecounselhavehadtheopportunitytoreviewtheAgreement,andtheAgreementwillnotbeconstmedagainstanypartymerelybecauseanyprovisionsoftheAgreementwerepreparedbyaparticularparty.27.ORDEROFPRECEDENCE:IntheeventofanyconflictsbetweenthelanguageoftheAgreementandtheexhibits,thelanguageoftheAgreementcontrols.28.INTELLECTUALPROPERTYRIGHTS:TheCountyandSpecialCounselintendthatallpropertyrightstoanyandallmaterials,text,logos,documents,booklets,manuals,references,guides,brochures,advertisements,music,sketches,plans,drawings,prints,photographs,specifications,software,data,products,ideas,inventions,andanyotherworkorrecordedinformationcreatedbySpecialCounselandanysubcontractorhereunderandpaidforbytheCountypursuanttothisAgreement,inpreliminaryorfinalformandonanymediawhatsoever(collectively,“Materials”),shallbelongtotheCounty.SpecialCounselshalldiscloseallsuchitemstotheCounty.TotheextentpermittedbytheU.S.CopyrightAct,17USC§101etseq.,theMaterialsarea“workmadeforhire”andallownershipofcopyrightintheMaterialsshallvestintheCountyatthetimetheMaterialsarecreated.TotheextentthattheMaterialsarenota“workmadeforhire,”SpecialCounselandanysubcontractorhereunder(bythisAgreement)sells,assignsandtransfersallright,titleandinterestinandtotheMaterialstotheCounty,8
