HomeMy WebLinkAboutC19-392 Mountain Family Health CentersFIFTH AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND MOUNTAIN FAMILY HEALTH CENTERS THIS FIFTH AMENDMENT (“Fifth Amendment”) is effective as of __________________, by and between Mountain Family Health Centers, a Colorado non-profit corporation (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 27th of July, 2016, and effective as of September 1, 2016, for certain Services (the “Original Agreement”) (C16-388); and WHEREAS, by a First Amendment dated the 28th day of July, 2017, the parties reduced the scope of services and compensation as set forth in the Original Agreement; and WHEREAS, by a Second Amendment dated the 20th day of December, 2017, the parties extended the term of the Original Agreement through December 31, 2018; and WHEREAS, by a Third Amendment dated the 2nd day of December, 2018, the parties amended certain provisions in the Original Agreement; and WHEREAS, by a Fourth Amendment dated the 21st day of December, 2018, the parties amended the term of the Original Agreement; and WHEREAS, the term of the Fourth Agreement expires on the 31st day of December, 2019 and the parties desire to extend the term of the Original Agreement for an additional year on the same terms and conditions as set forth in the Original Agreement and as modified herein. FIFTH AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include additional Services as described in Exhibit 1, which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed $15,600 or a total maximum compensation under the Original Agreement and this Fifth Amendment of $15,600. 3. The term of the Original Agreement is hereby extended to the 31st day of December, 2020. Capitalized terms in this Fifth Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the Fifth Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this Fifth Amendment shall govern and control the rights and obligations of the parties. 5. Except as expressly altered, modified and changed in this Fifth Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This Fifth Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. Fernandez COO EXHIBIT A SCOPE OF SERVICES, SCHEDULE, FEES Purpose: Promote, support, and monitor the nutrition, wellness, safety and health needs of the children enrolled in Early Head Start, in compliance with mandatory program requirements. Qualifications per Head Start Program Performance Standards and Other Regulations: Health services must be supported by staff or consultants with training and experience in public health, nursing, health education, maternal and child health, or health administration. Contractor Responsibilities: • Monitor and review compliance of preventative health and developmental screenings for all Eagle County Early Head Start (EHS) enrolled children on a monthly basis to ensure compliance with EHS and Early and Periodic Screening, Diagnostic, and Treatment (EPSDT) schedule of preventative care. • Follow up with families and medical providers to address identified health needs or to complete requirements. • Obtain health records and immunizations for enrolled clients. • Monitor and review data entered into the database for the annual Program Information Report (PIR) and for individual and program planning using the federally required database system (Child Plus) on a monthly basis at minimum. Enter follow up data and case notes into database as required. • Ensure identified EHS children's health and nutrition concerns are addressed with information and/or referrals made to appropriate agencies and/or specialists. • Establish and maintain relationships and actively collaborate with the medical and dental communities (including programs outside of the Mountain Family Health Centers network) and other community agencies and partners to ensure appropriate referrals. • Review and revise health and nutrition information EHS Home Visitors share with families as needed. • Be available to EHS Home Visitors and families to answer health related questions and provide consultation. • Participate, as needed, in EHS events including group socials, parent committees, etc. to ensure service coordination (some evening and weekend meetings may be required). • Review and provide input for revisions to the EHS annual service plan for the health and nutrition areas. • Track the dates that EHS staff completes health, safety and nutrition questionnaires’ and provide reminders to EHS staff if these questionnaires are not completed timely. • Conduct quarterly health and safety checks of EHS child care centers (currently three locations – Family Learning Center, Edwards CO, Eagle Valley Elementary School Preschool, Eagle CO and Basalt Campus Kids, Basalt CO). • Review child specific health information and refer children who have high or low Body Mass Index to the registered dietician who is contracted with EHS. • These services are to be provided in English and in Spanish. DocuSign Envelope ID: 98A9E45C-F644-4110-9048-48A155E48979 2 Eagle County HHS Prof Serv Final 5/14 • Contractor may use any internal staff members to meet the requirements of the contract, however, it is understood that there will be one primary staff person performing a majority of the duties. The identified staff person will work out of Eagle County DHS offices an average of one day a week with additional availability outside of that day as required. County Responsibilities: • Provide work space to Contractor at EHS Lake Creek offices and other Eagle County offices if needed. Work space may change and may be shared with other Eagle County staff and contractors. • Provide access to EHS files and access to the federally required online database tracking system (Child Plus). • Provide administrative support for basic data entry into Child Plus system and training support on use of this system. • Provide training and technical assistance for all duties outlined above. • Provide one point of contact on the EHS team who will monitor the duties outlined above. Payment and Fee Schedule: 1. County agrees to pay Contractor $1,300 per month, a total not to exceed contract value of $15,600. 2. Contractor to submit invoice on a quarterly basis. 3. Contractor’s performance will be monitored based on measures recorded through Child Plus database, including but not limited to: a. Reducing the number of waivers recorded for children not meeting the EPSDT preventative care schedule, and b. Increasing the percentage of EHS children completing required follow up appointments.
