SPECIAL COUNTY ATTORNEY THIS FOURTH AMENDMENT (“Fourth Amendment”) is effective as of _________________, by and between Alison Casias, Esq., Special County Attorney (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 25th day of October, 2016, for certain Services (the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain Services with compensation in an amount not to exceed $75,600; and WHEREAS, the Second Amendment contemplated that the Consultant would perform additional Services for additional compensation in an amount not to exceed $78,600; and WHEREAS, the term of the Second Amendment expired on the 31st day of December, 2018, and the parties extended the term for an additional year; and WHEREAS, the term of the Third Amendment expires on the 31st day of December, 2019, and the parties desire to extend the term for an additional year. FOURTH AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to extend the term to the 31st day of December, 2020. 2. Capitalized terms in this Fourth Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the Fourth Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this Fourth Amendment shall govern and control the rights and obligations of the parties. 3. Except as expressly altered, modified and changed in this Fourth Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. This Fourth Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. COUNTY OF EAGLE, STATE OF COLORADO, By and Through Its COUNTY MANAGER By: ______________________________ Jeff Shroll, County Manager CONSULTANT By: _____________________________________ Print Name: ______________________________ Title: ___________________________________ DocuSign Envelope ID: EE772D5C-6011-4A02-98D5-41F2ADAE8234 Alison Casias Special Assistant County Attorney 3 Eagle County Amendment Ext Term Final 5/14 EXHIBIT A Scope of Services, Schedule & Fees Services: Contractor agrees to diligently provide all services, labor, personnel and materials necessary to perform and complete the services described in this document: • Contractor accepts the position of Special County Attorney for, and only for, the purposes specifically enumerated in this Agreement, and in all proceedings hereunder she shall appear as counsel for Eagle County Department of Human Services (ECDHS) acting as Special County Attorney for Eagle County, Colorado. • Contractor agrees to act as Special County Attorney so as to provide legal services, consultation and legal guidance to ECDHS for: o Child welfare cases coming under the jurisdiction of the County pursuant to Title 19 of the Colorado Revised Statues and the Colorado Children’s Code, as amended, that require legal determinations, as well as any advice, counsel, or other representation relating to the normal operation of the ECDHS child welfare team, and o Adult protective services including conservatorship and guardianship proceedings. • Duties will include legal representation in court, legal preparation in court, participating in relevant DHS Family Engagement Meetings, client staffings and consultations on new investigations and potential abuse and neglect cases. • Contract agrees to submit a yearly summary of legal cases and coordination by January 15th for the preceding year. • Contractor agrees to furnish the Services in a timely and expeditious manner consistent with the applicable standard of care. • Contractor represents that she has the expertise and personnel necessary to properly and timely perform the Services. • Contract agrees that she will not enter into any consulting or other arrangements with third parties that conflict in any manner with the Services. Schedule & Fees: • Ms. Casias will submit invoices directly to ECDHS each month. • ECDHS will pay Ms. Casias on a monthly basis in equal installments of $6,550.00. • Services shall not exceed $78,600.00 per calendar year.
