HomeMy WebLinkAboutC19-357 VeraCityFIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND VERACITY, LLC THIS FIRST AMENDMENT (“First Amendment”) is effective as of the 11th day of October, 2019 by and between VeraCity, LLC, a Colorado limited liability company (hereinafter “Consultant” or “Contractor”) and Eagle County, Colorado, a body corporate and politic (hereinafter “County”). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 27th day of March, 2019, for certain Services (the “Original Agreement”); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain Services with compensation in an amount not to exceed $30,000; and WHEREAS, the County desires to have Consultant perform additional Services for additional compensation as set forth below; and WHEREAS, the term of the Original Agreement expires on the 31 day of December, 2019, and the parties desire to extend the term for an additional five months. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include additional Services as described in Exhibit 1, which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed $8,925.00 or a total maximum compensation under the Original Agreement and this First Amendment of $30,000.00. 3. The term of the Original Agreement is hereby extended to the 30th day of May, 2020. 4. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. 5. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. The “Mid-Valley Trails Plan” is intended as a reference guide and planning document for the improvement or expansion of trail systems in the Roaring Fork and Frying Pan river valleys of Eagle County that serve bicyclists, pedestrians and equestrians. The plan will address both multi-use paved trail systems and soft-surface dirt or gravel trail systems in this area, as well as linkage to existing or proposed trails in adjacent Pitkin and Garfield counties. The plan is also intended to serve as resource for evaluating land use development proposals and related trail connectivity. As described in this Scope of Work, it is envisioned that the existing plan draft, as prepared by Community Development staff and the citizen-volunteer Mid-Valley Trails Committee requires the following attention to reach completion: Text editing, expanded text, verification of existing information and adding missing information, coordination of photo and map exhibits, and reformatting. Outreach to trail stakeholders/partners, trail advocacy groups, land use commissions and local, state and federal government agencies is planned as part of this final draft work. The document is intended to be as succinct as possible through text and visual exhibits. Following completion of a final draft document that has been deemed acceptable by the Eagle County Community Development Director, Mid-Valley Trails Committee and staff, and other reviewers and partners to be determined, the plan will be released to the public for review and comment, and referred to agencies and other interested parties for comment. The final action of adoption would be taken by the Roaring Fork Regional Planning Commission of Eagle County. VeraCity, LLC, has been requested to perform the necessary work as herein described for total services cost of $8,925.00. The following agencies, groups or individuals are abbreviated in the scope as follows: Mid-Valley Trails (MVT), Mid-Valley Trails Staff (MVTS), Mid-Valley Trails Committee (MVTC), Community Development Director (CDD), Community Development Department (CD), Eagle County (EC), Geographic Information Systems (GIS), Roaring Fork Regional Planning Commission (RFRPC). EXTEND CONTRACT The Term of the original Agreement between VeraCity and Eagle County shall be extended through this amendment from December 31,2019 to May 30,2020 to accommodate the work described in this Amendment. Review existing draft plan and background information (2 hrs.) 2. Meetings with Mid-Valley Trails Staff (via e-mail, phone or in-person) ( 3 hrs.) 3. Meetings with members of Mid-Valley Trails Committee as needed (via e-mail, phone or in-person) (3hrs.) 4. Field checks as required (primarily an MVTS/MVTC task) (2 hrs.) 5. Map review/edits with Eagle County GIS, MVT and CD staff (6 hrs.) 6. Review of trail or master plans by partner agencies or organizations (2 hrs.) 7. Meetings/Phone conferences with partners as check-in/introduction (5 hrs.) 8. Document revisions - content and format (22 hrs.) 9. Release draft for review to MVTS, MVTC, CD, EC other (1 hr.) 9. Project management and general communications with CDD as weekly updates (2 hrs.) Deliverables and Schedule: Draft Mid-Valley Trails Plan document for CDD, MVTS and MVTC review complete by December 31, 2019 with intent to review and obtain comments at the MVTC January, 2020 meeting and from EC staff by a date to be determined. TASK 2: Stakeholder Referral and Final Plan Edit Estimated task hours: 37 hours @ $85.00 per hour = $3,145.00 Task 1 schedule: Commence work January 2, 2019, complete February 28, 2020 This cost estimate could be a little over if the comments received are not substantial in which case there would be funding for the items called out in Task 3 that may take more time than the budget accommodates. In other words, I’m assuming some flexibility within the scope particular with portions involving process and response from others. I’d consult with you on where best to spend time e.g. working with Legal, staff report, etc. Work will include the following components: 1. Jan. 2020 meeting with MVTS/MVT (1 @ 3 hrs.) (Publicity recommended) 2. Revise draft per MVTS, MVTC, CD, Eagle County Legal and Engineering initial review comments (8 hrs.) 3 Map review/edits with GIS (2 hrs.) 4. Coordinate release (through CDD) of draft plan to partner/stakeholder agencies and public for 30-day review (4 hrs.) 5. Work session with RFRPC, includes preparation with MVTS and CDD (3 hrs.) 6. Revise and prepare Final Plan for adoption per agency, RFRPC and public comments (15 hrs.) 7. Project management and general communications with CDD as weekly updates (2 hrs.) Final schedule to be determined by CDD. Work ​may​ include the following components, as mutually agreed to with CDD and as remaining budget allows: 1.Staff report and video presentation preparation for RFRPC 2.Coordination with Legal to prepare adoption resolution and other reviews 3.Coordination of legal notices as required 4.Staff presentation to RFRPC 5.Assist in presentation to BoCC as information item, with CDD and MVTS WORK TO BE PERFORMED BY OTHERS: VeraCity scope of work deliverables and schedule assumes timely product delivery by all other parties involved in the project including but not limited to MVTS, MVTC, Eagle County staff and partners or stakeholders. To the best of its ability, Veracity will work to coordinate timely delivery or product and comments by others, but will rely on CDD for assistance in this effort as needed. The following work will be performed by others towards completion of the project: 1.Trail mapping 2.Trail photography 3.Graphics 4.Printing 5.Review of plan drafts and prompt delivery of comments by MVTS and MVTC. 6.Collaboration and assistance from MVTS and MVTC are essential due to their knowledge and expertise involving trails in the Roaring Fork Mid-Valley area and involvement in the original plan and the exiting draft update. Collaboration and assistance may include text contributions, interim editing, communications with agencies and partners, attendance at meetings as needed with partners, agencies, county staff and public and boards or commissions as well as field work as needed.
