1.PARTIESThisAmendment(the“Amendment”)totheOriginalContractshownontheSignatureandCoverPageforthisAmendment(the“Contract”)isenteredintobyandbetweentheContractor,andtheState.2.TERMINOLOGYExceptasspecificallymodifiedbythisAmendment,alltermsusedinthisAmendmentthataredefinedintheContractshallbeconstruedandinterpretedinaccordancewiththeContract.3.AMENDMENTEFFECTIVEDATEANDTERMA.AmendmentEffectiveDateThisAmendmentshallnotbevalidorenforceableuntiltheAmendmentEffectiveDateshownontheSignatureandCoverPageforthisAmendmentanduponfullexecutionofsubstantiallythesameamendmentwithallcountieslistedinthisContract.TheStateshallnotbeboundbyanyprovisionofthisAmendmentbeforethatAmendmentEffectiveDate,andshallhavenoobligationtopayContractorforanyWorkperformedorexpenseincurredunderthisAmendmenteitherbeforeorafteroftheAmendmenttermshownin§3.BofthisAmendment.B.AmendmentTermTheParties’respectiveperformancesunderthisAmendmentandthechangestotheContractcontainedhereinshallcommenceontheAmendmentEffectiveDateshownontheSignatureandCoverPageforthisAmendmentoruponfullexecutionofsubstantiallythesameamendmentwithallcountieslistedinthisContract,whicheverislaterandshallterminateontheterminationoftheContract.4.PURPOSEThepurposeofthisAmendmentisto:A.GrantCDHSpermissiontoextendandamenditsagreementwithTALXcorporation;B.Formallyaddparticipatingcountiestothe“annualminimum”table;andC.Updatepricing.5.MODIFICATIONSTheContractandallprioramendmentsthereto,ifany,aremodifiedasfollows:A.ExhibitAisherebyreplacedwithExhibitA-2,whichisattachedandincorporatedintothisAmendment.6.LIMITSOFEFFECTANDORDEROFPRECEDENCEThisAmendmentisincorporatedbyreferenceintotheContract,andtheContractandallprioramendmentsorothermodificationstotheContract,ifany,remaininfullforceandeffectexceptasspecificallymodifiedinthisAmendment.ExceptfortheSpecialProvisionscontainedintheContract,intheeventofanyconflict,inconsistency,variance,orcontradictionbetweentheprovisionsofthisAmendmentandanyoftheprovisionsoftheContractoranypriormodificationtotheContract,theprovisionsofthisAmendmentshallinallrespectssupersede,govern,andcontrol.TheprovisionsofthisAmendmentshallonlysupersede,govern,andcontrolovertheSpecialProvisionscontainedintheContracttotheextentthatthisAmendmentspecificallymodifiesthoseSpecialProvisions.AmendmentContractNumber.Page2of2
ExhibitA-2—StatementofWorkA.BackgroundForpurposesofthisExhibitA,Contractormayalsobereferredtoas“County.”TheStatehasenteredintoacontract(UniversalMembershipAgreement”)(Statecontractroutingnumber16IHEA$3111)(ExhibitB)withTALXCorporation,aproviderofEquifaxVerificationServices(“EVS”)andintendstoexecuteanamendment(“ScheduleA”)(Statecontractroutingnumber16THEA87603)(ExhibitC)totheUniversalMembershipAgreement(collectively“WorkNumberAgreement”).TheWorkNumberAgreementallowsEVStoprovideemploymentverificationservicesdirectlytoColoradocounties.TheStateactsonlyasapass-throughentity,meaningthatEVSwillbilltheStateforfeesincurredbythecounties,andtheStatewillthenbillthecountiesindividually.TheWorkNumberAgreementisbetweentheStateandEVSwithparticipatingcountieseachsigningParticipationAgreements(seeExhibitItoUniversalMembershipAgreement).TheWorkNumberAgreementobligatesthecountiescollectivelyandContractorindividuallytopayEVSviatheStateforservicesrenderedsotheStateandCountyareenteringintothisContracttomemorializetheState’sandCounty’sresponsibilitiesastheyrelatetotheWorkNumberAgreement.B.PaymentCountyshallpaytheStateforCounty’suseofserviceswithinthescopeoftheWorkNumberAgreement.TheStateshallpromptlypassthroughCounty’spaymentstoEVSinaccordancewiththeWorkNumberAgreement.Exceptwithinitsroleasapassthroughentity,theStateisnotliableforCounty’sobligationsincurredunderthisContractortheWorkNumberAgreement.TheStateshallprovideeachCountyaninvoiceatleast30dayspriortothedatethepaymentisduetoEVS.TheStateshallensurethatanypaymenttotheStateispaidovertoEVSpriortothedatethatpaymentisduetoEVS.C.AnnualMinimumTheWorkNumberAgreementbythetermsoftheScheduleAobligateseachParticipatingCounty,throughtheStateasthepass-throughentity,topaytheParticipatingCounty’sproportionateshareoftheAnnualMinimumPaymentassetforthinthisIntergovernmentalAgreementandExhibitItotheScheduleA.TheAnnualMinimumPaymentis$2,100,000.00,whichisbaseduponanestimated375,000incomeverificationrequestsat$5.60perincomeverificationrequest,plusa$2,000permonthservicefee.County’sresponsibilityforitsshareofanydeficiencysurvivesterminationofthisContractortheWorkNumberAgreement.CountyisresponsibleforitspercentageoftheAnnualMinimumPaymentbaseduponthefollowingformula:County’sMinimumUsage]I[TotalParticipatingcounties’PreviousUsageJCountyPercentage[CountyPercentage]X[AnnualMinimumPayment]+tAdminFee]CountyFinancialObligationIFCounty’sActualAnnualPaymentislessthanCounty’sFinancialObligation,THENCountyisconsideredaDeficientCountyandshallpayanydeficiency’accordingtothefollowingformula:tAnnualMinimumPayment]—tTotalActualAnnualPayment]=TotalDeficiencytCountyFinancialObligation]—[CountyActualAnnualPayment]=CountyDeficiency[CountyDeficiencyJI[Totalcounties’Deficiency=DeficientCountyPercentage[DeficientCountyPercentageJXfTotalDeficiencyJDeficientCountyPaymenttoStateExhibitA-2-Page1of3
