AuthorityENCROACHMENTEASEMENTINTERGOVERNMENTALAGREEMENTBETWEENEAGLECOUNTY,UPPEREAGLEREGIONALWATERAUTHORITY,ANDBERRYCREEKMETROPOLITANDISTRICTTHISINTERGOVERNMENTALAGREEMENT(hereinafter“Agreement”)madeasofthisdayof()t-o,CZ_.,2019,betweenEagleCounty,Colorado(“County”)andUpperEagleRegionalWaterAuthority(“WaterAuthority”or“Grantee”),withtheconsentofBerryCreekMetropolitanDistrict(“District”).WITNESSETH:WHEREAS,BerryCreekMetropolitanDistrictwasformedin1979andholdstitletoaparceloflandknownasTract0,filing4,BerryCreekRanchsubdivisioninEagleCounty,asrecordedatReceptionNumber195712intheofficeoftheEagleCountyClerkandRecorder,whichpropertyisidentifiedasParcelNo.2105-042-06-008,AccountNo.R019777,(the“SubjectProperty”);andWHEREAS,Districtoriginallyconstructed,approximately39yearsago,awaterpumpstationontheSubjectProperty,whichpumpstationmustbecompletelyreplacedandreconstructed;andWHEREAS,in1984and1985,DistrictcontractedtotheWaterAuthorityallright,title,interestandmaintenanceobligationtoutilizeTract0forthewatertank,waterpumpstation,andassociatedwaterlines,valvesandappurtenancesnecessarytocontinueprovisionofwaterservicewithintheDistrictboundary;andWHEREAS,theCountyholdsaRoadMaintenanceEasementthatencumberstheSubjectProperty50feetacrossthefrontageofsuchpropertyasitmeetsMesquiteDrivedescribedinExhibitAanddepictedonExhibitB;andWHEREAS,WaterAuthority,withconsentofDistrict,desirestoconstructretainingwalls,reconstructthefailingpumpstation,andotherimprovementsthatwillbelocatedwithintheRoadMaintenanceEasement,toalsofacilitatemoreefficientaccesstothewatertankslocatedontheSubjectPropertyandsuchimprovementswillencroach,inpart,onaportionoftheCounty’sRoadMaintenanceEasement;andWHEREAS,theGranteedesirestoobtainfromtheCountyanencroachmenteasementintotheRoadMaintenanceEasementtoallowtheimprovements(the“Encroachment”)ontheSubjectPropertytobeconstructedonandremainonaportionoftheCountyRoadMaintenanceEasementinthelocationidentifiedonExhibitC,whichisattachedheretoandincorporatedhereinbythisreference;andWHEREAS,CountyiswillingtograntaneasementtoallowtheEncroachmenttoremaininthelocationidentifiedinExhibitC,subjecttothetermsofthisAgreement.NOW,THEREFORE,inconsiderationoftheforegoingpremisesandfollowingpromises,CountyandGranteeagreeasfollows:EagleCounty,CO201917445{00713108.DOCX/}ReginaO’Brien10/16/2019Pgs:1211:47:47AMREC:$0.00DOC:$0.00 ENCROACHMENTEASEMENTGRANT:TheCountyherebygrantstoGranteeanditsheirs,successorsandassigns,anon-exclusive,revocableeasementonandoveraportionoftheCounty’sRoadMaintenanceEasementfortheEncroachmentinitscurrentlocationasdescribedinExhibitCattachedhereto(the“EncroachmentEasement”).GranteeshallnotusetheEncroachmentEasementforanyotherpurposeexceptasdescribedherein.Granteemayconstruct,use,maintainandrepairtheEncroachmentlocatedwithintheEncroachmentEasement,asdetailedbelowintheConstructionandMaintenancesection.TheEncroachmentEasementgrantedbythisAgreementshallbeenjoyedbyGrantee,itssuccessorsandassigns,solongastheEncroachmentEasementisusedinaccordancewiththetermsandconditionsofthisAgreement.ThisAgreementshallnotbeconstruedasconferringanyrightsorbenefitsonanythirdparties.Notwithstandinganythinghereintothecontrary,andinrecognitionthatthePartiesanticipatenevermovingthis$1.2Millionreconstructionimprovement,theCountyreservestherighttomodifyorterminatethisAgreementasitrelatestoalloraportionoftheEncroachmentEasementinitssolediscretion,providedsuchmodificationandterminationisnecessaryforcountyroadimprovementpurposes,andtorequireGrantees,itssuccessorsorassigns,toremoveorreduceormodifytheEncroachmentatGrantees’soleexpenseuponone(1)yearnoticefromtheCounty.IntheeventGrantees,itssuccessorsorassigns,ceasestousetheEncroachmentEasementinaccordancewiththetermsofthisAgreementorotherwisefailstocomplywithanyandallofthetermsofthisAgreement,thisAgreementandtheEncroachmentEasementmaybeterminateduponthirty(30)dayswrittennoticebytheCounty.CountyacknowledgestheinvestmentbyGranteeintothewaterserviceimprovementsandagreestoworkcooperativelyandingoodfaithwiththeGranteetoonlymodifyorterminatetheEncroachmentEasementwhenabsolutelynecessaryforcountyroadimprovementpurposesandinamannerleastrestrictivetoGrantee.Uponmodificationortermination,theEncroachmentEasementareashallberestoredtoitsoriginalcondition,orasclosetheretoasisreasonablypossible.TheEncroachmentEasementgrantedbythisAgreementisnon-exclusiveandCountyreservestherighttouseforitselfandtogranttoothersrights-of-wayover,under,acrossorthroughtheEncroachmentEasementhereingranted,providedthattheydonotinterferewiththerightofGranteetousethesameforthepurposeshereingranted.CountyreservestherighttouseandenjoythepremisestothefullestpossibleextentwithoutunreasonableinterferencewiththeexercisebyGranteeoftherightsgrantedinthisAgreement.Withoutlimitingtheforegoing,Countyreservestherighttoplacealong,across,under,overandthroughtheEncroachmentEasementasmanyelectriclines,powerlines,waterlines,sewerlines,gaslines,telephonelinesandotherutilitiesasCountymaydesiresubjectonlytotherightofGranteetousethesameforthepurposeshereingranted.TheEncroachmentintotheCounty’sRoadMaintenanceEasementshallnotconstituteanyrelinquishmentoftheCounty’spropertyrightswhetherthroughclaimsofadversepossessionoranyothermeans.{00713108.DOCx/2}2 CONSTRUCTIONANDMAINTENANCEOFENCROACHMENTWITHINTHEEASEMENT:Construction,includingrepair,replacement,alterations,andmaintenanceoftheEncroachmentwillbethesoleresponsibilityofWaterAuthorityoritssuccessorsandassigns.NoconstructionshallbecommenceduntilapprovedinwritingbyCounty;suchapprovalnottobeunreasonablywithheldordelayed.Notwithstandingtheforegoing,CountywillrequireanyutilitycompanyorotherpersonspermittedtoconstructintheCountyRoadMaintenanceAgreementtorepairanydamagetheymaycausetoCountyRoadMaintenanceAgreementand/ortheEncroachmentaspartofthepermittingprocess.WaterAuthorityagreestoberesponsibleforallongoingnecessaryrepairandmaintenanceassociatedwiththecurrentandanyfutureuseoftheEncroachmentEasement.INDEMNIFICATION:WaterAuthorityshall,tothefullestextentpermittedbylaw,indemnifyandholdharmlessCountyandanyofitsofficers,agentsandemployeesagainstanylosses,claims,damagesorliabilitiesforwhichCountyoranyofitsofficers,agents.oremployeesmaybecomesubjecttoinsofarasanysuchlosses,claims,damagesorliabilitiesariseoutof,directlyorindirectly,thisAgreementortheEncroachmentEasement,orarebaseduponanyperformanceornonperformancebyWaterAuthorityhereunderoritssuccessorsorassigns;andWaterAuthorityshallreimburseCountyforanyandalllegalandotherexpensesincurredbyCountyinconnectionwithinvestigatingordefendinganysuchloss,claim,damage,liabilityoraction.ENFORCEMENTREMEDIES:ThisAgreementshallberecordedwiththeEagleCountyClerkandRecorder’sOffice.ThisAgreementshallconstitutecovenantsrunningwiththeSubjectProperty,asaburdenthereonandforthebenefitthereof,andshallspecificallybeenforceablebyCountyagainstGrantee,itssuccessorsandassignsandallobligationsforrestoration,repair,andindemnificationshallsurviveterminationofthisAgreementandtheEncroachmentEasement.CountyandGranteeagreethatthisAgreementmaybeenforcedforspecificperformance,injunctive,orotherappropriaterelief,includingdamages,asmaybeavailableaccordingtothelawsandstatutesoftheStateofColorado.ItisspecificallyunderstoodthatbyexecutingthisAgreement,CountyandGranteecommitthemselvestoperformpursuanttothesetermscontainedherein.MISCELLANEOUS:ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofColorado.VenueforanyactionarisingoutofanydisputepertainingtothisAgreementshallbeinEagle,Colorado.{00713108.DOCxI}2}3 ThisAgreementandtherightsandobligationscreatedherebyshallbebindinguponandinuretothebenefitofCountyandGranteeandtheirrespectivesuccessorsandassigns.NothinghereinexpressedorimpliedisintendedorshouldbeconstruedtoconferorgivetoanypersonorentityotherthanCountyorGranteeandtheirrespectivesuccessorsandassigns,anyright,remedyorclaimunderorbyreasonhereofofbyreasonofanycovenantorconditionhereincontained.IfanyportionofthisAgreementisheldinvalidorunenforceableforanyreasonbyacourtofcompetentjurisdiction,suchportionshallbedeemedseverableanditsinvalidityoritsunenforceabilityshallnotaffecttheremainingprovisions;suchremainingprovisionshallbefullyseverableandthisAgreementshallbeconstruedandenforcedasifsuchinvalidprovisionhadneverbeeninsertedintothisAgreement.ThisAgreementmaybeamended,modified,changed,ortenninatedinwholeorinpartonlybywrittenagreementdulyauthorizedandexecutedbyCountyandGrantee.ThisAgreementrepresentsthefullandcompleteunderstandingofCountyandGranteeandsupersedesanyprioragreements,discussions,negotiations,representationsorunderstandingsofCountyandGranteewithrespecttothesubjectmattercontainedherein.Thepartiesheretoagreethatneitherhasmadeorauthorizedanyagreementwithrespecttothesubjectmatterofthisinstrumentotherthanexpresslysetforthherein,andnooralrepresentation,promise.orconsiderationdifferentfromthetermshereincontainedshallbebindingoneitherparty,oritsagentsoremployeeshereto.Allofthecovenantshereincontainedshallbebindinguponandinuretothebenefitsofthepartieshereto,theirrespectiveheirs,personalrepresentatives,successorsandassigns.ThisEncroachmentEasementisgrantedsubjecttopriorgrantsofeasementsandotherownershipinterestsofrecord.Countymakesnowarrantiesastothetitleoftheeasementconveyed.INWITNESSWHEREOF,thisEncroachmentEasementAgreementisexecutedthisr-fl,F-OOTh’c.4—,2019.ATTEST:BY:W-S(4.,.t4ClerktotheBoardofCountyCOUNTYOFEAGLE,STATEOFLORADO,byandthroughitsBOARDOFCOMMISSIONERS{00713108.DOCX/}2}4
